Wade Cherwayko

 Mr. Wade G. Cherwayko is Chairman of the Board, Chief Executive Officer of Mart Resources, Inc. Prior thereto, he was President, CEO and director of the Corporation since May 2002. Mr. Cherwayko has negotiated, financed and developed numerous projects over the past decade in West and North Africa. These include two power plants in Nigeria and Benin, and he was responsible for acquiring, financing, exploring and developing onshore and offshore oil and gas assets for Abacan Resource Corporation, Centurion Energy and Yinka Folowiyo Petroleum Company Ltd. Previously he was a consultant for oil companies operating in Canada, USA and South America.

Dmitri Tsvetkov

 Mr. Dmitri Tsvetkov has been appointed as Chief Financial Officer of Mart Resources Inc with effect from September 1, 2012. Mr. Tsvetkov was previously Chief Financial Controller of Heritage Oil Plc, a FTSE 250 (Exchangeable Shares listed on the Toronto Stock Exchange and the London Stock Exchanges) oil and gas exploration and production company, which he joined in 2007. Before that Mr. Tsvetkov was with PricewaterhouseCoopers in Calgary, Canada and Moscow, Russia. Mr. Tsvetkov has more than 17 years of financial and accounting experience in oil and gas industry, and has a Chartered Accountant (CA) designation from the Canadian Institute of Chartered Accountants and an ACCA designation from the Association of Chartered and Certified Accountants in the UK.

 Mr. Rheman Dawood serves as Vice President - Finance, Mart Energy Services Ltd., of Mart Resources Inc. Mr. Dawood is a Certified Management Accountant and Certified Internal Auditor with 30 years of oil and gas experience and background in upstream oil and gas, finance, operational and administrative systems. Most recently, he spent 15 years with Nexen Petroleum Nigeria Ltd. as VP, Finance/Administration based in Lagos, Nigeria.

 Mr. Derrick R. Armstrong is Independent Director of Mart Resources Inc. Mr. Armstrong is a senior corporate and securities counsel to Borden Ladner Gervais LLP and regional head of that firm’s Securities and Capital Markets Group in Calgary, Alberta. Mr. Armstrong has passed several University level accounting courses in obtaining a Bachelor of Commerce (1977). In addition, Mr. Armstrong received a Bachelor of Laws in 1980 and has practiced Corporate and Securities law continuously in Alberta since 1980. In such capacity he has served and advised boards of directors and audit committees.

Paul Crilly

 Mr. Paul A. Crilly, C.A. is Independent Director of Mart Resources, Inc. Mr. Crilly Chairman of the Audit Committee, is a Director with K2 & Associates Investment Management Inc. and has over 20 years of management and capital markets experience in the energy industry. He was previously President and CEO of Norex Exploration Services Inc., a TSX- listed seismic acquisition company. Mr. Crilly previously held management positions with oil and gas services companies with international operations. Mr. Crilly, who is a Chartered Accountant and holds a Bachelor of Commerce degree from the University of Saskatchewan, is currently a director of Rooster Energy Ltd., a TSXV-listed company with oil and gas operations in the Gulf of Mexico.

Dallas Droppo

 Mr. Dallas L. Droppo, QC, is Independent Director of Mart Resources Inc. Mr. Droppo is a senior securities, energy and commercial partner in the Calgary office of Blake, Cassels & Graydon LLP, Barristers and Solicitors. He has previously served on the boards of directors of Real Resources Inc. and Interation Energy Ltd. (where, for a time, he was a member of each company’s audit committee) and on the board of Norex Exploration Services Inc. and TriStar Oil and Gas Ltd., as well as serving on the executive and finance committees of his law firm. Mr. Droppo was previously also a trustee of Pembina Pipeline Income Fund. He regularly attends quarterly educational sessions given by a national accounting firm to audit committee members of clients and others. In 2011, he received the ICD.D designation from the Institute of Corporate Directors.

Leroy Wolbaum

 Mr. Leroy Wolbaum is Independent Director of Mart Resources, Inc., since June 18, 1997. Mr. Wolbaum has experience as a director and/or officer of a number public and private companies in which capacities he frequently addressed compensation matters for such companies’ executive officers. He has also served on the compensation committees of the board of directors of three other public companies.
