Name Description

Scott Kauffman

Mr. Scott L. Kauffman is Chairman of the Board, Chief Executive Officer of MDC Partners Inc., effective July 20, 2015, Mr. Kauffman was originally appointed as a Director of the Company on April 28, 2006. Prior to his appointment as Chairman and Chief Executive Officer, Mr. Kauffman served as a member of the Human Resources & Compensation Committee and Chairman of the Nominating & Corporate Governance Committee, in addition to his role as the Board’s Presiding Director. From April 2013 until May 2014, Mr. Kauffman served as the President and Chief Executive Officer, and a member of the Board of Directors, of New Engineering University, a new university system designed to educate the next generation of world-class engineers. From April 2011 until January 2013, Mr. Kauffman was a Board member and then Chairman of LookSmart, Ltd, a publicly-traded, syndicated pay-per-click search network. From January 2009 to August 2010, Mr. Kauffman was President and Chief Executive Officer, and a member of the board, of GeekNet, Inc., a publicly-traded open source software application developer and e-commerce website operator. From September 2006 until its acquisition by Yahoo! in October 2007, Mr. Kauffman was President and Chief Operating Officer, and a member of the board, of BlueLithium, Inc., an Internet advertising network and performance marketing company. Prior to joining BlueLithium, Mr. Kauffman was President and CEO, and a member of the board, of several early stage companies, including Zinio Systems, Inc., MusicNow LLC and Coremetrics Inc., where he continued to serve as a member of the board until the company was acquired by IBM in July 2010. Mr. Kauffman has served in senior and executive management capacities with other digital entertainment, consumer marketing, media and technology companies, including CompuServe and Time Warner. Mr. Kauffman holds a BA in English from Vassar College and an MBA in marketing from New York University. In 1996, Advertising Age named him one of twenty digital media masters.

David Doft

Mr. David B. Doft is Chief Financial Officer of MDC Partners Inc., since August 10, 2007. Prior to joining MDC Partners, he oversaw media and Internet investments at Cobalt Capital Management Inc. from July 2005 to July 2007. Prior thereto, he worked at Level Global Investors from October 2003 to March 2005 investing in media and Internet companies. Before that, Mr. Doft was a sell side analyst for ten years predominately researching the advertising and marketing services sector for CIBC World Markets where he served as an Executive Director and ABN AMRO/ING Barings Furman Selz where he was a Managing Director.

Randy Duax

Mr. Randy Duax is Senior Vice President - Talent and Recruiting of the Company. Duax joins MDC Partners from WPP, where he most recently served as Talent Director of Asia Pacific and was responsible for senior executive recruitment across WPP's company holdings and teams in Singapore, Shanghai, Sydney and Tokyo. Before relocating overseas, he worked for WPP in New York and oversaw senior executive recruitment across WPP's assets in North America. Prior to joining WPP, Duax launched his career at Koller Search Partners, where he rose to the position of Managing Director, overseeing the firm's advertising and marketing practice. There he was responsible for building out the firm's digital talent acquisition capabilities while growing a new client base of digital media and technology companies.

Alexandra Ewing

Ms. Alexandra Delanghe Ewing is Senior Vice President - Corporate Communications of the Company. Ms. Delanghe joined MDC Partners in January 2012, as a Senior Vice President, Corporate Communications. Prior to joining MDC Partners, Ms. Delanghe served as U.S. Director of Communications for DDB, managing national communications efforts on behalf of the network and its agencies.

Amie Miller

Ms. Amie Miller is Senior Vice President - Talent of the Company. Ms. Miller joined MDC Partners in January 2010, as Senior Vice President, Talent. Prior to joining MDC Partners' corporate group, Ms. Miller served as VP, Talent Director at Crispin Porter + Bogusky, which she originally joined in 1992.

David Ross

Mr. David C. Ross is Senior Vice President - Corporate Development & Strategy of MDC Partners Inc. Mr. Ross joined MDC Partners in March 2010 and became Senior Vice President, Corporate Development & Strategy, in March 2012. Prior to joining MDC Partners, he was an Associate at Skadden Arps LLP where he represented corporate clients in variety of capital markets and M&A transactions.

Robert Kantor

Mr. Robert Kantor is Chief Marketing and Business Development Officer of the Company. Mr. Kantor joined MDC Partners in May 2009, and currently serves as Chief Marketing and Business Development Officer. Prior to joining MDC Partners, he served as CEO of Publicis NY and President of Lowe & Partners NA, and also founded and built Rotter Kantor, an integrated communications company, as well as Hanger Network, the country's largest green-marketing platform.

Stephanie Nerlich

Ms. Stephanie Nerlich has appointed as Chief Marketing Officer of the company. She joins MDC Partners from Grey Canada, where she was President and CEO for five years. There she led a national network of agencies, expanded Grey Canada's digital capabilities and drove significant new business growth, including winning Post FoodsUSA, HSBC North America, Procter & Gamble, Brown Forman, ATCO and Volvo. During her tenure, the agency significantly elevated its creative focus, resulting in 14 Cannes Lions and recognitions at D&AD, The One Show, The Effies, The Cassies and ADCC, where Grey Canada was named "Agency of the Year" twice in three years. She also launched GREY4GOOD, the agency's social impact specialty. Prior to joining Grey, Nerlich was President and CEO ofLowe RocheinToronto, where she oversaw all operational and financial duties. While there, she led a portfolio of premium brands including Audi, Johnson & Johnson, Nestle Purina and Unilever. Previously, Nerlich spent more than a decade at BBDO Canada, rising to the position of Senior Vice President, Executive Managing Director and contributing to the success of leading marketers such as GE, FedEx, Frito-Lay, Mars Inc., PepsiCo andWrigley. She has also held positions at JWT, The Wolf Group and Fidelity Investments.

Mitchell Gendel

Mr. Mitchell S. Gendel is General Counsel, Corporate Secretary of MDC Partners Inc., since November 2004. Mr. Gendel joined MDC Partners in November 2004, as a General Counsel and Corporate Secretary. Prior to joining MDC Partners, he served as Vice President and Assistant General Counsel at The Interpublic Group of Companies, Inc. from December 1999 until September 2004.

Ryan Linder

Mr. Ryan Linder serves as Chief Marketing Officer, United States of the Company. For two consecutive years, Linder has been a leading contributor to record business development on behalf of MDC and its partner agencies, including driving many of the network's recent wins, including MillerCoors, The Hershey Company, Campbell'sSoup Co., The Truth Initiative and Beats by Dre. Previously, Linder was SVP and Chief Growth Officer for MDC creative agency Doner. Prior to joining the MDC family, Linder was CMO for Omnicom shop, Zimmerman Advertising in Fort Lauderdale and led business development for Olson in Minneapolis and IPG's Jack Morton Worldwide.

Bradley Gross

Mr. Bradley J. Gross is Director of the company. He is a managing director in the Merchant Banking Division of Goldman Sachs, has joined the MDC Partners Board of Directors, which has expanded to seven members.

Daniel Goldberg

Mr. Daniel Goldberg has been appointed as Independent Director of the Company. effective July 1, 2016. Prior to joining Telesat, Goldberg served as Chief Executive Officer of SES New Skies inthe Netherlands, a position he held following the purchase of New Skies by SES Global. During that time, Goldberg also served as a member of the SES Executive Committee. Prior to becoming Chief Executive Officer, he served as Chief Operating Officer of New Skies and prior to that as New Skies' General Counsel. Before joining New Skies, Mr. Goldberg served as Associate General Counsel and Vice President of Government and Regulatory Affairs at PanAmSat, and began his career as an associate at Covington & Burling and then Goldberg, Godles, Wiener & Wright, law firms in Washington D.C. Mr. Goldberg obtained an undergraduate degree from the University of Virginia, graduating with the highest honors and earned a law degree from Harvard Law School, where he graduated cum laude.

Lawrence Kramer

Mr. Lawrence S. Kramer is an Independent Director of the Company. effective March 1, 2016. He was the founder, Chairman and CEO of MarketWatch Inc., past President and Publisher of USA Today, and presently serves as Chairman of the Board of TheStreet, Inc. and on the Board of Gannett. O'Donovan is the past Executive Vice President of Scotiabank and a longtime partner at Ernst & Young, and presently serves on the Board of Indigo Books and Music. With these additions, MDC has enhanced the expertise and independence of its Board, demonstrating its ongoing commitment to the highest standards of corporate governance.

Anne O'Donovan

Ms. Anne Marie O'Donovan is an Independent Director of the company. effective March 1, 2016. She is an experienced strategic senior executive, public company board member, and CPA, with over 30 years of Canadian and global financial services industry expertise. She is a Corporate Director and the President of O’Donovan Advisory Services Ltd., a financial advisory company, and has been a member of the board of directors of Indigo Books & Music, a Canadian bookstore company, since 2009. Most recently she served as Executive Vice President at Scotiabank, where she was Chief Administrative Officer for Global Banking and Markets division. Prior to that Ms. O’Donovan had a long, distinguished career at Ernst & Young, a professional services and accounting firm, as Partner. She holds an HBA degree from the Richard Ivey School of Business at the University of Western Ontario and is a Fellow of the Institute of Chartered Accountants of Ontario. Spencer Stuart, a leadership consulting firm that was engaged by the MDC Partners’ board of directors to complete an extensive director search, recommended Ms. O’Donovan to the board. Ms. O’Donovan brings to the board an in-depth knowledge in the areas of executive leadership, risk management, regulatory, governance, financial management, technology, operations and internal audit, as well as relevant experience working with international teams across Europe, Asia and Latin America. Such knowledge, gleaned through experience at accounting and financial advisory firms, facilitated the determination that Ms. O’Donovan should be nominated to the MDC Partners board of directors. Ms. O’Donovan has been a member of the MDC Partners board of directors since her appointment on March 1, 2016.

Irwin Simon

Mr. Irwin David Simon is an Independent Director of MDC Partners Inc. He is the founder of The Hain Celestial Group, Inc. and has been its President and Chief Executive Officer, and a director since its inception in 1993. In addition, Mr. Simon has served as Chairman of the Board of Hain Celestial since 2000. Mr. Simon currently serves as a director of Jarden Corporation (a consumer products company), and as a director of several privately-held companies. During the last five years, Mr. Simon also served as a director of Yeo Hiap Seng Limited (a food and beverage company based in Singapore). Mr. Simon also participates in several industry and charitable organizations including The New York State Council on Food Policy. Mr. Simon is the past chapter chairman of YPO — Gotham Chapter, New York City. Mr. Simon has been a member of the MDC Partners Board of Directors since his appointment on April 25, 2013. He is currently a member of the Human Resources & Compensation Committee and a member of the Audit Committee. Mr. Simon resides in New York, N.Y., and beneficially owns 22,000 unvested restricted Class A Shares of MDC. Mr. Simon brings to the Board unique perspectives on aspects of advertising and marketing services, as well as extensive operational and entrepreneurial experience. In addition, Mr. Simon possesses a great depth of knowledge and experience regarding the consumer packaged goods industry and related marketing services that are provided by the Company’s partner firms.
