Name Description

Raymond Smith

 Mr. Raymond G. Smith is Independent Chairman of the Board of Madalena Ventures Inc. He is currently Chairman of the Board of the Corporation and President, Chief Executive Officer and Director of Bellatrix Exploration Ltd. Chairman of the Board of Online Energy Inc. since January 2011. Prior thereto, President and Chief Executive Officer of Cork Exploration Inc., from June 2007 to November 2007, and Chairman of Cork Exploration Inc. from April 2005 to November of 2007.

Kevin Shaw

 Mr. Kevin Shaw, P.Eng, MBA, has been appointed as President, Chief Executive Officer, Director of Madalena Ventures Inc. effective November 27, 2012. Mr. Shaw holds oil & gas industry experience as an Engineer, Manager and Officer, working for E&P's, as well as experience in the capital markets and consulting services sides of the energy sector. Prior to joining Madalena, Kevin most recently headed up the energy team at Casimir Capital and held the position of Managing Director & Head of Global Energy Research, responsible for coverage and/or advisement on over 30 domestic and international E&P companies. Prior to Casimir, Kevin worked with Wellington West Capital Markets as a Senior Oil & Gas Research Analyst, and Partner, and was a key member of Wellington West's Energy business prior to Wellington's sale to National Bank of Canada in the summer of 2011. Prior to holding executive positions within the Capital Markets, Mr. Shaw has also held oil and gas positions heading up operational & engineering consultant teams for E&P's as an Alliance Manager for Colt WorleyParsons, was a Vice President, Operations for a public jr. E&P (Trimox Energy Inc.), and has held various technical & managerial roles with ExxonMobil (via Imperial Oil). Kevin is a Professional Engineer and holds a B.Sc. in Mechanical & Petroleum Engineering from the University of Calgary and an MBA from the Haskayne School of Business.

Thomas Love

 Mr. Thomas L. Love has been appointed as Chief Financial Officer, Vice President - Finance of Madalena Ventures Inc., effective February 28, 2013. Mr. Love is a Chartered Accountant with over 35 years of experience in the oil and gas industry, including both Western Canadian and International experience. Most recently, Mr. Love was the former CFO and a director of Online Energy Inc. ("Online") and had been providing consulting services to the Company since the acquisition of Online. Prior to his role at Online, he was the CFO of Trimox Energy Inc. and Moxie Exploration Ltd., and President and Chief Executive Officer of Moxie Petroleum Ltd, where he worked alongside members of the new Madalena management team. Earlier in Mr. Love's career, he was involved in running the Canadian operations of a U.K. based International E&P and articled at Ernst & Young LLP.

Barry Larson

 Mr. Barry B. Larson is an Independent Director of Madalena Ventures Inc. Mr. Larson has over 30 years of oil and gas industry experience, 15 of which have been in foreign operations. Mr. Larson is the vice-president of operations and chief operating officer of Parex Resources Inc. He held the same position with Petro Andina Resources Inc. from 2005 to 2009. Mr. Larson was a resident of Argentina from 1994 to 1997, where he received operating experience as manager of drilling and then manager of operations with Chauvco Resources and Chauvco Argentina, and later as vice-president of operations for Chauvco Resources International. Mr. Larson was a co-founder and vice-president of Aventura Energy Inc. from August, 1999, to May, 2004, a company that operated in Argentina as well as Trinidad and Tobago. In January, 2003, Mr. Larson was named vice-president of operations and country manager of Vermilion Oil and Gas (Trinidad) Ltd., a position he held until May, 2004. During this time, Mr. Larson was resident in Trinidad and Tobago, where Vermilion Oil and Gas (Trinidad), the local operating subsidiary of Aventura Energy, developed the Carapal Ridge gas discovery (approximately 1.0 trillion cubic feet).

Mike Lock

 Mr. Mike Lock is an Independent Director of Madalena Ventures Inc. Mr. Lock is currently President of Upsilon Holdings Ltd., a privately owned land consulting company providing land consulting services to a number of junior oil and gas companies. Previously Mr. Lock was employed by Oilexco Incorporated as a commercial negotiator. Mr. Lock has over 30 years of experience as a negotiator, manager and officer for public and private companies. Mr. Lock was previously Vice President of Land with Stampeder Exploration Inc. and Big Bear Exploration Ltd., and held various land positions with Canadian Superior Resources, and Murphy Oil and Gas. Mr. Lock was a founder and director of Era Oil and Gas Corp., a private Company.

Keith Macdonald

 Mr. Keith Elliott Macdonald is an Independent Director of Madalena Ventures Inc., since June 22, 2010. Mr. Macdonald graduated from the University of Calgary in 1978 with a Bachelor of Commerce in Accounting. Articling with a predecessor to KPMG LLP, he received the Chartered Accountant designation in 1980. Over his career, he founded and was President of New Cache Petroleums Ltd. and has served as a director of several public companies. Currently a director and chair/member of Audit Committee of Surge Energy Inc., Bellatrix Exploration Ltd., Mountainview Energy Ltd., Holloman Energy Corporation, WCSB Oil and Gas Royalty Income Funds (General Partner) and Rocky Mountain Dealerships Inc.. During the past five years, Mr. Macdonald has been the President of Bamako Investment Management Ltd., a private holding and consulting company and Chairman, President and Chief Executive Officer of EFL Overseas, Inc. since March 2011.

Jay Reid

 Mr. Jay P. Reid is an Independent Director of Madalena Ventures Inc. Mr. Reid is partner at the Calgary based law firm of Burnet, Duckworth & Palmer LLP and has practiced corporate and securities law since 1990. Director or Corporate Secretary of a number of publicly listed issuers, including Advantage Oil & Gas Ltd., Longview Oil Corp., Pinecrest Energy Inc., Renegade Petroleum Ltd., and TriOil Resources Ltd. and Director or Corporate Secretary for six private issuers.

Ving Woo

 Mr. Ving Y. Woo is an Independent Director of Madalena Ventures Inc. Mr. Woo is currently Vice President and Chief Operating Officer of Bellatrix Exploration Ltd. Prior thereto, Vice President Operations of Bellatrix Exploration Ltd. since April 2009. Previously, Mr. Woo has held the positions of Executive Vice-President and Chief Operating Officer, and Director of Cork Exploration Inc., Vice President, Engineering for Meridian Energy Corp., Corsair Exploration Inc., and New Cache Petroleum Inc. Mr. Woo is a petroleum engineer with over 40 years of industry experience. He graduated from the University of Calgary in 1970 with a B.Sc. in Chemical Engineering. Since starting his career, he has gained experience in all facets of petroleum engineering with particular emphasis on reservoir engineering, economic evaluations, drilling and completions, production operations as well as optimization of oil and gas properties.
