Name Description

Richard DeWolfe

Mr. Richard B. DeWolfe is Independent Chairman of the Board of Manulife Financial Corp.Mr. DeWolfe is also Managing Partner of DeWolfe & Company, LLC, a real estate management and investment consulting firm. He was formerly Chairman and CEO of The DeWolfe Companies, Inc., the largest homeownership organization in New England, which was previously listed on the American Stock Exchange and acquired by Cendant Corporation in 2002. Mr. DeWolfe is a director of Massachusetts General Hospital, President’s Council, a Trustee Emeritus of Boston University, and an honorary director of The Boston Center for Community and Justice. He is also a member of the Wilson Center’s Canada Institute Advisory Board. He was formerly a director of Avantair, Inc., Chairman and Founder of Reliance Relocation Services, Inc. and Chairman of the Board of Trustees, Boston University. Mr. DeWolfe holds a BAS, Marketing and Finance from Boston University and an Executive Masters Professional Director Certification from the American College of Corporate Directors, a public company director education and credentialing organization.

Donald Guloien

Mr. Donald Arthur Guloien is President, Chief Executive Officer, Director of Manulife Financial Corp. During his 32-year career at Manulife, Mr. Guloien has held a variety of leadership roles in insurance and investments operations, global acquisitions and business development. Before assuming his current role, he was Senior Executive Vice President and Chief Investment Officer, where he was recognized as a leading global investment executive. Mr. Guloien has been named International Business Executive of the Year by the Canadian Chamber of Commerce and awarded The Queen Elizabeth II Diamond Jubilee medal. Mr. Guloien is Chair-elect of the Canadian Life and Health Insurance Association. He is a recipient of the Arbor Award for his contributions to the University of Toronto. He is a member of the Mayor of Shanghai’s International Business Leaders’ Advisory Council, the Canadian Council of Chief Executives, The Ticker Club and the World Presidents’ Organization. He is a director of The Geneva Association and a former director of LIMRA International. Mr. Guloien holds a B. Comm. from the University of Toronto and is a Fellow, Life Management Institute.

Stephen Roder

Mr. Stephen B. Roder is Chief Financial Officer, Senior Executive Vice President of Manulife Financial Corp. From 2007 to 2010, Mr. Roder was CFO for AIA Group Ltd. During his tenure with AIA, he gained experience developing positive relationships with regulators, investors, rating-agencies and other key stakeholders across multiple jurisdictions. He also modernized the finance function by driving finance transformation, achieving improvements in process and control, and building the tax, investor relations and business analysis functions. Prior to AIA, Mr. Roder headed KPMG's financial services practice in Asia. During his 16 years as a partner at KPMG, he worked in London, Hong Kong and Japan advising CEOs, CFOs, and boards of directors of some of the financial institutions. In addition to English, Mr. Roder also speaks Japanese to an advanced level. Mr. Roder has a Bachelor of Science degree from University of Southampton, U.K., is a Fellow of the Institute of Chartered Accountants in England & Wales (FCA) and a Fellow of the Hong Kong Institute of Certified Public Accountants (CPA). Mr. Roder is former chairman of the Panel on Insurance of the Hong Kong Institute of CPAs, former President of the Royal Society of St. George, Tokyo, and former chairman of the British School in Tokyo.

Paul Rooney

Mr. Paul L. Rooney is Chief Operating Officer of Manulife Financial Corp. He is responsible for the following functions: Corporate Strategy, Corporate Development, Capital Solutions, Human Resources, Branding & Communications, Information Services, Procurement, and Global Resourcing. Mr. Rooney joined Manulife as an actuarial student in 1986, and has gained experience in leadership roles within the Company. Prior to Manulife's Canadian Division, he served as the Division's Chief Financial Officer. Mr. Rooney's experience also includes Affinity Markets, and serving as Vice President and Chief Financial Officer, U.S. Savings and Retirement Services and North American Group Pensions. Warren Thomson

Mr. Warren A. Thomson is Chief Investment Officer, Senior Executive Vice President of Manulife Financial Corp. He was Executive Vice President, U.S. Investments of Manulife Financial Corporation. Prior to September 2006, Warren Thomson was Executive Vice President, U.S. Investments. Prior to April 2004, Mr. Thomson was Senior Vice President, Investments. He is responsible for managing MFC Global’s external client (third party) asset management businesses. He oversees the operation of a number of MFC Global investment subsidiaries, including MFC Global Investment Management (U.S.), Declaration Management & Research, Hancock Timber Resource Group, Hancock Agricultural Investment Group, and NAL Resources. Additionally, he manages the Real Estate and third party equity and fixed income divisions of MFC Global Investment Management. Mr. Thomson is also a member of Manulife Financial’s Executive and Management Committees. In his previous role, Mr. Thomson was responsible for overseeing the management of all U.S. fixed income portfolios, including public bonds, private debt and mortgages for John Hancock. Mr. Thomson rejoined Manulife as Senior Vice President, Investments in 2001 after serving as President of Norfolk Capital Partners Inc., a boutique investment bank that structured and arranged tax effective financings for high net worth individuals and corporations. He previously worked for Manulife between 1987 and 1994 as Taxation Vice President. Mr. Thomson graduated with a B.A. from the University of Toronto and has his Chartered Accountant designation from the Ontario Institute of Chartered Accountants.

Mr. Rahim Badrudin Hassanali Hirji is Chief Risk Officer, Executive Vice President of Manulife Financial Corp. Prior to August 11, 2011, Rahim Hirji was Senior Vice President and Chief Financial Officer, Canadian Division.

Jean-Paul Bisnaire

Mr. Jean-Paul Bisnaire is Senior Executive Vice President, Corporate Affairs and General Counsel of Manulife Financial Corp. Prior to July 2004, Mr. Bisnaire was a partner at Davies Ward Phillips & Vineberg LLP, a law firm with offices in Toronto, Montreal and New York. He is responsible for overseeing worldwide the functions of business development, law, compliance, internal audit, information technology and corporate secretary. He is also a member of the Company's Executive Committee and Management Committee. Until July 2004 he was a senior corporate law partner of Davies Ward Phillips & Vineberg LLP and a member of the firm's Management Committee. He received a B.A. in Economics from Wilfrid Laurier University in 1973 and an LL.B. from the University of Ottawa Law School in 1976. He was called to the Ontario Bar in 1978. He then joined the firm and became a partner in 1980. J-P. was one of Canada's securities lawyers practising in mergers and acquisitions and corporate finance. He acted as senior counsel for a number of public and private companies, boards of directors and controlling shareholders that have been involved in acquisitions, divestitures, take-over bids, initial public offerings, strategic alliances, corporate reorganizations, going private transactions, spin-off transactions, corporate finance and corporate governance matters. J-P. also serves on the board of directors of McCain Foods Limited and on the Foundation Board of St. Michael’s Hospital.

Robert Cook

Mr. Robert Allen Cook is Senior Executive Vice President, General Manager, Asia of Manulife Financial Corp. He was Executive Vice President, Life Insurance, John Hancock, prior to January 2007. Prior to April 2004, Mr. Cook was Senior Vice President, U.S. Insurance. As Senior Executive Vice President and General Manager, Asia, Mr. Cook has overall general management responsibility for Manulife’s Asia Division. Prior to this appointment, Mr. Cook served as Executive Vice President, U.S. Insurance Group. In this capacity, he oversaw the John Hancock Life Insurance, Long-term Care, and Financial Network business units. During Mr. Cook’s 30-year career at Manulife, he has held management positions in the company’s U.S., Canadian, International and Corporate divisions in areas including strategic planning, product management for insurance and annuities, sales and marketing. He has been located at various times in Toronto, Waterloo, Boston, England, and currently is based in Hong Kong. His experience spans a number of areas including strategic planning, product management for insurance and annuities, sales and marketing.

Ms. Stephani E. Kingsmill is Executive Vice President - Human Resources of Manulife Financial Corp. Prior to May 2010, she was Senior Vice President and General Manager, Real Estate.

Craig Bromley

Mr. Craig Bromley is Senior Executive Vice President, U.S. Division of Manulife Financial Corp. Mr. Bromley is currently Manulife's business in Japan - the world's second insurance market - as the Executive Vice President and General Manager of Manulife Japan, as well as its President and Chief Executive Officer. Earlier in his career, Mr. Bromley led Manulife's merger with John Hancock Financial Services, Inc. in 2004. Mr. Bromley first moved to Japan in 2005 as CFO of Manulife Japan. Prior to his time in Japan, Mr. Bromley served as Senior Vice President, Business Development and Investor Relations of Manulife Financial. Mr. Bromley joined Manulife in 2000 in Toronto, with previous experience in banking and management consulting. Mr. Bromley holds a Masters of Business Administration.

Cindy Forbes

Ms. Cindy L. Forbes is Chief Actuary, Executive Vice President of Manulife Financial Corp. Ms. Forbes is Chief Financial Officer for Manulife's Asia Division and prior to that, was CFO for the Company's Japanese business. Before her assignment to Asia, she was CFO of Reinsurance and she worked in Manulife's Investment and U.S. Pensions divisions. Ms. Forbes will work closely with Mr. Curtis during the transition period. Her replacement as CFO in Asia will be announced at a later date.

Marianne Harrison

Ms. Marianne Harrison is Senior Executive Vice President, General Manager - Canadian Division of Manulife Financial Corp. Ms. Harrison joined Manulife Financial in 2003, and prior to John Hancock Long-Term Care, had served as Executive Vice President and Controller. Before that she was Chief Financial Officer, Wealth Management at TD Bank Financial Group. Prior to that, she served as Vice President, Performance Management, TD Canada Trust. Ms. Harrison is a Chartered Accountant and holds a Bachelor of Arts in English from the University of Western Ontario and a Diploma in Accounting from Wilfrid Laurier University.

Scott Hartz

Mr. Scott Sears Hartz is Executive Vice President - General Account Investments of Manulife Financial Corp. Previously, Mr. Hartz oversaw all U.S. balance sheet investments for Manulife, a post he assumed in 2007. From 2004 to 2007, he was Senior Vice President and head of the Bond & Corporate Finance Group, overseeing all U.S. bond assets, having been the lead portfolio manager for the General account since 1998. He began his career with John Hancock in 1983. Mr. Hartz is a graduate of Colby College and is both a Chartered Financial Analyst (CFA) and a Fellow of the Society of Actuaries (FSA).

Kai Sotorp

Mr. Kai Reiner Sotorp serves as Executive Vice President, Global Business Head, Wealth and Asset Management of Manulife Financial Corporation since July 1, 2014. Previously, Mr. Sotorp had also spent eleven years with UBS Global Asset Management in a variety of roles, including Group Managing Director based in Chicago, CEO Americas and member of UBS' Group Managing Board, Regional Head Asia Pacific, and President of UBS Global Asset Management (Japan). Prior to UBS, Mr. Sotorp was with American International Group as President, AIGGIC Japan, and with Kemper Financial Services as an Executive Vice President. He holds an MBA from Harvard Business School, Harvard University and a Bachelor of Science in Business Administration from Boston University.

Joseph Caron

Mr. Joseph Peter Caron is Independent Director of Manulife Financial Corp. Mr. Caron is Principal and Founder of Joseph Caron Incorporated, a consulting business (established in 2010) providing strategic counsel to Asian businesses seeking to grow in Canada and Canadian businesses and organizations focused on development in Asia. From 2010 to 2013, Mr. Caron was a member of HB Global Advisors Corporation, the international consulting firm of Heenan Blaikie. Mr. Caron’s experience includes almost four decades with the Government of Canada where he served in a number of key diplomatic posts including, Ambassador to the Peoples’ Republic of China (2001 to 2005), Ambassador to Japan (2005 to 2008) and High Commissioner to the Republic of India (2008 to 2010). He is currently on the advisory board of Westport Innovations Inc. and a director of the Vancouver International Airport. He has also been named a Distinguished Fellow of the Asia Pacific Foundation and an Honorary Research Associate of the University of British Columbia’s Institute of Asian Research. Mr. Caron holds a BA in Political Science from the University of Ottawa.

John Cassaday

Mr. John M. Cassaday is Independent Director of Manulife Financial Corp. He is President and Chief Executive Officer of Corus Entertainment Inc., a position he has held since its inception in 1999. Corus is a Canadian leader in pay and specialty television, Canadian radio and a global leader in children’s programming and licencing. Prior to Corus, Mr. Cassaday was Executive Vice President of Shaw Communications, President and Chief Executive Officer of CTV Television Network and President of Campbell Soup Company in Canada and the UK. Mr. Cassaday is currently a member of the board of directors of Corus Entertainment Inc. and Sysco Corporation. He is also active in community affairs, principally with St. Michael’s Hospital. Mr. Cassaday has an MBA (Dean’s List) from the Rotman School of Management at the University of Toronto.

Susan Dabarno

Ms. Susan F. Dabarno is Independent Director of Manulife Financial Corp. She has been a Corporate Director since 2011. Ms. Dabarno served as Executive Chair of Richardson Partners Financial Limited/GMP from 2009 to 2010. Prior to that, she was President and Chief Executive Officer of Richardson Partners Financial Limited from 2003 to 2009. Richardson Partners Financial Limited/GMP is an independent management services firm. Before joining Richardson Partners Financial Limited, Ms. Dabarno was President and Chief Operating Officer at Merrill Lynch Canada Inc. Ms. Dabarno is a Fellow of Certified General Accountant and obtained a Class II Diploma at McGill University. Ms. Dabarno is currently a member of the board of Bridgepoint Health Foundation and Toronto Waterfront Revitalization Corporation.

Lesley Daniels Webster

Dr. Lesley Daniels Webster is Independent Director of Manulife Financial Corp. She is President and founder of Daniels Webster Capital Advisors, an enterprise risk management consulting firm established in 2006. Ms. Webster has extensive financial industry experience and was Executive Vice President of JP Morgan Chase’s firm-wide Market and Fiduciary Risk Management from 1994 until 2005. Prior to that, she was global head of US Dollar Fixed Income Derivatives at UBS Securities, Inc. and head of Fixed Income Arbitrage trading at Chase Manhattan Bank. Ms. Webster is currently a member of the board of directors of MarketAxess Holdings Inc. Ms. Webster earned a PhD in Economics from Stanford University and a BA in Economics from the University of Illinois at Urbana.

Sheila Fraser

Ms. Sheila Sarah Margaret Fraser is Independent Director of Manulife Financial Corp. She is currently a Corporate Director. From 2001 to 2011, Ms. Fraser served as Auditor General of Canada and, prior to joining the Office of the Auditor General in 1999 as Deputy Auditor General, she was a partner at Ernst & Young for 18 years. Her contributions to the accounting and auditing profession include her current role as a Trustee of the International Financial Reporting Standards Foundation. She has also chaired two committees of the International Organization of Supreme Audit Institutions (INTOSAI) as well as the Public Sector Accounting Board of the Canadian Institute of Chartered Accountants and, until December 31, 2013, was a member of the International Federation of Accountants- International Public Sector Accounting Standards Board (IFAC-IPSASB). Ms. Fraser holds a Bachelor of Commerce from McGill University and is a Fellow of the Institute of Chartered Accountants and the Ordre des comptables professionnels agréés du Québec.

Scott Hand

Mr. Scott McKee Hand is Independent Director of Manulife Financial Corp. He is Executive Chairman of the Board of Royal Nickel Corporation. Previously, Mr. Hand was the Chairman and Chief Executive Officer of Inco Limited (“Inco”) from April 2002 until he retired in January 2007. Prior to that, Mr. Hand was the President of Inco and held positions in Strategic Planning, Business Development and Law. Inco has been global Canadian-based resources enterprise and producer and marketer of nickel and other metals. Mr. Hand is currently a member of the board of directors of Legend Gold Corp., Chinalco Mining Corporation International and Royal Nickel Corporation. Mr. Hand also serves on the boards of Boyd Technologies LLC (non-woven materials), the World Wildlife Fund Canada, the Massachusetts Museum of Contemporary Art and a number of private companies in the mineral resource sector. Mr. Hand received a BA from Hamilton College and a JD from Cornell University.

Luther Helms

Mr. Luther S. Helms is Independent Director of Manulife Financial Corp. He has been the Managing Director of Sonata Capital Group (“Sonata”) since 2000. Sonata is a privately-owned registered investment advisory firm. Mr. Helms has extensive banking and financial services experience, holding various positions at Bank of America Corporation, including Vice Chairman from 1993-1998, and was the Vice Chairman of KeyBank from 1998-2000. Mr. Helms is currently a member of the board of directors of ABM Industries Incorporated. Mr. Helms has an MBA from the University of Santa Clara and a BA, History and Economics from the University of Arizona.

Tsun-yan Hsieh

Mr. Tsun-yan Hsieh is Independent Director of Manulife Financial Corp. He is Chairman of LinHart Group Pte Ltd., a firm he founded in 2010 to provide leadership counseling. Mr. Hsieh, a resident of Singapore, has extensive experience in international business, leadership development and corporate transformation. Mr. Hsieh joined McKinsey & Company in 1980 and was elected as a director from 1990 to 2008 when he retired and, from 2008 to 2010, Mr. Hsieh was retained by McKinsey as a Special Advisor to clients. During his 30-year career with McKinsey & Company, he founded the McKinsey Center for Asian Leadership and worked with clients in more than 30 countries and industries. Mr. Hsieh is currently a member of the board of directors of Singapore Airlines and Bharti Airtel Limited. He is a member of the Management Advisory Board at the School of Business and a Provost Chair Professor (Practice) at the School of Business (where he is also a member of the Management Advisory Board) and the Lee Kuan Yew School of Public Policy, both at the National University in Singapore. He has a BSc in Mechanical Engineering from the University of Alberta and an MBA from Harvard Business School.

Donald Lindsay

Mr. Donald Richard Lindsay is Independent Director of Manulife Financial Corp. He is President and CEO of Teck Resources Limited, Canada’s largest diversified mining, mineral processing and metallurgical company, a position he has held since 2005. Mr. Lindsay’s experience includes almost two decades with CIBC World Markets Inc., where he ultimately served as President after periods as Head of Investment and Corporate Banking and Head of the Asia Pacific Region. Mr. Lindsay is currently a member of the board of directors of Teck Resources Limited. He earned a BSc in Mining Engineering from Queen’s University and holds an MBA from Harvard Business School.

John Palmer

Mr. John R. V. Palmer is Independent Director of Manulife Financial Corp. He is Chairman and a founding director of the Toronto Leadership Centre, an organization focused on leadership in financial supervision. Mr. Palmer was the Superintendent of Financial Institutions, Canada from 1994 - 2001 following his career at KPMG LLP (Canada) where he held senior positions, including Managing Partner and Deputy Chairman. He was also the Deputy Managing Director of the Monetary Authority of Singapore and has advised other regulators including the Australian Prudential Regulation Authority. Mr. Palmer is currently a member of the board of directors of Fairfax Financial Holdings Limited and of several non-public organizations. He is a Fellow of the Institutes of Chartered Accountants of Ontario and British Columbia and holds a BA from the University of British Columbia.

C. James Prieur

Mr. C. James Prieur is Independent Director of Manulife Financial Corp. He has been a Corporate Director since 2011 and, prior to that time, Mr. Prieur served as Chief Executive Officer and director of CNO Financial Group, Inc. from 2006 until his retirement in 2011. CNO Financial Group is a life insurance holding company focused on the senior middle income market in the U.S. Prior to joining CNO Financial Group, Mr. Prieur was President and Chief Operating Officer of Sun Life Financial, Inc. from 1999 to 2006 where he had previously led operations in Asia, Canada, United States, and the United Kingdom. He is a member of the President’s Circle of the Chicago Council on Global Affairs, and a member of The Pacific Council on International Policy and its China Committee. Mr. Prieur is a Chartered Financial Analyst and holds an MBA from the Richard Ivey School at Western University and a BA from the Royal Military College.

Andrea Rosen

Ms. Andrea Sarah Rosen is Independent Director of Manulife Financial Corp. She has been a Corporate Director since 2006. Ms. Rosen’s extensive knowledge of the financial services industry includes investment banking and wholesale and retail banking. Prior to January 2005, her experience includes more than a decade with the TD Bank Financial Group, where she ultimately served as Vice Chair, TD Bank Financial Group and President of TD Canada Trust. Earlier in her career, she held progressively senior positions at Wood Gundy Inc. and was Vice President at Varity Corporation.
