Name Description

Robert Lumpkins

Mr. Robert L. Lumpkins serves as an Non-Executive Independent Chairman of the Board of Mosaic Co. Mr. Lumpkins served as Vice Chairman of Cargill from August 1995 to October 2006. Mr. Lumpkins served as Chief Financial Officer of Cargill from 1989 to 2005. Mr. Lumpkins serves as a member of the Board of Directors of Ecolab, Inc. and Airgas, Inc. and previously served as a member of the Board of Directors of Webdigs, Inc. until his resignation in May 2010. He also serves on the nonprofit board of Howard University. As Vice Chairman of Cargill, Mr. Lumpkins played a key role in the formation of Mosaic through the combination of IMC Global Inc. (“IMC”) and Cargill’s fertilizer businesses.

Lawrence Stranghoener

Mr. Lawrence W. Stranghoener is an Interim Chief Executive Officer of Mosaic Co., effective June 1, 2014. He joined Mosaic as Executive Vice President and Chief Financial Officer in October 2004. Effective as of June 1, 2014 and until Mr. Prokopanko’s return, the independent members of the Board, upon recommendation of the Compensation Committee, increased Mr. Stranghoener’s annual base salary from $675,000 to $1,125,000 and his target bonus under Mosaic’s Management Incentive Plan for 2014 has been increased from 85% of his annual base salary to 125%.

Richard Mack

Mr. Richard L. Mack, Esq., is Chief Financial Officer, Executive Vice President of Mosaic Company, effective June 1, 2014. Mr. Mack was elected as Mosaic’s Executive Vice President, General Counsel and Corporate Secretary on January 1, 2009. Prior to January 2009, Mr. Mack served as Senior Vice President, General Counsel and Corporate Secretary since Mosaic’s formation in October 2004. Effective as of June 1, 2014, the Compensation Committee of the Board increased Mr. Mack’s annual base salary from $550,000 to $600,000. His target bonus under Mosaic’s Management Incentive Plan for 2014 will remain at 80% of his annual base salary.

James O'Rourke

Mr. James C. O'Rourke is Chief Operating Officer, Executive Vice President - Operations of Mosaic Company, since August 13, 2012. Previously, Mr. O’Rourke served as Executive Vice President—Operations since January 2009. Prior to joining Mosaic, Mr. O’Rourke was President, Australia Pacific for Barrick Gold Corporation, the gold producer in Australia, since May 2006, where he was responsible for the Australia Pacific Business Unit consisting of ten gold and copper mines in Australia and Papua New Guinea. Before that, Mr. O’Rourke was Executive General Manager Australia and Managing Director of Placer Dome Asia Pacific Ltd., the second gold producer in Australia, from December 2004, where he was responsible for the Australia Business Unit consisting of five gold and copper mines; and General Manager Western Australia Operations for Iluka Resources Ltd., the world’s zircon and second titanium producer, from September 2003, where he was responsible for six mining and concentrating operations and two mineral separation/synthetic rutile refineries. Mr. O’Rourke had previously held various management, engineering and other roles in the mining industry in Canada and Australia since 1984.

Anthony Brausen

Mr. Anthony T. Brausen is Senior Vice President - Finance and Chief Accounting Officer of Mosaic Company, since December 2011. His responsibilities include global Accounting, Financial Planning, Treasury, Tax, Risk Advisory & Assurance and Information Technology. Previously, Mr. Brausen served as Vice President - Finance and Chief Accounting Officer since April 2006. Prior to joining Mosaic as an employee in February 2006, Mr. Brausen had been Vice President and Chief Financial Officer of Tennant Company, a designer, manufacturer and marketer of floor maintenance and outdoor cleaning equipment, chemical-free cleaning technologies, specialty surface coatings and related products, since March 2000. From 1989-2000, Mr. Brausen held several financial management positions, including Vice President and Treasurer, Assistant Controller and Director of Investor Relations, with International Multifoods Corporation, a diversified publicly-traded food processor and distributor. From 1981-1989, Mr. Brausen held various positions with KPMG LLP.

Corrine Ricard

Ms. Corrine D. Ricard is Senior Vice President - Human Resources of Mosaic Company, since April 2012. Ms. Ricard has held various leadership positions at Mosaic since its formation, including Vice President—International Distribution, Vice President—Business Development and Vice President—Supply Chain. Prior to Mosaic’s formation, Ms. Ricard worked for Cargill in various roles including risk management, supply chain and commodity trading.

Gary Davis

Mr. Gary N. Davis is Senior Vice President - Phosphates Operations of Mosaic Company, since July 2011. Previously, Mr. Davis served as Vice President—Phosphate Operations of Mosaic since June 2010, as Vice-President—Phosphate Operations for all of Mosaic’s Florida and Louisiana operations since 2007 and Vice President of Mining since Mosaic’s formation in 2004. Prior to the Combination, Mr. Davis held several positions at Cargill, including Vice President, Operations for the fertilizer division from 1999 to 2004. Mr. Davis has worked in the crop nutrient industry for over 30 years.

Richard McLellan

Mr. Richard N. McLellan is Senior Vice President - Commercial of Mosaic Company, since April 2007. Previously, Mr. McLellan had served as Vice President—North American Sales since December 2005 and as Country Manager for (and, prior to the Combination, Cargill’s) Brazilian crop nutrient business since November, 2002. Mr. McLellan joined Cargill in 1989 and held various roles in its Canadian and U.S. operations, including grain, retail and wholesale crop nutrient distribution.

Mark Kaplan

Mr. Mark E. Kaplan is Vice President - Public Affairs of Mosaic Company, since August 2011. Mr. Kaplan joined Mosaic in January 2007 as Vice President – Planning and Government Affairs of the subsidiary Mosaic Fertilizer, LLC to lead its government affairs function in Florida. In May 2010, Mr. Kaplan became Vice President – Public Affairs and Policy for Mosaic’s Phosphates business segment, its overall public affairs function. Prior to joining Mosaic, Mr. Kaplan served as chief of staff for former Florida Governor Jeb Bush. He also held roles as president and general counsel of Carlisle Development Group LLC, executive director of the Florida Housing Finance Corporation and a shareholder in the law firm Katz, Kutter, Haigler, Alderman, Bryant & Yon, P.A.

Timothy Gitzel

Mr. Timothy S. Gitzel has been appointed as Director of Mosaic Co effective October 3, 2013. Mr. Gitzel has served as Cameco's president and CEO since 2011. He joined Cameco, one of the world's uranium producers, in 2007 as senior vice president and chief operating officer. Prior to joining Cameco, Mr. Gitzel was executive vice president for the mining business unit of AREVA SA, in Paris, France. Mr. Gitzel serves as chair of the World Nuclear Association, the co-chair of the 2013 Mastercard Memorial Cup and a governor with Junior Achievement of Saskatchewan. He is a past president of the Saskatchewan Mining Association and a former director of the Mining Association of Canada and has served on numerous boards.

Emery Koenig

Mr. Emery N. Koenig serves as Director of Mosaic Co. Mr. Koenig was elected the Executive Vice President and Chief Risk Officer of Cargill in June 2011 and has served as a member of its Corporate Leadership Team since December 2009. Mr. Koenig has also served, concurrently since April 2006, as leader of the Cargill Agricultural Supply Chain Platform. Previously, Mr. Koenig served as Senior Vice President at Cargill from June 2010 to June 2011 and as leader of the Cargill Energy, Transportation and Industrial Platform from June 2007 to July 2011. Since joining Cargill in 1978, Mr. Koenig has had 14 years of agricultural commodity trading and managerial experience in various locations in the United States and 15 years in Geneva, Switzerland leading Cargill’s global trading and risk management activities. Mr. Koenig currently serves as Chairman of Black River Asset Management, a subsidiary of Cargill, a trustee for Minnesota Public Radio and a director of CARE USA and the Catholic Community Foundation.

Nancy Cooper

Ms. Nancy E. Cooper serves as an Independent Director of Mosaic Co., since October 2011. Ms. Cooper served as Executive Vice President and Chief Financial Officer of CA, Inc., an IT management software provider, from August 2006 until she retired in May 2011. Ms. Cooper joined CA with nearly 30 years of finance experience, including as Chief Financial Officer for IMS Health Incorporated, a leading provider of market intelligence to the pharmaceutical and healthcare industries from 2001 to August 2006, and, prior to that, Reciprocal, Inc., a leading digital rights management and consulting firm. In 1998, she served as a partner responsible for finance and administration at General Atlantic Partners, a private equity firm focused on software and services investments. Ms. Cooper began her career at IBM Corporation where she held increasingly important roles over a 22-year period that focused on technology strategy and financial management.

Gregory Ebel

Mr. Gregory L. Ebel has been appointed as Independent Director of Mosaic Co., effective 04 October 2012. Currently, Ebel serves as President and Chief Executive Officer of Spectra Energy Corp, which through its subsidiaries and equity affiliates, owns and operates a and diversified portfolio of complementary natural gas-related energy assets. Previously, Ebel served as Group Executive and Chief Financial Officer of Spectra Energy, President of Union Gas Limited, a subsidiary of Spectra Energy, and Vice President, Investor & Shareholder Relations of Duke Energy Corporation. Ebel also serves on the board of directors for Spectra Energy Corp and DCP Midstream, LLC.

William Graber

Mr. William R. Graber serves as an Independent Director of Mosaic Co. Mr. Graber is the retired Senior Vice President and Chief Financial Officer of McKesson Corporation, a healthcare services company. Mr. Graber held this position since joining McKesson in February 2000 through his retirement in May 2004. From 1991 to 1999, Mr. Graber was with Mead Corporation where, prior to becoming Vice President and Chief Financial Officer, he served as Controller and Treasurer. From 1965 to 1991, Mr. Graber held a variety of financial management positions at General Electric Company.

William Monahan

Mr. William T. Monahan serves as an Independent Director of Mosaic Co . Mr. Monahan served as Chairman of the Board, President and Chief Executive Officer of Imation Corp., a developer, manufacturer, marketer and distributor of removable data storage media products and accessories, from 1996 to 2004. Previously, he served as Group Vice President of 3M Company responsible for its Electro and Communications Group, Senior Managing Director of 3M’s Italy business and Vice President of 3M’s Data Storage Products Division.

James Popowich

Mr. James L. Popowich serves as an Independent Director of Mosaic Co. Mr. Popowich served as President and Chief Executive Officer of Elk Valley Coal Corporation (“EVCC”), a producer of metallurgical hard coking coal, in Calgary, Alberta, from January 2004 to August 2006, and as President of the Fording Canadian Coal Trust, a mutual fund trust that held a majority ownership interest in EVCC, from January 2004 until his retirement in December 2006. Mr. Popowich was Executive Vice President of EVCC from February 2003 to January 2004. He is a director of the Canadian Institute of Mining, Metallurgy and Petroleum (“CIM”), an industry technical association dedicated to education and identifying best practices in the mineral industry. Mr. Popowich was Past President of CIM from May 2008 through May 2009, and President of CIM from May 2007 to May 2008.

David Seaton

Mr. David Thomas Seaton serves as an Independent Director of Mosaic Co. Mr. Seaton is the Chairman and Chief Executive Officer of Fluor Corporation, a professional services firm. He was elected chairman in February 2012 and became a member of Fluor’s board of directors and Chief Executive Officer in February 2011. Prior to his appointment as Chief Executive Officer, Mr. Seaton was Chief Operating Officer of Fluor from November 2009 to February 2011. Mr. Seaton served as Senior Group President of the Energy and Chemicals, Power and Government business groups for Fluor from March 2009 to November 2009 and as Group President of Energy and Chemicals for Fluor from February 2007 to March 2009. Since joining Fluor in 1984, Mr. Seaton has held numerous positions in both operations and sales globally.

Steven Seibert

Mr. Steven M. Seibert serves as an Independent Director of Mosaic Co. Mr. Seibert joined the Collins Center for Public Policy, a non-profit, non-partisan organization that seeks opportunities and takes action to improve the quality of lives of the citizens of Florida and the nation, as its Senior Vice President and Director of Policy in July 2008. Prior to joining the Collins Center, Mr. Seibert operated The Seibert Law Firm in Tallahassee, Florida from January 2003 to July 2008 and represented private and public sector clients in environmental and land use matters. He also served as the Executive Director of the Century Commission for a Sustainable Florida from 2005 until July 2008. Prior to starting his law practice in 2003, Mr. Seibert was Secretary of the Florida Department of Community Affairs from 1999 to 2003 and, before that, Mr. Seibert served as an elected County Commissioner representing Pinellas County, Florida from 1992 to 1999.
