Biographies

Name Description

David Walsh

 Mr. David Anthony Walsh has been Non-Executive Independent Chairman of the Board of Macquarie Atlas Roads Group since 2010. He joined the Company's Board on December 16, 2009. He is experienced corporate and commercial lawyer and company director. He was partner of the law firm Mallesons Stephen Jaques from 1962 to 2004, and senior partner from 1991. He established the firm's Hong Kong office and was resident in Hong Kong from 1988 to 1991. He had corporate and commercial practice which included mergers and acquisitions, cross-border investment and international trade, anti-trust law, industrial property, insurance, telecommunications, civil engineering and construction, and commercial litigation. From 2005-2011 he was senior legal consultant to Telstra. He has also served as Chairman of Templeton Global Growth Fund Limited and as Director of Intoll Management Limited (formerly Macquarie Infrastructure Investment Management Limited), Malcolm Moore Industries Limited, Asia Pacific Specialty Chemicals Limited, PaperlinX Limited and Dyno Nobel Limited. He is Member of the Audit and Risk Committee, Nominations Committee and Remuneration Committee of the Company. He holds Bachelor of Law (LLB) from Melbourne University.

Mary Nicholson

 Ms. Mary Nicholson serves as Chief Financial Officer of Macquarie Atlas Roads Group. She is Chief Financial Officer of MIG, a position she has held for more than four years. She is currently a Division Director with Macquarie, and is a chartered accountant. She has been involved with MIG since joining Macquarie in 2002, prior to which she worked for PricewaterhouseCoopers in London and Sydney. She holds a Master of Arts degree from the University of Cambridge.

John Roberts

 Mr. John Stuart Hugh Roberts has been Non-Independent Non-Executive Director of Macquarie Atlas Roads Group since February 2, 2010. He joined Macquarie in 1991 and is Executive Chairman of the Macquarie Funds Group, which has over A$300 billion of capital under management and includes the activity of the Macquarie Infrastructure and Real Assets division (MIRA). He serves on the boards and/or Investment Committees of a number of Macquarie-managed international infrastructure entities to provide oversight and strategic direction to individual fund management executive teams. Previous roles within Macquarie include Head of Europe, Joint Head of Macquarie Capital Advisers and Global Head of Macquarie Capital Funds. His other current directorships include Sydney Airports Limited, DUET group entities and Macquarie Infrastructure Company Inc. He has a Bachelor of Laws degree from the University of Canterbury New Zealand.

 Ms. Christine Williams is Company Secretary of Macquarie Atlas Roads Group. She is a practising solicitor.

Marc de Cure

 Mr. Marc de Cure has been Independent Director of Macquarie Atlas Roads Group since August 3, 2011. He was Non-Executive Independent Director from June 1, 2010, to November 1, 2010. He is Company Director and advisor. He chairs the advisory boards of the ARC Centre of Excellence in Population Ageing Research and The Australian Institute for Population Ageing Research, and is Member of the Advisory Council of the Australian School of Business at University of New South Wales. He was formerly Group Chief Financial Officer of American International Assurance Company Ltd in Hong Kong during its IPO/listing and was Executive Director of a number of AIA group companies including AIA Australia. He was Principal Advisor to Bain & Company and a Senior Partner and practice leader at PricewaterhouseCoopers specializing in M&A, initial public offerings/capital raisings, risk management and assurance. He is Member of the Audit and Risk Committee, Nominations Committee and Remuneration Committee of the Company. He is Fellow of the Institute of Chartered Accountants.

Richard England

 Mr. Richard Anthony Fountayne England has been Non-Executive Independent Director of Macquarie Atlas Roads Group since June 1, 2010. He is a Fellow of the Institute of Chartered Accountants and a Member of the Australian Institute of Company Directors. He is a former partner of Ernst & Young (Australia) where he was national director of the Corporate Recovery and Insolvency practice. Since 1994, in addition to past consulting roles with Ernst & Young and Sims Partners, he has held a number of chairmanships including Tower Trust Limited and Peter Lehmann Wines Limited, and directorships including St.George Bank Limited, ABB Grain Limited and Healthscope Limited. He is currently Chairman of Ruralco Holdings Limited and Chandler McLeod Group Limited and Director of Nanosonics Limited. He is Chairman of the Audit and Risk Committee, Nominations Committee and Remuneration Committee of the Company.
