Name Description

Georgios Zanias

Prof. Georgios Panagiotis Zanias was appointed Non-Executive Chairman of the Board of National Bank of Greece SA on July 9, 2012. He previously served as Non-Executive Independent Director since January 14, 2010. He is Chairman of the Risk Management Committee, the Corporate Governance and Nomination Committee, the Strategy Committee and Member of the Human Resources and Remuneration Committee. He is President of the Council of Economic Advisors of the Ministry of Finance, and Professor of Economics at the Economics University of Athens. From 1996 until1999, he served as Head of the Department of International and European Studies of the University. He received his Ph.D. from the University of Oxford. He has served as Chairman and Scientific Director of the Centre for Planning & Economic Research (KEPE) (1998-2001), General Secretary of the Ministry of the Economy & Finance (2001-2004), Board Member of Hellenic Exchanges (2000-2001) and the General Bank of Greece, Governor of the Black Sea Trade & Development Bank (2003-2004), and Deputy Governor of the European Bank for Reconstruction & Development. He served as Member of the European Securities Committee (ESC) between 2001 and 2004, Member of the European High-Level Group for Competition (2002-2004). He also studied at the Economics University of Athens and at the University of Reading, United Kingdom. He has taught at the Universities of Oxford, Crete, the Agricultural University of Athens, and the Economics University of Athens. He has published journals on finance and economics.

Alexandros Tourkolias

Mr. Alexandros Georgios Tourkolias is Chief Executive Officer and Executive Director of National Bank of Greece SA since July 9, 2012. He served as Chairman of the Board and Chief Executive Officer from June 28, 2012 until July 9, 2012. He is a Member of the Risk Management and Strategy, Executive Credit, Integration Steering Committees and Chairman of the Senior Executive and Provisions and Write Off Committees. He previously was Deputy Chief Executive Officer, General Manager of Corporate and Investment Banking as well as Executive Director. He is the CEO of Ethniki leasing, Vice President of NBG Bancassurance, and on the Board of NBG Cyprus, UBB and NBG International. He is Vice Chairman of the Board of Directors of Ethniki Hellenic General Insurance, President of the Association of Banking and Financial Executives of Hellenic Shipping and member of the Committee of Piraeus Maritime Arbitration. He participates in Boards of Directors of affiliated banks and companies of the NBG as well in the Board of Directors of Hellenic Exchanges and committees of the Hellenic Bank Association. From 2004 to 2010 he was General Manager of Corporate and Investment Banking at the NBG. In 2002, he was appointed General Manager of the Shipping Division of the bank, which he joined in 1997 as Manager of the Shipping Division. From 1988 to 2002, he worked as Assistant General Manager for Greece at the Bank of Nova Scotia. During the years 1977-1988, he worked at Bank of America as a credit officer in the Piraeus branch, then as Vice President responsible for London, Monte Carlo and Geneva’s Shipping Market, and finally as Head of Credit Platform in Piraeus. He holds a Bachelor’s degree in Political Sciences and Public Administration from Panteion University, a Bachelor’s degree in Economic and Political Sciences from the Law School of the University of Athens, a Postgraduate Diploma in Shipping Business, Marine Insurance and Maritime Law, and a Master’s of Philosophy in Shipping Economics from the University of Wales.

Petros Christodoulou

Mr. Petros Nikolaos Christodoulou was appointed Deputy Chief Executive Officer, Executive Director of National Bank of Greece SA on June 28, 2012. He is also Chairman of the Asset and Liability and the Disclosure and Transparency Committees and a Member of the Integration Steering Committee and the Risk Management, Strategy, Executive and Provision and Write Off Committees. He previously served as General Manager of International Activities since June 11, 2012. He previously served as General Manager, Private Banking and Group Treasury until February 2010 when he resigned to join the Public Debt Management Agency. From 1998 to 2010 he worked at the National Bank of Greece, initially as the Group Treasurer and later as General Manager of Treasury, Global Markets and Private Banking of NBG Group. Between 1989 and 1998 he worked at J.P. Morgan in London as Head of European Derivatives Trading (1989-1994) and Proprietary Trading (1994-1995). In 1995 he was promoted to Managing Director, responsible for European Short Term Interest Rate Trading (1995-1997) and emerging markets in Europe and Africa (1997-1998). Prior to that, he served as Head of Provincial Bond Training at Goldman Sachs in Canada (1988-1989), and as Head of Money Markets Trading in Goldman Sachs in London (1987-1988). His career started in 1985 when he joined the bond trading department of Credit Suisse First Boston (CSFB) in London. He is a graduate of Athens University of Economics and Business (1982) and he holds an MBA from Columbia University (1985).

Paula Chatzisotiriou

Ms. Paula N. Chatzisotiriou was appointed Group Chief Financial Officer, Member of the Executive Committee of National Bank of Greece SA on July 16, 2013. Prior to her new appointment she was CFO and head of strategy at Eurobank, as well as a member of its Executive Committee. She is a Chartered Accountant and a member of the Institute of Chartered Accountants of England and Wales (ICAEW).

Panagiotis Chatziantoniou

Mr. Panagiotis P. Chatziantoniou was appointed Deputy Chief Financial Officer at National Bank of Greece SA in December 2012. He joined the Bank in 2003 as Deputy Director of Finance and was promoted to Director of Finance in April 2009. He is a member of the Board of Directors of NBG Bancassurance, Ethnodata, NBG International Holdings B.V. and NBG Funding Ltd. which are NBG subsidiaries, as well as Vice Chairman of Planet SA. Prior to joining NBG, he served as Group Financial Controller at Piraeus Bank and as a senior manager at PwC Greece. Nelly Tzakou

Ms. Nelly Tzakou-Lambropoulou serves as General Manager of Retail Banking of National Bank of Greece SA as of 2013. She is also Member of the Executive Committee. Prior to this, she was appointed General Manager, Group Head of Operations, Business Processes and Information Technology at National Bank of Greece SA in December 2012. She previously served as General Manager, Group Head of Operations & Global Transaction Services since July 2007. She is responsible for the Group Operations, e-Business & Alternative Channels, Corporate Key Account Services and Group Head of the Global Transaction Services. Damianos Charalampidis

Mr. Damianos Charalampidis was appointed Chief of Operations at National Bank of Greece SA effective as of September 1, 2012. He holds a MSc in Electronics Engineering from the University of Manchester. Since 2009 he has served as Chief Commercial Officer / Chief Operating Officer at Vodafone Hellas. Alexander Benos

Dr. Alexander Benos serves as Assistant General Manager, NBG Group Risk Management of National Bank of Greece SA since September 2013. He joined National Bank of Greece in 2000 as a Senior Risk Associate in charge of systems and models, Risk Analytics and Risk Architecture. Since 2010, he served as Director of NBG Group Risk Control and Architecture and as Deputy Head of the “Basel II” Project Program for NBG Group. Dr. Benos was an academic for over 13 years, first as Assistant and then as Associate Professor of the Department of Finance and Economics at the HEC School of Management, France (1993 - 2000) and, finally, as Assistant Professor in the Department of Financial Management and Banking of Piraeus University (2001 - 2006). He has served as a Board Member of the European Financial Management & Marketing Association (EFMA) for the period 1996-98 and is currently a member of the American Finance Association (AFA), the American Institute of Finance and Management (AIFM), and the French Finance association (AFFI). Dr. Benos holds a degree in Economic Sciences from Athens University, a B.A. and a M.A. in Economics from the University of Cambridge in the UK and a Ph.D. in Finance from the Graduate School of Business of Stanford University in the USA.

Nikos Christodoulou

Mr. Nikolaos (Nikos) Christodoulou was appointed Group General Manager of IT of National Bank of Greece SA on September 26, 2013. He previously served as Group Assistant General Manager of IT since November 2011. He is also a Member of the Senior Executive Committee. Before joining NBG, he was Partner at Accenture, the global consulting and technology firm, where he was heading the Management Consulting Unit in Greece. He was also heading the Financial Services Unit in Greece. He has served as member of the Board of ICAP SA and member of the Advisory Committee of Attica Ventures. He has been Chairman of the Greek Information Society Observatory for four years and Chairman of the Digital Aid SA for teo years. He holds a Bachelor’s degree in Electrical and Computer Engineering from National Technical University of Athens, an MBA from Warwick Business School, UK and a PhD in Decision Systems from National Technical University of Athens. He has also worked as a Research Associate at INSEAD and at the National Technical University of Athens.

Paul Mylonas

Dr. Paul Mylonas was appointed Chief Risk Officer Chief Economist of the Group Member of the Executive Committee of National Bank of Greece SA on December 19, 2013. He served as General Manager of Strategy and International Activities, Head of Investor Relations since July 2012. He is also the Group Chief Economist. He is a Member of the Senior Executive, the Disclosure and Transparency as well as the Provisions and Write Off Committees. He was appointed General Manager at National Bank of Greece in 2004. His responsibilities were broadened in December 2010 when he became General Manager of Strategy and Governance. He is Group Chief Economist and Member of the Executive Committee. He is Second Vice-Chairman of the BoD at Ethniki Insurance Co and serves on the Boards of Directors of: Finansbank A.S., Astir Palace Vouliagmenis S.A., NBG Asset Management and National Securities., Moreover, he is a member of the Economic Advisory Board of the Hellenic Banks’ Association. From April 2004 to December 2010 he was General Manager of Strategy and Research and Chief Economist of the NBG Group, which he joined in 2000. From 1995 to 2000, he worked as Senior Economist in the Economics Department of the OECD, at the Money and Finance Division, and was head of the Greek and Spanish desks from 1997-2000. During 1999-2000 he served as the OECD representative at the G-10 Secretariat. During the years 1987-1995, he worked at the International Monetary Fund as Senior Economist, desk officer for Poland in the European Department, as well as in the Fund’s Policy Development and Review Department. In the years 1985-1987, he was visiting Assistant Professor at the Department of Economics in Boston University. Dr. Mylonas holds a Bachelor of Science in Applied Mathematics-Economics (Magna cum Laude and Phi Beta Kappa) from Brown University, as well as a Master of Arts and a Ph.D. in Economics from Princeton University.

Miltiadis Stathopoulos

Mr. Miltiadis Stathopoulos was appointed General Counsel, General Manager of Corporate Governance at National Bank of Greece SA in February 2010. He is a Member of the Senior Executive and the Disclosure and Transparency Committees. He is also a member of the Legal Committee of the Hellenic Bank Association and a founding member of the Banking and Stock Exchange Law society. In addition, he is Vice-Chairman of the Board of Directors of EKTENEPOL, member of the BoD of Bankassurance and he participates in the Legal Council, the Credit Committees and the Supreme Disciplinary Council of the National Bank of Greece. From 1998 to 2010 he was Director of Legal Services at National Bank of Greece. In 1995 he was appointed Director of Legal Services at National Mortgage Bank until 1998, when National Mortgage Bank merged with National Bank of Greece. For many years, he was Vice-Chairman and Board member of the brokerage firm DELPHI S.A. (subsidiary of the ex National Mortgage Bank). He is a lawyer since 1970 and his opinions and articles have been published in law journals. He holds a Bachelor’s degree from the Law School of Aristotle University of Thessaloniki.

Andreas Athanasopoulos

Mr. Andreas Athanasopoulos was appointed General Manager of Retail Banking at National Bank of Greece SA in April 2011. Previously he was appointed Assistant General Manager of Retail Banking in 2009. He is a Member of the Senior Executive, the Disclosure and Transparency Committees and the Asset and Liability Committee (ALCO). He is currently leading the Mortgage, Consumer Credit, Card Issuing and Acquiring, Small Business Lending, Investment Products and Deposits, Corporate Key Account Services, Marketing, Strategic Marketing and Communication divisions. He is a member of the European Financial Management Association (EFMA), the Institute for Operations Research and the Management Sciences (INFORMS) and an honorary professor at Warwick Business School. From December 2008 until April 2011 he was Assistant General Manager of Retail Banking at National Bank of Greece. Since 1997, he is a Professor at ALBA Graduate School and has also been a lecturer at Warwick Business School during the years 1992-1996. Prior to that, he has served as Deputy General Manager at Eurobank EFG (Small Business Banking segment) and as Division Director (Marketing and Consumer Credit) at the Piraeus banking group. He holds a Bachelor of Science in Applied Mathematics from the University of Patras, a Master’s of Science in Statistics and Operational Research from the University of Essex, a PhD in Management Science from the University of Warwick and a Post-Doc from London Business School (University of London).

Mr. Dimitrios G. Dimopoulos was appointed General Manager of Corporate Banking at National Bank of Greece SA in 2008. He is also a Member of the Integration Steering Committee, the Senior Executive Committee, the Executive Credit, the Disclosure and Transparency and the Asset and Liability Committees. He is a member of the Board of Directors of National-P&K Securities, Ethniki Leasing and NBG Factors, and represents National Bank of Greece at the Board of Directors of the Athens Chamber of Commerce and Industry, as well as the Central Advisory Committee of the Ministry of Finance. He joined the bank in 1975 and has served as Director of the Corporate Division. Petros Fourtounis

Mr. Petros Fourtounis was appointed General Manager and Group Chief Audit Executive of National Bank of Greece SA on September 26, 2013. He previously served as Assistant General Manager and Group Chief Audit Executive since July 2010. He is also a Member of the Disclosure and Transparency Committee. He is a member of the Economic Chamber of Greece and the Institute of Internal Auditors. He has been involved in the fields of audit, corporate - project financing and international credit. From 2002 to 2010, he held the position of Director in the NBG Divisions of Corporate Banking, Structured and International Finance and Group International Credit. In the time period 1984-1999 he worked as Internal Auditor for branches, administration units and subsidiaries of the bank in Greece and abroad. He joined NBG in 1975 and until 1984 he worked in the branch network of the bank. He has been a member of the Board of Directors or Executive Credit Committees of several NBG subsidiaries and he was actively involved in the due diligence procedures of foreign bank acquisitions by NBG. Leonidas Fragkiadakis

Mr. Leonidas Fragkiadakis was appointed General Manager of Treasury and Global Markets at National Bank of Greece SA in January 2009. He is also a Member of the Asset and Liability Committee (ALCO) and the Disclosure and Transparency Committee. He is a member of the Board of National Securities and Chairman of the Hellenic Chapter of Forex Club/ACI. During the years 2003-2009 he worked for NBG Group as Group Treasurer, while from 1996 till 2003 he was responsible for the Derivatives Division of the bank. Panagiotis Goutakis

Mr. Panagiotis (Panos) Goutakis was appointed General Manager of Investment Banking at National Bank of Greece SA on September 26, 2013. He previously served as Assistant General Manager of Investment Banking since January 2011. He was also appointed Chairman of the Board of Directors at National Securities SA. From March 2009 until November 2010 he was Advisor to the Management at Piraeus Bank, responsible for strategic planning and relations with various Greek corporations and international banks and organizations. Aristotelis Karytinos

Mr. Aristotelis D. Karytinos was appointed General Manager of Group Real Estate at National Bank of Greece SA in July 2008. From November 1995 to June 2008, he held senior positions within Eurobank EFG Group, including Head of Group Real Estate, Head of Mortgage Lending and CEO of Eurobank Properties REIC. He served for several years as manager in companies of the public and private sector, acquiring experience in banking and investment. Tilemachos Palaiologos

Mr. Tilemachos Palaiologos was appointed General Manager of Security of National Bank of Greece SA on September 26, 2013. He previously served as Assistant General Manager of Security since December 2010. He is Chairman of the Board of Directors of the NBG subsidiaries Ethnodata SA and Ethnoplan SA. In addition, he is executive Vice-Chairman of the Board of Ethniki Leasing SA and a member of the Senior Purchasing Committee of the Group. Theofanis Panagiotopoulos

Mr. Theofanis Panagiotopoulos was appointed General Manager of Corporate Banking of National Bank of Greece SA on September 26, 2013. He previously served as Assistant General Manager of Corporate Banking since May 2008. He is a member of the Board of Directors of the companies Ethniki Leasing and NBG Factors. During the period 2002-2008, he was Director of Commercial Lending at the bank, running four Business Centers. From 2000 until 2002 he was Head of the Business Center for Commercial Companies, while between 1998 and 2000 he was Head of the Center for Small-Medium Enterprises. He joined National Bank of Greece in 1973 and has worked in the field of corporate lending in several positions in the bank’s branches. He holds a Bachelor’s degree in Business Administration from the University of Piraeus and has attended business education seminars mainly in Banking Operations.

Marianna Politopoulou

Ms. Marianna Politopoulou was appointed General Manager, Group Retail Collections at National Bank of Greece SA in July 2010. She is also a Member of the Provisions and Write Off Committee. Before joining the National Bank of Greece, she led the establishment of Financial Planning Services, EFG Eurobank’s subsidiary for Retail Collections, in September 2005 and was the company’s Chief Executive Officer (CEO) until July 2010. During the period 2000-2005 she worked at Inchcape Hellas Group initially as Group Strategy and Business Development Manager and within one year she was promoted to General Manager of the Group subsidiary Eurolease. In the years 1998-1999 she worked at the Private Banking department of Credit Agricole Indosuez Luxembourg; she was first responsible for the e-banking marketing & development and within 6 months she was promoted to Head of the e-banking Business Unit (VP). Mr. Antonios Antonopoulos was appointed Assistant General Manager, Group Human Resources at National Bank of Greece SA in December 2012. From 2008 to 2012 he held the position of Director and Section Head in the Division of Centralized Services of the Bank. From 2002 to 2008 he served as the Bank’s Regional Branch Director for the Peloponnese area. Since joining the Bank in 1973, he has worked in many Branches as Deputy Manager and Manager. Mr. Antonopoulos holds a Bachelor’s degree in Economics from Aristotle University of Thessaloniki and has participated in several training seminars on a variety of banking related issues.

Andreas Exarchos

Mr. Andreas Exarchos was appointed Assistant General Manager, Retail Banking at National Bank of Greece SA in December 2012. Since joining the National Bank in March 1978, he has worked in several Full Banking Branches. He has 16 years experience as Manager in several Full Banking Branches, including Corporate Branches and the Head Office of National Bank of Greece. Mr. Exarchos holds a Bachelor’s degree in Business Administration from the Athens University of Economics and Business. He has participated in many seminars held in Greece and abroad (City University, INSEAD) and has held presentations on Trade Finance at NBG and at the Hellenic Banking Association.

Mr. Dimitrios Frangetis is Chief Credit Officer of National Bank of Greece SA since December 2010. He is also a Member of the Bank's Credit Committee and the Provisions and Write Off Committee. He is a Board member of Vojvodjanska Banka and Stopanska Banka, as well as a member of NBG Albania Supervisory Board. He is also a member of the Executive Corporate Credit Committees of Group subsidiaries in SEE countries and Egypt. From July 2010 until December 2010 he was Assistant General Manager of International Activities at NBG. In 2004 he joined Piraeus Group and was appointed Managing Director in Albania and later in Serbia. In the year 2000 he was appointed General Manager & Board member at Emporiki Bank, where he also served as Chairman at Phoenix Insurance, Investment Bank, Emporiki Rent, Emporiki Life Insurance and as Board member in other subsidiaries. In 1996 he joined Ionian Bank as Vice Chairman & General Manager and during that time he was also Chairman of Ionian Mutual Funds and Leasing, as well as Board Member at Ionian Hotels. From 1980 to 1996 he worked for ANZGrindlays as Treasurer, Corporate Manager & Deputy General Manager. He has also served as Vice Chairman at ICAP, Board member at Notos com and member of the Executive Board of the Hellenic Bank Association. He is a graduate of Economics from University of Athens and University of Essex, United Kingdom.

Panagiotis Georgiou

Mr. Panagiotis Georgiou was appointed Assistant General Manager, Branch Network at National Bank of Greece SA in December 2012. He is a member of the NBG Security Committee and Anti-money Laundering Committee. He is also a member of the Board of Directors of the NBG Training Center. He holds the Certified Fraud Examiner (CFE) accreditation and he is a member of the Association of Certified Fraud Examiners. In 2011 he was also elected as President of the Hellenic Association of Certified Fraud Examiners. He is a member of the Economic Chamber of Athens. He joined the NBG Group in 1973; during his career he has held different positions, both in the Branch Network and Head Offices, at all levels of the bank’s hierarchy. He has experience in all aspects of Internal Audit, while his experience lies primarily in Fraud Investigations and Special Audits. He also designed and implemented the NBG Fraud Awareness Training Program aiming to promote a Zero tolerance culture to Fraud at the NBG Group. Mr. Georgiou holds a Bachelor’s degree in Business Administration and is completing a Master’s degree in Banking from the Hellenic Open University. He is also a member of the Scientific Committee for the Postgraduate Level Program in Internal Audit of the University of Athens.

Mr. Angelos Katsikas was appointed Assistant General Manager of Business Processes at National Bank of Greece SA in December 2012. He joined the National Bank in 1975; he started his career at the Branch network and continued in various positions at the Divisions of Business Processes, Branch Network, Human Resources and Housing Loans. Since 2006 he served as Head of the Corporate Banking Section at the NPL Division. He holds a Bachelor’s Degree in Economics from the University of Athens, a Master’s Degree from the Hellenic National Defense College and he is a member of the Economic Chamber of Greece.

Ms. Ioanna Katzilieri-Zour was appointed Assistant General Manager, Group Marketing and Communications at National Bank of Greece SA in December 2012. She previoiusly served as Assistant General Manager since June 2006, responsible for Marketing, Strategic Marketing and Communication, as well as for the Client Service division. She is a member of the MasterCard Central Europe Customer Advisory Forum. Before joining NBG Group, she worked at EFG Eurobank-Ergasias Bank (2004-2006), where she held the position of Assistant General Manager, responsible for Strategic Marketing in Retail Banking. Prior to that, she served as Deputy General Manager at Millenium Bank, responsible for various divisions including Branch Network, Mortgage Lending, Alternative Channels and Marketing (1999-2004). She has also served as Marketing Director in Wind (1998-1999) and Pepsico-Ivi (1995-1998) and started her career working at Procter & Gamble in 1989. She holds a Bachelor of Science in Economics from the University of Bristol and a Master’s of Science in Economics from London School of Economics (University of London). During her doctoral studies at Oxford University she worked as a Research Assistant at the Oxford Institute of Economics and Statistics and at the Oxford Energy Institute.

Mr. Spiros Mavrogalos was assigned Assistant General Manager of Finance & Operations at the National Bank of Greece SA in February 2008. He is responsible for Group Procurement and Administrative Support. He is a member of the Board of Directors of Ethnoplan and Ethnodata, which are both NBG subsidiaries. Prior to joining NBG, he held the position of General Operations Director (COO) at Cosmote Group. He has worked for Cosmote for six years, initially as Internal Audit Director, and then as COO responsible for various functions, such as Procurement, Administrative Services, Performance Management, Information & Network Security, Quality & Procedures, as well as Fraud Management. He has held various executive positions in the banking industry, as Internal Audit Manager, Head of Integration Office and Head of Market & Operational Risk Management at EFG Eurobank Ergasias where he worked for six years, and has also worked for ABN AMRO Bank and KPMG. He is a Certified Chartered Accountant (ACCA) and holds a Bachelor of Science in Computer Information Systems from Deree College and an MBA in Finance from the University of Nottingham.

Mr. Vasileios Mitrakos was appointed Assistant General Manager, Insurance Fund of the National Bank of Greece Personnel at National Bank of Greece SA in December 2012. He is responsible for social security issues regarding the Insurance Fund of the National Bank of Greece Personnel. Since July 2009 he is the acting Director of the Insurance Fund of the National Bank of Greece Personnel. From June 2004 to July 2009 he was responsible for the Bank’s Public Relations. Between 2001 and 2006 he served as Vice Chairman of the Mutual Health Fund of National Bank of Greece Personnel (T.Y.P.E.T.) During the period 2004 - 2007 he was a member of the Board of the Onassis Cardiac Surgery Center (O.C.S.C.). In addition, he has served as a member in the Administration of the Greek Chamber of Economics (O.E.E.), a Board member of the Federation of Greek Mutualities (O.A.T.Y.E.). He is a member of the Parnassus Literary Society. Since joining the National Bank in 1978 he has worked in various positions in the Branch Network and in the Bank’s Management. He holds a bachelor’s degree in Business Administration from the University of Piraeus and a MSc in Management from the National School of Public Health. Mr. Michail A. Frousios was appointed Secretary of National Bank of Greece SA on July 9, 2012. He is the Secretary of the Board of Directors of NBG and its Committees (Corporate Governance & Nominations, HR & Remuneration, Strategy, Audit, and Risk Management). He is Manager of NBG’s BoD Secretariat & Shareholder Services Division, responsible for support to the Board, issues relating to Corporate Governance, the Shareholder Register, Shareholder Relations, Public Relations, and CSR. Mr. Efthymios Christos Katsikas is Non-Executive Director and Employee Representative of National Bank of Greece SA. He joined the Company in 1982. He has worked for the Bank’s IT and HR Divisions and has been a member of HR management-related committees and panels. He participates in the NBG employees’ union and OTOE (Federation of Bank Employee Unions of Greece).

Mr. Stavros Anastasios Koukos was appointed Non-Executive Director-Employee Representative of National Bank of Greece SA on June 21, 2012. He holds a degree in Economics of the School of Higher Industrial Studies of Thessaloniki, (now University of Macedonia) from where he graduated in 1981. In 1973 he was recruited through competition in the National Bank of Greece. He is an active member of the National Bank of Greece Employees Union (SYETE) since his recruitment in NBG. He was elected member of the Administration Board of SYETE in 1982, Vice-President of SYETE from 1986 to 1994 and further on, President, continuously elected from 1994 until 2006. He has been member of the General Council of OTOE since 1982, and was elected President of OTOE, position that he holds until today since December 2006. He is also President of the Labour Institute of OTOE (INE/OTOE) since 2006, and International Relations Secretary of OTOE. He is also member of the General Council of GSEE from 2006 until today.

Charalampos Makkas

Mr. Charalampos Athanasios Makkas was appointed Non-Executive Director Representative of the Hellenic Financial Stability Fund at National Bank of Greece SA on June 11, 2012. He is a Member of the Risk Management Committee, the Human Resources and Remuneration Committee, the Audit Committee and the Corporate Governance and Nomination Committee. Mr. Makkas started his banking career in NY in 1978 , where he held several positions in the areas of Treasury Management, Investment Banking and Risk management until 1992. He returned to Greece in 1993, briefly joining National Bank of Greece as Global Treasurer before becoming Managing Director at Bank of America Athens for the next 7 years. Next he helped set up and ran the joint venture of ING Bank and Piraeus Bank in Asset Management until 2008, and for the following couple of years he joined a private equity fund in Switzerland. He has served on the boards of several companies in the public as well as the private sector. Mr. Makkas earned a BA from Brandeis University in Boston in 1975, a MA from Columbia Unviversity in New York in 1977 and M. Phil from the same university in 1978. He has taught econometrics and money and banking at several colleges.

Ms. Maria (Marily) A. Frangista has been appointed Non-Executive Independent Director of National Bank of Greece SA, effective as of November 23, 2010. Her professional activity started in 1979 when she joined the sales department of COPAIS CANNING INDUSTRY, a production and trading industry of agricultural products based in Greece. She moved on to join the London based office of ship owning and management company FRANCO SHIPPING LONDON before moving to Athens to work for FRANCO COMPANIA NAVIERA S.A., a ship management company established in Greece. She has been acting as Managing Director of FRANCO COMPANIA NAVIERA S.A. since 1995. Since 2000, she has held non-executive positions in the Board of Directors of various institutional organizations in the Maritime Industry. She is a member of the Foreign Affairs Committee of the Greek Ship-owners Union and has been appointed as a Treasurer/ Secretary of the Board of Directors by the MALTA INTERNATIONAL SHIPPING COUNCIL (MISC). Additionally, Ms. Frangista is an active member of numerous Charities, Museums, Cultural Organizations and NGOs. She holds a Bachelor Degree in Business Administration from the DEREE- The American College of Greece.

Mr. Alexandros Nikolaos Makridis is Non-Executive Independent Director-Greek State Representative of National Bank of Greece SA since February 26, 2009. Prior to joining the Company, between 1987 and 1989 he worked for Goldman Sachs & Co., New York, in Corporate Finance, Mergers and Acquisitions. Since 1991, he has served as the President of the Board and Managing Director of Chryssafidis S.A. He is also Member of the Board at Aegean Airlines; Member of the General Council of SEB (Greek Federation of Industries); Member of the Board of Mathios S.A., and Member of the President’s Council on International Activities at Yale University. Mr. Alexandros Makridis holds Bachelor's degree in Economics and Political Science from Yale College (1984), a Juris Doctor in Law from Yale Law School (1987), and an M.B.A. from Harvard Business School (1991).

Ms. Alexandra Th. Papalexopoulou-Mpenopoulou has been Non-Executive Independent Director of National Bank of Greece SA since January 14, 2010. She holds a Bachelor of Arts Degree (BA) in Economics and Mathematics from Swarthmore College, USA and a Masters in Business Administration (MBA) from INSEAD, France. She initially worked for the OECD in Paris and the consulting firm Booz, Allen & Hamilton. She has been working with Titan Cement Company S.A. since 1992, initially in the Exports Division and from 1997 onwards as the Group Strategic Planning Director. She is Member of the Board and Treasurer of the Paul and Alexandra Canellopoulos Foundation and sits on the Board of Frigoglass SA. Dr. Petros K. Sampatakakis has been Non-Executive Independent Director of National Bank of Greece SA since January 14, 2010. He was Chief Risk Manager of Citigroup Inc. between 1999 and 2004. He was responsible for all the financial services company’s businesses, a Member of the Management Committee, and a Member of the Citicorp Board. From 1992 to 1997, he was in charge of the financial services subsidiaries of the American International Group, its treasury operations as well as the market and credit risk activities. He was Member of the Executive Committee and a C.V. Starr partner. Prior to that, he was the head of global Treasury and Capital Markets at JP Morgan Chase (formerly Chemical Bank), which he joined in 1973 in Economic Research. Among his positions at Chemical Bank were oversight of the international branches, foreign exchange and securities trading and the management of its funding and investments division. In addition, he had the responsibility for the management of the corporation’s overall interest rate risk and investment portfolios. He earned three degrees from Columbia University: Bachelor of Science, Masters of Business Administration and Doctor of Philosophy degree in Economics. He has been Chairman of Plan International and Child Reach, a Trustee of Athens College in Greece, and a Director Emeritus of the Gennadius Library. He is Chairman of the Audit Committee and Member of the Risk Management and Strategy Committees.

Mr. Spyridon I. Theodoropoulos is Non-Executive Independent Director of National Bank of Greece SA since April 18, 2011. He is also Managing Director of Chipita SA. He is a Member of the Strategy, Human Resources and Remuneration Committees. In 1976, he started his career with a family business named Recor SA , producing dairy products. In 1981, he became the General Manager of Aligel SA, an importing company of confectionery and ice cream products. In 1986 he became the General Manager of Interia. He is a banker with 30 year career experience in senior executive positions in New York, London, Toronto and Athens. He is a resident Director of the Board of Directors of European Bank for Reconstruction and Development, where he was also served as Chairman of its Audit Committee. He was formerly Deputy Governor of the National Bank of Greece and Managing Director and Chief Executive Officer of the London Operations and International Capital Markets Division of Smith Barney.
