Richard Whittall

 Mr. Richard O'C. Whittall is President, Chief Executive Officer, Director of Newstrike Capital Inc. Mr. Whittall is also President of Watershed Capital Partners, an investment banking firm, based in Vancouver, British Columbia. Prior to founding Watershed Capital Partners, Mr. Whittall spent 15 years as an investment banker with several investment dealers in Toronto and Vancouver. He currently serves as a director of several public companies. Mr. Whittall holds degrees from the University of British Columbia and the University of Cambridge.

 Mr. George L. Brack is Independent Director of Newstrike Capital Inc. Mr. Brack is a mining industry veteran with experience in the areas of investment banking and corporate development. Most recently Mr. Brack acted as the managing director and industry head of the mining group for Scotia Capital where he led a team responsible for the identification, evaluation and execution of strategic mergers and acquisitions, as well as the provision of equity financing. Mr. Brack currently serves as a director of Alexco Resources, Capstone Mining, Geologix Explorations, and Silver Wheaton Corp. Mr. Brack holds an MBA from York University, a BASc in geological engineering from the University of Toronto, and a CFA designation.

Kevin Rathbun

 Mr. Kevin D. Rathbun is Independent Director of Newstrike Capital Inc. Mr Rathbun has been a partner with Watershed Capital Partners since 2001 and has been directly involved in numerous merger, acquisition and divestiture transactions. He holds the designations of Chartered Financial Analyst and Certified Financial Planner as well as a degree from Royal Roads University. In these positions, each member of the Audit Committee has been responsible for receiving financial information relating to the various companies which they have acted for. Additionally, each member has obtained an understanding of balance sheets, income statements and statements of cash flows and how these statements are integral in assessing the financial position of the Company and its operation results. Each member of the Audit Committee has an understanding of the business in which the Company is engaged in and has an appreciation for the relevant accounting principles for the business of the Company.

Kenneth Thorsen

 Mr. Kenneth Robert Thorsen is Independent Director of Newstrike Capital Inc. Mr. Thorsen is currently an independent consultant to the mining industry. Mr. Thorsen is a director of several public mining companies listed on the TSX-V as detailed under Corporate Governance Disclosure – Directorships hereunder: Mr. Thorsen has also held several senior positions in Teck Corporation from June 1994 to December 2001. From December 1999 to December, 2001, Mr. Thorsen was the Exploration General Manager of Teck Cominco Ltd. in charge of exploration on projects and around mines and development projects. Mr. Thorsen is a Professional Engineer and holds a BSc., Geological Engineering from South Dakota School of Mines and Technology.

Robert Withers

 Mr. Robert K. Withers is Independent Director of Newstrike Capital Inc. Withers is a past Director of HSBC Capital (Canada) Inc., where he advised senior management teams across a broad range of industries with respect to key corporate decisions and events including acquisitions, financings and divestitures. Mr. Withers is currently Chairman of PRT Forest Regeneration Income Fund and is an honours graduate of the University of British Columbia Bachelor of Commerce program.

Wojtek Wodzicki

 Dr. Wojtek Wodzicki is Independent Director of Newstrike Capital Inc. Dr. Wodzicki is currently the President and CEO of NGEx Resources Inc., a TSX-V listed exploration company with gold and copper projects in North and South America and Africa. Since 1987, Dr. Wodzicki has worked in the international mining industry, managing exploration programs on five continents. His impressive career with Teck Cominco Ltd. included managing exploration offices in Bolivia, Peru, Chile, and Argentina. In 2001 Dr. Wodzicki was appointed Teck Cominco's General Manager of Exploration for North America and Europe-Africa. He holds a doctorate in Geosciences from the University of Arizona.
