Name Description

Mark Verbiest

Mr. Mark Verbiest serves as Chairman, Non-Executive Director and Independent Director of Telecom Corp of New Zealand Ltd since December 1, 2011. He is also Chairman of the Nominations and Corporate Governance Committee and a member of the Human Resources and Compensation Committee. He has experience in securities law, corporate and commercial law, competition law and the trade practices area. He was a senior partner at national law firm Simpson Grierson for a period, focusing on corporate advisory work, before joining Telecom. He is a director of Gas Industry Company Limited, a co-regulatory body established to assist in ensuring appropriate industry and regulation arrangements are in place for the gas industry in New Zealand.

Simon Moutter

Mr. Simon Paul Moutter has been appointed as a Chief Executive Officer and Managing Director of Telecom Corporation of New Zealand Ltd effective on August 13, 2012. He was appointed Chief Operating Officer, Business, of Telecom Corp of New Zealand in April 2006. He was responsible for all of Telecom's managed customer business, including Gen-i, AAPT Business Solutions and Telecom Business Solutions, as well as the small enterprise segment in New Zealand. He also provides executive sponsorship for Ferrit - Telecom's online shopping mall. He was appointed Chief Operating Officer, New Zealand in February 2002 after joining Telecom in September 1999 as General Manager Network Delivery. Before Telecom, he worked in various senior management positions in the energy sector, including as Chief Executive Offi cer of Powerco Ltd, General Manager of New Plymouth Energy, and Station Manager at the New Plymouth Power Station. He has a Master's Degree in Engineering (Electrical) from Canterbury University and a Bachelor of Science (Physics) from Massey University.

Chris Quin

Mr. Chris Quin is Chief Executive Officer of Telecom Retail business unit at Telecom Corporation of New Zealand Ltd effective October 1, 2012. He has been Chief Executive Officer of Gen-i of Telecom Corporation of New Zealand Ltd. He is responsible for earning the preference of Telecom's Australasian corporate clients and delivering converged technology and telecommunications solutions to business customers across New Zealand and Australia. He was general manager of Gen-i's New Zealand operations for four years before becoming CEO, Gen-i. Prior to that he held roles in Telecom in finance, sales and management of service delivery. Before joining Telecom in 1991, he was chief financial officer for Mitel and a financial accountant at Orica (formerly ICI). He has a BCA from Victoria University of Wellington. His career has been focused on the business and corporate markets. His participation in the ICT industry includes board positions with the NZ ICT Group, ICE HOUSE business incubator and New Centre for Social Innovation. In July 2010, he was awarded an Emerging Leadership Award at the 2010 Sir Peter Blake Leadership Awards for his leadership achievements and contributions to New Zealand. He was also awarded the Chairman's Award at the 2010 Telecommunications Users Association of New Zealand Innovation Awards.

David Havercroft

Mr. David Havercroft has been Group Chief Technology Officer of Telecom Corporation of New Zealand Ltd since April 2010. He is responsible for Telecom's entire network and IT operations throughout New Zealand, ensuring its information technology, infrastructure and architecture are aligned with the Group's business objectives. He oversees the core technology teams in addition to the shared business operations, which support Telecom in provisioning, credit and billing, corporate property and information management. He has more than 26 years experience in the telecommunications industry in Europe and Asia-Pacific, with previous executive roles in business and technology functions in telecommunications operations and in professional services and technology organisations. David has designed and led change programmes focused on revenue growth, cost efficiency, network rollouts and ongoing management of insourced and outsourced operations.

Joe McCollum

Mr. Joe McCollum is Group Human Resources Director at Telecom Corporation of New Zealand Ltd since November 19, 2012. He is an experienced HR professional with background providing strategic HR direction for companies around the world. For the past 15 years he has been based in the United Kingdom where he has headed HR at global chemicals giant ICI plc, software company Misys plc, music company EMI Group, and most recently media group Daily Mail and General Trust. Earlier in his career, he worked for PepsiCola International in the United States and in the Middle East/Africa, and from 1989 to 1997 he was HR Director at New Zealand beverages and hospitality group Lion Nathan, based in Auckland.

Rod Snodgrass

Mr. Rod Snodgrass has been Chief Product Officer of Telecom Corp Of New Zealand Ltd since April 2011. He is responsible for managing all product and pricing activity across Telecom, excluding Chorus'regulated services. His focus is on the creation of group wide portfolio and pricing strategy, driving world-class product lifecycle management and delivering growth through business and market development, including developing new products, services, channels and partnerships. He was previously group strategy director responsible for driving group strategic transformation and growth agendas. Prior to becoming group strategy director, he was general manager of the Wired Division, including Telecom's retail fixed line, voice, data and internet businesses. Rod has been at Telecom for around 14 years, joining in 1998 after seven years in various strategy, business development and commercial roles in the oil and gas exploration and production industry and has been a member of the Telecom Executive team since 2008.

Mr. Kevin John Roberts serves as Non-Independent Non-Executive Director of Telecom Corp of New Zealand Ltd since August 28, 2008. He is also Member of the Nominations and Corporate Governance Committee and the Human Resources and Compensation Committee. He has international experience in brand, marketing and customer satisfaction and is CEO for Saatchi & Saatchi worldwide. He is a member of the Directoire of Publicis Groupe. He is an honorary professor in the Faculty of Business and Economics at the University of Auckland and an honorary professor of creative leadership at Lancaster University. He is a private sector ambassador to the New Zealand/ United States Council and in 2006 was appointed chairman of the USA Rugby board. Previously, he held senior management and marketing positions with Procter & Gamble, Pepsi-Cola and Lion Nathan. He has undertaken pro-bono work for the Antarctic Heritage Trust, co-founded New Zealand Edge and served on the New Zealand Rugby Football Union board. Kevin is also a trustee of the Turn Your Life Around Trust. He has been awarded honorary doctorates by the University of Waikato, the International University of Geneva, the Peruvian University of Applied Sciences in Lima and Lancaster University.

Paul Berriman

Mr. Paul Berriman serves as Non-Executive Independent Director of Telecom Corp of New Zealand Ltd since September 13, 2011. He is also Member of the Audit and Risk Management Committee and the Nominations and Corporate Governance Committee. He has been Chief Technology Officer of PCCW since May 2007. He has over 25 years of experience in telecommunications, especially in IPTV, mobile TV, media convergence and quadruple-play. Prior to joining PCCW in 2002 as Senior Vice President, Strategy and Marketing, he was Managing Director of management consultancy Arthur D. Little in Hong Kong and was involved in telecommunications consultancy projects. Previously, he also held executive, technical, engineering and operations management roles in Reuters and several Hong Kong service providers including the Hong Kong Telephone Company and Hong Kong Telecom CSL. He holds a Bachelor of Science in Electroacoustics from the University of Salford in the UK, and a Master of Business Administration from the University of Hong Kong. He is a Chartered Engineer, a member of Intel's Communications Board of Advisors and was a member of the board of directors of the International Engineering Consortium. He is a fellow of the Hong Kong Institute of Directors since 1997 and has been a member of Hong Kong Telecom Regulator, OFTA's Technical Standards Advisory Committee for over 12 years.

Murray Horn

Dr. Murray Horn, Ph.D., has been Non-Executive Independent Director of Telecom Corporation of New Zealand Ltd since July 1, 2007. He is Chairman of the Audit and Risk Management Committee, member of the Nominations and Corporate Governance Committee. He chairs the Government's National Health board and previously held a number of senior executive roles with ANZ Banking Group, including managing the group's New Zealand operations. He was Secretary to the New Zealand Treasury and has served on a number of boards, including the New Zealand Tourism board. He has represented New Zealand at the OECD, as a governor at the World Bank and as an alternate director at the International Monetary Fund. He received his Doctorate from Harvard University in 1989 and has been awarded a number of academic honours in both New Zealand and the United States. He also holds Master of Commerce (Hons) and a Bachelor of Commerce degree.

Maury Leyland

Ms. Maury Leyland serves as Non-Executive Independent Director of Telecom Corp of New Zealand Ltd since September 13, 2011. She is a Director at Transpower. She has been a senior executive at Fonterra since 2005 and is currently leading the market build of Fonterra's new shareholders'market. He joined McKinsey & Company in 1987 and in 2000 became a senior director, primarily working with CEOs and Boards on strategy and operations turnarounds. His practice has been focused on telecommunications, consumer services, retail, banking, travel and entertainment. He is an advisory director of Bkk Investment Bank and since 2006 has been involved in various new business ventures. He holds a MBA from Columbia Business School and a LLB, BCom from the University of Melbourne.

Ms. Justine Gay Bronwyn Smyth serves as Non-Executive Independent Director of Telecom Corp of New Zealand Ltd since September 13, 2011.
