Name Description

Peter Friedli

Mr. Peter Friedli is Chairman of the Board of Osiris Therapeutics, Inc. Mr. Friedli has been a director of Osiris since January 1996, except for the period between February and June 2004. Since 1986, he has been a principal of the investment-banking firm Friedli Corporate Finance, Inc., a Swiss venture capital firm which has made investments in the biotechnology industry and has been the primary source of financing for Osiris. Mr. Friedli is also the President and a director of New Venturetec Ltd., a Swiss publicly traded investment company. Mr. Friedli has experience as an independent investment manager in venture capital and has specialized in investments domiciled in the United States in the areas of biotechnology and technology. Previously, he worked in the field of international management consulting for service and industrial companies in Europe and the United States. He serves as a director in certain private companies.

C. Randall Mills

Dr. C. Randall Mills, Ph.D., is President, Chief Executive Officer, Director of Osiris Therapeutics, Inc. Prior to joining Osiris, Dr. Mills was an executive officer of RTI Biologics, Inc. (NASDAQ—RTIX). Dr. Mills served in several leadership positions at RTI from its formation in 1998 until 2004, including Vice President of Business Development and Vice President of Operation and R&D, and is credited with several key initiatives, including the development and commercialization of RTI's core technology, BioCleanse®.

Philip Jacoby

Mr. Philip R. Jacoby, Jr., is Chief Financial Officer, Treasurer, Corporate Secretary of Osiris Therapeutics, Inc. Mr. Jacoby has over 30 years of financial and management experience with public and privately held companies. Mr. Jacoby joined Osiris in April 2005 as Corporate Controller and principal accounting officer in preparation for initial public offering. Prior to joining Osiris, Mr. Jacoby was the Vice President and Corporate Controller for FTI Consulting, Inc. (NYSE—FCN) for five years. Upon graduation from the University of Maryland, he spent over eight years with Arthur Andersen & Co.

Lode Debrabandere

Dr. Lode Debrabandere, Ph.D., is Chief Operating Officer of Osiris Therapeutics, Inc. Prior to joining Osiris, Dr. Debrabandere served for over four years with Bristol-Myers Squibb as Vice President for Strategic Marketing for Neuroscience and Infectious Diseases. He led the Neuroscience Unit and was the Global Brand Leader for Abilify™. Previously, Dr. Debrabandere led the Marketing department of UCB Pharma Inc., focusing in the areas of allergy/respiratory (Zyrtec™) and neurology (Keppra™).

Michelle Williams

Dr. Michelle LeRoux Williams, Ph.D., is Chief Scientific Officer of Osiris Therapeutics, Inc. Dr. Williams joined Osiris in October 2001. Dr. Williams previously served as the Director of Orthopedics and in that role was responsible for the development of Osteocel from initial concept through market launch. Prior to joining the Company, Dr. Williams completed an NIH postdoctoral fellowship in tissue engineering at Columbia University, evaluating cellular constructs for the repair and regeneration of cartilage in arthritis patients. Dr. Williams earned a bachelor's degree in mechanical engineering from Rice University and a Ph.D. in biomedical engineering from Duke University.

Felix Gutzwiller

Dr. Felix Gutzwiller, M.D., Dr.P.H., is an Independent Director of Osiris Therapeutics, Inc. He is Professor and Chairman of the Department of Public Health of the University of Zurich Medical School. Dr. Gutzwiller is also an elected member of the Swiss Parliament. Dr. Gutzwiller received a medical degree from the University of Basel in 1974 and did his post-graduate training at both Harvard University and Johns Hopkins University. He received his Dr.P.H. from the Johns Hopkins University School of Hygiene and Public Health in 1980. Dr. Gutzwiller has received many honors and awards over the years in the health profession.

Hans Klingemann

Dr. Hans Klingemann, M.D., Ph.D. has been appointed as the Independent Director of Osiris Therapeutics Inc. Dr. Klingemann is the Director of the Bone Marrow and Stem Cell Transplant Program at Tufts Medical Center in Boston, and a Professor of Medicine at Tufts University Medical School. He also directs the Hematological Malignancies Program at the Tufts Medical Center Cancer Center and runs a stem cell transplant research laboratory. Previously, Dr. Klingemann was director of Bone Marrow Transplant and Cell Therapy at Rush University Medical Center, and founding director of the Sramek Center for Cell Engineering in Chicago, Illinois. He has worked as a physician, scientist, educator and administrator in leadership positions for over twenty years at various academic medical centers and has authored over 150 scientific and medical papers.

Jay Moyes

Mr. Jay M. Moyes is an Independent Director of Osiris Therapeutics, Inc., since the completion of the initial public offering in August 2006. From May 2008 through July 2009, Mr. Moyes served as the Chief Financial Officer of XDx, Inc. Prior to that, Mr. Moyes has served as the Chief Financial Officer of Myriad Genetics, Inc. from June 1996 until his retirement in November 2007, and served as Myriad's Vice President of Finance from July 1993 until July 2005. From 1991 to 1993, Mr. Moyes served as Vice President of Finance and Chief Financial Officer of Genmark, Inc. Mr. Moyes held various positions with the accounting firm of KPMG LLP from 1979 through 1991, most recently as a Senior Manager. He holds an M.B.A. degree from the University of Utah, a B.A. degree in economics from Weber State University, and is formerly a Certified Public Accountant. Mr. Moyes has also served as a member of the Board of Trustees of the Utah Life Science Association from 1999 through 2006.
