Name Description

Jonathan Johnson

Mr. Jonathan E. Johnson, III, is Chairman of the Board of Overstock.com, Inc. He joined Overstock in September 2002. He served as the company President and Corporate Secretary from July 2008 to February 21, 2013, and has been serving as the company Acting Chief Executive Officer since February 12, 2013. He has previously served as the company General Counsel and as the company Vice President, Strategic Projects and Legal, and Senior Vice President, Corporate Affairs and Legal. From May 1999 to September 2002, Mr. Johnson held various positions with TenFold Corporation, a software company, including General Counsel, Executive Vice President and Chief Financial Officer. From October 1997 to April 1999, Mr. Johnson practiced law with Milbank, Tweed, Hadley & McCloy and from September 1994 to September 1997, he practiced law with Graham & James. From February 1994 to August 1994, Mr. Johnson served as a judicial clerk at the Utah Supreme Court for Justice Leonard H. Russon, and prior to that, from August 1993 to January 1994, Mr. Johnson served as a judicial clerk at the Utah Court of Appeals for Judge Leonard H. Russon. Mr. Johnson holds a Bachelor's Degree in Japanese from Brigham Young University, studied for a year at Osaka University of Foreign Studies in Japan, and received his law degree from the J. Reuben Clark, Jr. Law School at Brigham Young University.

Stormy Simon

Ms. Stormy D. Simon is President, Director of Overstock.com, Inc. She joined Overstock in December 2001. Ms. Simon is currently the company Co-President. In the past she has served in a variety of critical positions, including managing each of the following departments at various times: Business-to-Business, Public Relations, Books, Music, Movies and Games, Co-op Sales, Travel, Customer Care, Partner Care, the Website, both on-line and off-line marketing (including branding), the mobile platform, social media, emerging business (auctions, cars, real estate) and the warehouse. Patrick Byrne

Dr. Patrick M. Byrne is Chief Executive Officer, Director of Overstock.com Inc. He has served as the company Chief Executive Officer (principal executive officer) and as a Director since October 1999, as Chairman of the board of directors from February 2001 through October 2005, and since July 2006. From September 1997 to May 1999, Dr. Byrne served as President and Chief Executive Officer of Fechheimer Brothers, Inc., a manufacturer and distributor of uniforms. From 1995 until its sale in September 1999, Dr. Byrne was Chairman, President and Chief Executive Officer of Centricut, LLC, a manufacturer and distributor of industrial torch parts. From 1994 to the present, Dr. Byrne has served as a Manager of the Haverford Group, an investment company and an affiliate of Overstock. Dr. Byrne has a Bachelor of Arts Degree in Chinese studies from Dartmouth College, a Master's Degree from Cambridge University as a Marshall Scholar, and a Ph.D. in philosophy from Stanford University.

Robert Hughes

Mr. Robert P. Hughes is appointed as the Principal Financial Officer, Senior Vice President - Finance and Risk Management, Principal Accounting Officer of Overstock.com, Inc. He has served as Vice President and Controller of the Company since November 2008. Prior to joining the Company, Mr. Hughes served as Chief Financial Officer and Chief of Staff of Tenfold Corporation. Prior to working for Tenfold, Mr. Hughes held a number of senior accounting and internal audit positions with Oracle Corporation. Mr. Hughes has more than 25 years of management and finance experience. He holds a B.S. in Business Administration with an emphasis in accounting and finance from the University of California Berkley, Haas School of Business, and is a certified public accountant.

Mark Griffin

Mr. Mark J. Griffin is Senior Vice President, General Counsel, Corporate Secretary of Overstock.com, Inc. Formerly a vice president and general counsel, Griffin has been responsible for the strategic direction and operational effectiveness of the legal team. Under his direction, the legal department has repeatedly seen success in fighting high-profile patent troll suits, and in working with the U.S. Congress, regulatory agencies and state legislatures on key legislation and regulatory matters, affecting the retail sector and public companies. Griffin’s new position will expand his responsibilities in these and other areas. As a private attorney, Griffin represented the company when it started its campaign to end a form of stock market manipulation--abusive naked short-selling. In the middle of that fight, Griffin joined the company in 2006 as its general counsel. Prior to Overstock.com, Griffin was a partner in the Salt Lake City law firm, Woodbury & Kesler. Griffin also served 14 years in various roles in state government: as director of the Utah Securities Division, previously as deputy secretary of state for the State of Nevada and as an assistant Utah attorney general, handling civil securities, antitrust cases and white collar fraud prosecutions. Griffin served in the leadership of the North American Securities Administrators Association, with offices in Washington, D.C., completing his NASAA work as its President in 1997. Griffin has conducted senior White House Staff briefings, and testified five times before U.S. Congressional Committees on litigation reform, investor protection and securities market practices. Griffin is a member of the Utah State Bar and holds J.D. and B.A. degrees from Brigham Young University.

Sam Noursalehi

Mr. Sam Noursalehi is appointed as the Senior Vice President - Marketing of Overstock.com, Inc. He has served as Vice President of OLabs, an innovative research and development group within the Company, and previously was Vice President of new product development. Prior to his appointment as a Vice President of the company Mr. Noursalehi was the Company’s senior director of website, mobile and search engine optimization. Mr. Noursalehi has been with Overstock.com since 2005 where he began as a software developer.

David Nielsen

Mr. David J. Nielsen is Senior Vice President - Business Development of Overstock.Com Inc. Mr. Nielsen previously served as the Vice President, Merchandising from August 2009. Prior to joining Overstock.com in 2009, Mr. Nielsen was with Payless ShoeSource, Inc., a shoe retailer from 2005 through 2009. At Payless he held a variety of positions, most recently serving as the Vice President of Merchandise Distribution. Additionally, Mr. Nielsen worked at Old Town Imports, LLC, a retail company, where he served as President and CEO. Mr. Nielsen holds a Bachelor's Degree in Business Management with an emphasis in Marketing from Brigham Young University.

Brian Popelka

Mr. Brian Popelka is Senior Vice President - Customer and Partner Care of Overstock.com, Inc. Formerly vice president, Customer Care, Popelka has been responsible for the strategic direction and operational effectiveness of Customer Care. Under his direction, that department has repeatedly ranked in the top four of the former NRF Foundation/American Express Customer Choice Awards and earned the Gartner Gold Award and the 2011 Stevie Award for customer care. Since joining Overstock.com in 2002, Popelka has held several positions including the director of the Books, Media, Movies and Games Department, and was manager of the Business-to-Business Department. He developed a media channel, travel site and auto sales site. Popelka holds a bachelor's degree in Journalism, Broadcasting, Film and History from the University of Nebraska in Lincoln.

Bhargav Shah

Mr. Bhargav J. Shah is Senior Vice President - Technology of Overstock.Com, Inc. Prior to joining Overstock.com, Mr. Shah served as a director in KPMG LLP's IT advisory group since 2009. Prior to that, Mr. Shah held various positions with Bearing Point (formerly KPMG Consulting) including consulting senior manager. Mr. Shah holds a Chemical Engineering Degree from K.E.S Engineering College in Mumbai, India and a Master's of Business Administration Degree in Finance from Bentley University.

Allison Abraham

Ms. Allison H. Abraham is an Independent Director of Overstock.com, Inc., since March 2002. She is currently the President and Founder of The Newton School, a private, non-profit elementary and middle school located in Sterling, Virginia. She is a member of the Compensation Committee and Nominating and Corporate Governance Committee and is the Chairwoman of the Audit Committee. Ms. Abraham managed her own consulting business from October 2001 to November 2008, and has served as a director of privately-held Precision Imaging, Inc. since November 2002. Previously, Ms. Abraham served as President and as a director of LifeMinders, Inc., an online direct marketing company, from May 2000 until the acquisition of LifeMinders by Cross Media Marketing Corp. in October 2001. Prior to joining LifeMinders, Ms. Abraham served as Chief Operating Officer of iVillage Inc., an online media company, from May 1998 to May 2000. From February 1997 to April 1998, Ms. Abraham was President, Chief Operating Officer and a Director of Shoppers Express, an online grocery service, and also served as Vice President of Sales and Marketing for several months prior to her promotion. From 1992 to 1996, Ms. Abraham held several marketing and management positions at Ameritech Corporation. She was employed at American Express Travel Related Services in New York City from 1988 to 1992, focusing on the launch of new products and loyalty programs. Ms. Abraham holds a Bachelor of Arts Degree in Economics from Tufts University and a Master's Degree of Business Administration from the Darden School at the University of Virginia.

Barclay Corbus

Mr. Barclay F. Corbus is an Independent Director of Overstock.com Inc., since March 9, 2007. He is a member of the Audit Committee and the Nominating and Corporate Governance Committee, and is the Chairman of the Compensation Committee. Mr. Corbus has served as Senior Vice President of Clean Energy Fuels Corp., a provider of vehicular natural gas, with responsibility for strategic development, since September 2007. He served as Co-CEO of WR Hambrecht + Co., an investment banking firm, from July 2004 to September 2007, and prior to that date served in other executive positions with WR Hambrecht + Co. Prior to joining WR Hambrecht + Co in March 1999, Mr. Corbus was in the investment banking group at Donaldson, Lufkin and Jenrette. Mr. Corbus graduated from Dartmouth College with a Bachelor of Arts Degree in Government and has a Master's Degree of Business Administration in Finance from Columbia Business School.

Samuel Mitchell

Mr. Samuel A. Mitchell is an Independent Director of Overstock.com, Inc. since October 26, 2010. Mr. Mitchell was formerly a director of International Coal Group, Inc., and served on the Audit Committee and Compensation Committee of International Coal Group until its acquisition in 2011. Since 2004, Mr. Mitchell has been a Managing Director of Hamblin Watsa Investment Counsel, a wholly-owned subsidiary of Fairfax Financial Holdings, Inc., a Toronto-based property and casualty insurance holding company. Hamblin Watsa is responsible for managing the investments of Fairfax Financial. From 2005 to 2007, Mr. Mitchell was a director of Odyssey Re Holdings Corp., a majority-owned subsidiary of Fairfax Financial that is an underwriter of property and casualty treaty and facultative reinsurance. Prior to joining Hamblin Watsa, Mr. Mitchell was Managing Director and co-founder in 1993 of Marshfield Associates, a Washington, D.C.-based investment counsel firm. Mr. Mitchell also has experience in the healthcare industry, having served as a Director of Research and Federal Relations for the Federation of American Health Systems from 1983 to 1993, and as Director of Research for the Health Industry Manufacturers Association from 1977 to 1981. In 1973, he co-founded Research from Washington, which advised institutional investors on the outlook and economic impact of legislation and federal government initiatives. Mr. Mitchell started his career in 1968 with the Washington, D.C.-based investment counsel firm, Davidge and Co. He has a B.A. from Harvard College and an M.B.A. from Harvard Business School.

Joseph Tabacco

Mr. Joseph J. Tabacco, Jr., is an Independent Director of Overstock.com, Inc., since June 6, 2007. He is a member of the Audit Committee and the Compensation Committee and is the Chairman of the Nominating and Corporate Governance Committee. For more than the last five years Mr. Tabacco has served as the managing partner of the San Francisco office of Berman DeValerio (formerly Berman DeValerio Pease Tabacco Burt & Pucillo). A 1974 honors graduate of George Washington University School of Law, Mr. Tabacco litigates antitrust, securities fraud, commercial high tech, and intellectual property matters. Since entering private practice in the early 1980s, Mr. Tabacco has served as trial or lead counsel in numerous antitrust and securities cases and has been involved in all aspects of state and federal litigation. Prior to 1981, Mr. Tabacco served as senior trial attorney for the U.S. Department of Justice, Antitrust Division, and in both the Central District of California and the Southern District of New York. Mr. Tabacco frequently lectures and authors articles on securities and antitrust law issues and is a member of the Advisory Board of the Institute for Consumer Antitrust Studies at Loyola University Chicago School of Law. Mr. Tabacco is also a former teaching fellow of the Attorney General's Advocacy Institute in Washington, D.C., and has served on the faculty of ALI-ABA on programs about U.S.-Canadian business litigation and trial of complex securities cases.
