Name Description

Neil Hamilton

 Mr. Neil Douglas Hamilton has served as Independent Non-Executive Chairman of the Board of OZ Minerals Ltd since April 13, 2010. He has been on the Company's Board since February 9, 2010. He is an experienced professional Company Director and Chairman. He has over 35 years in the legal profession and in business with experience in a number of industries including investment/funds management, insurance, banking and resources. Mr. Hamilton has directorship experience across a range of ASX listed companies. Besides the other listed directorships listed in the next column, he is also a Senior Advisor to UBS. He has also been Chairman of Miclyn Express Offshore Limited since February 2010 and Non-Executive Director of Metcash Limited since February 2008. He was Non-Executive Director of Programmed Maintenance Services Limited from 2007 to 2009, Chairman of IRESS Market Technology Limited from 2000 to 2010, Chairman of Mount Gibson Iron Limited from 2007 to 2010 and Chairman of Northern Iron Limited from 2007 to 2010. He was Chairman of Nomination and Remuneration Committee until 31 December 2011 and Member of Remuneration Committee from 1 January 2012. He is Chairman of Nomination & Board Governance Committee from 1 January 2012. He holds a Bachelor of Laws degree.

Terence Burgess

 Mr. Terence (Terry) Baron Burgess has been Chief Executive Officer, Managing Director and Executive Director of OZ Minerals Ltd since August 1, 2009. Prior to this, he was the Head of Business Development for AngloBase, the base metals business of Anglo American plc. Mr. Burgess was formerly Global Head of Metals and Mining at ABN AMRO, Managing Director and Chief Executive Officer of Delta Gold, and its successor AurionGold. His earlier experience includes a number of senior mining management and operational roles in Australia, Africa and Europe. He has been Non-Executive Director of Magma Metals Limited since January 5, 2009. He holds a Bachelor of Science and is Fellow of the Australasian Institute of Mining and Metallurgy. He is a Chartered Engineer.

Andrew Coles

 Mr. Andrew Coles, CPA, has been Chief Financial Officer of OZ Minerals Ltd since June 17, 2009. He is currently General Manager of Strategic Planning at OZ Minerals and is a key Member of the team managing the sale of assets to China Minmetals. He commenced his career in the resources industry with CRA Ltd (now Rio Tinto), where he held roles in accounting, finance and treasury in Melbourne, London and Dampier over an 11 year period. He then joined Esso Australia where he held roles in treasury, planning and public affairs in Melbourne and Houston, including Treasurer of ExxonMobil Australia & New Zealand. In 2003, he joined Pasminco during its administration as Group Treasurer then held the same role in Zinifex following its float in 2004. Since 2007, Mr. Coles has worked primarily on M&A activities, including the IPO of Nyrstar in Belgium in 2007 and the merger with Oxiana in 2008.

Francesca Lee

 Ms. Francesca Lee has been General Counsel and Company Secretary of OZ Minerals Ltd since she joined the Company in June 2008, in anticipation of the Company's merger with Zinifex Limited (Zinifex). She is Member of the Executive Committee of the Company. Before joining Zinifex, she was Group Counsel at BHP Billiton Limited and has also held a number of senior positions at Rio Tinto Limited including Group Counsel, General Manager Internal Audit and Risk Review and was Vice President of Structured Finance at Citibank Limited. She has been Member of the Board of Metropolitan Waste Management Group, a Victorian statutory authority since its inception in 2006 and was appointed as Member of the Australian Takeovers Panel in May 2009.

Paul Dowd

 Mr. Paul John Dowd has been Independent Non-Executive Director of OZ Minerals Ltd since July 23, 2009. He has been in the mining industry for over 40 years, primarily in the private sector, but also serving in the public sector as Head of the Victorian Mines and Petroleum Departments. He has held senior executive positions at Newmont and prior to that Normandy, including Managing Director of Newmont Australia Limited and Vice President Australia and New Zealand Operations of Newmont Mining Corporation. He is also Chairman of RESA, (the SA Resources & Engineering Skills Alliance) and Non-Executive Director of Northgate Minerals Corp in Canada and its non-listed Australian wholly-owned subsidiaries. He has been Managing Director of Phoenix Copper Limited since February 2008. He also served as Non-Executive Director of Regis Resources Limited from 2006 to 2009, Non-Executive Director of Buka Gold Limited from 2006 to 2009, Chairman of Adelaide Resources Limited from 2006 to 2010, Non-Executive Director of Macarthur Coal Limited and Non-Executive Director of Northgate Minerals Corporation. He has been Member of the Nomination and Remuneration Committee until 31 December 2011, Member of the Sustainability Committee from 13 April 2010 to 31 August 2011, and rejoined the Committee on 1 January 2012, and Member of Nomination & Board Governance Committee from 1 January 2012.

Brian Jamieson

 Mr. Brian Jamieson has been Independent Non-Executive Director of OZ Minerals Ltd since August 27, 2004. He is Chairman of the Audit Committee and was Member of the Nomination and Remuneration Committee of the Company from April 13, 2010 until August 31, 2011. He served as Member of the Sustainability Committee of the Company until April 13, 2010. Mr. Jamieson was Chief Executive of Minter Ellison Melbourne from 2002 until his retirement at the end of 2005. Prior to joining Minter Ellison, he was with KPMG for over 30 years holding the positions of Chief Executive Officer, Managing Partner and Chairman of KPMG Melbourne from 2001 to 2002. He was also KPMG Board Member in Australia and Asia Pacific and Member of the KPMG USA Management Committee. He has been Non-Executive Chairman of Mesoblast Limited since November 2007, Non-Executive Chairman of Sigma Pharmaceuticals Limited since June 2010 and its Non-Executive Director since December 2005, Non-Executive Director of Tatts Group Limited since 2003 and Non-Executive Director of Tigers Realm Coal Limited since February 2011. Mr. Jamieson is a Fellow of the Institute of Chartered Accountants in Australia.

Charles Lenegan

 Mr. Charles (Charlie) Lenegan has been Independent Non-Executive Director of OZ Minerals Ltd since February 9, 2010. He was Managing Director of Rio Tinto Australia. Mr. Lenegan had a distinguished 27-year career with Rio Tinto, where he held various senior management positions across a range of commodities and geographies. He is also former Chairman of the Minerals Council of Australia and Director of the Business Council of Australia. He has been Chairman of Rey Resources Limited since November 2010. He also served as Director of Coal & Allied Industries Limited from 2006 to 2008 and Director of Energy Resources of Australia Limited from 2005 to 2008. Rebecca McGrath

 Ms. Rebecca Joy McGrath has been Independent Non-Executive Director of OZ Minerals Ltd since November 9, 2010. She is currently Chief Financial Officer and Member of BP’s Executive Management Board for Australia and New Zealand. She was Vice President of Operations at BP Australia and Pacific and General Manager of Group Marketing Performance at BP Plc in London. In addition to her Bachelors and Masters degrees, Ms. McGrath is also a graduate of the Cambridge University Business and Environment program. She has served as Non-Executive Director of Incitec Pivot and CSR Limited. Dean Pritchard

 Mr. Dean A. Pritchard has been Independent Non-Executive Director of OZ Minerals Ltd since June 20, 2008. He has over 30 years of experience in the engineering and construction industry. He was Chief Executive Officer of Baulderstone Hornibrook from 1991 to 1997 and Director of Eraring Energy, a non-listed entity, from August 2001 to December 2010.
