Name Description

Rijnhard van Tets

Mr. Rijnhard W. F. van Tets is Non-Executive Chairman of the Board of Petrofac Ltd. He is general partner of Laaken Asset Management NV. He advised the managing board of ABN AMRO between 2002 and 2007, having previously served as a managing board member for 12 years. At ABN AMRO, his roles included that of chairman of the wholesale clients and investment banking group. Rijnhard is non-executive chairman of Euronext NV and Euronext Amsterdam NV, and non-executive director of BNP Paribas OBAM N.V.

Ayman Asfari

Mr. Ayman Asfari is the Group Chief Executive, Executive Director of Petrofac Ltd. since 11 January 2002. Ayman joined the Group in 1991 to establish Petrofac International, of which he was CEO. He has more than 30 years’ experience in the oil & gas industry, having formerly worked as managing director of a civil and mechanical construction business in Oman. He is Member of Nominations Committee. He is Member of the board of trustees of the American University of Beirut.

Tim Weller

Mr. Tim Weller is Chief Financial Officer, Executive Director of Petrofac Limited, since 13 October 2011. A Fellow of the Institute of Chartered Accountants in England and Wales and a experienced CFO, Weller also has a BSc in Engineering Science from the University of Exeter. He joined Petrofac in September 2011 from Cable & Wireless Worldwide, where he had been chief financial officer between May 2010 and July 2011. A Fellow of the Institute of Chartered Accountants in England and Wales with a degree in Engineering Science, he started his career with KPMG in London, eventually becoming a partner in KPMG’s Infrastructure Business Unit. He was previously chief financial officer at United Utilities Group PLC between July 2006 and May 2010 and held chief financial officer roles with RWE Thames Water Limited and Innogy Holdings PLC (now RWE npower Holdings PLC) from 2002 to 2006. He is a non-executive director of the Carbon Trust and of BBC Worldwide.

Marwan Chedid

Mr. Marwan Chedid is Chief Executive - Engineering, Construction, Operations and Maintenance, Executive Director of Petrofac Ltd. He is appointed to the Board on 19 January 2012. He joined Petrofac in 1992 when the business was first established in Sharjah, having previously worked for CCC, a consolidated contractor company based in the Gulf and the Middle East, for eight years. In 2007, he was appointed Chief Operating Officer of the Engineering & Construction International business with day-to-day responsibility for the delivery of overall operations. In January 2009, he became Managing Director of Engineering & Construction Ventures before being appointed as Chief Executive, ECOM with effect from 1 January 2012.

Bill Dunnett

Mr. Bill Dunnett is Managing Director - Offshore Projects & Operations of Petrofac Ltd. Bill joined Petrofac Energy Developments in 2007 with responsibility for asset development and production, which included the project management and operation of the greater Don Area Fields in the United Kingdom Continental Shelf, and the Chergui Field Development in Tunisia. Prior to joining Petrofac, Bill spent eight years at Halliburton and its subsidiary KBR, as a senior vice president and corporate officer and his responsibilities included membership of the KBR Executive Leadership Team, Global Operations and Maintenance. Bill spent his earlier career with Mobil North Sea and Shell. He is a chartered engineer and graduated with a first in Engineering from Heriot Watt University.

Gordon East

Mr. Gordon East is Managing Director - Production Solutions of Petrofac Ltd. He joined Petrofac in 2006 as managing director of Petrofac Facilities Management (now Offshore Engineering & Operations). He now leads the Production Solutions business which works with customers to increase production and improve reservoir recovery, covering specialist consultancy, technology applications and large scale production enhancement projects. Prior to joining Petrofac, Gordon spent more than 20 years with ConocoPhillips in various leadership and management roles throughout the upstream business worldwide. He has also held non-executive roles in the DTI and Cabinet Office. Gordon has an MA in Engineering from Cambridge University and an MSc in Petroleum Engineering from Imperial College London.

Paul Groves

Mr. Paul Groves is the Managing Director - Training Services of Petrofac Ltd. He joined Petrofac in June 2009. As managing director of Petrofac’s Training Services business, Paul has overall responsibility for developing and running the group’s global training and consultancy activities. Paul previously worked with Shell from 2001, where he held a number of business development-led roles within the organisation. A Chartered Engineer and Scientist, Paul started his career as a lecturer of physics at Oxford University before moving into a number of management and development roles in organisations such as Alcan Aluminum Limited and British Gas/BG PLC.

Subramanian Sarma

Mr. Subramanian Sarma is the Managing Director - Onshore Engineering & Construction of Petrofac Ltd. He joined Petrofac’s Engineering & Construction business as a project manager in 1997 and has held various positions since then. In 2007, he was promoted to the position of executive vice president, projects & deputy chief operating officer of Petrofac International, with responsibility for the delivery of EPC projects in the Middle East, North Africa and Caspian regions. Subramanian now heads Petrofac’s Engineering & Construction business with overall responsibility for the current operation and its continued growth. Prior to joining Petrofac, Subramanian worked for Kvaerner and Jacobs in India and Oman and has more than 30 years’ experience in the oil & gas industry. He holds an MSc in Chemical Engineering from the Indian Institute of Technology.

Rajesh Verma

Mr. Rajesh Verma is the Managing Director of Petrofac Ltd. He joined Petrofac Engineering & Construction in 1992 as a project manager when the business was first established in Sharjah. During his tenure he has been responsible for executing a number of EPC projects and subsequently been in charge of Technical Services for the E&C business. He has also been responsible for a number of strategic initiatives for the Company including setting up design offices in Mumbai & Chennai in India. Rajesh now leads the Engineering Services business which brings together Petrofac’s operations in Woking, Mumbai & Chennai. He has more than 39 years’ experience in the oil & gas industry and holds a degree in Mechanical Engineering from the Birla Institute of Technology and Sciences in India.

Rob Jewkes

Mr. Rob Jewkes has been appointed as Chief Operating Officer - Integrated Energy Services Business of Petrofac Ltd., effective February 28, 2014. Prior ti that, he has served as Managing Director - Developments of the Company. Rob joined Petrofac in 2004 to build a Europe-based engineering services business in Woking, UK, which now forms part of Petrofac's Engineering and Consulting Services business. In 2009, Rob was appointed Managing Director of Developments within the IES division has been responsible for leveraging our engineering and project management capability through Risk Service Contracts and equity investments to lead the development of our customers' upstream assets and energy infrastructure assets, with ongoing projects in Malaysia, Tunisia and the UKCS. Rob has more than 35 years' experience in the oil and gas industry. Prior to joining Petrofac he served as chief executive officer of Clough Engineering, the main operating company of the Australian engineering group, Clough Ltd. Rob holds a degree in engineering from the University of Western Australia.

Richard Milne

Mr. Richard Milne is the Group Director - Legal and Commercial Affairs of Petrofac Ltd. He joined Petrofac in 2004 with overall responsibility for advising on the legal and commercial aspects of the group’s activities. Richard was heavily involved in Petrofac’s admission to listing on The London Stock Exchange in 2005 and in developing the group’s governance and compliance framework. As a member of the group’s senior management team, Richard participates in the group’s risk review process and advises on corporate matters as well as on all commercially issues affecting the group. Prior to joining Petrofac, Richard spent some 15 years in corporate finance after working in the insurance brokerage industry. Richard is a graduate of Oxford University and qualified as a solicitor.

Ms. Mary Hitchon is Secretary to the Board of Petrofac Ltd. Joining Petrofac shortly after IPO, Mary, a chartered secretary with almost 20 years’ experience in a UK-listed environment, has responsibility for the Group’s governance and listing rule compliance framework. She previously worked at TBI plc, the AXA group and Savills plc. She is Secretary of the Audit, Board Risk, Nominations and Remuneration Committees.

Kathleen Hogenson

Ms. Kathleen Hogenson has been appointed asNon-Executive Director of Petrofac Limited effective August 1, 2013. Ms. Hogenson, formerly President and CEO of her own US-based company Zone Energy LLC, has 30 years' experience in the oil and gas industry, with particular in reservoir management and subsurface engineering. A Chemical Engineering graduate, Ms Hogenson spent her early career as a petroleum and reservoir engineer, including posts in Ecuador and Indonesia, prior to holding a number of senior roles in exploration and production technology at California-based Unocal Corporation. Ms Hogenson assumed her first CEO role in 2001 at Santos USA Corporation. Ms. Hogenson currently sits on the advisory board for Samsung Oil & Gas USA Corporation, is a director on the Board of Parallel Petroleum LLC, and serves as a trustee of the Society of Exploration Geophysicists. She has also been appointed as the member of Audit, Nominations and Board Risk Committees.

Thomas Andersen

Mr. Thomas Thune Andersen is Senior Non-Executive Independent Director of Petrofac Ltd. He spent 32 years at the AP Møller-Mærsk group with an international career ending as CEO and president of Mærsk’s oil & gas company. He also served on Mærsk’s main board and its executive committee from 2005 to 2009. He is Chairman of the Remuneration Committee and member of the Audit and Nominations Committees. He is a non-executive director of SSE plc, chairman of the Lloyds’ Register Group board of trustees, chairman of DeepOcean, chairman of the Danish-UK Chamber of Commerce and vice-chairman of VKR Holding.

Stefano Cao

Mr. Stefano Cao is the Non-Executive Independent Director of Petrofac Ltd. since 13 May 2010. Stefano has 33 years’ experience in the oil & gas industry. Since February 2009, he has been CEO of Sintonia SA, a holding company owning infrastructure assets, including toll roads, airports and telecoms. From 2000 to 2008, Stefano was chief operating officer of Eni’s exploration & production division, before which he spent 24 years at Saipem SpA, the international oil & gas services group, holding such senior roles as chief executive officer, chairman and chief operating officer. He is a former independent director of Telecom Italia SpA. He is Chairman of the Board Risk Committee and Member of the Nominations and Remuneration Committees. He is CEO of Sintonia SA and a director of Atlantia SpA, Gemina SpA, Aeroporti di Roma SpA and Sagat SpA.

Roxanne Decyk

Ms. Roxanne J. Decyk is Non-Executive Independent Director of Petrofac Limited. since 1 March 2011. She retired from The Royal Dutch Shell Group in early 2011 having held a number of roles including head of global government affairs and corporate affairs director over a period of 11 years. She was a member of Shell’s executive committee from 2005 to 2009. Prior to joining Shell, Roxanne had various roles at Amoco Corporation and Navistar International Corporation. She is Member of the Audit, Board Risk, Nominations and Remuneration Committees. She is an independent director of Snap-on Incorporated and Alliant Techsystems Inc.

Rene Medori

Dr. Rene Medori is Non-Executive Independent Director of Petrofac Ltd., since 19 January 2012. René is finance director of Anglo American plc, a position he has held since September 2005. He was group finance director of The BOC Group plc between June 2000 to May 2005, having held several finance appointments, including finance director of BOC’s gases business in the Americas, from 1997. He is Member of the Audit, Board Risk and Nominations Committees. He is an executive director of Anglo American plc and non-executive director of Anglo Platinum Limited and SSE plc. He will step down from the SSE plc board on 25 June 2012.
