Name Description

John Zaozirny

 Mr. John B. Zaozirny is an Independent Chairman of the Board of Pengrowth Energy Corp. Mr. Zaozirny is Vice-Chairman of Canaccord Genuity Corporation. He is a director of Bankers Petroleum Ltd., Canadian Oil Sands Limited, Coastal Energy Company, Computer Modelling Group Ltd. and Petroamerica Oil Corp. He is a Governor of the Business Council of British Columbia and recently retired as a member of The Law Societies of Alberta and British Columbia. Mr. Zaozirny was Counsel to the law firm of McCarthy Tétrault LLP from 1987 to 2008 and was Minister of Energy and Natural Resources for the Province of Alberta from 1982 to 1986. Mr. Zaozirny holds an LLB from the University of British Columbia, an LLM from London School of Economics and Political Science and a Bachelor of Commerce degree from the University of Calgary. He has experience in the areas of oil and gas, capital markets, corporate governance, government relations, corporate finance and law.

Derek Evans

 Mr. Derek W. Evans is President, Chief Executive Officer, Director of Pengrowth Energy Corp. He was appointed as the President and Chief Operating Officer and as a director of Pengrowth Corporation on May 25, 2009. On September 13, 2009, Mr. Evans was appointed as President and Chief Executive Officer of Pengrowth Corporation. Mr. Evans previously served as President, Chief Executive Officer and director of Focus Energy Trust from May 2002 until March 2008.  Mr. Christopher G. Webster is Chief Financial Officer of Pengrowth Energy Corp. He served Treasurer of Pengrowth Corporation from 2000 to 2005. Previously, Mr. Webster held senior accounting and finance positions within the petroleum industry. Currently, he is a Directors and the Chairman of the Audit Committee of Monterey Exploration Ltd., and is the Chairman of ATB Investment Management Inc.’s Independent Review Committee.  Mr. Stephen J. De Maio is Vice President - In-Situ Development & Operations of Pengrowth Energy Corp. He was formerly an officer and a director of Efficient Energy Resources Ltd. (a private electrical generation company) which agreed to the voluntary appointment of a receiver in 2005.

 Ms. Gillian Basford is Vice President - Human Resources of Pengrowth Energy Corp. Prior thereto Interim Vice President, Human Resources of Pengrowth Corporation from September 2010 until December 2010; prior thereto independent consultant. Ms. Basford holds a Bachelor of Arts in Sociology and Psychology from the University of Alberta and a Masters of Education in Psychology from the University of Calgary.

He has served in senior executive roles as Managing Director of Southern Pacific Petroleum N.L. in Australia (an Australian Securities Exchange listed issuer), President and Chief Operating Officer of Husky Oil Limited (a TSX listed issuer) and in a wide range of upstream and corporate functions in an earlier 23-year career with Imperial Oil Limited and other ExxonMobil affiliates in Canada, the US and western Europe. Mr. McFarland is a member of the Association of Professional Engineers and Geoscientists of Alberta, the Society of Petroleum Engineers International, the Program Committee of the World Petroleum Council and the Institute of Corporate Directors. He is also a past member of the Australian Institute of Company Directors. Mr. McFarland received a Bachelor of Science in Chemical Engineering from Queen's University and a Master of Science in Petroleum Engineering from the University of Alberta.

Michael Parrett

 Mr. Michael S. Parrett is an Independent Director of Pengrowth Energy Corp. Mr. Parrett is a director of Stillwater Mining Company, a NYSE listed company. He is Chairman of Mongolia Minerals Corporation and a director of Sunshine Silver Mines Corporation, both private corporations. He was formerly Chairman of Gabriel Resources Limited, President of Rio Algom Limited and prior to that Chief Financial Officer of Rio Algom and Falconbridge Limited. Mr. Parrett has also acted as an independent consultant providing advisory service to various companies in Canada and the United States. Mr. Parrett is a chartered accountant and holds a Bachelor of Arts in Economics from York University.
