Mr. Andrew S. Duff is Chairman of the Board, Chief Executive Officer of Piper Jaffray Companies, since December 31, 2003. He has served as chairman of the broker dealer subsidiary since 2003, as chief executive officer of the broker dealer subsidiary since 2000, and as president of the broker dealer subsidiary since 1996. He has been with Piper Jaffray since 1980. Prior to the spin-off from U.S. Bancorp, Mr. Duff was a vice chairman of U.S. Bancorp from 1999 through 2003. |

Mr. Frank L. Sims is no longer an Independent Director of Piper Jaffray Companies, effective May 8, 2013.
