Name Description

William Demchak

Mr. William S. Demchak is Chairman of the Board, President, Chief Executive Officer of PNC Financial Services Group Inc. Mr. Demchak joined PNC in 2002 as chief financial officer. In July 2005, he was named head of PNC’s Corporate & Institutional Banking segment responsible for PNC’s middle market and large corporate businesses, as well as capital markets, real estate finance, equity management and leasing. Mr. Demchak was promoted to senior vice chairman in 2009, named head of PNC businesses in August 2010, and elected president in April 2012 and chief executive officer in April 2013. Before joining PNC in 2002, Mr. Demchak served as the Global Head of Structured Finance and Credit Portfolio for JP Morgan Chase. He also held key leadership roles at JP Morgan prior to its merger with the Chase Manhattan Corporation in 2000. He was actively involved in developing JP Morgan’s strategic agenda and was a member of the company’s capital and credit risk committees. Mr. Demchak is a director of BlackRock, Inc. He is a member of The Financial Services Roundtable and serves on the Regulatory Management Committee. He is a board member and past chairman of the Greater Pittsburgh Council of the Boy Scouts of America. In addition, he serves on the boards of directors of the Extra Mile Education Foundation and the YMCA of Pittsburgh. Mr. Demchak received a bachelor of science degree from Allegheny College and earned an MBA with an emphasis in accounting from the University of Michigan.

Joseph Guyaux

Mr. Joseph C. Guyaux is Senior Vice Chairman, Chief Risk Officer of PNC Financial Services Group Inc., since February 2012. He was President of the Company effective February 15, 2012. He became responsible for PNC's middle market, corporate finance, capital markets, asset-based lending, real estate finance and leasing businesses in 2001 and 2002. The asset-based lending business serves clients from across the nation, while the real estate finance . The leasing business is one of the bank leasing companies in the United States. When appointed president in 2002, Guyaux assumed responsibility for PNC Advisors, is managers of trust and investment assets in the U.S. With more than 100 offices in 17 states, PNC Advisors offers full-service brokerage through J.J.B. Hilliard, W.L. Lyons, Inc. and PNC Investments, a division of Hilliard Lyons. PNC Advisors also offers services to wealthy families through its investment consulting division Hawthorn. In 1997, he was appointed deputy manager of the Consumer Banking business and later that year he was named chief executive officer of the Regional Community Bank. Guyaux serves on the boards of directors of Duquesne University, Consumer Bankers Association and the Board of Trustees of Carnegie Museums of Pittsburgh. A graduate of Brown University, Guyaux received his bachelor of science degree in 1972 and earned his master's in business administration from the University of Pittsburgh in 1984. He is also a graduate of the Stonier Graduate School of Banking.

Robert Reilly

Mr. Robert Q. Reilly is Chief Financial Officer, Executive Vice President of PNC Financial Services Group Inc. He served as the head of PNC’s Asset Management Group from 2005 until April 2013. Previously, he held numerous management roles in both Corporate Banking and Asset Management. He was appointed Executive Vice President in February 2009.

Vicki Henn

Ms. Vicki C. Henn is Chief Human Resource Officer of the Company. Henn currently serves as the senior human resources business partner for Retail Banking, the PNC business segment with the largest employee base. Since joining PNC in 1993, Henn has held a number of leadership positions, including deputy director of human resources for the Regional Community Bank, eastern division HR manager and staffing manager for the Distribution Segment. She also served as managing director, Community Development Banking, which provided her with business experience outside Human Resources. Before PNC, Henn was an assistant HR manager for Macy's Northeast. Henn holds a bachelor's degree from Fairleigh Dickinson University and a law degree from Seton Hall University School of Law.

E. William Parsley

Mr. E. William Parsley, III, is Executive Vice President, Chief Investment Officer, Treasurer of PNC Financial Services Group, Inc. He has served as Treasurer and Chief Investment Officer since January 2004. He was appointed Executive Vice President of PNC in February 2009.

Ms. Karen L. Larrimer is Executive Vice President, Chief Marketing Officer of PNC Financial Services Group, Inc. She has served as Chief Marketing Officer since April 2012. She also has served as Executive Vice President of PNC Bank, N.A. since November 2006.

Gregory Jordan

Mr. Gregory B. Jordan has been appointed as Executive Vice President, General Counsel, Head of Regulatory and Government Affairs of PNC Financial Services Group, Inc., effective October 15, 2013. Jordan joins PNC from Reed Smith LLP, where he is global managing partner and chairman of the Senior Management Team and Executive Committee. Jordan joined Reed Smith after graduating from the University of Pittsburgh School of Law in 1984, and he was elected the firm's managing partner five times. In 13 years of leading Reed Smith, Greg helped quadruple its size to 1,800 lawyers in 25 offices on three continents, and positioned it as a model among law firms for professional development, diversity and strong client relationships. In 2003, American Lawyer named him as one of the country's top 45 lawyers under 45. In 2005, The Lawyer named him to the Global 100 list of most influential lawyers, and he has been listed in The Best Lawyers in America since 1995. In 2012, Law 360 named him as one of the Ten Most Innovative Managing Partners. He serves on the boards of Highmark Inc., the Allegheny Conference on Community Development, the Global Business Coalition on Education, and the Extra Mile Foundation. He is chairman of the Board of Trustees of Bethany College, from which he received his bachelor's degree.

E. Todd Chamberlain

Mr. E. Todd Chamberlain is Executive Vice President of PNC Financial Services Group, Inc. He was appointed Executive Vice President of PNC Bank , N.A., and head of Residential Mortgage Banking in April 2013. He joined PNC in July 2011. He is a 26-year veteran of the mortgage industry. Prior to 2011, he was at Regions Financial Corporation where he was Executive Vice President and head of mortgage banking for 8 years.

Orlando Esposito

Mr. Orlando C. Esposito is Executive Vice President of PNC Financial Services Group, Inc. He is also the head of the Asset Management Group of The PNC Financial Services Group, Inc. and PNC Bank, N.A in April 2013. Prior to being named to his current position, he joined PNC in 1988 and held numerous leadership positions including Executive Vice President of Corporate Banking from November 2006 to April 2013.

Neil Hall

Mr. Neil F. Hall is Executive Vice President of PNC Financial Services Group, Inc., since April 2012. He has served as head of PNC’s Retail Banking since February 2012. Prior to being named to his current position, Mr. Hall led the delivery of sales and service to PNC’s retail and small business customers, directed branch banking, business banking, community development and PNC Investments.

Michael Hannon

Mr. Michael J. Hannon is Executive Vice President, Chief Credit Officer of PNC Financial Services Group Inc. He has served as Executive Vice President since February 2009, prior to which he served as Senior Vice President. He has served as Chief Credit Officer since November 2009. Mr. Steven C. Van Wyk is Executive Vice President, Head of Technology and Operations of PNC Financial Services Group Inc. He joined PNC as Head of Technology and Operations in January 2013. From 2007 until joining PNC, Mr. Van Wyk served as Global Chief Operating Officer for ING. He was appointed Executive Vice President of PNC in February 2013.

Gregory Kozich

Mr. Gregory H. Kozich is Senior Vice President, Controller of PNC Financial Services Group, Inc. Mr. Kozich joined PNC as Senior Vice President of PNC Bank, N.A. in October 2010. Prior to joining PNC, Mr. Kozich was with Fannie Mae from 2005 until late 2010, most recently serving as its corporate controller.

Thomas Usher

Mr. Thomas J. Usher is Lead Independent Director of PNC Financial Services Group, Inc. Mr. Usher is the non-executive Chairman of Marathon Petroleum Corporation, a transportation fuels refining company, which began as an independent company on July 1, 2011. Until July 2011 he served as the non-executive Chairman of Marathon Oil Corporation, an integrated international energy company. He formerly served as the Chairman, Chief Executive Officer, and President of United States Steel Corporation, an integrated international steel producer, until his retirement in 2004. He served as the Chairman of the Board of U.S. Steel until 2006. Mr. Usher received an undergraduate degree, master’s degree, and Ph.D. from the University of Pittsburgh.

Richard Berndt

Mr. Richard O. Berndt is Independent Director of PNC Financial Services Group, Inc., since April 2007. Mr. Berndt is the Managing Partner of Gallagher Evelius & Jones LLP, a law firm based in Baltimore, Maryland. Mr. Berndt received an undergraduate degree from Villanova University, a law degree from the University of Maryland School of Law, and a master’s degree from Johns Hopkins University. Mr. Berndt joined Company's Board following PNC’s acquisition of Mercantile Bankshares Corporation. He joined the Mercantile Board of Directors in 1978.

Charles Bunch

Mr. Charles E. Bunch is Independent Director of PNC Financial Services Group, Inc., since April 2007. Mr. Bunch is the Chairman and Chief Executive Officer of PPG Industries, Inc., a Pittsburgh-based global supplier of paints, coatings, optical products, specialty materials, chemicals, glass and fiber glass. Mr. Bunch received an undergraduate degree from Georgetown University and a master’s degree in business administration from Harvard University. In addition, Mr. Bunch brings regulatory and banking industry experience to our Board as he formerly served as a Director and the Chairman of the Federal Reserve Bank of Cleveland, our principal banking regulator.

Paul Chellgren

Mr. Paul W. Chellgren is Independent Director of PNC Financial Services Group, Inc., since 1995. Mr. Chellgren is an Operating Partner with Snow Phipps Group, LLC, a New York City-based private equity firm. In 2002, he retired as the Chairman and Chief Executive Officer of Ashland, Inc., a provider of specialty chemical products, services and solutions, headquartered in Covington, Kentucky. He also served as the Chief Financial Officer of Ashland. Mr. Chellgren received an undergraduate degree from the University of Kentucky, a master’s degree in business administration from Harvard University, and a diploma in Developmental Economics from Oxford University.

Andrew Feldstein

Mr. Andrew T. Feldstein has been appointed as Independent Director of PNC Financial Services Group Inc., effective August 15, 2013. Mr. Feldstein is the Co-Founder and CEO of BlueMountain Capital Management, a leading alternative asset manager with $17 billion in assets under management and approximately 200 professionals worldwide. Prior to co-founding BlueMountain in 2003, Mr. Feldstein spent over a decade at JPMorgan where he was a Managing Director and served as Head of Structured Credit; Head of High Yield Sales, Trading and Research; and Head of Global Credit Portfolio. Mr. Feldstein is the acting Chair of the Upper West Success Academy, a New York City based charter school, and a Trustee of Third Way, a prominent, centrist think tank. He is a member of the Harvard Law School Leadership Council. In 2007, he co-founded the Darfur Project, a Clinton Global Initiative recipient that from 2007-2009 sponsored air lifts of relief supplies to Southern Sudan. Mr. Feldstein received an undergraduate degree from Georgetown University and a J.D. from Harvard Law School.

Kay James

Ms. Kay Coles James is Independent Director of PNC Financial Services Group, Inc., since April 2006. Ms. James is President and Founder of The Gloucester Institute, a non-profit organization that trains and nurtures leaders in the African-American community. From 2001 to 2006, she served as director of the U.S. Office of Personnel Management, where she was President George W. Bush’s principal human resources advisor. She has also provided consulting services as a former Senior Partner in The J.C. Watts Companies. Ms. James received an undergraduate degree from Hampton University.

Richard Kelson

Mr. Richard B. Kelson is Independent Director of PNC Financial Services Group, Inc., since December 2002. Mr. Kelson is the Chairman and CEO of ServCo, LLC, a strategic sourcing and supply chain management company. He has also served as an Operating Advisor with Pegasus Capital Advisors, L.P., a private equity fund manager. Mr. Kelson retired in 2006 as Chairman’s Counsel for Alcoa, a leader in the production and management of primary aluminum, fabricated aluminum, and alumina. At Alcoa, he served as a member of the executive council, the senior leadership group for the company. From 1994 to 1997, Mr. Kelson served as Alcoa’s General Counsel. From 1997 through 2005, he served as Alcoa’s Chief Financial Officer. Mr. Kelson received an undergraduate degree from the University of Pennsylvania, and a law degree from the University of Pittsburgh.

Anthony Massaro

Mr. Anthony A. Massaro is Independent Director of PNC Financial Services Group Inc., since December 2002. Mr. Massaro is the retired Chairman and Chief Executive Officer of Lincoln Electric Holdings, Inc., a leader in the design, development and manufacture of welding products and cutting equipment. He retired as CEO in April 2005 and as Chairman in October 2005. Previously, Mr. Massaro served as a Group President of Westinghouse Electric Corporation, an electrical equipment and multipurpose engineering company, and in a variety of other executive positions at Westinghouse. Mr. Massaro received an undergraduate degree from the University of Pittsburgh.

Jane Pepper

Ms. Jane G. Pepper is Independent Director of PNC Financial Services Group Inc., since 1997. In June 2010, Ms. Pepper retired as the President of the Pennsylvania Horticultural Society (PHS), a non-profit organization, and America’s first horticultural society. Ms. Pepper received undergraduate and graduate degrees from the University of Delaware. Ms. Pepper brings a diverse set of experiences to our Board, beginning with her management experience at the PHS. For 30 years, Ms. Pepper led this Philadelphia-based organization, supervising over 100 employees, and executing a strategic plan with a vision of sustainability and community impact.

Donald Shepard

Mr. Donald J. Shepard is Independent Director of PNC Financial Services Group, Inc., since April 2007. Mr. Shepard is the retired Chairman of the Executive Board and Chief Executive Officer of AEGON N.V., a large life insurance and pension company. Mr. Shepard received a master’s degree in business administration from the University of Chicago. Mr. Shepard joined our Board following PNC’s acquisition of Mercantile Bankshares Corporation. He joined the Mercantile Board of Directors in 1992.

Lorene Steffes

Ms. Lorene K. Steffes is Independent Director of PNC Financial Services Group, Inc., since 2000. Ms. Steffes is an independent business advisor with executive, business management and technical expertise in the telecommunications and information technology industries. She formerly served as Vice President and General Manager, Global Electronics Industry, for IBM, an information technology company. Ms. Steffes also served as the President and Chief Executive Officer of Transarc Corporation, a software development firm, which was later acquired by IBM. Ms. Steffes received undergraduate and master’s degrees from Northern Illinois University.

Dennis Strigl

Mr. Dennis F. Strigl is Independent Director of PNC Financial Services Group Inc., since August 2001. Mr. Strigl served as the President and Chief Operating Officer of Verizon Communications Inc., one of the world’s leading providers of communications services, until his retirement in December 2009. Prior to that, he was the President and Chief Executive Officer of Verizon Wireless, a joint venture controlled by Verizon. Mr. Strigl received an undergraduate degree from Canisius College and a master’s degree in business administration from Fairleigh Dickinson University.

George Walls

General George H. Walls, Jr., is Independent Director of PNC Financial Services Group, Inc., since April 2006. General Walls was the Chief Deputy Auditor for the State of North Carolina from 2001 to 2004. His responsibilities included oversight of the statewide operations of audit, administrative, and support staff. General Walls served on active duty for over 28 years in the United States Marine Corps, retiring at the rank of Brigadier General in 1993. General Walls received an undergraduate degree from West Chester State College and a master’s degree from North Carolina Central University. General Walls is a National Association of Corporate Directors Governance Fellow.

Helge Wehmeier

Mr. Helge H. Wehmeier is Independent Director of PNC Financial Services Group, Inc., since 1992. Mr. Wehmeier retired as the Vice Chairman of Bayer Corporation in 2004. He had served in that capacity since 2002, and was President and Chief Executive Officer since 1991. Bayer Corporation is the U.S. subsidiary of Bayer Group of Germany, an international life sciences, polymers, and specialty chemicals company. Mr. Wehmeier is an alumnus of the International Management Development Institute in Lausanne, Switzerland, and the Institut European d’Administration des Affaires in Fontainebleau, France.
