Name Description

William Demchak

Mr. William S. Demchak is the Chairman of the Board, President, Chief Executive Officer of PNC Financial Services Group Inc. Mr. Demchak joined PNC in 2002 as chief financial officer. In July 2005, he was named head of PNC’s Corporate & Institutional Banking segment responsible for PNC’s middle market and large corporate businesses, as well as capital markets, real estate finance, equity management and leasing. Mr. Demchak was promoted to senior vice chairman in 2009, named head of PNC businesses in August 2010, and elected president in April 2012 and chief executive officer in April 2013. Before joining PNC in 2002, Mr. Demchak served as the Global Head of Structured Finance and Credit Portfolio for JP Morgan Chase. He also held key leadership roles at JP Morgan prior to its merger with the Chase Manhattan Corporation in 2000. He was actively involved in developing JP Morgan’s strategic agenda and was a member of the company’s capital and credit risk committees. Mr. Demchak is a director of BlackRock, Inc. He is a member of The Financial Services Roundtable and serves on the Regulatory Management Committee. He is a board member and past chairman of the Greater Pittsburgh Council of the Boy Scouts of America. In addition, he serves on the boards of directors of the Extra Mile Education Foundation and the YMCA of Pittsburgh. Mr. Demchak received a bachelor of science degree from Allegheny College and earned an MBA with an emphasis in accounting from the University of Michigan.

Robert Reilly

Mr. Robert Q. Reilly is Chief Financial Officer, Executive Vice President of PNC Financial Services Group Inc. He served as the head of PNC’s Asset Management Group from 2005 until April 2013. Previously, he held numerous management roles in both Corporate Banking and Asset Management. He was appointed Executive Vice President in February 2009.

Joseph Guyaux

Mr. Joseph C. Guyaux is Senior Vice Chairman and chief executive officer and president of PNC Mortgage in January 2015. Mr. Guyaux was Chief Risk Officer from February 2012 to January 2015, prior to which he served as President.

Vicki Henn

Ms. Vicki C. Henn is Chief Human Resource Officer, Executive Vice President of the Company. Ms. Henn joined PNC in 1994 and has held numerous management positions. Prior to being named to her current position, Ms. Henn was a Senior Vice President, responsible for Human Resources for Retail Banking.

E. William Parsley

Mr. E. William Parsley, III, is Executive Vice President, Chief Investment Officer, Treasurer of PNC Financial Services Group, Inc. He was appointed Executive Vice President in February 2009.

Joseph Rockey

Mr. Joseph E. Rockey is Executive Vice President, Chief Risk Officer of PNC Financial Services Groups, Inc. Prior to his appointment, Mr. Rockey led enterprise risk management and the Basel office within PNC’s risk management organization. Mr. Rockey joined PNC in 1999 and was appointed Executive Vice President in January 2015.

Mr. Gregory B. Jordan is Executive Vice President, General Counsel, Head of Regulatory and Government Affairs of PNC Financial Services Group, Inc., effective October 15, 2013. Prior to joining PNC, he served as the Global Managing Partner for the last 13 years of his 29 year tenure at Reed Smith LLP.

Mr. Neil F. Hall is Executive Vice President and head of Retail Banking of PNC Financial Services Group, Inc., since April 2012. Prior to being named to his current position, Mr. Hall led the delivery of sales and service to PNC’s retail and small business customers, directed branch banking, business banking, community development and PNC Investments.

Michael Hannon

Mr. Michael J. Hannon is the Executive Vice President, Chief Credit Officer of PNC Financial Services Group Inc. prior to which he served as Senior Vice President. He has served as Chief Credit Officer since November 2001. He also served as Interim Chief Risk Officer from December 2011 to February 2012.

Stacy Juchno

Ms. Stacy M. Juchno is Executive Vice President and General Auditor of PNC since April 2014. Ms. Juchno joined PNC in 2009 and previously served as a Senior Vice President and Finance Governance and Oversight Director.

Karen Larrimer

Ms. Karen L. Larrimer is Executive Vice President, Chief Marketing Officer of PNC Financial Services Group, Inc. She has served as Chief Customer Officer since April 2014, prior to which she served as Chief Marketing Officer.

Michael Lyons

Mr. Michael P. Lyons is Executive Vice President and Head of Corporate & Institutional Banking of PNC Financial Services Group, Inc., since November 2011. Prior to joining PNC in October 2011, from May 2010 until October 2011, Mr. Lyons was head of corporate development and strategic planning for Bank of America. Prior to joining Bank of America, from September 2004 to May 2010, Mr. Lyons held various positions at Maverick Capital, most recently as a principal focused on financial institutions investments.

Steven Van Wyk

Mr. Steven C. Van Wyk is Executive Vice President, Head of Technology and Operations of PNC Financial Services Group Inc. From 2007 until joining PNC, Mr. Van Wyk served as Global Chief Operating Officer for ING. He was appointed Executive Vice President of PNC in February 2013.

Gregory Kozich

Mr. Gregory H. Kozich is Senior Vice President, Controller of PNC Financial Services Group, Inc. Mr. Kozich joined PNC as Senior Vice President of PNC Bank in October 2010. Prior to joining PNC, Mr. Kozich was with FNMA from 2005 until late 2010, most recently serving as its corporate controller.

Thomas Usher

Mr. Thomas J. Usher is the Lead Independent Director of PNC Financial Services Group, Inc. Mr. Usher is the non-executive Chairman of Marathon Petroleum Corporation, a transportation fuels refining company, which began as an independent company on July 1, 2011. Until July 2011 he served as the non-executive Chairman of Marathon Oil Corporation, an integrated international energy company. He formerly served as the Chairman, Chief Executive Officer, and President of United States Steel Corporation, an integrated international steel producer, until his retirement in 2004. He served as the Chairman of the Board of U.S. Steel until 2006. Mr. Usher received an undergraduate degree, master’s degree, and Ph.D. from the University of Pittsburgh.

Charles Bunch

Mr. Charles E. Bunch is an Independent Director of PNC Financial Services Group, Inc. Mr. Bunch is the Chairman and Chief Executive Officer of PPG Industries, Inc., a Pittsburgh-based global supplier of paints, coatings, optical products, specialty materials, chemicals, glass and fiber glass. Mr. Bunch received an undergraduate degree from Georgetown University and a master’s degree in business administration from Harvard University. In addition, Mr. Bunch brings regulatory and banking industry experience to our Board as he formerly served as a Director and the Chairman of the Federal Reserve Bank of Cleveland, our principal banking regulator.

Paul Chellgren

Mr. Paul W. Chellgren is an ndependent Director of PNC Financial Services Group, Inc., since 1995. Mr. Chellgren is an Operating Partner with Snow Phipps Group, LLC, a New York City-based private equity firm. In 2002, he retired as the Chairman and Chief Executive Officer of Ashland, Inc., a provider of specialty chemical products, services and solutions, headquartered in Covington, Kentucky. He also served as the Chief Financial Officer of Ashland. Mr. Chellgren received an undergraduate degree from the University of Kentucky, a master’s degree in business administration from Harvard University, and a diploma in Developmental Economics from Oxford University.

Marjorie Cheshire

Ms. Marjorie Rodgers Cheshire is an Independent Director of The PNC Financial Services Group, Inc. Cheshire is president and chief operating officer of A&R Companies, the umbrella organization for A&R Development Corp. and A&R Management, Inc. A&R is a diversified real estate development organization focused on the Baltimore and Washington markets. Before joining A&R, Cheshire was senior director of Brand & Consumer Marketing for the National Football League. Prior to that, she held positions as vice president of Business Development for Oxygen Media, director and special assistant to the chairman & CEO of ESPN, manager of Strategic Marketing for ABC Daytime, and as a consultant with The Boston Consulting Group. She holds a bachelor of science in Economics from the University of Pennsylvania's Wharton School and an MBA from Stanford University.

Andrew Feldstein

Mr. Andrew T. Feldstein is an Independent Director of PNC Financial Services Group Inc. Mr. Feldstein is the Co-Founder and CEO of BlueMountain Capital Management, a leading alternative asset manager with $17 billion in assets under management and approximately 200 professionals worldwide. Prior to co-founding BlueMountain in 2003, Mr. Feldstein spent over a decade at JPMorgan where he was a Managing Director and served as Head of Structured Credit; Head of High Yield Sales, Trading and Research; and Head of Global Credit Portfolio. Mr. Feldstein is the acting Chair of the Upper West Success Academy, a New York City based charter school, and a Trustee of Third Way, a prominent, centrist think tank. He is a member of the Harvard Law School Leadership Council. In 2007, he co-founded the Darfur Project, a Clinton Global Initiative recipient that from 2007-2009 sponsored air lifts of relief supplies to Southern Sudan. Mr. Feldstein received an undergraduate degree from Georgetown University and a J.D. from Harvard Law School.

Kay James

Ms. Kay Coles James is an Independent Director of PNC Financial Services Group, Inc. Ms. James is President and Founder of The Gloucester Institute, a non-profit organization that trains and nurtures leaders in the African-American community. From 2001 to 2006, she served as director of the U.S. Office of Personnel Management, where she was President George W. Bush’s principal human resources advisor. She has also provided consulting services as a former Senior Partner in The J.C. Watts Companies. Ms. James received an undergraduate degree from Hampton University.

Richard Kelson

Mr. Richard B. Kelson is an Independent Director of PNC Financial Services Group, Inc. Mr. Kelson is the Chairman and CEO of ServCo, LLC, a strategic sourcing and supply chain management company. He has also served as an Operating Advisor with Pegasus Capital Advisors, L.P., a private equity fund manager. Mr. Kelson retired in 2006 as Chairman’s Counsel for Alcoa, a leader in the production and management of primary aluminum, fabricated aluminum, and alumina. At Alcoa, he served as a member of the executive council, the senior leadership group for the company. From 1994 to 1997, Mr. Kelson served as Alcoa’s General Counsel. From 1997 through 2005, he served as Alcoa’s Chief Financial Officer. Mr. Kelson received an undergraduate degree from the University of Pennsylvania, and a law degree from the University of Pittsburgh.

Anthony Massaro

Mr. Anthony A. Massaro is an Independent Director of PNC Financial Services Group Inc., since December 2002. Mr. Massaro is the retired Chairman and Chief Executive Officer of Lincoln Electric Holdings, Inc., a leader in the design, development and manufacture of welding products and cutting equipment. He retired as CEO in April 2005 and as Chairman in October 2005. Previously, Mr. Massaro served as a Group President of Westinghouse Electric Corporation, an electrical equipment and multipurpose engineering company, and in a variety of other executive positions at Westinghouse. Mr. Massaro received an undergraduate degree from the University of Pittsburgh.

Jane Pepper

Ms. Jane G. Pepper is an Independent Director of PNC Financial Services Group Inc. In June 2010, Ms. Pepper retired as the President of the Pennsylvania Horticultural Society (PHS), a non-profit organization, and America’s first horticultural society. Ms. Pepper received undergraduate and graduate degrees from the University of Delaware. Ms. Pepper brings a diverse set of experiences to our Board, beginning with her management experience at the PHS. For 30 years, Ms. Pepper led this Philadelphia-based organization, supervising over 100 employees, and executing a strategic plan with a vision of sustainability and community impact.

Donald Shepard

Mr. Donald J. Shepard is an Independent Director of PNC Financial Services Group, Inc., since April 2007. Mr. Shepard is the retired Chairman of the Executive Board and Chief Executive Officer of AEGON N.V., a large life insurance and pension company. Mr. Shepard received a master’s degree in business administration from the University of Chicago. Mr. Shepard joined our Board following PNC’s acquisition of Mercantile Bankshares Corporation. He joined the Mercantile Board of Directors in 1992.

Lorene Steffes

Ms. Lorene K. Steffes is an Independent Director of PNC Financial Services Group, Inc., since 2000. Ms. Steffes is an independent business advisor with executive, business management and technical expertise in the telecommunications and information technology industries. She formerly served as Vice President and General Manager, Global Electronics Industry, for IBM, an information technology company. Ms. Steffes also served as the President and Chief Executive Officer of Transarc Corporation, a software development firm, which was later acquired by IBM. Ms. Steffes received undergraduate and master’s degrees from Northern Illinois University.

Dennis Strigl

Mr. Dennis F. Strigl is an Independent Director of PNC Financial Services Group Inc., since August 2001. Mr. Strigl served as the President and Chief Operating Officer of Verizon Communications Inc., one of the world’s leading providers of communications services, until his retirement in December 2009. Prior to that, he was the President and Chief Executive Officer of Verizon Wireless, a joint venture controlled by Verizon. Mr. Strigl received an undergraduate degree from Canisius College and a master’s degree in business administration from Fairleigh Dickinson University.
