Name Description

James Rohr

 Mr. James E. Rohr has been appointed as Executive Chairman of the Board of PNC Financial Services Group Inc., effective April 23, 2013. Previously he served as Chairman of the Board, Chief Executive Officer of the Company. Mr. Rohr joined the company through the company's Management Development Program in 1972. Mr. Rohr received an undergraduate degree from the University of Notre Dame and a master’s degree in business administration from The Ohio State University. His Public Company Directorships includes: Allegheny Technologies Incorporated, BlackRock, Inc., EQT Corporation.

William Demchak

 Mr. William S. Demchak has been appointed as President, Chief Executive Officer, Director of PNC Financial Services Group Inc., effective April 23, 2013. He joined PNC in 2002 as chief financial officer. In 2005, he became head of Corporate & Institutional Banking. He was promoted to senior vice chairman in 2009 and named head of all PNC businesses in 2010. He was elected PNC president in April 2012. Prior to joining PNC, Mr. Demchak served as head of Structured Finance and Credit Portfolio for JPMorgan Chase & Co. Mr. Demchak is a director of BlackRock, Inc. He earned his undergraduate degree at Allegheny College and an MBA at the University of Michigan.

Joseph Guyaux

 Mr. Joseph C. Guyaux is Senior Vice Chairman, Chief Risk Officer of PNC Financial Services Group Inc., since February 2012. He was President of the Company effective February 15, 2012. He became responsible for PNC's middle market, corporate finance, capital markets, asset-based lending, real estate finance and leasing businesses in 2001 and 2002. The asset-based lending business serves clients from across the nation, while the real estate finance . The leasing business is one of the bank leasing companies in the United States. When appointed president in 2002, Guyaux assumed responsibility for PNC Advisors, is managers of trust and investment assets in the U.S. With more than 100 offices in 17 states, PNC Advisors offers full-service brokerage through J.J.B. Hilliard, W.L. Lyons, Inc. and PNC Investments, a division of Hilliard Lyons. PNC Advisors also offers services to wealthy families through its investment consulting division Hawthorn. In 1997, he was appointed deputy manager of the Consumer Banking business and later that year he was named chief executive officer of the Regional Community Bank. Guyaux serves on the boards of directors of Duquesne University, Consumer Bankers Association and the Board of Trustees of Carnegie Museums of Pittsburgh. A graduate of Brown University, Guyaux received his bachelor of science degree in 1972 and earned his master's in business administration from the University of Pittsburgh in 1984. He is also a graduate of the Stonier Graduate School of Banking.

Richard Johnson

 Mr. Richard J. Johnson is Chief Financial Officer, Executive Vice President of PNC Financial Services Group Inc. Mr. Johnson has served as Chief Financial Officer since August 2005. He was appointed Executive Vice President in February 2009 and was previously Senior Vice President.

Joan Gulley

Robert Hoyt

 Mr. Robert F. Hoyt is Executive Vice President, General Counsel, Chief Regulatory Affairs Officer of PNC Financial Services Group, Inc. He has served as General Counsel since June 2012 and as PNC’s Chief Regulatory Affairs Officer since May 2009. Neil Hall

 Mr. Neil F. Hall is Executive Vice President of PNC Financial Services Group, Inc., since April 2012. He has served as head of PNC’s Retail Banking since February 2012. Prior to being named to his current position, Mr. Hall led the delivery of sales and service to PNC’s retail and small business customers, directed branch banking, business banking, community development and PNC Investments. Mr. Hall joined PNC in 1995 and has held various positions within retail banking.

Michael Hannon

 Mr. Michael J. Hannon is Executive Vice President, Chief Credit Officer of PNC Financial Services Group Inc. He has served as Executive Vice President since February 2009, prior to which he served as Senior Vice President. He has served as Chief Credit Officer since November 2009. From February 2009 to November 2009 he also served as Chief Risk Officer and served as Interim Chief Risk Officer from December 2011 to February 2012.

Michael Lyons

 Mr. Michael P. Lyons is Executive Vice President of PNC Financial Services Group, Inc., since November 2011. He is head of Corporate and Institutional Banking. Prior to joining PNC in October 2011, from May 2010 until October 2011, Mr. Lyons was head of corporate development and strategic planning for Bank of America. Prior to joining Bank of America, from September 2004 to May 2010, Mr. Lyons held various positions at Maverick Capital, most recently as a principal focused on financial institutions investments.

Saiyid Naqvi

 Mr. Saiyid T. Naqvi is Executive Vice President of PNC Financial Services Group, Inc., since April 2012. He has served as Chief Executive Officer of PNC Mortgage since he returned to PNC in 2009. Mr. Naqvi had previously served as Chief Executive Officer of PNC Mortgage from 1993 until its sale in 2001. Prior to returning to PNC in 2009, Mr. Naqvi served as president of Harley Davidson Financial Services Inc.

Gregory Kozich

Mr. Kozich joined PNC as Senior Vice President of PNC Bank, N.A. in October 2010. Prior to joining PNC, Mr. Kozich was with Fannie Mae from 2005 until late 2010, most recently serving as its corporate controller.

Richard Berndt

 Mr. Richard O. Berndt is Independent Director of PNC Financial Services Group, Inc., since April 2007. Mr. Berndt is the Managing Partner of Gallagher Evelius & Jones LLP, a law firm based in Baltimore, Maryland. Mr. Berndt received an undergraduate degree from Villanova University, a law degree from the University of Maryland School of Law, and a master’s degree from Johns Hopkins University. Mr. Berndt joined Company's Board following PNC’s acquisition of Mercantile Bankshares Corporation. He joined the Mercantile Board of Directors in 1978.

Richard Kelson

 Mr. Richard B. Kelson is Independent Director of PNC Financial Services Group, Inc., since December 2002. Mr. Kelson is a private equity investor and advisor to middle-market companies. He is the Chairman and CEO of ServCo, LLC, a strategic sourcing and supply chain management company. He has also served as an Operating Advisor with Pegasus Capital Advisors, L.P., a private equity fund manager. Mr. Kelson retired in 2006 as Chairman’s Counsel for Alcoa, in the production and management of primary aluminum, fabricated aluminum, and alumina. Bruce Lindsay

 Mr. Bruce C. Lindsay is Independent Director of PNC Financial Services Group Inc., since 1995. Mr. Lindsay is a private equity investor and Chairman and Managing Member of 2117 Associates, LLC, a business consulting firm. For the majority of his professional life, Mr. Lindsay has invested in privately held companies. Anthony Massaro

 Mr. Anthony A. Massaro is Independent Director of PNC Financial Services Group Inc., since December 2002. Mr. Massaro is the retired Chairman and Chief Executive Officer of Lincoln Electric Holdings, Inc., development and manufacture of welding products and cutting equipment. He retired as CEO in April 2005 and as Chairman in October 2005. Previously, Mr. Massaro served as a Group President of Westinghouse Electric Corporation, an electrical equipment and multipurpose engineering company, and in a variety of other executive positions at Westinghouse. Jane Pepper

 Ms. Jane G. Pepper is Independent Director of PNC Financial Services Group Inc., since 1997. In June 2010, Ms. Pepper retired as the President of the Pennsylvania Horticultural Society (PHS), a non-profit organization, and America’s first horticultural society. Ms. Pepper received undergraduate and graduate degrees from the University of Delaware.

Donald Shepard

 Mr. Donald J. Shepard is Independent Director of PNC Financial Services Group, Inc., since April 2007. Mr. Shepard is the retired Chairman of the Executive Board and Chief Executive Officer of AEGON N.V., life insurance and pension company.  Ms. Lorene K. Steffes is Independent Director of PNC Financial Services Group, Inc., since 2000. She formerly served as Vice President and General Manager, Global Electronics Industry, for IBM, an information technology company. Ms. Steffes also served as the President and Chief Executive Officer of Transarc Corporation, a software development firm, which was later acquired by IBM.  Mr. Dennis F. Strigl is Independent Director of PNC Financial Services Group Inc., since August 2001. Mr. Strigl served as the President and Chief Operating Officer of Verizon Communications Inc., until his retirement in December 2009. Prior to that, he was the President and Chief Executive Officer of Verizon Wireless, a joint venture controlled by Verizon. George Walls

General Walls served on active duty for over 28 years in the United States Marine Corps, retiring at the rank of Brigadier General in 1993.
