Name Description

William Demchak

Mr. William S. Demchak is the Chairman of the Board, President, Chief Executive Officer of PNC Financial Services Group Inc. Mr. Demchak joined PNC in 2002 as chief financial officer. In July 2005, he was named head of PNC’s Corporate & Institutional Banking segment responsible for PNC’s middle market and large corporate businesses, as well as capital markets, real estate finance, equity management and leasing. Mr. Demchak was promoted to senior vice chairman in 2009, named head of PNC businesses in August 2010, and elected president in April 2012 and chief executive officer in April 2013. Before joining PNC in 2002, Mr. Demchak served as the Global Head of Structured Finance and Credit Portfolio for JP Morgan Chase. He also held key leadership roles at JP Morgan prior to its merger with the Chase Manhattan Corporation in 2000. He was actively involved in developing JP Morgan’s strategic agenda and was a member of the company’s capital and credit risk committees. Mr. Demchak is a director of BlackRock, Inc. He is a member of The Financial Services Roundtable and serves on the Regulatory Management Committee. He is a board member and past chairman of the Greater Pittsburgh Council of the Boy Scouts of America. In addition, he serves on the boards of directors of the Extra Mile Education Foundation and the YMCA of Pittsburgh. Mr. Demchak received a bachelor of science degree from Allegheny College and earned an MBA with an emphasis in accounting from the University of Michigan.

Robert Reilly

Mr. Robert Q. Reilly is Chief Financial Officer, Executive Vice President of the Company. He served as the head of PNC’s Asset Management Group from 2005 until April 2013. Previously, he held numerous management roles in both Corporate Banking and Asset Management. He was appointed Executive Vice President in February 2009.

Joseph Guyaux

Mr. Joseph C. Guyaux is Senior Vice Chairman and Chief Executive Officer and President of PNC Mortgage, subsidiary of the Company. Mr. Guyaux was Chief Risk Officer from February 2012 to January 2015, prior to which he served as President.

Vicki Henn

Ms. Vicki C. Henn is Chief Human Resource Officer, Executive Vice President of the Company. Ms. Henn joined PNC in 1994 and has held numerous management positions. Prior to being named to her current position, Ms. Henn was a Senior Vice President, responsible for Human Resources for Retail Banking.

Gregory Jordan

Mr. Gregory B. Jordan is Executive Vice President, Chief Administrative Officer, General Counsel of PNC Financial Services Group, Inc. Prior to joining PNC, he served as the Global Managing Partner for the last 13 years of his 29 year tenure at Reed Smith LLP. Prior to joining PNC, he served as the Global Managing Partner for the last 13 years of his 29 year tenure at Reed Smith LLP.

E. William Parsley

Mr. E. William Parsley, III, is Executive Vice President, Chief Investment Officer, Treasurer of the Company. He was appointed Executive Vice President in February 2009. In addition to retaining his current roles, Mr. Parsley will become head of PNC Mortgage in spring 2016 upon Mr. Guyaux’s retirement.

Joseph Rockey

Mr. Joseph E. Rockey is Executive Vice President, Chief Risk Officer of the Company. Prior to his appointment, Mr. Rockey led enterprise risk management and the Basel office within PNC’s risk management organization. Mr. Rockey joined PNC in 1999 and was appointed Executive Vice President in January 2015.

Orlando Esposito

Mr. Orlando C. Esposito is Executive Vice President, Head of Asset Management Group of the Company. Prior to being named to his current position, he held numerous leadership positions including Executive Vice President of Corporate Banking from November 2006 to April 2013.

Michael Hannon

Mr. Michael J. Hannon is the Executive Vice President, Chief Credit Officer of PNC Financial Services Group Inc. Prior to which he served as Senior Vice President. He has served as Chief Credit Officer since November 2001. He also served as Interim Chief Risk Officer from December 2011 to February 2012.

Stacy Juchno

Ms. Stacy M. Juchno is Executive Vice President and General Auditor of the Company. Ms. Juchno joined PNC in 2009 and previously served as a Senior Vice President and Finance Governance and Oversight Director.

Karen Larrimer

Ms. Karen L. Larrimer is Executive Vice President, Chief Customer Officer, Head - Retail Banking of the Company. She has served as Chief Customer Officer since April 2014, prior to which she served as Chief Marketing Officer. Larrimer is a 20 year veteran of the company. As head of Retail Banking and chief customer officer, she will focus on improved sales and exceptional customer service experiences, including enhanced online and mobile offerings. She will lead Customer Segments and Deposit Products, Digital, the Customer Care Centers, Business Banking, PNC Investments and Retail Distribution. Karen will retain leadership of Marketing, Customer Analytics, Innovation and the Office of the Customer. Prior to assuming her current position, Larrimer held various leadership positions within PNC, including as chief marketing officer, as executive vice president for Business Banking and as a leader in Treasury Management. She was previously a sales executive for Ernst & Young and had held management positions at Mellon Bank. Larrimer serves on the board of directors for The PNC Foundation, the Bank Administration Institute (BAI), Children's Museum of Pittsburgh , Goodwill of Southwestern Pennsylvania , United Way of Allegheny County and is a trustee for Robert Morris University .

Michael Lyons

Mr. Michael P. Lyons is Executive Vice President and Head of Corporate & Institutional Banking of the Company. Prior to joining PNC in October 2011, from May 2010 until October 2011, Mr. Lyons was head of corporate development and strategic planning for Bank of America. Prior to joining Bank of America, from September 2004 to May 2010, Mr. Lyons held various positions at Maverick Capital, most recently as a principal focused on financial institutions investments.

Steven Van Wyk

Mr. Steven C. Van Wyk is Executive Vice President, Head of Technology and Operations of the Company. From 2007 until joining PNC, Mr. Van Wyk served as Global Chief Operating Officer for ING. He was appointed Executive Vice President of PNC in February 2013.

Gregory Kozich

Mr. Gregory H. Kozich is Senior Vice President, Controller of the Company. He was appointed as Senior Vice President in November 2010.

Charles Bunch

Mr. Charles E. Bunch is an Independent Director of PNC Financial Services Group, Inc. Mr. Bunch is the Executive Chairman and former Chief Executive Officer of PPG Industries, Inc., a Pittsburgh-based global supplier of paints, coatings, optical products, specialty materials, chemicals, glass and fiberglass. Mr. Bunch received an undergraduate degree from Georgetown University and a master’s degree in business administration from Harvard University.

Marjorie Cheshire

Ms. Marjorie Rodgers Cheshire is an Independent Director of The PNC Financial Services Group, Inc. Marjorie Rodgers Cheshire is President and Chief Operating Officer of A&R Development Corp., a diversified real estate development organization focused on the Baltimore and Washington markets. A&R’s portfolio includes residential, commercial and mixed-use developments, ranging in value from $1 million to $152 million, with an aggregate value of more than $900 million. Prior to joining A&R, Ms. Cheshire spent many years in the media and sports industries. Her most recent position was as Senior Director of Brand & Consumer Marketing for the National Football League. Prior to that, Ms. Cheshire held positions as Vice President of Business Development for Oxygen Media, Director and Special Assistant to the Chairman & CEO of ESPN, and Manager of Strategic Marketing for ABC Daytime. Ms. Cheshire also worked as a consultant with The Boston Consulting Group, a strategic consulting firm serving Fortune 500 companies. Ms. Cheshire has a B.S. in Economics from the Wharton School of the University of Pennsylvania and a MBA from the Stanford University Graduate School of Business. She is a Trustee of Baltimore Equitable Insurance, Baltimore School for the Arts, Johns Hopkins Bayview Medical Center, and Johns Hopkins Hospital.

Andrew Feldstein

Mr. Andrew T. Feldstein is an Independent Director of PNC Financial Services Group Inc. Mr. Feldstein is the Chief Executive Officer and Co-Chief Investment Officer of BlueMountain Capital Management, a leading alternative asset manager with $21 billion in assets under management and approximately 285 professionals worldwide. Mr. Feldstein is the Chair of the firm’s Management Committee and a member of the Investment and Risk Committees. Prior to co-founding BlueMountain in 2003, Mr. Feldstein spent over a decade at JPMorgan where he was a Managing Director and served as Head of Structured Credit; Head of High Yield Sales, Trading and Research; and Head of Global Credit Portfolio. Mr. Feldstein is a Trustee of Third Way, a public policy think tank; a Trustee of the Santa Fe Institute, an independent research and education center; and a member of the Harvard Law School Leadership Council. Mr. Feldstein received an undergraduate degree from Georgetown University and a J.D. from Harvard Law School.

Daniel Hesse

Mr. Daniel R. Hesse is Independent Director of The PNC Financial Services Group, Inc. Daniel R. Hesse is the former President and Chief Executive Officer of Sprint Corporation, one of the United States’ largest wireless carriers. Mr. Hesse received a bachelor’s degree from the University of Notre Dame, a MBA from Cornell University and a MS from Massachusetts Institute of Technology where he was awarded the Brooks Thesis prize.

Kay James

Ms. Kay Coles James is an Independent Director of PNC Financial Services Group, Inc. Ms. James is President and Founder of The Gloucester Institute, a non-profit organization that trains and nurtures leaders in the African- American community. From 2001 to 2005, she served as director of the U.S. Office of Personnel Management, where she was President George W. Bush’s principal human resources advisor. She has also provided consulting services as a former Senior Partner in The J.C. Watts Companies. Ms. James received an undergraduate degree from Hampton University.

Richard Kelson

Mr. Richard B. Kelson is an Independent Director of PNC Financial Services Group, Inc. Mr. Kelson is the Chairman, President and Chief Executive Officer of ServCo, LLC, a strategic sourcing and supply chain management company. He has also served as an Operating Advisor with Pegasus Capital Advisors, L.P., a private equity fund manager. Mr. Kelson retired in 2006 as Chairman’s Counsel for Alcoa, a leader in the production and management of primary aluminum, fabricated aluminum, and alumina. At Alcoa, he served as a member of the executive council, the senior leadership group for the company. From 1994 to 1997, Mr. Kelson served as Alcoa’s General Counsel. From 1997 through 2005, he served as Alcoa’s Chief Financial Officer. Mr. Kelson received an undergraduate degree from the University of Pennsylvania, and a law degree from the University of Pittsburgh.

Jane Pepper

Ms. Jane G. Pepper is an Independent Director of PNC Financial Services Group Inc. In June 2010, Ms. Pepper retired as the President of The Pennsylvania Horticultural Society (PHS), a non-profit organization, and America’s first horticultural society. Ms. Pepper received undergraduate and graduate degrees from the University of Delaware. Ms. Pepper brings a diverse set of experiences to our Board, beginning with her management experience at PHS. For 30 years, Ms. Pepper led this Philadelphia-based organization, supervising over 100 employees, and executing a strategic plan with a vision of sustainability and community impact. Beyond this leadership, the Board appreciates her insights as PNC continues to expand our own environmentally conscious initiatives.

Donald Shepard

Mr. Donald J. Shepard is an Independent Director of PNC Financial Services Group, Inc. Mr. Shepard is the retired Chairman of the Executive Board and Chief Executive Officer of AEGON N.V., a large life insurance and pension company. Mr. Shepard received a master’s degree in business administration from the University of Chicago. Mr. Shepard joined our Board following PNC’s acquisition of Mercantile Bankshares Corporation. He joined the Mercantile Board of Directors in 1992.

Lorene Steffes

Ms. Lorene K. Steffes is an Independent Director of PNC Financial Services Group, Inc.. Ms. Steffes is an independent business advisor with executive, business management and technical expertise in the telecommunications and information technology industries. She formerly served as Vice President and General Manager, Global Electronics Industry, for IBM, an information technology company. Ms. Steffes also served as the President and Chief Executive Officer of Transarc Corporation, a software development firm, which was later acquired by IBM. Ms. Steffes received undergraduate and master’s degrees from Northern Illinois University.

Dennis Strigl

Mr. Dennis F. Strigl is an Independent Director of PNC Financial Services Group Inc. Mr. Strigl served as the President and Chief Operating Officer of Verizon Communications Inc., one of the world’s leading providers of communications services, until his retirement in December 2009. Prior to that, he was the President and Chief Executive Officer of Verizon Wireless, a joint venture controlled by Verizon. Mr. Strigl received an undergraduate degree from Canisius College and a master’s degree in business administration from Fairleigh Dickinson University.

Michael Ward

Mr. Michael J. Ward is Independent Director of The PNC Financial Services Group, Inc. Michael J. Ward is the Chairman and Chief Executive Officer of CSX Corporation, one of the world’s largest railroad companies. Mr. Ward received a bachelor’s degree from the University of Maryland and a MBA from the Harvard Business School.

Gregory Wasson

Mr. Gregory D. Wasson is an Independent Director of the Company. He is the former president and chief executive officer of Walgreens Boots Alliance, the first global pharmacy-led, health and wellbeing enterprise. Wasson joined Walgreens in 1980 while a pharmacy student at Purdue University . A registered pharmacist, he was appointed to positions of increasing responsibility throughout his 35-year career at Walgreens, including president of Walgreens Health Initiatives in 2002, senior vice president of Walgreens in 2004, executive vice president in 2005 and president and chief operating officer of Walgreens in 2007. In 2009, Wasson became the president and chief executive officer and a member of the Walgreens board.

William Callihan
