Name Description

Dallas Howe

Mr. Dallas J. Howe is no longer Independent Chairman of the Board of Potash Corporation of Saskatchewan Inc. effective may 5, 2015. Mr. Howe is owner and Chief Executive Officer of DSTC Ltd., a technology investment company. He is a director of Advanced Data Systems Ltd., the C.D. Howe Institute, the Global Food Security Institute at the University of Saskatchewan and a Fellow of the Institute of Corporate Directors. A director of the Crown corporation from 1982 to 1989, he joined the Corporation’s Board in 1991 and was elected Chair in 2003. He previously served as a director of Viterra Inc.

Jochen Tilk

Mr. Jochen Tilk is President, Chief Executive Officer, Non Independent Director of the Company effective July 1, 2014. He joined the company on July 1, 2014 in his current capacity, of President and Chief Executive Officer. He serves as the Chairman of Canpotex Ltd. He is also a member of the Canadian Council of Chief Executives and the C.D. Howe Institute.Mr. Tilk came to PotashCorp after a 30-year career in the mining industry, most recently serving as President and CEO of Inmet Mining Corporation (2009-2013), a Canadian metals company with operations and projects in numerous countries around the world. During his 24 years at Inmet, Mr. Tilk helped grow that company’s market capitalization through asset optimization, organic growth and strategic acquisitions. He led a multi-billion dollar capital expenditure program — including new mine developments in Spain and Central America — and helped establish a portfolio of assets that was recognized as a leader in quality and cost. Mr. Tilk is a mining engineer and holds a Master’s degree in engineering from the University of Aachen in Germany.

Wayne Brownlee

Mr. Wayne R. Brownlee is Chief Financial Officer, Executive Vice President and Treasurer of Potash Corporation of Saskatchewan Inc. He was appointed Executive Vice President and Chief Financial Officer of PotashCorp in 2006 after serving as Senior Vice President, Treasurer and Chief Financial Officer since 1999. Prior to that, he held the titles of Senior Vice President, Expansion and Development, Vice President, Expansion and Development and Director, Business Development with the company. He also coordinated the privatization of PotashCorp in 1988, which transformed the company from a provincial Crown corporation to a publicly traded entity.Before joining PotashCorp, Mr. Brownlee served in the Department of Finance for the Government of Saskatchewan, including three years as Associate Deputy Minister of the Treasury Board Division. He earned Master's Degree in Business Administration from the University of Saskatchewan. He is also a director for PhilomBios, an agricultural biotechnology company, and Great Western Brewing Company.

Stephen Dowdle

Dr. Stephen Francis Dowdle, Ph.D., is President - PCS Sales of Potash Corporation of Saskatchewan Inc. He served as the Senior Vice President - Fertilizer Sales of the company. He joined the Company in 1999 as Vice President, International Fertilizer Sales, and one year later was promoted to Vice President, Fertilizer Sales. Effective January 1, 2006, he was named Senior Vice President, Fertilizer Sales, responsible for all domestic and international fertilizer transactions. He currently serves on the Board of Directors of the Phosphate Chemicals Export Association (PhosChem) and Sinochem Hong Kong Holdings Limited (Sinofert). Dr. Dowdle came to PotashCorp with international experience, having served for 10 years as Vice President and Managing Director for Canpotex (Singapore) Pte. Ltd. and for four years as Director, China Programs, for the Potash & Phosphate Institute. Dr. Dowdle earned his Master's and Doctorate degrees in Agronomy and Soil Science from the University of Hawaii. He also holds a Bachelor of Arts degree in Anthropology from Brown University.

G. David Delaney

Mr. G. David Delaney is Chief Operating Officer and Executive Vice President of Potash Corporation of Saskatchewan Inc. He was appointed President, PCS Sales of the company on March 24, 2000. Mr. Delaney joined PotashCorp as Vice President, Industrial Sales, PCS Sales in March 1997, following the acquisition of Arcadian Corporation, where he had been Vice President, Agricultural Sales, for its eastern territory. In March 2000, he was appointed President PCS Sales. In 1983, Mr. Delaney accepted his first position as a sales representative with Allied Chemicals' fertilizer division, which became Arcadian in 1984. In 1987, he expanded his territory and experience, moving from a position as Product Supervisor in nitrogen and phosphate into supervisory roles as a Product Manager, Manager of Industrial Sales, Director of Industrial Sales, VP Ag Sales-East and, eventually, Vice President, Industrial Sales. Mr. Delaney earned a Bachelor of Science degree in Agriculture from Southern Illinois University in 1983 and has completed Vanderbilt's Sales Management Program and the Executive Management Program at the University of Pittsburgh.

Joseph Podwika

Mr. Joseph A. Podwika is Senior Vice President, General Counsel and Secretary of Potash Corporation of Saskatchewan. He joined the Company in 1997 in its Memphis office where he served as litigation and general business counsel. He moved to Chicago in 2000 to serve as senior counsel to the Corporation's phosphate business and since 2002, has been responsible for all U.S. legal affairs. Before joining PotashCorp, Mr. Podwika worked in the legal department of International Paper Company in Memphis and was in private practice with the Buffalo, New York, law firm, Jaeckle, Fleischmann & Mugel. Mr. Podwika earned a bachelor's degree in English with highest honors from State University of New York at Buffalo in 1984 and a Juris Doctorate from Northwestern University School of Law in 1987. He is a member of the American Bar Association, The Canadian Bar Association, the Canadian Corporate Counsel Association, the Association of Corporate Counsel, the Chicago Bar Association and the Society of Corporate Secretaries and Governance Professionals.

Denis Sirois

Mr. Denis A. Sirois is Vice President and Corporate Controller of Potash Corporation of Saskatchewan Inc. He has had a history with PotashCorp, joining the corporation in 1978. He was the General Accountant for PCS Mining until 1983, when he became Chief Accountant for PCS Potash Cory Division, a position he held until 1987. He then took on the role of Controller for PCS Inc. and with a promotion in 1997, added Vice President to his title. As Vice President and Corporate Controller, Mr. Sirois is responsible for preparation of financial statements, compliance with reporting requirements to shareholders, internal control implementation, audit coordination, reporting to the Audit Committee and the accounting policies and procedures. Mr. Sirois was born in Saskatoon, Saskatchewan. He attended the University of Saskatchewan, earning a Bachelor of Commerce degree in 1977. From 1977-1978, he was employed at the Bank of Montreal in Thompson and Winnipeg, Manitoba. In 1983, he attained his Certified Management Accountant designation.

Mr. Gerald W. Grandey is an Independent Director of Potash Corporation Of Saskatchewan Inc. Mr. Grandey was formerly Chief Executive Officer of Cameco Corporation, a Saskatoon-based uranium provider. He is a director of Canadian Oil Sands Limited, Rare Element Resources Ltd. and Sandspring Resources Ltd. Mr. Grandey is Chairman Emeritus on the board of directors of the World Nuclear Association. With over 23 years of global fertilizer sales and marketing management experience, he retired as Senior Vice President and President, Sales and Marketing of IMC Global upon completion of the IMC Global and Cargill Fertilizer merger, which created the Mosaic Company. He is a former Chairman and President of the Phosphate Chemicals Export Association, Inc. and a former Chairman of Canpotex Limited.

Ms. Alice D. Laberge is Independent Director of Potash Corporation of Saskatchewan Inc. Ms. Laberge is a Corporate Director and the former President, Chief Executive Officer and Chief Financial Officer of Fincentric Corporation, a global provider of software solutions to financial institutions. She was previously Senior Vice President and Chief Financial Officer of MacMillan Bloedel Limited. She is a director of the Royal Bank of Canada, Russel Metals Inc. and Silverbirch Holdings Inc. and has served as a director of Catalyst Paper Corporation and St. Paul’s Hospital Foundation in Vancouver. Ms. Madere has over 30 years of domestic and global experience, spanning manufacturing, strategy, technology, business development, profit & loss responsibility and general management, and she retired from Monsanto Company as Vice President, Global Vegetables and Asia Commercial. Ms. Madere serves on the Strategic Planning Committee of the Hispanic Association on Corporate Responsibility and the Dean’s Advisory Council of the Louisiana State University Honors College. Ms. Madere received her Masters of Business Administration from the University of Iowa, and her Bachelor of Science degree in Chemical Engineering from Louisiana State University. She has also been certified by the National Association of Corporate Directors as a Governance Fellow, and in 2013 attended the Stanford Director’s College.

Mr. Keith G. Martell is Independent Director of Potash Corporation of Saskatchewan Inc. Mr. Martell is Chairman and Chief Executive Officer of First Nations Bank of Canada, a Canadian chartered bank primarily focused on providing financial services to the Aboriginal marketplace in Canada. He is a chartered accountant, formerly with KPMG LLP. He is a director of the Canadian Chamber of Commerce and serves on the Dean’s Advisory Council of the University of Saskatchewan’s Edwards School of Business. Mr. Jeffrey J. McCaig is Independent Director of Potash Corporation of Saskatchewan Inc. Mr. McCaig is Chairman and Chief Executive Officer of the Trimac Group of Companies, a North American provider of bulk trucking and third-party logistics services. Prior to that, he practiced law, specializing in corporate financing and securities. He is Chairman and director of Bantrel Co., an engineering, procurement and construction company, a director of Orbus Pharma Inc.(4) and MEG Energy Corp and a director and co-owner of the Calgary Flames Hockey Club. Mr. McCaig is a former director of The Standard Life Assurance Company of Canada.

Mary Mogford

Ms. Mary A. Mogford is no longer Independent Director of Potash Corporation of Saskatchewan Inc. effective may 10 ,2015 .Ms. Mogford is a Corporate Director and a former Ontario Deputy Minister of Finance and Deputy Minister of Natural Resources. She is currently a director of Nordion Inc. and an honorary member of the boards of the Hospital For Sick Children and Trent University. She is a Fellow of the Institute of Corporate Directors and an accredited director under the ICD/Rotman School of Business Directors’ Education Program.
