Name Description

William Starnes

Mr. William Stancil Starnes, Esq., is Chairman of the Board, President, Chief Executive Officer of ProAssurance Corp. Mr. Starnes was appointed as Chief Executive Officer of ProAssurance in July 2007 and has served as the Chairman of the Board since October 2008. Mr. Starnes previously served as President, Corporate Planning and Administration of Brasfield & Gorrie, Inc., commercial construction firm. Prior to October 2006, Mr. Starnes served as the Senior and Managing Partner of the law firm of Starnes & Atchison, LLP, where he was involved with ProAssurance and its predecessors in the defense of medical professional liability claims for over 25 years. Mr. Starnes currently serves as a director of Infinity Property and Casualty Corporation, a public insurance holding company, where he serves on the audit, compensation and executive committees. He formerly served as a director of Alabama National Bancorporation.

Edward Rand

Mr. Edward L. Rand, Jr., CPA., is Chief Financial Officer, Executive Vice President of ProAssurance Corp. Prior to joining ProAssurance in November of 2004, Mr. Rand was Chief Accounting Officer and Head of Corporate Finance for PartnerRe Ltd. from 2000 - 2004. He also served as the Chief Financial Officer of Atlantic American Corporation from 1996 - 2000 and Controller of United Capitol Insurance Company from 1992 - 1996. Prior to this time Mr. Rand was employed by Coopers & Lybrand (now PriceWaterhouseCoopers) for four years. Mr. Rand is a certified public accountant and is a graduate of Davidson College where he majored in Economics.

Michael Boguski

Mr. Michael L. Boguski is President of Eastern Insurance, a subsidiary of ProAssurance Corp. Prior to the acquisition of Eastern, Mr. Boguski served as President and Chief Executive Officer of Eastern, and first joined Eastern in 1997. Mr. Boguski has 26 years of insurance industry experience.

Mary Peterson

Ms. Mary Todd Peterson is President of Medmarc Casualty Insurance Company, a subsidiary of ProAssurance Corp. Prior to the acquisition of Medmarc, Ms. Peterson served as Medmarc's President and CEO. She previously served as Medmarc's Senior Vice President and Chief Operating Officer as well as its Senior Vice President, Chief Financial Officer and Treasurer. Ms. Peterson has 19 years of insurance industry experience and 18 years of public accounting experience. Ms. Peterson serves on the Board of Governors for the Property Casualty Insurance Association of America where she chairs the Investment Committee and serves on the Executive and Finance Committees. Ms. Peterson also serves on the Board of Directors of The Community Financial Corporation where she chairs the Audit Committee.

Ross Taubman

Mr. Ross E. Taubman is President, Chief Medical Officer - Podiatric Insurance Company of America (PICA), a subsidiary of ProAssurance Corp. Prior to joining PICA Dr. Taubman practiced podiatry for 26 years. During that time, Dr. Taubman served as Treasurer, Vice-President and President of the Maryland Podiatric Medical Association. Dr. Taubman is a diplomate in the American Board of Podiatric Surgery.

Jeffrey Lisenby

Mr. Jeffrey P. Lisenby is Executive Vice President, General Counsel, Corporate Secretary of ProAssurance Corp. Mr. Lisenby joined Medical Assurance, the predecessor to ProAssurance, in 2001 and has served as head of the corporate Legal Department since that time. Prior to joining Medical Assurance, he was in private practice in Birmingham, Alabama, from 1996 to 2001 and served as a judicial clerk for the United States District Court for the Northern District of Alabama from 1995 to 1996. Mr. Lisenby received his bachelor and law degrees from The University of Alabama. He is a member of the Alabama State Bar and the United States Supreme Court Bar and is a Chartered Property Casualty Underwriter.

Frank O'Neil

Mr. Frank B. O'Neil is Senior Vice President, Chief Communications Officer and Investor Relations of ProAssurance Corp. Mr. O’Neil joined the Company's predecessor in 1987 and has been Senior Vice President of Corporate Communications since 1997.

Kelly Brewer

Ms. Kelly B. Brewer is the Chief Accounting Officer, Vice President of ProAssurance Corp. Ms. Brewer joined ProAssurance in January of 2008 as the Vice President of Finance. Prior to joining ProAssurance, Ms. Brewer was a Senior Manager for PricewaterhouseCoopers serving audit clients in insurance and financial services for four years. Prior to this time, Ms. Brewer served financial services clients in audit and forensic accounting engagements for five years. Ms. Brewer is a certified public accountant and received a Master of Taxation degree from the University of Tennessee and a Bachelor of Science in Accounting from the University of Alabama.

Howard Friedman

Mr. Howard H. Friedman is Chief Underwriting Officer and Chief Actuary of ProAssurance Corp., and President of Healthcare Professional Liability Group, a subsidiary of ProAssurance Corp. Mr. Friedman joined one of the predecessor companies of ProAssurance, Medical Assurance, in 1996, and earlier responsibilities included serving as ProAssurance's chief financial officer from its inception in 2001 through March of 2005 and managing the company’s information systems and compliance functions, merger and acquisition analysis, and strategic planning. Prior to joining Medical Assurance, he served as Executive Vice President and Chief Operating Officer with the P.I.E. Mutual Insurance Company (1990-1996), Vice President and Actuary of Medical Mutual Liability Insurance Society of Maryland (1983-1990) and Associate Actuary of Scor Reinsurance Company (1980-1983). Mr. Friedman is a graduate of The College of Insurance (NY), with a B.S. in Actuarial Science. He is an Associate of the Casualty Actuarial Society and a member of the American Academy of Actuaries.

Darryl Thomas

Mr. Darryl K. Thomas is Chief Claims Officer of ProAssurance Corp., and Co-President of Professional Liability Group, a subsidiary of ProAssurance Corp. Mr. Thomas has been with ProAssurance since its inception and currently serves as a Co-President of the Company's Professional Liability Group, a position he has held since October 2005, and the company's Chief Claims Officer. Previously, Mr. Thomas was Senior Vice President of Claims for Professionals Group. Prior to joining the predecessor to Professionals Group in 1995, Mr. Thomas was Executive Vice President of a national third-party administrator of professional liability claims. Prior to that time, Mr. Thomas served as Vice President and Litigation Counsel for the Kentucky Hospital Association.

Robert Flowers

Dr. Robert E. Flowers, M.D., is Lead Independent Director of ProAssurance Corp. Prior to June 2001, Dr. Flowers served as a director of insurance subsidiary, ProAssurance Indemnity Company, Inc. (formerly, The Medical Assurance Company, Inc.) from 1985 to 2001, and as a director of its former holding company, Medical Assurance, Inc. (1995-2001). Dr. Flowers practiced as a physician with Gynecology Associates of Dothan P.C., Dothan, Alabama, prior to his retirement in 2001.

Samuel Di Piazza

Mr. Samuel A. Di Piazza, Jr., is Independent Director of ProAssurance Corp. Mr. Di Piazza has most recently been the Vice-Chairman in the Institutional Clients Group of Citi,a position he will leave in February after serving in that capacity since 2011. Prior to joining Citi, he served as the Global Chief Executive Officer of PricewaterhouseCoopers International Limited (PwC) from 2002 to 2009. His 36-year career at PwC included 30 years as a partner, during which he served as Chairman and Senior Partner at PwC U.S. and was a member of the firm’s Global Leadership Team. He led PwC during the large majority of its first decade after the merger of Coopers & Lybrand with Price Waterhouse, a time in which PwC experienced record revenue and growth while expanding operations to become the provider of professional services throughout the world. His specialties were mergers & acquisitions, the financial services industry and international tax. During his career, he led the US and Americas Tax Practices and the PwC offices in Birmingham, Alabama, Chicago, Illinois, and New York City. He has served as a Trustee of the London-based International Financial Reporting Standards Foundation, the US-based Financial Accounting Foundation, and is past Chairman of the World Business Council on Sustainable Development, and past Chairman, Board of Trustees, of The Conference Board, Inc. Mr. Di Piazza serves as a member of the Board of Directors of St. Patrick’s Cathedral in New York City, the Executive Committee of the National September 11 Memorial & Museum, and the Inner City Scholarship Fund of New York City. Mr. Di Piazza is a member of the Board of Directors of DirecTV, Inc. (DTV), a New York Stock Exchange listed company. He received a bachelor’s degree in Accounting from the University of Alabama and a master’s degree in Tax Accounting from the University of Houston.

M. James Gorrie

Mr. M. James Gorrie is Independent Director of ProAssurance Corp. Mr. Gorrie is the President and Chief Executive Officer of Brasfield & Gorrie in Birmingham, Alabama, a construction firm with recent annual revenues in excess of $2 billion. He holds a B.S. in Building Science from Auburn University and serves as a Director of First Commercial Bank (a division of Synovus Bank, one of community banks in the Southeast) and St. Vincent’s Hospital in Birmingham, among other entities.

William Listwan

Dr. William J. Listwan, M.D., is Independent Director of ProAssurance Corp. Dr. Listwan was a member of the Board of Directors of ProAssurance Wisconsin Insurance Company (‘‘PRA Wisconsin’’), formerly Physicians Insurance Company of Wisconsin, Inc. from its organization in 1986 until its merger with ProAssurance in August 2006. Dr. Listwan practiced Internal Medicine with the Aurora Health Center in West Bend, Wisconsin, from July 1974 to April 2006. From April 2006 until July 2009 he practiced on the faculty of the Medical College of Wisconsin (“MCW”). He continues to teach medical students as a volunteer and currently holds an appointment as Associate Clinical Professor of Medicine at MCW. He has served as a member of the Board of Trustees at MCW and was the President of Wisconsin Medical Society from 1992-1993. He currently works part time for Quad-Med, a subsidiary of Quad Graphics, Inc, in Milwaukee.

John McMahon

Mr. John J. McMahon, Jr., Esq., is Independent Director of ProAssurance Corp. Mr. McMahon has served as Chairman of Ligon Industries, a manufacturer of waste water treatment equipment, aluminum castings and hydraulic cylinders, following his service as Chairman of the executive committee of McWane, Inc. in Birmingham, Alabama, from 1999 until December 31, 2005. Mr. McMahon currently serves as a director of Protective Life Corporation, a public insurance holding company based in Birmingham, Alabama and formerly served as a director of Alabama National BanCorporation and John H. Harland Company.

Ann Putallaz

Ms. Ann F. Putallaz, Ph.D., is Independent Director of ProAssurance Corp. Prior to 2001, Ms. Putallaz served as a director of predecessor, Professionals Group, Inc. (1996-2001), and as its Vice-Chairman (1999-2001). Ms. Putallaz received her Ph.D. in economics in 1974 and has served in various capacities for firms engaged in the investment management business since 1983. Ms. Putallaz is currently Principal of AFP Consulting, LLC. She retired from Munder Capital Management, an investment advisor to The Munder Funds, an open end investment company registered under the Investment Company Act of 1940 where she served as Director of Data & Communication Services.

Frank Spinosa

Dr. Frank A. Spinosa is Independent Director of ProAssurance Corp. Dr. Spinosa is a board-certified podiatrist and is a partner and founder of Shelter Island Podiatry Associates in Shelter Island, New York. Dr. Spinosa serves as a member of the Board of Trustees and as Vice President of the American Podiatric Medical Association and is a past President of the New York State Podiatric Medical Association. He has taught as an Associate Professor of Radiology at the New York College of Podiatric Medicine.

Anthony Tersigni

Dr. Anthony R. Tersigni, Ed.D., FACHE is Independent Director of ProAssurance Corp., since May 16, 2012. Dr. Tersigni is the President and Chief Executive Officer of Ascension Health Alliance in St. Louis, Missouri, the new parent holding company for Ascension Health. Ascension Health is the not-for-profit and the Catholic health system in the United States. Prior to the creation of the new holding company organizational structure, Dr. Tersigni served as the President and Chief Executive Officer of Ascension Health for over 7 years. Dr. Tersigni holds a doctorate in the field of leadership and organizational development from Western Michigan University in Kalamazoo, Michigan, as well as honorary doctorates from the Aquinas Institute of Theology and St. Louis University.

Thomas Wilson

Mr. Thomas A.S. Wilson, Jr., M.D., Independent Director of ProAssurance Corp. Dr. Wilson is a board-certified neurosurgeon with Neurosurgical Associates, P.C., in Birmingham, Alabama. He holds a B.S. in natural science and mathematics from Washington & Lee University and M.D. from Vanderbilt University. He completed an internship in general surgery and a residency in neurosurgery at Bowman Gray School of Medicine, Wake Forest University.
