Name Description

Harold Gordon

Mr. Harold Philip Gordon, Q.C., is Chairman of the Board of Pethealth Inc. Prior to becoming Chairman of Dundee Corporation in 2001, Mr. Gordon served as Executive Director and Vice Chairman of Hasbro Inc., from 1995 to 2002, and was a Partner with Stikeman Elliott from 1975 to 1995 where he served in several capacities, including a Managing Partner. Mr Gordon also currently sits on the boards of Alliance Atlantis Communications Inc., Dorel Industries Inc., Jeanne Sauve Scholars, Madacy Entertainment L.P., Transcontinental Inc. and Sonomax Hearing Healthcare Inc.

E. Mark Warren

Mr. E. Mark Warren is President, Chief Executive Officer, Director of Pethealth Inc. Mr. Warren is a graduate of the University of Toronto and The London School of Economics. He spent 11 years holding a number of senior positions with a U.K. merchant bank working in its London, Tokyo and Toronto offices. Following his departure from the bank, Mr. Warren was involved in a number of financial start-ups (including the mutual fund and insurance industries).

Glen Tennison

Mr. Glen Tennison is Chief Financial Officer and Secretary of Pethealth Inc. Mr. Tennison, a Chartered Accountant formerly of PriceWaterhouseCoopers, is a graduate of McMaster University. Prior to joining Pethealth in 1999, he held finance positions in Toronto's Entertainment Industry. His responsibilities are in the areas of Finance and Administration.

David Atkins

Mr. David H. Atkins is Independent Director of Pethealth Inc. Mr Atkins graduated from Oxford University with a Master of Arts in Law. Following his designation as a Chartered Accountant in England, he came to Canada in 1962 and in 1974 was awarded his FCA at the Ontario Institute of Chartered Accountants. He was a partner at Coopers & Lybrand for 29 years, and at various stages of his career, served on that firm’s Executive Committee and led its audit and accounting practice, its financial service practice and its international affairs. After his retirement from C&L, he became Chairman of Swiss Reinsurance Canada and Swiss Re Life & Health Canada. He also serves on the American boards of Swiss Re. He is Chairman of Nightingale Informatix Inc. and is a governor of Actra Fraternal Benefit Society. In addition to chairing the company's audit committee, he is Chairman of the audit committee of Kingsway Financial Services Inc., an SEC and OSC registrant.

W. Brian Edwards

Mr. W. Brian Edwards is Independent Director of Pethealth Inc. Mr. Edwards is an entrepreneur and founder of BCE Emergis. Under his leadership as CEO from 1988 to 2002, the company grew from a start-up to one of North America’s electronic commerce companies. In addition, Mr. Edwards is Chairman of Miranda Technologies Inc., Chairman of the Board of Biotonix Inc. and a member of the Board of Directors of Camoplast Inc and Impath Network. Mr. Edwards is active in the community. He is vice-chairman of the Board of Governor of Concordia University. He is a past president of CATA (Canadian Advanced technology Alliance) and has been active in Centraide/United Way including being a past Co-Chairman of the Centraide of Greater Montréal campaign. Mr. Edwards holds a bachelor of Commerce from Concordia University (Loyola).

Pierre Raymond

Mr. Pierre Raymond is Independent Director of Pethealth Inc. Mr. Raymond has been a partner with Stikeman Elliott LLP since 1985 and is a member of the board and executive committee of the firm. His practice focuses primarily on public mergers and acquisitions, securities regulation and corporate finance. Mr. Raymond acts as counsel to various corporations with regard to national and international securities offerings, tender offers and financings. Mr. Raymond also counsels US and European clients as to Quebec law in connection with international privatizations, tender offers and acquisitions.

Richard Renaud

Mr. Richard J. Renaud is Independent Director of Pethealth Inc. Mr. Renaud is President of Northbrock Capital Inc., and Chairman and Founding Partner of Wynnchurch Capital Limited. Mr. Renaud has played key managerial and directorship roles in the strategic realignment of a number of companies including: AMJ Campbell, BCE Emergis, Canstar Sports, CS Resources Limited, Diagem, iaxis BV, Dundee Bancorp Inc., Radiomutuel and Weider Health and Fitness. Mr. Renaud has industry experience working with companies serving the following sectors: consumer products, publishing, manufacturing and financial services.

Martha Wilder

Ms. Martha S. Wilder is Independent Director of Pethealth Inc. Ms. Wilder is the President of The Wilder Group Inc., a consulting practice specializing in pet-related business start-ups and veterinary affairs. She also serves as the Executive Director of the Pet Food Association of Canada and is currently the official spokesperson. Previously, Ms. Wilder was the Executive Director with the Ontario Veterinary Medical Association and was the Managing Editor of their magazine "FOCUS". Ms. Wilder is a member of both the Canadian Society of Association Executives and the American Society of Veterinary Medical Association Executives.
