Name Description

John Donahoe

Mr. John J. Donahoe is Chairman of the Board of the Company. He served as the President and Chief Executive Officer of eBay from March 2008 to July 2015, and a director from January 2008 to July 2015. From January 2012 until April 2012, Mr. Donahoe served as Interim President of the PayPal business. From January 2008 to March 2008, Mr. Donahoe served as CEO-designate of eBay. From March 2005 to January 2008, Mr. Donahoe served as President, eBay Marketplaces. From January 2000 to February 2005, Mr. Donahoe served as the Worldwide Managing Director of Bain & Company. Mr. Donahoe also serves on the Board of Directors of Intel Corporation and Nike, Inc. Mr. Donahoe received his B.A. in Economics from Dartmouth College and an M.B.A. from the Stanford Graduate School of Business.

Daniel Schulman

Mr. Daniel H. Schulman is Daniel H. Schulman is President, Chief Executive Officer, Director of the Company. Mr. Schulman has served as President and Chief Executive Officer of PayPal since July 2015. He had served as the President and CEO-Designee of PayPal from September 2014 until July 2015. From August 2010 to August 2014, Mr. Schulman served as Group President, Enterprise Group of American Express Company, a financial services company. Mr. Schulman was President, Prepaid Group of Sprint Nextel Corporation, a cellular phone service provider, from November 2009 until August 2010, when Sprint Nextel acquired Virgin Mobile, USA, a cellular phone service provider. Mr. Schulman also serves on the Board of Directors of Flextronics International Ltd. and Symantec Corporation. John Rainey

Mr. John D. Rainey is Chief Financial Officer, Senior Vice President Paypal Holdings, Inc. He joined PayPal in 2015 as Chief Financial Officer overseeing PayPal’s financial stability and growth. As part of the management team, John leads PayPal’s financial operations, regional finance teams and investor relations. He brings more than 20 years of financial management experience. Prior to PayPal, John was a customer advocate and led the most profitable era in the company’s history as Executive Vice President and CFO at United Continental Holdings, Inc.’s United Airlines. In this role John was responsible for the company’s overall financial strategy and corporate strategy function overseeing corporate finance, treasury, financial planning and analysis, tax, accounting, investor relations, strategic planning and risk management. He began his professional career at Ernst & Young LLP in Houston. John was an inaugural member of the CNBC Global CFO Council, an elite group of chief financial officers representing public and private companies from various major sectors, to share their frontline insights and unique views on key issues and challenges facing today’s CFOs. As a leader on the March of Dimes national board of trustees, he was named the 2015 national chair of the March for Babies – the nation’s biggest fundraiser for mom and baby health. John earned his bachelor’s and master’s degrees in business administration from Baylor University. He is a Certified Public Accountant.

William Ready

Mr. William J. Ready serves as Chief Operating Officer, Executive Vice President of the Company. He was Senior Vice President, Global Head Product & Engineering of the Company. He brings to PayPal in-depth knowledge of both the payments and technology space, having built and grown multiple cutting edge payments companies. As PayPal’s Global Head of Product & Engineering, Bill is responsible for PayPal’s checkout experiences, Braintree, Venmo and building out an end-to-end platform designed for the future of commerce, across in-store, online and mobile channels. Bill came to PayPal with the acquisition of Braintree in 2013, where, as CEO, he and his team fueled the mobile commerce revolution by building one of the most innovative and influential startups in the payments industry. With its emphasis on mobile-first experiences, elegant tools for developers, and incredible customer support, Braintree developed industry-leading payment solutions that power many of the world’s most disruptive businesses, including Uber, Airbnb, Houzz and HotelTonight. Prior to Braintree, Bill was executive in residence at Accel Partners, a leading Silicon Valley venture capital and growth equity firm. A veteran of the payments industry, Bill served as president of iPay Technologies beginning in 2008, guiding the company through a period of rapid revenue and earnings growth, and its sale to Jack Henry & Associates for $300 million in 2010. He also worked as a strategy consultant for McKinsey & Company, where he advised leading financial technology companies, and was an early engineer at two other successful start-ups: emphesys (merged with Humana in 2001) and Netzee (IPO November 1999). Bill holds an MBA from Harvard Business School where he was an honors recipient and a bachelor's degree in information systems and finance from the University of Louisville.

Sripada Shivananda

Mr. Sripada Shivananda is Senior Vice President and Chief Technology Officer of the Company effective April 1, 2016. In his role, Sri oversees Core Platform & Infrastructure, leading a talented team responsible for the company’s secure, reliable and scalable global infrastructure and strategic core platform, the foundation that enables PayPal to deliver innovative products and services to consumers and merchants all over the world. Prior to his appointment as SVP and CTO, Sri was Vice President of Global Platform and Infrastructure, directing his team of technologists to drive massive growth at scale across a completely disruptive payments platform. Sri was responsible for all core technologies covering PayPal’s data centers, internal private cloud, online and offline data infrastructure, internal developer frameworks and tools, and various platform services. Before PayPal, Sri was with eBay for more than 15 years, working his way up from a software engineer to Vice President of Global Platform and Infrastructure. As VP, he was responsible for the company’s technology infrastructure that powered the eBay Inc. businesses, including eBay’s hundreds of millions of listings and PayPal’s millions of payments every day. Sri found his way to eBay via the acquisition of Deja.com. Sri is a geek at heart and his passion for learning is evident – he’s constantly pushing the boundaries of innovation, encouraging creative ideas and solutions that solve complex problems with technology.

Tomer Barel

Mr. Tomer Barel is Senior Vice President, Chief Risk Officer of the Company. A skilled and proven leader whose experience spans nearly every aspect of technology, research and development, risk management, business strategy, and marketing, Tomer Barel brings a unique breadth of insight and knowledge to his role as PayPal’s chief risk officer. Tomer joined PayPal in 2009 to manage the successful integration of Fraud Sciences, an Israeli start-up acquired by PayPal that developed break-through innovations in online fraud detection. He came to PayPal from 3DV Systems, a pioneer of imaging technology that enables video cameras to capture three dimensional objects and sense motion. As vice president of business development and marketing, Tomer oversaw the company’s strategic partnerships and led its marketing campaigns. Before 3DV Systems, Tomer worked for McKinsey & Company in Israel and the UK, advising leading businesses in retail, financial services, and health care on sales, business strategy, and acquisitions. He has also served in the Israeli military intelligence in various technology, product management and data collection roles. In 2012, Tomer was named PayPal’s vice president of advanced risk sciences. In that role he led a team of 170 analysts and engineers working in the United States, Israel, Ireland, and China that focused on development and deployment of automated risk management and fraud detection solutions. Named chief risk officer in 2013, Tomer is responsible for every aspect of risk management in PayPal, including enterprise, regulatory, credit and financial risk, as he leads teams across the company that are dedicated to continually refining and improving PayPal’s industry-leading risk management systems.

A. Louise Pentland

Ms. A. Louise Pentland is Senior Vice President, Chief Legal Officer and Secretary of the Company. A champion of diversity with a deep commitment to human rights, Louise Pentland brings a broad global understanding of privacy, government relations and intellectual property to PayPal. In her role as Chief Legal Officer and Company Secretary, she is responsible for ensuring that PayPal complies with financial and regulatory requirements across all global markets. Before joining PayPal, Louise served as Executive Vice President and Chief Legal Officer at Nokia Corporation, where she managed a team of 400 lawyers, IP experts, government relations professionals and support staff working in more than 30 countries. Consistently cited for its excellence in IP management, in 2011, the Nokia legal team was named Europe’s most innovative in-house legal team by the Financial Times. Louise also served on the board of the Nokia Siemens Networks, a joint venture between Nokia and Siemens, and she played a leading role in the sale of Nokia’s handset business to Microsoft. Focused on public service, Louise is involved in a number of pro bono activities, including volunteer work with the Human Rights Initiative in Dallas where she represents unaccompanied children who have come to the United States in search of asylum. She has also worked with women and children who are victims of domestic violence. As an active supporter of diversity in the legal profession, she mentors young women and speaks on panels to encourage more women to pursue the role of general counsel. Louise is a member of the Board of Directors of Hitachi. She is licensed to practice law in England, Wales and a licensed attorney admitted to New York and California bars.

Jonathan Auerbach

Mr. Jonathan Auerbach is Senior Vice President, Chief Strategy & Growth Officer of the Company. In this new role, Jonathan leads PayPal’s global strategy and business development efforts aimed at driving growth by increasing consumer and merchant engagement across online, mobile and in-store channels. He also oversees the company’s M&A initiatives, identifying opportunities for PayPal to expand its reach and meet its growth objectives. Jonathan has spent more than half of his career living and working in Asia. Prior to joining PayPal, he served as CEO of Singtel’s Group Digital Life, where he was responsible for a global portfolio of mobile video, digital advertising and analytics businesses, and managed Innov8, Singtel’s $250 million corporate venture fund. Before Singtel, Jonathan spent 26 years as a management consultant with McKinsey & Company. At McKinsey, he held a variety of executive roles in Asia and North America during his tenure with the Firm, including leading the Asian Telecommunications, Media and Technology Practice; the Singapore Office and the Southeast Asia Region; and the North American High Tech Practice. Jonathan has also served as a member of the Economic Strategy Committee of Singapore, which is chaired by Singapore’s Minister of Finance, and the Singapore Government’s Committee on University Education Pathways Beyond 2015. He is currently on the Board of Advisors of the Lee Kong Chian Business School at the Singapore Management University, and he is Chairman of the Board of HOOQ, a video streaming service aimed at emerging markets that is backed by Singtel, Warner Brothers and Sony Pictures. Jonathan graduated Magna Cum Laude, Phi Beta Kappa from Dartmouth College and holds a degree in Politics, Philosophy and Economics from Oxford University, UK, where he was a Keasbey Scholar.

Gary Marino

Mr. Gary O. Marino is Senior Vice President - Global Credit and the Americas of the Company. Highly respected for his long history of success in the credit card world and his innovative approach to digital payments, Gary Marino brings his lifelong focus on improving the cost and convenience of alternative payment services to his dual role as PayPal senior vice president of global credit and the Americas. Gary spent the first half of his career in the credit card industry, serving simultaneously as chief credit officer and chief marketing officer at Bank One (now JPMorgan Chase) and in key positions in Citibank’s bankcard division, including chief credit officer. In 2001, he co-founded Bill Me Later to pursue his vision of an alternative payment model that would analyze risk more accurately than existing credit cards providers, while offering lower fees for merchants and greater convenience for consumers. Gary joined PayPal in 2008 after PayPal acquired Bill Me Later in a deal worth nearly $1 billion. As head of global financial services, Gary is working to strengthen the financial flexibility of the PayPal digital wallet through a comprehensive portfolio of credit services that includes Bill Me Later and a wide range of additional products offered with PayPal’s banking partners around the world. He leads teams that are focused on expanding the PayPal network around the globe, managing relationships with PayPal’s financial network partners, and establishing PayPal as the preferred online payment method for consumers and merchants in the U.S. and Canada. He is also responsible for PayPal’s efforts in emerging markets around the world. A graduate of Syracuse University and Indiana State University, Gary is a board member of the Johns Hopkins Discovery Fund for research in rheumatology.

Marcia Morales

Ms. Marcia Morales-Jaffe is Senior Vice President, Chief People Officer of the Company. Marcia Morales-Jaffe joined PayPal’s leadership team in 2015, to spearhead PayPal's efforts to shape a unique culture, one that inspires every employee to embrace and advance PayPal's transformational business vision and social mission. In her role as CHRO, Marcia partners closely with the business to attract the best and brightest talent, creating opportunities for individuals and teams to thrive, increasing employee engagement, fostering PayPal's business principles of being Customer Champions and acting as One Team, and inspiring employees to fulfill the company’s mission of democratizing financial services. Under her leadership, the company has defined a set of four cultural values that are explicitly woven into key employee experiences and permeate some of the company’s most important business decisions: collaboration, innovation, inclusion and wellness. Prior to PayPal, Marcia was the Senior Vice President of People and Performance at World Fuel Services Corporation (WFS), a market leader in the energy and transportation space. At WFS Marcia was instrumental in building an organization that achieved extraordinary growth. During her 12 year tenure, Marcia led a strategic HR function that partnered closely with the business, contributing to growth from $3 billion to $40 billion in revenues and 6 times market cap. She integrated 24 acquisitions, aligned performance management programs to business goals, built talent development programs and put in place incentives and rewards to achieve high performance and build retention. Prior to World Fuel Services, Marcia was with McKinsey & Company as a Senior Engagement Manager and later on as a member of the professional development team. She received her MBA from Indiana University, Bloomington and has a Computer Engineering degree from Universidad Simon Bolivar, Venezuela.

David Moffett

Mr. David M. Moffett is Lead Independent Director of PayPal Holdings, Inc. Mr. Moffett has served as a director of PayPal since June 2015 and as Lead Independent Director since July 2015. He was previously a board member of eBay from July 2007 to July 2015. Mr. Moffett served as Chief Executive Officer of Federal Home Loan Mortgage Corp. (“Freddie Mac”) from September 2008 until his retirement in March 2009. He also served as a director of Freddie Mac from December 2008 to March 2009. In 1993, Mr. Moffett joined Star Banc Corporation, a bank holding company, as Chief Financial Officer and during his tenure played an integral role in the acquisition of Firstar Corporation in 1998 and later U.S. Bancorp in 2001. Mr. Moffett remained Chief Financial Officer of U.S. Bancorp until 2007. Mr. Moffett also serves on the Board of Directors of CIT Group Inc., Genworth Financial, Inc. and as a Trustee for Columbia Atlantic Mutual Funds and University of Oklahoma Foundation and as a consultant to various financial services companies. Mr. Moffett received a B.A. from the University of Oklahoma and an M.B.A. from Southern Methodist University.

Wences Casares

Mr. Wences Casares is Independent Director of PayPal Holdings, Inc. He is the Founder of Xapo Inc., a bitcoin wallet and vault startup, and has served as its Chief Executive Officer since March 2014. From October 2011 to March 2014, Mr. Casares was Founder and Chief Executive Officer of Lemon Inc., a digital wallet platform. From March 2007 to October 2011, Mr. Casares was Co-Chief Executive Officer of Bling Nation Ltd., a mobile payments platform. He also serves on the Board of Directors of Kiva.org and Endeavor Global, Inc.

Jonathan Christodoro

Mr. Jonathan N. Christodoro is an Independent Director of the Company. He was previously a board member of eBay from March 2015 to July 2015. Mr. Christodoro has served as a Managing Director of Icahn Capital LP, the entity through which Carl C. Icahn manages investment funds, since July 2012. Prior to joining Icahn Capital, Mr. Christodoro served in various investment and research roles at P2 Capital Partners, LLC from March 2007 to July 2012. Mr. Christodoro began his career as an investment banking analyst at Morgan Stanley, where he focused on merger and acquisition transactions across a variety of industries. Mr. Christodoro also serves on the Board of Directors of American Railcar Industries, Inc., Cheniere Energy, Inc., Enzon Pharmaceuticals, Inc., Herbalife Ltd., and Lyft, Inc. Mr. Christodoro received an M.B.A from the University of Pennsylvania's Wharton School of Business. Mr. Christodoro received a B.S. in Applied Economics and Management Magna Cum Laude from Cornell University. Mr. Christodoro also served in the United States Marine Corps.

David Dorman

Mr. David Wyatt Dorman is an Independent Director of the Company. He previously served as a board member of eBay from June 2014 to July 2015. Mr. Dorman has been the Non-Executive Chairman of the Board of CVS Health Corporation, a pharmacy healthcare provider, since May 2011, and is the former Chairman and Chief Executive Officer of AT&T Corporation a telecommunications company (formerly known as SBC Communications Inc.). He is also Founding Partner of Centerview Capital, a private investment firm, since July 2013. He was formerly Non-Executive Chairman of the Board of Motorola Solutions, Inc. (formerly Motorola, Inc.), a leading provider of business and mission critical communication products and services for enterprise and government customers. He served as Non-Executive Chairman of the Board of Motorola, Inc. from May 2008 until the separation of its mobile devices and home businesses in January 2011. From October 2006 to May 2008, he was a Senior Advisor and Managing Director to Warburg Pincus LLC, a global private equity firm. From November 2005 until January 2006, Mr. Dorman served as President and a director of AT&T Corporation. From November 2002 until November 2005, Mr. Dorman was Chairman of the Board and Chief Executive Officer of AT&T Corporation. Prior to this, he was President of AT&T Corporation from 2000 to 2002 and the Chief Executive Officer of Concert Communications Services, a former global venture created by AT&T Corporation and British Telecommunications plc, from 1999 to 2000. Mr. Dorman also serves on the Board of Directors of Yum! Brands, Inc. and as a Trustee for Georgia Tech Foundation, Inc. Mr. Dorman received his B.S. in industrial management from Georgia Institute of Technology.

Gail McGovern

Ms. Gail J. McGovern is an Independent Director of the Company. She previously served as a board member of eBay from March 2015 to July 2015. Ms. McGovern is the President and Chief Executive Officer of the American Red Cross, a humanitarian organization, and has served in that position since June 2008. From 2002 to 2008, Ms. McGovern served as a Professor at Harvard Business School. Ms. McGovern also served as President of Fidelity Personal Investments, a unit of Fidelity Investments from 1998 to 2002 and Executive Vice President of the Consumer Markets Division at AT&T Corporation from 1997 to 1998. Ms. McGovern also serves as a trustee of John Hopkins Medicine, and a director of DTE Energy Company. Ms. McGovern received her B.A. in quantitative sciences from Johns Hopkins University and her M.B.A. from Columbia University.

Pierre Omidyar

Mr. Pierre M. Omidyar is an Independent Director of the Company. He founded eBay in September 1995 and has served as a board member of eBay since May 1996, and as Chairman of the eBay board from May 1996 to July 2015. He is the Founding Partner and Chairman of Omidyar Network, a philanthropic investment firm committed to creating opportunity for individuals to improve their lives, and Co-Founder, Chief Executive Officer, and Publisher of Civil Beat, an online news service formed in 2010. Mr. Omidyar is also the founder, Chief Executive Officer and publisher of First Look, a mass media news organization established in 2013. Mr. Omidyar serves on the Board of Trustees of Omidyar-Tufts Microfinance Fund, the Punahou School, Santa Fe Institute, and the Roshan Cultural Heritage Institute. Mr. Omidyar received a B.S. from Tufts University.

Frank Yeary

Mr. Frank D. Yeary is an Independent Director of the Company. He previously served as a board member of eBay from January 2015 to July 2015. Mr. Yeary has been Executive Chairman of CamberView Partners, LLC, a corporate advisory firm, since 2012. Mr. Yeary was Vice Chancellor of the University of California, Berkeley, a public university, from 2008 to 2012, where he led and implemented major strategic and financial changes to the university’s financial and operating strategy; from 2010 to 2011, he served as interim Chief Administrative Officer, managing a portfolio of financial and operational responsibilities and departments. Prior to 2008, Mr. Yeary spent 25 years in the finance industry, most recently as Managing Director, Global Head of Mergers and Acquisitions and a member of the Management Committee at Citigroup Investment Banking, a financial services company. Mr. Yeary also serves on the Board of Directors of Intel Corporation. Mr. Yeary received his B.A. in History and Economics from the University of California, Berkeley.
