Name Description

Alberto Recordati

Dr. Alberto Recordati serves as Chairman at Recordati Industria Chimica e Farmaceutica S.p.A. since August 16, 2016. He was Vice Chairman of the Board of Recordati Industria Chimica e Farmaceutica SpA from 2004 to August 16, 2016. He joined Recordati in 1984 as a researcher in the biochemistry laboratories. In 1987, he was appointed Head of the Planning and Product Development Office. From 1990 to 1992, he worked for the United States subsidiary Pharmetrix Corp as Research Project Coordinator. In 1992 he was appointed Industrial Manager for Biochemicals with responsibility for biochemical/microbiological research and for the Cascina de Pecchi biochemical/fermentation production site. In 1995, he became Head of the Chemical Research and Technologies Division. In 1999, he was appointed Head of the Fine Chemicals Division and in 2004 Vice Chairman of Recordati SpA. He was held responsibility for co-ordinating the Drug Discovery and Drug Development activietis of the Company since 2008 and also for licensing-in activities since 2011. He obtained Biochemistry degree from King's College of the University of London in 1977. In 1984 he obtained Doctorate in Philosophy degree in Biochemistry at the Charing Cross Hospital Medical School of the University of London.

Andrea Recordati

Dr. Andrea Recordati serves as Chief Executive Officer, Vice Chairman at Recordati Industria Chimica e Farmaceutica S.p.A. since August 16, 2016. He was Chief Operating Officer, Executive Director, General Manager Pharmaceutical International of Recordati S.p.A. from February 2011 to August 16, 2016. Between September 1995 and March 1998, he took part in the United Kingdom SmithKline Beecham Management Access Program, starting off as Assistant Product Manager in Consumer Healthcare and then, for one year, occupying the role of medical representative in Essex before becoming Project Manager responsible for the development and implementation of an innovative SmithKline Beecham marketing initiative. He joined Recordati in 1998 as Project Leader for a project aimed at improving Sales Force productivity and better use of marketing investments. In April 1998, he joined the Board of Directors of the Company. In 1999, he was given responsibility for Pharmaceutical Business Development. In March 2002, the Lercanidipine Business Unit was set up and he was appointed Head of that unit. Since November 2002, he has been responsible for setting up the subsidiary Recordati Ireland and its industrial plant and, subsequently, for setting up the United Kingdom subsidiary. In September 2006, he was appointed Sole Director of the German subsidiary Merckle Recordati GmbH. In August 2007, the Northern and Central Europe Branches Division was set up and he was appointed Head of that division. That division was enlarged in 2010 to include western European subsdiaries. He holds Bachelor of Arts in Modern and Medieval History from the Royal Holloway and Bedford New College of the University of London.

Fritz Squindo

Dr. Fritz Squindo serves as Chief Financial Officer, Financial Reporting Officer, General Manager for the Coordination of Group Operations, Executive Director of Recordati S.p.A. since April 17, 2014. He was appointed General Manager for the Coordination of Group Operations of the Company in 2008. He began his career at Telettra, a telecommunications company in the Fiat Group, where he worked in treasury management. He then gained experience at the Italian branch of the French pharmaceutical group Sanofi, where he was First Head of Finance and later Head of the Management Accounting Department. He joined the Company with that title in 1992, and in 1995 was appointed Chief Financial Officer. He graduated in Business Administration from Universita Commerciale Luigi Bocconi in Milan.

Roberto Teruzzi

Mr. Roberto Teruzzi serves as Executive Vice President of Group Industrial Operations at Recordati Industria Chimica e Farmaceutica S.p.A. since April 2015. He holds a degree in veterinary medicine and two international MBAs, has thirty years of experience in managerial roles in the pharmaceutical business. In 1986 he started his professional career in Boehringer Mannheim, in R&D and then in Commercial area. He covered different roles with growing responsibilities in various pharmaceutical companies: as of 1989 he was International Product Manager at Farmitalia Carlo Erba, in 1992 he moved to Zambon as Business Development Manager and in 1994 he joined Pharmacia & Upjohn as International Markets Manager. In 1998 he was in charge of establishing the Italian subsidiary of Ratiopharm, becoming Managing Director of the Company. In 2005 he moved to Alliance Boots, where he established the Almus and Alvita Companies, for the commercialization of generics and para-pharmaceutical products in South Europe, becoming General Manager Europe Almus & Alvita and Managing Director of Almus Italy and Alvita Italy. In 2008 he joined Mipharm as Chief Operating Officer, responsible for Commercial, Logistics, Distribution and R&D activities; after the transfer of commercial activities to Novartis he was in charge of the production plant, with main responsibility of maximizing profitability. Finally, in 2010, he moved to Corvette Group (acquired by Recipharm in 2014) as Chief Executive Officer to coordinate Biologici Italia Laboratories, Edmond Pharma and Liosintex, companies operating in third parties manufacturing and development of pharmaceutical products as well as in commercial activities.

Luisa Mainoli

Ms. Luisa Mainoli serves as Vice President and Director Group Finance at Recordati Industria Chimica e Farmaceutica S.p.A. since 2012. She graduated “cum laude” in Chemistry at the Universita degli Studi di Milano and subsequently obtained an MBA at the Universita Bocconi in Milan. She started her professional career in research, first at the Istituto di Chimica Industriale (Universita di Milano), and then at Solma SpA, Henkel Italiana and Marion Merrel Dow (Lepetit Research Centre). In 1990 she joined Recordati S.p.A. where she held a number of positions in R&D and then in finance with increasing responsibilities.

Giuseppe Gualazzini

Mr. Giuseppe Gualazzini serves as Vice President and Director Group Human Resources at Recordati Industria Chimica e Farmaceutica S.p.A. since May 1, 2014. He has more than thirty years of experience in international human resources management: after initial activity at IBM, he worked in Organizational Development at AGIP (ENI Group), Organization at Alivar (SME Group) and Staffing & Development at Boehringer Ingelheim; in 1989 he joined GE Medical Systems Italy (General Electric Group) as Staffing and Development Manager, then he became Plant HR Manager, Country HR Manager and finally, in 1995, he was appointed Region Human Resources Manager for Italy, Greece and Turkey. In GE Group he was involved in all European HR projects of the Medical Systems business. In 1996 he moved to Deutsche Post DHL Group, where he covered different positions with growing responsibilities: he was first Region Human Resources Manager for Italy, Greece and Bulgaria in Danzas Group; he became Human Resources Director Italy, managing all the business units, in DHL Group, then he was Human Resources Director Mediterranean Area – Italy, Greece, Malta e Cyprus – for DHL Express Business Unit; finally, in 2007, he was appointed Vice President HR Middle East and Africa Region for DHL Global Forwarding Business Unit. In Deutsche Post DHL Group he played an active role in development and implementation of all the worldwide HR projects and was Member of the Executive Committee in charge of Group industrial relations at European level. Finally, in May 2011, he joined SIRTI Group as Group HR Director.

Luca Bolliger

Mr. Luca Bolliger serves as Vice President and Director of Corporate Licensing at Recordati S.p.A. He joined the pharmaceutical industry as a Global discovery portfolio manager in the Pharma Strategy Unit at Hoffmann-La Roche Ltd. He then pursued his career in the financial industry as a Fundamental analyst at BT&T asset management, and as a freelance consultant. He established Biopolo Ticino where he also participated in the creation of the Swiss marketing platforms Swiss Biotech and Swiss Medtech before becoming Director Business Development at Actelion. He graduated at the Biocenter in Basel in biochemistry, and then became Member of the Basel institute for immunology.

Corrado Castellucci

Mr. Corrado Castellucci serves as Vice President and Director Orphan Drugs at Recordati Industria Chimica e Farmaceutica S.p.A. since April 2013. After earning a degree in Medicine, Corrado Castellucci pursued his management training in marketing and general management. He began his career in the pharmaceutical industry in 1986 in the sales force of Hammer Pharma. In 1988 he joined Lepetit (which became Hoechst Marion Russel, which subsequently merged with Aventis Pharma Italy). He held positions of increasing responsibility and became Director of Marketing, Medical and Business Operations. In 2004 he joined AstraZeneca, where he ran both the hospital and oncological business units, before becoming Director of the entire Specialty Care Division. After his role as CEO, first with Gilead Sciences Italy (from 2007) and then with the pharmaceutical manufacturing companies NerPharMa and NerpharmaDS, he became General Manager in 2010 of Adienne, a pharmaceutical and biotechnology company whose primary focus area is onco-haematology with particular dedication to the treatment of rare and severe diseases.

Gabriele Finzi

Mr. Gabriele Finzi serves as Vice President and Director Corporate Development at Recordati Industria Chimica e Farmaceutica S.p.A. since September 2016. He holds a degree in Business Administration with a major in Corporate Finance from the Universita Bocconi (Milan). After an initial experience in investment banking, he began his corporate career as an M&A Analyst at Barilla, where he took part in a number of deals. In 2005, he joined Siemens Italy to set up the local M&A department; subsequently he became responsible for the financial planning of the South West Europe region of Siemens Medical Solutions. In 2008 he joined the Corporate Development department at Recordati where he has been assigned increasing responsibilities and has completed several acquisitions; he was appointed Group Business Development Director in 2012.

Daria Ghidoni

Ms. Daria Ghidoni Vice President and Director Corporate Legal Affairs at Recordati Industria Chimica e Farmaceutica S.p.A. since 2011. She was awarded a degree in Law with the highest grades from Universita Cattolica del Sacro Cuore, Milano and she is qualified in Italy. She began her career in 1995 with the law and tax firm Studio Associato Legale e Tributario (a correspondent of Ernst & Young International), where she worked as a legal adviser to major Italian and multinational companies mainly in the area of company law and commercial contracts. She continued her career in 2000 in the legal and corporate affairs office of the multinational group Giochi Preziosi, where she worked mainly on international contracts and mergers and acquisitions. In 2002 she joined Recordati as Head of Legal Affairs at the Parent Company.

Antoine Groues

Mr. Antoine Groues serves as Vice President and Director International Licensees Sales at Recordati Industria Chimica e Farmaceutica S.p.A. since 2013. He earned an Master in Biology and a Master in Science in Marketing and Management at the Ecole de Management de Lyon. After a short experience in research, in 2001 he joined Bristol-Myers Squibb UPSA as a sales rep and then International Product Manager and in 2004 he moved to Mayoly-Spindler where he worked as International Area Manager Middle East, Africa & French Overseas Territories and then Eastern Europe & CIS countries. In 2007 he joined Recordati Bouchara as Export Director. In 2010 he became International Pharma Sales Director at Recordati Ireland Ltd and in 2012 General Manager Recordati Ireland Ltd. In 2013 he became Vice President and Director, General Manager Recordati Ireland Ltd., General Manager of Recordati Pharmaceuticals (UK) and International Licensees Sales Director.

Bernard Millet

Mr. Bernard Millet serves as Vice President and Regional Director Western Europe at Recordati Industria Chimica e Farmaceutica S.p.A. since October 2013. He has a degree in Pharmacy and a Master in Business Administration; he worked for twenty-five years at Servier with country and regional responsibilities. In 1988 he joined Servier International as Operational Assistant for Southern Europe, then he became General Manager first at Servier Netherlands, then at Servier Portugal and finally at Stroder, one of the Italian subsidiaries of the Servier Group. In 1997 he was appointed Executive Director at Servier Italy where, as from 2001, he was also in charge of Institutional Affairs and Price Negotiation for the whole Group in Italy; in 2006 he became Executive Director for Eastern Southern Europe (Italy, Greece, Malta and Cyprus) at Servier International and, in 2010, CEO at Servier Italy. In 2011 Mr. Millet became Executive Director for Southern Europe widening his responsibilities to Spain and Portugal.

Witold Urban

Mr. Witold Urban serves as Vice President and Regional Director Central Eastern Europe at Recordati Industria Chimica e Farmaceutica S.p.A. since July 2013. He earned a Master of Art in Modern History at University of Gdansk (Poland). After an initial experience in Sales at Sterling Health, in 1995 he joined SmithKline Beecham Consumer Healthcare, today part of GlaxoSmithKline Consumer Healthcare, where he worked for eighteen years with country and regional responsibilities in Central and Eastern Europe. After covering different sales and marketing roles in Poland, he became Sales Development Director for the CEE Area, then Country Manager Ukraine, Vice President & General Manager Poland and finally, in 2009, he was appointed Vice President & General Manager Russia and Head of CEE Corega (Denture Care). In 2012, Mr. Urban was appointed Director Business Development and Strategic Projects CEE.

Ismail Recep Yormaz

Mr. Ismail Recep Yormaz serves as Vice President and Regional Director South-Eastern Europe and North Africa at Recordati Industria Chimica e Farmaceutica S.p.A. since 2014. He attended Ankara Universitesi, where he received a Bachelors degree in Medicine, and has an M.B.A. from Istanbul Universitesi. After an experience as Product Manager first in BASF Pharma and then in Abbott Laboratories, in 2002 he moved on to Menarini as Group Product Manager for Turkey. Before joining Recordati, he worked in Reckitt Benckiser, where he was Marketing and Sales Manager of Healthcare business. He joined Yeni Recordati in 2009 as General Manager. He managed the merge between the company and Dr. Frik Ilac that formed present-day Recordati Ilac.

Diego Provvedini

Mr. Diego Provvedini serves as Vice President and Director Research and Development of Recordati SpA since 2012. He served as Director Drug Development of the Company from 2008 until 2012. He obtained the Medical degree in 1978 from the Universita degli Studi di Parma, Italy, where he initiated his career as Clinical Research Assistant in the Dept. of Gerontology & Geriatrics. In order to pursue his scientific work on the endocrine control of bone metabolism, in 1982 he joined the Dept. of Medicine of the University of California in San Diego, where he held university positions in the research track. After having obtained several support grants from the U.S. National Institutes of Health (NIH), in 1987 he continued his scientific career as Senior Researcher in the Dept. of Immunology of the Scripps Research Institute, in La Jolla. After moving to France in 1994, he joined the pharmaceutical industry, first as International Project Coordinator at the Institut de Recherches Internationales Servier, then in 1999 as International Project Leader at Negma Laboratoires, and in 2003 as Head of Development Strategy at Steba Biotech-France.

Enrico Baroncia

Mr. Enrico Baroncia serves as General Manager Italy at Recordati Industria Chimica e Farmaceutica S.p.A. since October 2013. He holds a degree in Biology and has twenty years of experience in the pharmaceutical industry. After his initial experience as Sales Representative at Menarini, in 1995 he joined PHT as Business Development Manager and then he moved to Stroder, Servier Group, as Product Manager in the cardiovascular area. In 2000 he became Business Line Manager at Schering Plough in the interventional cardiology sector, after which he joined GE Healthcare as Commercial Director in charge of marketing, sales and business development for Italy and Greece in the diagnostic imaging business; in 2005, he joined Johnson & Johnson Medical as Sales Director. In 2007, Mr. Baroncia moved to Mylan, where he covered different positions with growing responsibilities: Business Director responsible for marketing and sales in retail and hospital channels, General Manager Mylan Italy and finally, as of 2013, President Mylan Europe, in charge of managing commercial, finance and business development operations.

Giovanni Minora

Dr. Giovanni Minora serves as Director of Corporate Auditing at Recordati Industria Chimica e Farmaceutica S.p.A. He holds a degree in Business Economics from the Universita Bocconi of Milan. He started his professional career in 1995 as junior controller at Alcanital Services, then he worked at Alcan Alluminio as assistant to the financial manager. In 2000 he pursued a career in management in the auditing field: he was appointed Senior Internal Auditor at Foster Wheeler Italiana and later he joined Edison as Operations Auditing team coordinator. In 2005 he joined IT Holding S.p.A as head of Audit and Internal Control for the group. He joined RECORDATI S.p.A. in 2007.

Paolo Romagnoli

Mr. Paolo Romagnoli serves as Director of Pharmaceutical Chemicals of Recordati S.p.A. since May 2008. He joined the Recordati Group in 1974, where he held positions of increasing responsibility within the pharmaceutical chemicals division beginning with the development of processes of organic syntheses and achieving the position of Head of Pharmaceutical Chemicals Marketing. In 1988 he began his activity as Consultant specialized in pharmaceutical chemicals. He dealt with many European and North American companies accruing a profound management experience : from strategic planning to business development, from market research to research and development. He joined the Angelini Group in 2003 as Manager of the fine chemicals business unit and production facilities. In 2006, he returned to International consulting offering support to many companies in the fine chemicals sector and in particular as related to active pharmaceutical ingredients. He graduated in Chemistry from Universita degli Studi di Milano.

Marco Vitale

Prof. Marco Vitale serves as Non-Executive Lead Independent Director at Recordati S.p.A. He is also Chairman of the Audit Committee of the Company. He is a business economist. He taught for several years business economics at Pavia University, Bocconi University, Milan, Libero Istituto Universitario Carlo Cattaneo. He has been Chairman of Istud (Foundation for the business culture and management) and has been co-ordinator for management area of ISTAO, post-degree management school. Former partner of Arthur Andersen & Co., he is founding partner and president of Vitale–Novello & Co. Srl. In this context he is consultant and member of the board of directors for many companies. He is President from March 2010 of Fondo Italiano di Investimenti SGR SpA, constituted by the Treasure Ministry, Confindustria, ABI, Banca Intesa, Unicredit, Monte Paschi, Crediop and some popular banks. He has been President from 1984 till 2003 of A.I.F.I. (Italian Venture Capital and Private Equity Association) and promoter and first president of Arca Group, the mutual fund company of popular banks. He has been Vice President, Member of the Board and of the Executive Committee of Banca Popolare of Milan from 2001 till 2009 and was Chairman of Bipiemme Gestioni SGR, the Asset Management Company of the BPM Group. He is President of the Rino Snaidero Scientific Foundation. He is President of the Scientific Committee of AIdAF, Director of Olivetti Foundation and of FAI Foundation. He has been appointed to several public tasks. He contributes to newspapers and business magazines. He published several books. He is also Director of ETICA SGR SpA, SAME DEUTZ FAHR SpA, ERMENEGILDO ZEGNA HOLDITALIA SpA, Snaidero SpA, LUVE, SMEG, Banca Passadore and serves as Chairman at SAME DEUTZ FAHR ITALIA SpA, VINCENZO ZUCCHI SpA and the Fondo Italiano d’Investimento. He graduated in Law form Ludwig-Mzimilians-Universitaet, Muenchen.

Rosalba Casiraghi

Ms. Rosalba Casiraghi serves as Independent Director at Recordati Industria Chimica e Farmaceutica S.p.A. since April 17, 2014. She started her working career at Carrier spa, Utc Group, management control and became the manager. Then manager, as financial director of the distribution company in Italy Yamaha Motors co. After this experience she undertook entrepreneurial and professional activities taking positions as director or auditor in industrial societies, cooperatives and associations. She collaborates with the business press, in particular for many years has played technical advice on economic and financial issues for Il Corriere della Sera, the World, the Espresso. In recent years she has collaborated in the publication of several books on the subject of the controls and systems in the field of corporate governance. She graduated in Business Administration from Universita Bocconi.

Paolo Fresia

Mr. Paolo Fresia serves as Independent Director at Recordati S.p.A. since April 17, 2014. Since 2008, he enters the US investment bank Goldman Sachs as a trader of fixed income products. In 2010 he leaves the City of London to study a Masters in Economic Development at Trinity Hall, University of Cambridge. Since late 2011 early 2013 works with the humanitarian aid organization Doctors Without Borders, and resides in Haiti for a year with as Finance Coordinator for the MSF mission. In the spring of 2013 he moved to Asia, where he studied Mandarin Chinese and - since September 2013 became a consultant on corporate sustainability issues with BSR, Business for Social Responsibility in the office of Hong Kong. Currently, he does not cover other charges of administration or control in company. He has dual degree in Economics and Philosophy at UCL, University College London.

Michaela Castelli

Mario Garraffo

Dr. Mario Garraffo serves as Non-Executive Independent Director of Recordati S.p.A. He is Member of the Audit Committee of the Company. Between 1960 and 1970, he was Controller and Development Director of La Centrale Finanziaria Generale, a holding company principally involved in the area of public services (communications and energy). From 1970 to 1980, he was Investment Director at the IFI 48 group; from 1980 to 1985 he was Chief Executive Officer of IFIL - Finanziaria di Partecipazioni and from 1985 to 1993 Chairman of IFINT (now EXOR). In 1993, he was appointed Chief Executive Officer of Lazard Italia until the acquisition of Vitale, Borghesi & Co. in 1998. Again in 1998, he was appointed Chief Executive Officer of UNIM, a post which he held until 2000 and as Chairman of General Electric Italia from 2000 to 2004. He was a Senior Advisor for General Electric Europe from 2004 until 2007. He has been a Trustee of the Johns Hopkins University of Baltimore and a Trustee of the Johns Hopkins School for Advanced International Studies (SAIS) in Bologna. From 1995 to 2006 he was President of the Universita Bocconi Alumni Association and Member of the Board of Directors of the Donna Javotte Bocconi Foundation (founding entity of the Universita Bocconi). In 1960, he graduated in Business Economics from Universita Commerciale Luigi Bocconi in Milan. He currently holds the position of Chairman of IVG SGR SpA, Chairman of METIS SpA and Director of GE Interbanca SpA.
