Name Description

Paul Godfrey

 Mr. Paul V. Godfrey is Independent Chairman of the Board of Trustees of RioCan Real Estate Investment Trust. Mr. Godfrey is the President and Chief Executive Officer of Postmedia Network Inc. and is the Chair of the Ontario Lottery and Gaming Corporation. He has been a trustee of the Trust since December 1993. From 2000 to 2008, Mr. Godfrey was President and Chief Executive Officer of the Toronto Blue Jays Baseball Club. From 1992 to 2000, Mr. Godfrey was President and Chief Executive Officer of the Sun Media Corporation, from 1991 to 1992 he was the President and Chief Operating Officer of The Toronto Sun Publishing Corporation and from 1984 to 1991 he was the Publisher and Chief Executive Officer of The Toronto Sun. Mr. Godfrey also served as the Chairman of the Municipality of Metropolitan Toronto. Mr. Godfrey serves as a director of Astral Media Inc. and Data & Audio Visual Enterprises (DAVE) Wireless Inc., a trustee of Cargojet Income Fund., and as Vice Chair of the Baycrest Centre for Geriatric Care. In 1999, Mr. Godfrey was made a member of the Order of Canada and, in 2010, Mr. Godfrey was appointed to the Order of Ontario.

Frederic Waks

 Mr. Frederic Waks is President, Chief Operating Officer of RioCan Real Estate Investment Trust, since January 1, 2012. From January 2008 to 2011, Mr. Waks was the Executive Vice President and Chief Operating Officer of the Trust and from July 1998 to December 2007, Mr. Waks was Senior Vice President and Chief Operating Officer of the Trust.

Edward Sonshine

 Mr. Edward Sonshine, Q.C., is Chief Executive Officer, Trustee of RioCan Real Estate Investment Trust. Mr. Sonshine is the founder and Chief Executive Officer of RioCan Real Estate Investment Trust. Mr. Sonshine has been the Chief Executive Officer and a Trustee of RioCan since it became a REIT in late 1993. Mr. Sonshine is a member of the board of directors of Royal Bank of Canada and Cineplex Inc. Mr. Sonshine is active in the community and serves as Vice Chair of the Mount Sinai Hospital and as Chair of State of Israel Bonds/Canada-Israel Securities, Limited. In January of 2011, Mr. Sonshine was recognized for his entrepreneurial and philanthropic contributions to the community with the Order of Ontario.

Raghunath Davloor

 Mr. Raghunath Davloor is Chief Financial Officer, Executive Vice President, Secretary of RioCan Real Estate Investment Trust., since January 1, 2012. From February 2008 to 2011, Mr. Davloor was the Senior Vice President and Chief Financial Officer of the Trust. From January 2006 to January 2008, Mr. Davloor was Vice President and Director of Investment Banking for TD Securities Inc. From 2000 to 2005, Mr. Davloor was Chief Financial Officer for O&Y Properties Corp. and O&Y REIT.

Howard Rosen

 Mr. Clare R. Copeland is Independent Trustee of RioCan Real Estate Investment Trust, since February 18, 1994. Mr. Copeland is the Chairman of Toronto Hydro Corporation, an energy distribution company. Mr. Copeland is also the Chief Executive Officer of Falls Management Company, the developer and operator of Casino Niagara and Fallsview Casino Resort. Mr. Copeland has been a trustee of the Trust since February 1994. From 2000 to 2002, Mr. Copeland was Chairman and Chief Executive Officer of OSF Inc. and from 1993 to 1999, he was Chief Executive Officer of Peoples Jewellers Corporation. Mr. Copeland also served as Chairman of Sun Media Corporation from 1997 to 1999, as Chief Operating Officer of Zale Corporation from 1991 to 1993 and as Chair of Ontario Place from 1987 to 1997. Mr. Copeland is also a director of Danier Leather Inc., Chesswood Group Limited, Entertainment One Ltd., MDC Corporation and Telesat Canada.

Raymond Gelgoot

 Mr. Raymond M. Gelgoot is Trustee of RioCan Real Estate Investment Trust. Mr. Gelgoot is a partner at Fogler, Rubinoff LLP where he practices all aspects of real estate law. He has been a trustee of the Trust since February 1996. Mr. Gelgoot was selected by his peers to be included in The Best Lawyers in Canada in the field of Real Estate Law, 2011, 2012 and 2013. He earned an LL.B. from Osgoode Hall Law School in 1970 and was called to the Bar in Ontario in 1972.

Frank King

 Mr. Frank W. King is no longer an Independent Trustee of RioCan Real Estate Investment Trust, effective June 5, 2013. Mr. King is President and Chief Executive Officer of Metropolitan Investment Corporation. He has been a trustee of the Trust since October 1995. Mr. King has served on the board of directors of ten publicly listed Canadian corporations including Sherritt, Agrium, Canetic Oil & Gas (now PennWest), Toronto Sun, Westaim and Wi-Lan. Mr. King served as the Chairman of the Audit Committee of Wi-Lan Inc. from 1995 to 2002 and of Westaim Inc. from 2004 to 2009. He has been a member of the RioCan Audit Committee for the past 13 years. He was the President and Chief Executive Officer of Turbo Resources Inc. from 1991 to 1992 and was the Chairman and Chief Executive Officer of the Calgary Olympic Winter Games from 1981 to 1988, for which he was awarded the Olympic Order in Gold and made an officer of the Order of Canada. In 1992 he was Co-Chair of Canada 125, the national celebration of Canada's 125 anniversary. He is a member of the Alberta Sports Hall of Fame as well as the Olympic Hall of Fame, has an Honorary Doctorate from The University of Calgary and holds a B.Sc. (Chemical Engineering).

Dale Lastman

 Mr. Dale H. Lastman is Trustee of RioCan Real Estate Investment Trust, since June 2, 2004. Mr. Lastman is a co-chair and partner at Goodmans LLP. He practices corporate, commercial and securities law and provides counsel in connection with public offerings, mergers and acquisitions, and business restructurings. He has been a trustee of the Trust since June 2004. Mr. Lastman earned a LL.B. from Osgoode Hall Law School in 1982. He sits on the board of directors of Maple Leaf Sports & Entertainment Ltd. and is an Alternate Governor for the National Hockey League and the National Basketball Association.

Sharon Sallows

 Ms. Sharon Sallows is Independent Trustee of RioCan Real Estate Investment Trust, since June 1, 1999. Ms. Sallows is currently a member of the board of directors and Chair of the Governance Committee of the Ontario Teachers' Pension Plan Board and is a member of the board of directors of Chartwell Retirement Residences REIT. Ms. Sallows has been a trustee of the Trust since June 1999. Until 2009, Ms. Sallows was a principal in Ryegate Capital Corporation, a company engaged in merchant banking as well as the provision of financial and strategic advisory services to institutional and corporate clients. Ms. Sallows is a former Executive Vice President of MICC Properties Inc. and previously held various positions at the Bank of Montreal, including Senior Vice President, Real Estate, Corporate Banking. Ms. Sallows received a B.A. from Carleton University in 1970, a M.Sc. from the London School of Economics in 1973, a Ph.D. from The Wharton School, University of Pennsylvania in 1978 and also holds the ICD.D designation.

Charles Winograd

 Mr. Charles M. Winograd is Independent Trustee of RioCan Real Estate Investment Trust, since February 1, 2009. Mr. Winograd is Senior Managing Partner of Elm Park Capital Management, a mid-market lending limited partnership. He is also President of Winograd Capital Inc., an external consulting and private investment firm. Mr. Winograd retired from RBC Capital Markets in December 2008, where he was President and Chief Operating Officer from 1998 to 2001 and then President and then Chairman and Chief Executive Officer from 2001 to 2008. Mr. Winograd began his career at Richardson Securities in 1971 as an investment analyst and was President and then Chairman and Chief Executive Officer of Richardson Greenshields, a privately owned investment dealer, from 1987 until it merged into RBC Dominion Securities in 1996. Mr. Winograd is Chairman of the Board of Directors of the TMX Group Inc. and Chairman of the Board of Directors of the Tamir Fishman Group in Israel. He is also on the Board of Talisman Energy Inc., Calgary, and James Richardson and Sons Limited, Winnipeg, and has been a trustee of the Trust since February 2009. Mr. Winograd is also a director of Mt. Sinai Hospital and Chairman of its Business Development committee. Mr. Winograd also serves on the Board of Pathways to Education Canada. Mr. Winograd was previously on the board of the Jewish Foundation of Greater Toronto and was Chairman of its Investment Committee. He also held the role of Chairman of the Investment Dealers Association of Canada. Mr. Winograd holds an MBA from the University of Western Ontario and is a Chartered Financial Analyst (CFA) charterholder.
