Name Description

Ian Burke

Mr. Ian Burke is has been appointed as Non-Executive Chairman of the Board of Rank Group Plc., effective May 6, 2014. He has spent the majority of his career in the leisure industry, initially in bingo clubs, then hotels and health and fi tness clubs. He was chief executive of Rank from March 2006 to May 2014, chief executive of the Holmes Place Group from July 2003 to February 2006, chief executive of Thistle Hotels plc from May 1998 to May 2003 and held various roles with Bass plc from February 1990 to April 1998, including managing director of Gala Clubs and managing director of Holiday Inns.

Henry Birch

Mr. Henry Benedict Birch is Chief Executive, Executive Director of the company. He has more than 20 years of experience in the betting and gaming sector and in online and broadcast media. From July 2013 to May 2014 he was a non-executive director of the AIM-listed CFD trading platform operator, PLUS 500 PLC. From October 2008 to November 2012 he was the chief executive offi cer of William Hill Online, the joint venture between William Hill plc and Playtech plc, which managed William Hill’s online business. Prior to working at William Hill Online, Henry was the chief executive offi cer of Leisure & Gaming plc, an AIM-listed company that owned and operated a number of online and retail betting and gaming subsidiaries. Prior to working at Leisure & Gaming plc, Henry was the chief operating offi cer of Bettingcorp Ltd, an Israeli company focused on the development and operation of online and interactive TV gaming platforms. Prior to working in the gambling industry, he held management roles at Time Warner, Turner Broadcasting and Riffage, an early digital music operator based in Silicon Valley, and started his career working in the House of Commons.

Clive Jennings

Mr. Clive Jennings is Finance Director, Executive Director of The Rank Group Plc. since July 27, 2011. He was previously Rank’s group fi nancial controller prior to which he was the fi nancial controller of Rank’s gaming division. He held senior fi nance positions in a number of other companies prior to joining Rank in July 2000. He is a chartered accountant.

Mr. Jones has held senior management positions in the leisure industry, including chief executive of Pizza Hut U.K., CEO of Yates Group PLC (YTE.LN) and, most recently, as executive chairman of Premium Bars and Restaurants PLC.

Martin Pugh

Mr. Martin Pugh is Managing Director – Mecca of the company. Since 5 January 2015, Martin Pugh joined Rank as managing director of Mecca. Martin has a wealth of experience in marketing, gambling and multi-site leisure, having previously run Virgin Active UK and Camelot’s UK business.

Sue Waldock

Ms. Sue Waldock is Human Resources Director of Rank Group PLC. She was appointed group human resources director in October 2006. Previously she held the position of human resources director for Rank’s gaming division. She is a fellow of the Chartered Institute of Personnel Development and chairman of the employment group for Business in Sport and Leisure Limited.

Colin Cole-Johnson

Mr. Colin Cole-Johnson is Group Director of Digital and Cross-Channel Services of the company. Since 23 September 2014, Colin Cole- Johnson joined Rank as group director of digital and cross-channel services. Colin has over 15 years’ international digital gaming experience and is responsible for the integration and delivery of Rank’s multi-channel offer.

Frances Bingham

Ms. Frances Bingham is Company Secretary of The Rank Group Plc. For eight years Frances was company secretary and legal director of the multi-national health and fi tness group, Holmes Place Group, and prior to that she was a solicitor in private practice.

Steven Esom

Mr. Steven Esom has appointed as Non-Executive Director of the Company, effective on 1 March 2016. He had a 12-year career at Waitrose, the last five years of which were as managing director. He has held a number of senior and non-executive positions within the food sector. He is currently the senior independent director and remuneration committee chairman of the FTSE-250-listed food producer, Cranswick plc. He is also non-executive chairman of the British Retail Consortium (trading) and of Advantage Travel Centres.

Susan Hooper

Ms. Susan Mary Hooper has been appointed as Non-Executive Director of the Company, with effect from 1 September 2015 . She was managing director of British Gas Residential Services, leading the service and repair, central heating installations, electrical services, and Dyno-Rod business units until October 2014. Susan joined British Gas from the Acromas Group where she was chief executive of the travel division, responsible for Saga Holidays, Hotels, Cruises, the AA Travel division and Titan Travel. Previously, she held senior roles at Royal Caribbean International, Avis Europe, PepsiCo International, McKinsey & Co, and Saatchi & Saatchi. She was a non-executive director of Whitbread PLC from 2011 to 2014 and has held several other non-executive directorships, including at Courtaulds Textiles, Royal & Sun Alliance, Transcom, First Choice and S.C Johnson.

Richard Needham

Rt. Hon. Sir. Richard Needham (Earl of Kilmorey) is Non-Executive Director of Rank Group PLC. Lord Kilmorey has diverse experience in commerce and industry and in Government. Current roles: non-executive chairman of VANE Minerals plc since July 2009 and of Tetra Strategy Limited, a political consultancy, since May 2009; director of Smarta Enterprises Limited, the UK’s largest online resource for small businesses, since October 2008; and non-executive director of NEC Europe Ltd, a leading internet services and systems solutions provider, since October 1997. Former roles: non-executive director of Avon Rubber p.l.c. (2007 to 2013, including five years as chairman); a director of various Dyson group companies (1995 to 2012, including four years as deputy chairman); chairman of Biocompatibles International plc (2000 to 2006) and of The Heart Hospital Limited (1998 to 2001); director of GEC plc (1995 to 1997); Minister of Trade (1992 to 1995); and Northern Ireland Minister (1985 to 1992).

Owen O'Donnell

Mr. Owen O'Donnell is Non-Executive Director of Rank Group Plc. Owen’s background is in online businesses including online media and online gaming. He is also a chartered accountant and chairs Rank’s audit committee. Current roles Member of the advisory board of Plumbee Limited, a social and mobile casino games business. Former roles Finance director at OVO Energy (2012 to 2014); non-executive chairman of fanduel.com, the online fantasy sports site, (2009 to 2011); chief fi nancial offi cer of Joost, King.com, Betfair and of FT.com; and director of fi nance and performance measurement of Pearson plc.

Christopher Bell

Mr. Christopher Bell is Senior Non-Executive Independent Director of the Company. He has over 20 years’ experience in the betting and gaming industry. Non-executive chairman of two AIM-listed companies: XLMedia PLC and of TechFinancials, Inc; senior independent director of Quintain Estates & Development plc; board member of the Responsible Gambling Strategy Board, which advises the Gambling Commission and the Government on policy and strategy in this fi eld, and a trustee of the Northern Racing College. Former roles Joined the Hilton Group in 1991 and became managing director of its Ladbrokes Worldwide business in 1994; joined the board of Hilton Group Plc in 2000 and, following the disposal of its hotels division, became chief executive when it was re-named Ladbrokes Plc (2006 to 2010). Prior to joining Hilton Group he held a number of senior positions at Allied Lyons for 12 years. He was chairman of The GAME Group plc until March 2012. Until June 2015 he was a non-executive director of Spirit Pub Company plc.
