Stephen Swad	Mr. Stephen M. Swad is President, Chief Executive Officer, Director of Rosetta Stone Inc. Mr. Swad resigned as Chief Financial Officer of the company effective May 2, 2012. Prior to assuming this role, Mr. Swad served as Chief Financial Officer since November 2010. Mr. Swad will continue to serve as Chief Financial Officer until such time as a successor is named. Prior to joining the Company, Mr. Swad served as the Executive Vice President and Chief Financial Officer of Comverse Technologies, Inc. from May 2009 to October 2010. From May 2007 to August 2008, he served as Executive Vice President and Chief Financial Officer of Federal National Mortgage Association (Fannie Mae). Mr. Swad previously served as Executive Vice President and Chief Financial Officer of AOL LLC from February 2003 to February 2007. He has also held various senior financial management positions with Time Warner and its subsidiaries. Mr. Swad, a former partner of KPMG LLP, has also served as a Deputy Chief Accountant at the U.S. Securities and Exchange Commission. He holds a B.A. in Business Administration from the University of Michigan and is a Certified Public Accountant.
Thomas Pierno	Mr. Thomas M. Pierno has been appointed as Chief Financial Officer of Rosetta Stone Inc., effective May 2, 2012. Mr. Pierno joins Rosetta Stone from Vertis Communications, Inc., a marketing communications company that delivers advertising, direct marketing and interactive solutions to companies across North America, where he served as senior vice president and chief financial officer from May 2011 to April 2012. Before joining Vertis Communications, Mr. Pierno served as vice president, financial planning and treasury of Comverse Technology, Inc., a global provider of software and systems, from February 2010 to April 2011. Pragnesh Shah	Mr. Pragnesh N. Shah is President - Global Consumer of Rosetta Stone Inc., since November 2011. Prior to joining Rosetta Stone, Mr. Shah was Vice President and General Manager at Network Solutions, LLC, a wholly-owned subsidiary of Web.com Group, a provider of internet services and online marketing, from 2009 to 2011. Before joining Network Solutions, Mr. Shah was President and Chief Executive Officer of Mobilians International, Inc. from 2007 to 2008. James Bankoff	Mr. James P. Bankoff is appointed as the Independent Director of Rosetta Stone Inc. Bankoff is chairman and CEO of Vox Media, Inc. The Verge, a consumer technology site, and Polygon, a site dedicated to covering the world of games and the people who love them. He has served in this capacity since January 2009. Immediately prior to joining Vox Media, Bankoff served as a senior adviser with Providence Equity Partners, a private equity firm focused on media and telecommunications. Prior to joining Providence in 2008, he served as executive vice president of programming and products at AOL. At AOL, Mr. Bankoff led the development of and/or presided over AOL.com, TMZ.com, Moviefone, MapQuest, BloggingStocks, AOL Music and Engadget.
