Name Description

Rudi Fronk

 Mr. Rudi P. Fronk is Chairman of the Board, Chief Executive Officer of Seabridge Gold Inc. He has been appointed as Chairman of the Board of the company effective 27 June 2012. He has 25 years experience in the gold industry, including serving as a director and senior officer of several publicly traded gold companies. He was appointed President, CEO and a Director of Seabridge in 1999 and has since that time continuously served in those roles. Mr. Fronk is the past President and Director of Greenstone Resources Ltd. from 1994 to 1999. Prior to 1994, he held positions with Columbia Resources (1992-1993), DRX Inc. (1989-1992), Behre Dolbear & Company (1986-1989), Riverside Associates (1984-1986), Phibro-Salomon (1982-1983), and Amax (1980). Mr. Fronk is a graduate of Columbia University from which he holds a Bachelor of Science in Mining Engineering and a Master of Science in Mineral Economics. Mr. Fronk is also a director of Paramount Gold and Silver Corp. a Canadian public company.

 Mr. Jay S. Layman is President, Chief Operating Officer of Seabridge Gold Inc. He has been appointed as President of the company effective 27 June 2012. Mr. Layman served as Executive Vice President and Chief Operating Officer, Seabridge Gold since March 2011; Independent Consultant (President of Tactical and Strategic Advisory Services LLC), August 2010 to February 2011, Vice President Solutions and Innovation, Newmont Mining Company from May 2007 to August 2010; Vice President Corporate Development, Hecla Mining Company, 2006 to April 2007.

William Threlkeld

 Mr. William E. Threlkeld is Senior Vice President of Seabridge Gold Inc., since November 2001. From 1997 to 2000, he was Vice President, Exploration for Greenstone Resources Ltd. and was responsible for resource delineation on three Central American gold deposits and development of an organization and strategy to identify new mineral investments. From 1991 to 1997, Mr. Threlkeld was Exploration Manager and Vice President of Placer Dome and was responsible for all of Placer Dome’s exploration activity and investment in Latin America. Mr. Threlkeld obtained his MSc in Economic Geology from the University of Western Ontario.

 Mr. C. Bruce Scott is Vice President - Corporate Affairs, Corporate Secretary of Seabridge Gold Inc. He is President of CBCS Law Corporation, counsel to the Issuer, Partner, DuMoulin Black LLP January 1998-December 2011.

R. Brent Murphy

 Mr. R. Brent Murphy is Vice President - Environmental Affairs of Seabridge Gold Inc., since December 6, 2010. He was Manager, Environmental Affairs to Seabridge; March 2008 to December 2010, Environment and Sustainability Manager, Alaska Gold Company, June 2007 to March 2008, Chief Environmental Officer, EKATI Diamond Mine, BHP Billiton Diamonds Inc., January 2006 to June 2007. He is a former exploration geologist who holds a M. Sc. Degree in Geochemistry from Acadia University located in Nova Scotia.

 Mr. A. Frederick Banfield is an Independent Director of Seabridge Gold Inc. Mr. Banfield is the Founder and Chairman of Mintec, Inc., Mr. Banfield was one of the original developers of MineSight™, recognized as the pre-eminent reserves modeling and mine design software system with more than 300 installations worldwide. Mr. Banfield has also been an independent reserves auditor and mine planning advisor to some of the world's gold mining organizations with respect to projects in the United States, Canada, Africa, Australia and Latin America. Mr. Banfield holds an Engineer of Mines degree from the Colorado School of Mines.

Douglass Barr

 Mr. Douglass Scott Barr is Independent Director of Seabridge Gold Inc. He is Executive, Value Assurance, Newmont Mining Corporation since Dec. 2011, Technical Advisor to, and previously Executive VP and COO of, Golden Star Resources Ltd., since 2008. With Newmont Mining Corporation from 1995 to 2008, finishing as VP – Technical Strategy and Development.

Thomas Dawson

 Mr. Thomas C. Dawson, Jr., is an Independent Director of Seabridge Gold Inc. Mr. Dawson has been Accountant since 1961. He is a retired senior audit and accounting partner with 40 years of experience at Deloitte & Touche LLP, Chartered Accountants. He received his B.Comm from Loyola College (now Concordia University), Canada, in 1959. Mr. Dawson is also a director of WaterFurnace Renewable Energy, a Canadian public company, Top 20 Dividend Trust, Top 20 US Dividend Trust and Top 20 Europe Dividend Trust.

Louis Fox

 Mr. Louis J. Fox is an Independent Director of Seabridge Gold Inc. Mr. Fox holds a B.A. from the University of Pittsburgh and a J.D. from the Boston University Law School. Mr. Fox has served on several public company boards and their respective audit committees. He has more than 25 years of experience in precious metals trading, merchanting and merchant banking activities. From 1984 to 1999, Mr. Fox was a Senior Vice President of Gerald Metals, Inc., an internationally recognized commodity trading, refining and merchant banking firm. Prior to Gerald Metals, from 1974 to 1981, Mr. Fox was a Vice President of J. Aron & Co., and Vice President of Goldman Sachs from 1981 through 1984.
