Name Description

Alberto Meomartini

Mr. Alberto Meomartini has served as Non-Executive Chairman of the Board of Saipem SpA since May 9, 2011. He has served as Non-Executive Director of the Company since May 4, 2011. He has been Chairman of Assolombarda since June 2009 and in April 2010, he was appointed Chairman of GNL Italia (Snam Rete Gas). He holds a degree in Business and Economics from Universita Commerciale Luigi Bocconi, Milan. He began his career at Snam S.p.A. in 1970, holding several positions first at Snam S.p.A. and then at Eni S.p.A. From 1979 to 1981, he worked closely with Prof. Reviglio at the Ministry of Finance. From 1990 to 1999, he was Managing Director of Snam S.p.A. and from May 2000 to April 2006, he served as Chairman of Italgas S.p.A. From December 2005 to April 2010, he was Chairman of Snam Rete Gas S.p.A. He has been Member of the Confindustria Committee for many years, where he has been Chairman of the University Commission and Member of the Education Technical Committee. He has been Chairman since 2003, of the Nucleo di Valutazione at LUISS Guido Carli University of Rome, and Chairman since 2007 of the Universita Bocconi Centre for Research on Energy and Environmental Economics and Policy (IEFE). He is also Member of the Board of Directors of the Il Sole 24 Ore Group and of Bocconi University. Since June 2012, he has been member of the Advice Council of Fondazione Solidalitas. Since September 2012, he has been Vice-Chairman of Milan Chamber of Commerce, and since January 2013 Chairman of Consortium Speed Up Mi.

Umberto Vergine

Mr. Umberto Vergine serves as Chief Executive Officer and Executive Director of Saipem SpA. He was appointed Chief Executive Officer, Director and Head of the Engineering & Construction Business Unit on December 5, 2012 and served as Head of the Engineering & Construction Business Unit until January 16, 2013. He was previously serving as Non-Executive Director of Saipem SpA between October 27, 2010 and December 5, 2012. He is a Chartered Civil Engineer and graduated in Civil Engineering from Politecnico di Milano. He joined Eni SpA in 1984. Having started his career as Petroleum Engineer, he worked in Norway, Angola and Libya and then as Production Manager in the Crema District in Italy until 1993. Between 1996 and 2001, he was District Manager of Agip UK in Aberdeen, District General Manager of Nigerian Agip Oil Co in Port Harcourt and General Manager of Petrobel Company in Egypt. In 2001, after the acquisition, he was Managing Director of Lasmo Venezuela in Caracas until the end of 2002 he was appointed Managing Director of Ieoc in Cairo. He returned to Italy in 2004, and held positions in Eni's E&P Division with the responsibilities of Senior Vice President for North Sea, Americas, Russia, Far East and Pacific, Senior Vice President Technologies & Services, and Executive Vice President for South Europe, Central Asia, Far East and Pacific. In 2010 he was appointed Eni SpA's Senior Executive Vice President for Studies and Research. He has been member of the Board of Directors of Eni Trading & Shipping, of Eni Foundation and Eni’s representative in the Board of Fondazione Politecnico di Milano. From January 1, 2012 to December 5, 2012 he has been Chief Operating Officer of the Gas & Power Division of Eni SpA.

Hugh O'Donnell

Mr. Hugh James O'Donnell has served as Deputy Chief Executive Officer and Executive Director of Saipem SpA since May 2009. He is also Member of the Sustainability Committee of the Company. Within the Company he has responsibility for Business Support and Transversal Activities. From 2000 to May 2009, he served as Co-Chief Executive Officer, Chief Operating Officer and Executive Director of Saipem SpA. From 1975 to 1977, he was Brown & Root's Engineering Team Leader for Offshore Constructions in the Far East. From 1977 to 1978, he served as Ocean Engineer at the Institute for Industrial Research & Standards in Ireland and from 1978 to 1991, he was Manager at Micoperi SpA, Milan. From 1991 to 1996, he was Chief Executive Officer of Belleli Ind. & Mecc. SpA, Mantua and from 1996 to 1999, he was Chief Executive Officer of Saipem UK. He holds a degree in Civil Engineering.

Dr. Gabriele Galateri di Genola became Chief Executive Officer (CEO) of Ifil S.p.A. in 1986. In 1993, he took on the positions of CEO and General Manager of IFI, which he retained until 2002. In June 2002, he was appointed CEO of FIAT S.p.A. Between April 2003 and June 2007, he was Chairman of the Board of Directors of Mediobanca S.p.A. and from December 2007 to April 2011, Chairman of Telecom Italia S.p.A. From April 2011, he is Chairman of Assicurazioni Generali S.p.A. He is a Non-Executive Board Member of Telecom Italia SpA, TIM Participacoes S.A, Banca CRS S.p.A., Banca CARIGE, Italmobiliare S.p.A., Accademia Nazionale di Santa Cecilia – Fondazione, Istituto Europeo di Oncologia, and Edenred S.A. Nicola Greco

Mr. Nicola Greco has served as Non-Executive Independent Director of Saipem SpA since May 4, 2011. Additionally, he is Member of the Compensation and Nomination Committee of the Company. He graduated in Chemical Engineering and started his career at Technipetrol (TPL) S.p.A. in 1974, where he held various positions: from Process Engineer to Project Manager, from Deputy General Manager to, in 1994, Chief Executive Officer (CEO) of the Company. He has also been Member of the Executive Committee of the Technip Group. During his career at Technip Italy he took part in a number of projects in the Plant and Infrastructure sectors, and in the Oil & Gas sector in particular. Since 2007, Mr. Nicola Greco has been Chief Executive Officer of Permasteelisa Group, a contractor in the engineering, project management, manufacturing and installation of architectural envelopes, plants and facilities for buildings and interior systems. Since 2008, he has been Chairman of Permasteelisa Interiors S.r.l. and Member of the Supervisory Board of Josef Gartner GmbH. He is Associated Professor of Economics and Management at Campus Bio-Medic University of Rome – Chemical Engineering Department for Sustainable Development. From 2003 to 2008, he was Chairman of OICE, an Employers' Association, belonging to Confindustria (the Confederation of Italian Industry), which represents Italian engineering, architectural and technical economic consulting organizations. Maurizio Montagnese

Mr. Maurizio Montagnese has served as Non-Executive Independent Director at Saipem SpA since May 4, 2011. Additionally, he is Member of the Compensation and Nomination and Audit Commitees of the Company. He holds a degree in Political Science. He started his professional career in 1977, at Fiat Auto S.p.A. in the Organization Department. In 1984, he joined the Olivetti Group, first of all in the International Marketing department and then in the Human Resources (HR) of the Sales Management for Italy. After holding several top positions in the HR department, in 1996 he became HR and Organization Group Director of Olivetti. In 1997, he moved to the Banking sector as HR Director of Mediovenezie Banca S.p.A. Later he was appointed HR Director of Cassa di Risparmio di Verona S.p.A. (Unicredito Group) and subsequently HR Director of Unicredito S.p.A. (Casse di Risparmio di Torino, Verona e Treviso). From 1999 to 2007, he was appointed HR and Organization Director of the Group Sanpaolo Imi S.p.A. and held the office of Board Director of Sanpaolo Bank S.A. (Luxembourg), Sanpaolo Bank (Suisse) S.A., Esaban S.p.A., Eptaconsors S.p.A., Gest Line S.p.A., Sanpaolo Imi Wealth Management S.p.A., and Banco di Napoli S.p.A. He has served as Chairman of SANPAOLO IMI S.p.A. Pension Fund. Mr. Montagnese has been the Chairman of SAGAT S.p.A. (the company that manages the airport of Turin) since June 2007. He is currently Board Director of the following companies: Aeroporti Holding S.r.l., Aeroporto di Firenze S.p.A., Turismo Torino e Provincia Visitors&Convention Bureau, G.T.A. (Gruppo Turistico Alberghiero, the Association representing companies working in the tourism area) and Banca d’Alba (Credito Cooperativo Alba Langhe e Roero). He is also Deputy Vice President of Tecnoinvestimenti S.r.l. and Board Director of Orizzonte S.g.r., both companies of the Tecnoholding S.p.A. Group. From September 2012 he is President of Intesa Sanpaolo Group Services (ISGS).

Mauro Sacchetto

Dr. Mauro Sacchetto has served as Non-Executive Independent Director at Saipem SpA since May 4, 2011. Additionally, he is Chairman of the Audit Committee of the Company. He holds a Physics Degree and a Masters degree in Business Administration, both gained at Stanford University, United States. He has business experience gained in the United States, Europe and Asia at multinational companies in sectors such as Telecommunications, Electronics & Microelectronics, and Information and Communications Technology. He has served as Chief Executive Officer (CEO) at Bull Compuprint, Chief Operating Officer at Corning OTI, President and Chairman at Atena, CEO of Pirelli Submarine System and CEO of Pirelli Broadband Solutions. Moreover, he is Group CEO of Datalogic.

Michele Volpi

Mr. Michele Volpi has served as Non-Executive Independent Director at Saipem SpA since May 4, 2011. Additionally, he is Member of the Audit Committee of the Company. He holds Masters degree in Business Administration from Universita Commerciale Luigi Bocconi, Milan, Italy. In 1988, he joined Habasit holding various commercial positions before been appointed as General Director of the Spanish Branch. From 1996 to 1998, he worked as Management Consultant in the Boston Consulting Group in Milan and held various marketing and product management positions at General Electric Plastics in Holland and in the United States from 1999 to 2002. In 2002, Mr. Michele Volpi joined the H.B. Fuller based in Minneapolis, becoming its Chief Executive Officer (CEO) and Board Director in 2006. Mr. Michele Volpi is currently Board Director of the United States Investment Bank Piper Jaffray.
