Name Description

Gavin Harper

Mr. Gavin William Harper is Executive Chairman of the Board of Sino Gas & Energy Holdings Limited since January 1, 2011. He has been involved with the Company since June 2006 in various capacities. He was previously Managing Director of Chevron's gas business development company in Korea and has experience with Chevron Corporation working in both operating and non-operating roles globally. He holds a Bachelor of Arts from University of Kent at Canterbury and Diploma in Business Administration from Strathclyde University. He is Chairman of the Company's Planning Committee.

Robert Bearden

Mr. Robert Bearden serves as a Chief Executive Officer and Managing Director of Sino Gas & Energy Holdings Limited since September 1, 2012. Mr. Bearden has over 30 years of experience in the upstream petroleum industry, predominantly in the areas of field development and production operations. He has previously worked for corporations in the industry, including executive management roles with Chevron based in Kazakhstan, Africa, Indonesia and the United States of America. Mr. Bearden holds a Bachelor of Science degree from Texas A&M University USA, a Master of Engineering, Petroleum Engineering, from Tulane University, USA, a Master of Business Administration from Purdue University, USA, and an International Masters of Management MBA from the European School of Management in Paris, France. He previously held various executive management roles with Chevron over 28 years with the company, including positions as Senior Vice President Indonesia, General Manager Kazakhstan, and Managing Director Mid-Africa.

Nicolas Bong

Frank Fu

Mr. Frank Fu is Chief Operating Officer of Sino Gas & Energy Holding Limited since August 1, 2010. He has an 18-year career in oil, gas and Coal Bed Methane (CBM), including the last 14 years with Phillips and ConocoPhillips both in China and the USA. Immediately prior to joining Sino Gas, he was in charge of offshore rig operations, including drilling, completion and production, for ConocoPhillips in China's Bohai Bay. In addition, he has had CBM operational experience in Shanxi Province, including on Sino Gas's acreage. Mr. Fu holds a Bachelor of Science degree in Geology and Exploration, and will lead all of Sino Gas's China operations including partner liaison. He is Member of the Company's Planning Committee.

Stephen Lyons

Mr. Stephen John Lyons is Vice President - Finance and Corporate of Sino Gas & Energy Holding Limited since May 15, 2012. He is a foundation shareholder in the Company and was a part of the team that negotiated and implemented the farm-in from Chevron in 2006. As Managing Director, he leads the Beijing-based executive team, reporting to the Board and has been based in Beijing, China since mid calendar 2006. He holds a Bachelor of Accounting degree from Curtin University of Western Australia, is qualified Chartered Accountant and Member of the Australian Institute of Chartered Accountants. He is Member of the Company's Planning Committee.

Harry Spindler

Mr. Harry Spindler is Company Secretary of Sino Gas & Energy Holding Limited since November 2, 2010. He has over 10 years experience with Corporate Recovery and Advisory Firms. He is a member of the Institute of Chartered Accountants in Australia and Member of the Financial Services Institute of Australia. In September 2008, he joined Indian Ocean Advisory Group who specialise in growth, corporate and taxation matters. During his career, he has worked on high profile restructuring engagements in mining and assists in advising a number of ASX-listed mining companies. He holds a Bachelor of Business and is Chartered Accountant and Associate of the Financial Services Institute of Australasia.

Colin Heseltine

Mr. Colin Heseltine is Non-Executive Directorof Sino Gas & Energy Holdings Limited. He holds a Bachelor of Business. He had a 40 year career with the Australian Department of Foreign Affairs and Trade (1969-2008), which included many postings in the Asian region and senior policy advisory positions in Australia. He was appointed China Strategic Consultant to the Company on July 22, 2011 and both the board and China based management team have benefited from his knowledge of doing business in the Asian region.

Bernard Ridgeway

Mr. Bernard (Bernie) William Ridgeway is Non-Executive Director of Sino Gas & Energy Holding Limited. He is Member of the Audit and Compliance Committee and Chairman of the Remuneration Committee of the Company. He was appointed to the the Company on its incorporation on March 5, 2007 and was appointed to the Sino Gas & Energy Limited board on July 15, 2005. He was responsible for initially recognising the potential to develop a clean energy business in China and has been part in the formation and direction of SGE. Bernie is currently the Managing Director of Imdex Limited. He is Member of the Company's Audit and Compliance Committee and Chairman of the Nomination and Remuneration Committee.

Peter Mills

Mr. Peter Andrew Mills was Independent Non-Executive Director of Sino Gas & Energy Holdings Limited from November 1, 2011 until he ceased to be a Member of the Company's Board on May 17, 2013. He has experience in the upstream Oil and Gas business in technical and general management roles working in Europe, Northern Africa, Asia and Australia. Over the past 29 years he has worked for Woodside, BHP Petroleum, Hess and Premier Oil in areas of field development, operations management, joint venture management and commercial negotiation. He retains a technical involvement in oil and gas operations, particularly in field development, production optimization and the application of technology to enhance production and value. He is currently Managing Director of Eureka Energy Limited. He was Member of the Company's Audit and Compliance Committee and Nomination and Remuneration Committee.
