Biographies

Name Description

Philip Bainbridge

Mr. Philip James Bainbridge has been appointed as Non-Executive Chairman of the Board of Sino Gas & Energy Holdings Limited., with effect from 1 September 2014. Mr Bainbridge brings a wealth of experience to the Sino Gas board, having spent 23 years with BP Group in a range of petroleum engineering, development, commercial and senior management roles in the UK, Australia and USA. In addition, Mr Bainbridge has previously spent six years with Oil Search Limited as Chief Operating Officer responsible for safety, operational and financial performance of all company assets in PNG and overseas, before moving to Executive General Manager LNG, responsible for all aspects of Oil Search’s interests in the US$19 billion PNG LNG project. Mr Bainbridge is currently a Non-Executive Director of both Drillsearch Energy Limited and the PNG Sustainable Development Program.

Ian Weatherdon

Mr. Ian Weatherdon is Chief Financial Officer of the Company. Mr. Weatherdon is a Chartered Accountant with over 25 years of experience in the oil and gas industry, most recently with Talisman/Repsol in Singapore where he was Vice-President, Finance for the Asia Pacific region. Prior to that he was the Chief Financial Officer of Talisman's Joint Venture in Colombia with Ecopetrol, Equion Energia. Mr. Weatherdon will commence employment on 1 January 2016 and will relocate to Beijing to work with the rest of the team as Sino Gas continues to progress the full development of its Ordos Basin assets in China.

Frank Fu

Mr. Frank Fu has been appointed as Chief Operating Officer of Sino Gas & Energy Holdings Ltd., effective 1 June 2014. Mr Fu has a 22 year career in oil, gas and coal bed methane, including over 14 years with Phillips and ConocoPhillips both in China and the USA. Mr Fu re-joins the Company having previously held the position of COO with Sino Gas from 2010 to 2012. Most recently, Mr Fu has been responsible for all operations, planning and technical activities in China for AIM-listed Leyshon Energy Limited. Mr Fu has had extensive unconventional natural gas operational experience in Shanxi Province, including on Sino Gas’s acreage. Mr. Fu holds a Bachelor of Science degree in Geology and Exploration, and will play a key role in all of Sino Gas’s China operations, including partner liaison.

Glenn Corrie

Mr. Glenn Corrie has been appointed as Managing Director, Director of Sino Gas & Energy Holdings Limited effective January 1, 2015. Mr Corrie previously held the position of Commercial and Business Development Director with Ophir Energy, PLC a London-listed oil and gas exploration company with a market capitalisation of approximately £1.3 billion (A$2.37 billion). He was the senior executive responsible for all corporate development initiatives including executing the portfolio growth strategy. Prior to joining Ophir, Mr. Corrie was a Director with Temasek Holdings Ltd in Singapore, responsible for global energy investments. Between 1998 and 2010, he held a variety of Technical and Corporate Development leadership positions within the Upstream Division of the Royal Dutch Shell Group, including Strategy Manager for Shell Upstream International Asia. Mr Corrie, a trained geophysicist, started his career at Woodside Petroleum and has completed a Master of Business Administration from the University of Chicago Booth School of Business. He is a Member of the Australian Institute of Company Directors.

Harry Spindler

Mr. Harry Spindler has been Company Secretary of Sino Gas & Energy Holdings Limited since November 2, 2010. He has over 10 years experience with Corporate Recovery and Advisory Firms. He is a member of the Institute of Chartered Accountants in Australia and Member of the Financial Services Institute of Australia. In September 2008, he joined Indian Ocean Advisory Group who specialise in growth, corporate and taxation matters. During his career, he has worked on high profile restructuring engagements in mining and assists in advising a number of ASX-listed mining companies. He holds a Bachelor of Business and is Chartered Accountant and Associate of the Financial Services Institute of Australasia.

Matthew Ginsburg

Mr. Matthew Ginsburg is Non-Executive Director of the Company. Mr. Ginsburg is an experienced former investment banker who has extensive relationships and insights into the Greater China financial services sector. Matthew has spent the majority of his 29 year career living and working in Asia. This comprised positions with First Boston in Tokyo and Hong Kong, Morgan Stanley in Hong Kong and subsequently with Barclays Capital in Hong Kong, where he was head of Asia Pacific Investment Banking and a member of the Global Investment Banking Executive Committee. He left the bank in 2014. Matthew holds a B.A from Harvard and a Masters of Management from JL Kellogg Graduate School at Northwest University.

Gavin Harper

Mr. Gavin William Harper has been re-designated as Non-Executive Director of Sino Gas & Energy Holdings Limited., with effect from 1 September 2014. He has been involved with the Company since June 2006 in various capacities and was appointed as a director of the Company on 14 March 2008. He has more than 36 years’ experience in the oil and gas industry in a variety of leadership roles, primarily with Chevron Corporation for 25 years. He has broad experience of working in both operating and nonoperating roles in complex joint ventures – in Asia, Australia and the UK. His most recent role with Chevron was as Managing Director of Chevron’s gas business development company in Korea. As the Company has commenced its transition towards development on its projects, he moved into a full time executive role on 1 November 2011. He is also a director of Renewable Heat and Power Limited, a biomass renewable energy company, and of Green Energy Limited, a company focusing on CBM developments in Poland. Gavin is also a Non-Executive Director of Sino Gas & Energy Limited. He was Director of NuEnergy Capital Limited from 23 April 2007 to 30 April 2011. He holds a Bachelor of Arts from University of Kent at Canterbury and Diploma in Business Administration from Strathclyde University.

Bernard Ridgeway

Mr. Bernard (Bernie) William Ridgeway is Non-Executive Director of Sino Gas & Energy Holdings Limited. He is Chairman of the Audit Committee and Member of the Remuneration Committee of the Company. He was appointed to the Company on its incorporation on March 5, 2007 and was appointed to the Sino Gas & Energy Limited board on July 15, 2005. He was responsible for initially recognising the potential to develop a clean energy business in China and has been part in the formation and direction of SGE. Bernie is currently the Managing Director of Imdex Limited. He is Member of the Company's Audit and Compliance Committee and Chairman of the Nomination and Remuneration Committee.
