Name Description

Neil Chatfield

Mr. Neil Gregory Chatfield, CPA, has been Independent Non-Executive Chairman of the Board of SEEK Ltd since November 30, 2012. is an established Executive and Non-Executive Director with extensive experience across all facets of company management, and with specific expertise in financial management, capital markets, mergers and acquisitions, and risk management. In addition to SEEK, Neil also holds non-executive roles across a range of industries in ASX listed companies and is currently the Chairman of Virgin Australia, a non-executive Director of Transurban Group and Grange Resources, and from 2007 to 2012 was a non-executive Director of Whitehaven Coal. Neil was until 2009 an Executive Director and Chief Financial Officer of ASX listed Toll Holdings, Australia's largest transport and logistics company; a position he held for over 10 years. Neil has a Masters of Business in Finance and Accounting, and is a Fellow of CPA Australia (FCPA) and Fellow of the Australian Institute of Company Directors (FAICD). He has been Director of Virgin Australia Holdings Limited (non-executive) since May 2006 and Chairman since June 2007; Transurban Group (non-executive) since February 2009; and Grange Resources Limited (non-executive) since January 2009. He is Member of the Audit and Risk Management Committee, Member of the Remuneration Committee and Member of the Nomination Committee.

Andrew Bassat

Mr. Andrew R. Bassat is Chief Executive Officer, Managing Director and Executive Director of SEEK Ltd. He co-founded the Company in 1997. He has been involved in all stages of the development of the business since then. He is also a Director of a number of the Group’s fully owned Australian subsidiaries as well as a director on the majority of the Group’s International investments and holding companies. He is a Director of the charitable Shane Warne Foundation. Prior to co-founding SEEK, Andrew was a management consultant with Booz Allen Hamilton and prior to that, he worked as a solicitor at Corrs Chambers Westgarth. Andrew holds a Bachelor of Science (Computer Science) degree from the University of Melbourne, a Bachelor of Laws (Honours) degree from Monash University, and a Master of Business Administration degree from Melbourne Business School.

John Armstrong

Mr. John A. Armstrong is Chief Financial Officer of SEEK Ltd. He has overall responsibility for SEEK's finance and administration operations as well as investor relations, ensuring the necessary operational and financial processes and infrastructure are in place and aligned with SEEK's strategies and continued rapid growth. He is a Director of SEEK subsidiary, Think: Education Group Pty Ltd. John has over 15 years experience in various financial and commercial management roles. Prior to SEEK John worked with Ernst & Young, Blackwoods and Fosters Brewing Group. John has a Master of Business Administration, and a Bachelor of Business majoring in Accounting from Monash University, and is a member of CPA Australia.

Michael Ilczynski

Mr. Michael J. Ilczynski has been Managing Director of Product Development and Strategy of SEEK Ltd since July 24, 2013. He is responsible for Product development and strategy for SEEK’s Australian and New Zealand online employment business. In this role, he oversees SEEK’s Product, Strategy, Online Delivery and Technology & Architecture teams, and serves as a Director of IDP Education and Swinburne Online (both 50% owned by SEEK), and SEEK subsidiary Think: Education Group Pty Ltd. Prior to working at SEEK, Michael has worked for McKinsey & Company, Tabcorp and the Collingwood Football Club. Michael also served in the Australian Army Ready Reserve as an infantry platoon commander and is a graduate of the Royal Military College, Duntroon. Michael holds Bachelor of Science and Bachelor of Commerce degrees from Melbourne University and a Master of Business Administration from the Kellogg School at Northwestern University.

Moana Weir

Ms. Moana Weir has been General Counsel and Company Secretary of SEEK Ltd since December 6, 2010. She has 13 years senior management experience in listed online companies, having previously been the Company Secretary and General Counsel at both REA Group Ltd (realestate.com.au) and Melbourne IT Ltd. Moana was appointed as a non-executive director of VLine Corporation in October 2010 and is the Chair of the VLine Remuneration Committee. She is an independent director with a school not-for-profit organisation. She holds a BA, LLB (Hons) and is a Graduate member of the Australian Institute of Company Directors (GAICD).

Peter Everingham

Mr. Peter D. Everingham has been Managing Director - SEEK Education of SEEK Ltd since January 20, 2010. He is responsible for overseeing SEEK's portfolio of education businesses and investments including THINK Education, IDP Education & Swinburne Online. Peter's also closely involved in corporate development across the SEEK Group. Prior to SEEK, Peter was Director of Corporate Strategy for Yahoo! in Australia and South Asia where he guided business strategy, identified expansion initiatives, and negotiated major partnerships and investments. He also has experience across the extremes of co-founding and running an internet start-up to working within the heavy-industry corporations of Dyno Wesfarmers and Pioneer International on corporate finance and expansion. Peter is a Director of IDP Education Pty Ltd (50% owned by SEEK) and SEEK subsidiary, Think: Education Group Pty Ltd. He has a Bachelor of Economics from the University of Sydney and an MBA from IESE.

Jason Lenga

Mr. Jason S. Lenga is Managing Director - SEEK international of SEEK Ltd. He has overall stewardship of SEEK’s international investments and international corporate strategy including new investment opportunities. Jason also leads the Strategy and Business Development team for SEEK's Australian and New Zealand online employment businesses. Jason has been with SEEK since 1999 in a variety of senior roles and has been instrumental in developing SEEK's strategic direction as well as establishing and driving key parts of the business, including the development of the Group’s significant international assets. Prior to joining SEEK, Jason was a solicitor with commercial law firm Mallesons Stephen Jaques within the Mergers and Acquisitions practice. Jason holds Bachelor of Laws and Bachelor of Commerce degrees from the University of NSW.

Joe Powell

Mr. Joe S. Powell is Managing Director - SEEK Employment in Australia and New Zealand of SEEK Ltd. He has day-to-day responsibility for SEEK's online employment and learning businesses in Australia and New Zealand. In his role, he oversees the sales, marketing, customer service, operations and IT divisions. He joined SEEK after 11 years at Optus in Melbourne and Sydney. He completed a successful sales management career at Optus where he was Director of Consumer Sales and held other roles including Commercial Manager, National Sales Manager and Group Manager Mobile Communication Devices and Service. He has a Bachelor of Commerce Degree from the University of Tasmania and is a Graduate of the Australian Institute of Company Directors (GAICD). He also completed the Harvard Business School’s Advanced Management Program in 2012.

Meahan Callaghan

Ms. Meahan F. Callaghan is Group Human Resources Director of SEEK Ltd since July 22, 2010. She is responsible for leading & advising on people related strategies across the Group. Prior to working at SEEK; Meahan has held human resources positions at Tabcorp, FOXTEL, AMP and the Sheraton Hotel Group. Meahan holds a Bachelor of Business degree, majoring in Human Resources from Victoria University and holds a Post Graduate Degree in Psychology from Deakin University.

Julie Fahey

Ms. Julie Fahey has been appointed as Non-Executive Director of SEEK Ltd., with effect from 23 July 2014. Julie has over 30 years of experience in technology, including in major organisations such as Western Mining, Exxon, Roy Morgan, General Motors and SAP, covering consulting, software vendor and Chief Information Officer roles. In addition to her industry experience, Julie spent 10 years at KPMG as a partner with the firm, during which time she held roles as National Lead Partner Telecommunications, Media and Technology, and National Managing Partner – Markets.  She was also a member of the KPMG National Executive Committee.

Ashley Waugh

Denise Bradley

Emeritus Prof. Denise I. Bradley, AC, has been Independent Non-Executive Director of SEEK Ltd since February 15, 2010. She has been involved in national education policy groups for more than two decades. She was a member of the Commonwealth Tertiary Education Commission (CTEC) and later of the National Board of Employment, Education and Training (NBEET) and was deputy chair of the Higher Education Council of NBEET. In 2008 she chaired the Expert Panel which undertook the National Review of Higher Education. She has also had roles on other government and educational boards and committees involved in higher education and training. Professor Bradley is also a former President and Chair of IDP Education Australia Pty Ltd in which SEEK has a 50% investment in partnership with Australian Universities. Professor Bradley is currently a member of the Education Investment Fund Advisory Board, a member of the NSW National Partnerships Evaluation Committee, and Chair of VERNet. On Australia Day 2008 Professor Bradley was made a Companion of the Order of Australia, Australia’s highest honour, in recognition of her service to higher education. Professor Bradley has a Bachelor of Arts degree from Sydney University, a Diploma of Education from Adelaide University, a Diploma of Librarianship from the University of NSW, and a Masters degree in Social Administration from Flinders University. She also holds Honorary Doctorates from Pukyong University (Korea), University of South Australia, Royal Melbourne Institute of Technology and the University of Western Sydney. She is Member of the Remuneration Committee and Member of the Nomination Committee.

Colin Carter

Mr. Colin Bruce Carter has been Independent Non-Executive Director of SEEK Ltd since March 22, 2005. He has a consulting background in organisational and business strategy. He is a former Senior Partner of, and a current Senior Adviser to, The Boston Consulting Group. His interests include corporate governance issues and in recent years Colin has carried out board performance reviews for a number of companies as well as co-authoring a topselling book on boards, Back To The Drawing Board. Colin is a non-executive director of ASX Listed companies Wesfarmers Limited and Lend Lease Corporation Limited, and a Director of World Vision Australia. He is President of the Geelong Football Club and also a Director of Ladder which is the AFL Players' project to combat youth homelessness. In 2010, Colin was appointed by the Federal government to the new position of Ambassador for Business Action to encourage Australian businesses to increase their employment of Indigenous persons. Colin has a Bachelor of Commerce degree from Melbourne University and an MBA from Harvard Business School where he graduated with Distinction and as a Baker Scholar. He has also been Director of Wesfarmers Limited (non-executive) since October 2002. Lend Lease Limited (non-executive) since April 2012. Graham Goldsmith

Mr. Graham Burton Goldsmith has been Independent Non-Executive Director of SEEK Ltd since October 29, 2012. He has been Director of Djerriwarrh Investments Ltd (non-executive) since April 2013. He retired in 2012 as Vice-Chairman and a Managing Director of Goldman Sachs Australia after 25 years with the firm. Graham held a number of senior roles during his career with Goldman Sachs, predominantly advising listed company management teams and boards, and governments, on capital market and financing conditions and transactions. He also held a number of governance related roles, specifically focused on risk management and reputational issues. Graham was also Chair of the Goldman Sachs Australia Foundation, the not for profit entity through which the firm conducts charitable works in Australia. Prior to working for Goldman Sachs or JBWere & Son, as it then was, Graham was employed by National Australia Bank. Graham was educated at Swinburne Institute of Technology and graduated with a Bachelor of Business (Accounting). He completed the Advanced Management Program at Harvard University in Boston in 2007. He is a CPA and member of the Australian Society of CPAs, a graduate member of the Australian Institute of Company Directors (GAICD) and a Fellow of the Financial Services Institute of Australia (FFin). Graham is a non-executive Director of ASX Listed Djerriwarrh Investments Ltd and a Council Member of Swinburne University of Technology where he also Chairs the Advisory Board of Swinburne Leadership Institute. He is Chairman of the Audit and Risk Management Committee and Member of the Nomination Committee.
