Biographies

Name Description

Sergio Marchionne

Dr. Sergio Marchionne has been Non-Executive Chairman of the Board of Directors at SGS SA since March 20, 2006. He has been Chairman of the Nomination and Remuneration Committee and Chairman of the Audit Committee since March 2006. He is also Chairman of the Professional Conduct Committee at the Company. Prior to this position, he served as Non-Executive Vice Chairman of the Board until March 20, 2006. From February 2002 until June 2004, he served as Chief Executive Officer. He was appointed to the Board in May 2001. Since 2003, he has also been Member of the Board of Fiat S.p.A. and its Chief Executive Officer since 2004. He has been also Chairman of the Board of CNH Global N.V. since 2006. He has also been Member of the Board of Philip Morris International SA since 2008. From 1994 till 2000, he served at various positions within Algroup, becoming Chief Executive Officer in 1997. He also served as Chief Executive Officer of Lonza Group Ltd, from 2000 till 2001, and as Chairman in 2002. Since 2011, he has been Chairman at Fiat Industrial S.p.A. He obtained a Bachelor of Laws degree from Osgoode Hall Law School York University of Toronto. He holds a Masters degree in Business Administration degree from University of Windsor. He is also a permanent Member of the Fondazione Giovanni Agnelli.

Christopher Kirk

Mr. Christopher Kirk has been Chief Executive Officer of SGS SA since 2011. He is also responsible for the Information Technology (IT) in the Company. Furthermore, he held ad interim position of Executive Vice President Industrial Services between 2009 and 2011. Prior to this position, he served as Chief Executive Officer from November 29, 2006. Previously, he served as Executive Vice President for Minerals and Environmental Services, Environmental Services & Oil, Gas & Chemicals Services from 2003 till November 29, 2006. He was also Chief Operating Officer of the South East Asia/Pacific region from 2002 till 2003. From 2000 till 2003, he served as Managing Director and Sub-regional Manager, Singapore. From 1998 till 1999, he served as Managing Director, Thailand. From 1987 till 1999, he held a number of senior positions in Thailand, Ghana, Singapore and Australia. From 1981 till 1987, he took on different roles in the Company, including Operations Manager, Business Development Manager and General Manager for SGS New Zealand. He joined the Company, in 1981, as Agri Inspector in New Zealand having worked as Life Insurance Representative for Canada Life from 1979 till 1980. He received a Post Graduate Certificate in Education and, in 1978 he was awarded a Bachelor of Science degree in Zoology.

Geraldine Matchett

Ms. Geraldine Matchett has been Chief Financial Officer of SGS SA since March 8, 2010. She joined the Company in 2004, and her most recent position was Group Financial Controller. Before joining the Company, she has served at KPMG and at Deloitte & Touche at various positions. She is Chartered Accountant and holds a Masters degree in Sustainable Development from Cambridge University.

Frederic Herren

Mr. Frederic Herren has been Chief Operating Officer Africa and Executive Vice President of Governments & Institutions Services of SGS SA since 2006. He initially joined the Company, in 1986 as Vice President of the Economic Affairs Division, and rejoined in 1999. From 1995 till 1998, he served as Chief Executive Officer at Unilabs International. From 1999 till 2003, he served as Head of Global Marketing, Trade Assurance Services (now known as Governments & Institutions Services) at the Company. From 2003 till 2006, he held the position of Executive Vice President, Automotive Services. Prior to this, he headed the Operation and Business Development in the Trade Assurances Division from 1998. In 1995, he served for Unilabs S.A. as General Manager of its international division based in London and then Geneva. From 1980 till 1987, he held several positions at the World Economic Forum. He also has been Member of the Bureau Permanent CITA, International Motor Vehicle Inspection Committee in Brussels, Belgium, since 2005. Since 2006, he has been also Member of the Honorary Committee of FISITA, International Federation of Automotive Engineering Societies in London, the United Kingdom. He holds a Masters degree in Economics.

Teymur Abasov

Mr. Teymur Abasov has been Chief Operating Officer, Eastern Europe & Middle East of SGS SA since 2007. He joined the Company in 1994 as Senior Inspector for the Azerbaijan office. From 2001 till 2003, he served as Operations Manager, Oil Gas & Chemicals Services, Azerbaijan. From 2003 till 2004, he served as Managing Director, Georgia. From 2004 till 2006, he acted as Managing Director, Azerbaijan and Georgia. Between 2006 and 2007, he served as Managing Director, Kazakhstan & Caspian Sub-Region. Before his position as Managing Director, Georgia, he served for two years in the OGC division as Redwood Manager. He graduated with a degree in Electrical Engineering.

Helmut Chik

Mr. Helmut Chik has been Chief Operating Officer, China & Hong Kong of SGS SA since 2004. Prior to this, he had held the position of Managing Director for the operation in Hong Kong for two years and the Vice President of Global Softlines, Consumer Testing Services in 2001. He joined the Company in 1991. In 1999, he became Director, Hong Kong, Consumer Testing Services. From 2000 till 2001, he has served as Director Greater China, SBU Softline, Consumer Testing Services. In 2002, he became Global Business Manager, Softline, Consumer Testing Services. In 2003, he became Managing Director, Hong Kong. He obtained an Executive Masters of Business Administration degree from City University of Hong Kong. He also acquired two postgraduate diplomas in Human Resources Management and Accounting after finishing his Sociology degree.

Pauline Earl

Ms. Pauline Earl is Chief Operating Officer, Western Europe at SGS SA since 2010. She had previously held the post of SGS Managing Director United Kingdom for three years. Prior to this, she held various roles within the Company including SSC Operations Manager from 2004 to 2007, Business Manager for SSC Ireland and Certification Manager. She has been with SGS since 1995 having joined the company as Regional Manager in Belfast with previous experience in Quality Assurance, Product Development and Quality Control gained with Stewarts Supermarkets and Dale Farm Dairies. She holds a Bachelor of Science in Food Science completed in 1984.

Alejandro Gomez de la Torre

Mr. Alejandro Gomez de la Torre has been Chief Operating Officer, South America at SGS SA since 2002. He joined the Company in 1986. From 1996 till 2001, he served as National Chief Executive, Peru and, from 1998 till 2001, as Manager Central Sub-Region, Latin America. In that role, he was responsible for various South American countries and then went on to being made Latin American Region Manager for Argentina, Brazil, Bolivia, Colombia, Chile, Ecuador, Paraguay, Peru, Uruguay and Venezuela, as well as Managing Director for SGS Peru. He also served as Commercial Managing Director and Agricultural and Fishing Manager from 1992 till 1996. In addition, he acted as Operations Manager for SGS Peru office from 1988 till 1992. In 1986, he was International Management Trainee in Argentina and, prior to this, his first role at the Company was Administrative Director for Supervisiones Generales del Peru S.A from 1984 till 1986. He also served at a Customs agency and at a Trading company prior to joining the Company. He holds a degree in Business Administration and postgraduate specialization in International Commerce. He also received a Masters of Business Administration degree in 1983.

Anthony Hall

Mr. Anthony Hall has been Chief Operating Officer, South East Asia & Pacific of SGS SA since October 1, 2009. Mr. Hall joined the Company in 2001. From 2005 till 2006, he served as National Business Manager Australia, OGC, Industrial and Automotive. From 2007 till 2009, he served as Managing Director, Australia. He has experience in the mining and minerals exploration industry and spent 10 years in the oil and gas industry. Prior to joining the Company, he served as Group Operations Manager of Scientific Services Ltd (SSL), as well as Managing Director of Gearhart Group, and Director of three SSL subsidiaries. After joining the Company, he held various positions including the role of General Manager for the Oil, Gas and Chemicals, Environmental, Automotive and Industrial divisions of the Company. From 2005 till 2006, he also served as Manager for Redback and Gearhart Group. He is Chemist and Laboratory Technician by profession.

Dirk Hellemans

Mr. Dirk Hellemans has been Chief Operating Officer, Central & North West Europe at SGS SA since 2002. He was Managing Director for the Belgium from 1997 till 2002. Prior to this, he served as Regional Sector Manager for SSC Europe from 1999 till 2002. He joined the Company, in 1988, as Director for SGS Qualitest in Belgium office. He also held various roles at SSC, Industrial, NDT and CTS. From 2002 till 2004, he served as Chief Operating Officer, North West Europe. In 1982, he was at Vlerick Management School (Gent University), where he was awarded a degree in Management. He also studied Chemical Engineering at Leuven University, where he received his degree in 1981.

Jeffrey McDonald

Mr. Jeffrey McDonald has been Chief Operating Officer, North America of SGS SA since 2007. From 1995 till 2003, he served in Systems & Services Certification, South East Asia & Pacific as Regional Manager in Bangkok. In 2003, he became Global Project Manager, Systems & Services Certification. From 2004 till 2007, he acted as Executive Vice President, Systems & Services Certification. He joined the Company, in 1995, as Training Manager and was appointed Division Manager of Certification Services in 1998. He also has a Postgraduate Certificate Education. He has a Bachelor of Arts degree in Economics from Griffith University, a Graduate Diploma in Education from University of Technology, Sydney in Australia, and an Engineering degree from Yeronga TAFE College.

Ladislav Papik

Mr. Ladislav Papik is Chief Operating Officer for Southern Central Europe at SGS SA since February 1, 2013. He is also Managing Director of SGS Hungsria Kft. and SGS Slovakia spol. s r.o. he joined the Company in 1991. Prior to joining the company, he worked in Slovakia’s steel manufacturing plant and in a superintending company for export and import goods in Slovakia as well as Europe and Middle East countries. He has also worked on several projects with international companies. He graduated from Technicka univerzita v Kosiciach, College of Metallurgical Engineering in 1976 with a Diploma in Metallurgical Engineering.

Dennis Yang

Mr. Dennis Yang has been Chief Operating Officer, Eastern Asia of SGS SA since 2002. He joined the Company in 1975 as Inspector for SGS Far East Limited in Taiwan. From 2000 till 2002, he acted as Managing Director, Taiwan. From 1992 till 2000, he served as Assistant General Manager, Taiwan. From 2000 till 2002, he also served as SBU Manager of industrial services of Greater China. From 1980 till 1992, he served at various positions at the Company, including Assistant Division Manager to Division Manager, followed by Branch Manager. He was also briefly Department Manager from 1978 till 1980. He obtained an Executive Masters of Business Administration degree at National Sun Yat-sen University in 2001. He also holds a Bachelor of Science degree in Marine Engineering from National Taiwan Marine and Ocean University.

Francois Marti

Mr. Francois Marti has been Executive Vice President Systems and Services Certification and Senior Vice President Strategic Transformation at SGS SA since March 2012. Prior to that, he served as Senior Vice President, Strategic Transformation at SGS SA from August 2011. He initially joined the Company in 2003 and rejoined in 2011. He previously acted as Vice President, Continuous Improvement at the Company between 2003 and 2005. From 2005 to 2011, Mr. Marti acted as Chief Executive Officer at Fiat Services. He also served as Senior Manager at PWC and IBM. He holds a degree in International Relations.

Michael Belton

Mr. Michael Belton has been Executive Vice President, Minerals Services at SGS SA since 2007. From 1995 till 2002, he served as Executive Vice President at Alfred H. Knight North America Ltd. From 2002 till 2005, he acted at the Company as Vice President, Global Non-Ferrous Minerals Services. From 2005 till 2007, he held the position of Managing Director, Minerals Services, North America. He joined the Company, in 2002, as Special Project Manager for the Minerals Services business team. From 1992 till 1993, he was Technical Director at Alfred H. Olivier Coppey

Mr. Olivier Coppey is Executive Vice President, Agricultural Services at SGS SA since February 1, 2013. Prior to this he was Vice President for Global Seed & Crop Services of the Agriculture business line. He joined SGS in 1994 in Cameroon, and in 2000 he became Business Manager for Guaranteed Business Solutions, Liquids and Customer Service. In October 2006 he accepted the role of regional head for Agricultural Services in North America, a position he held until his promotion to lead the newly created market segment Seed & Crop Services in January 2009. He earned a Master in Economics from HEC Lausanne in Switzerland.

Anne Hays

Ms. Anne Hays has been Executive Vice President, Life Science Services of SGS SA since January 15, 2010. She has also been Member of the Operations Council, having previously held the position of Life Science Vice President Business Development R&D/QC (Research and Development / Quality Control) for three years. She joined the Company, in 1984, as Pharmacist Director of the French Laboratory, becoming General Manager in 1992, Global Key Account Manager and then Life Sciences Quality Control Manager for Europe. She graduated with a Bachelor of Science degree, a Doctorate in Philosophy degree in Pharmacy, obtained in 1983, and also with a D.E.A. (equivalent of a Masters degree) in Pharmaco Chemistry in 1984.

Thomas Klukas

Mr. Thomas Klukas has been Executive Vice President, Automotive Services at SGS SA since January 2011. He has been Member of the Operations Council, having previously held the position of Global Development Vice President of Automotive Services. He joined SGS North America in 2005 as Senior Vice President of SGS Automotive Services Inc. and Regional Business Manager of Automotive Services. Prior to joining the Company, he worked for DEKRA AG in Marietta Georgia, as Chief Executive Officer. He graduated with a degree in Engineering Science in Germany completing both a Masters of Business Administration and a Doctorate in Philosophy.

Frankie Ng

Mr. Frankie Ng has been Executive Vice President, Industrial Services of SGS SA since January 2012. Prior to that, he had acted as Executive Vice President, Consumer Testing Services of the Company since 2004. From 1997 till 2000, he served as Operations Manager, Consumer Testing Services, China. From 2000 till 2002, he acted as Director, Consumer Testing Services, China and Global Hardlines. He joined the Company, in 1994, as Management Trainee. Before joining the Company, he served briefly with Sodeco SA as Quality Assurance Engineer. He holds a diploma in Engineering from Engineering School of Geneva and a Bachelor of Arts degree in Economics and Econometrics from University of Essex, the United Kingdom.

Peter Possemiers

Mr. Peter Possemiers is Executive Vice President Environmental Services at SGS SA since February 1, 2013. Prior to this he was Global Business Manager for the OGC Downstream unit a position he held since 2007, based in Geneva. Before moving to Geneva, he held the role of Managing Director in South Korea having moved to Seoul in 2005 from Shanghai. He became OGC Business Development Manager for Asia Pacific in 2002. He started with the SGS Group in Australia as a Senior Inspector Chemist in 1983 before moving to Singapore in 1990 to manage its Chemical business. From 1990 to 2002 he held several OGC Management positions based in Singapore, Philippines, China and Australia where he also managed the Environmental unit. In 1983 he received a Degree in Chemistry and Microbiology from the University of South Australia.

Malcolm Reid

Mr. Malcolm Reid has been Executive Vice President, Consumer Testing Services at SGS SA since January 2012. Prior to that, he served as Executive Vice President, Systems & Services Certification at the Company from 2007. He joined the Company in 1987. From 2005 till 2007, he served as Managing Director, Australia. From 2000 till 2005, he was Managing Director, Thailand. From 1997 till 2000, he acted as Managing Director, Philippines. In 1994, he was appointed Operations Director in Hong Kong, then Regional Manager for Eastern China based in Shanghai. After an initial period in the Middle East, Switzerland and Japan, he took over the position of General Manager for Vietnam in 1992. He has been also Member of the Board of IIOC (Independent International Organization for Certification) since 2007. Alim Saidov

Mr. Alim Saidov has been Executive Vice President, Oil, Gas & Chemicals Services at SGS SA since February 1, 2013. Prior to that, he served as Executive Vice President Oil, Gas & Chemicals & Environmental Services of the Company 2007. From 2001 till 2004, he served as Managing Director, Kazakhstan & Manager Caspian Region. In 2004, he was appointed as Chief Operating Officer, North America. From 2004 till 2007, he served as Chief Operating Officer, Eastern Europe & Middle East. Prior to assuming the position of Executive Vice President, Oil, Gas & Chemicals & Environmental Services, he served in Moscow for SGS Vostok, where he firstly held the position of Managing Director for Russia and then Chief Operating Officer for Eastern Europe and the Middle East from 2004. Before than and in the same year, he was given the Deputy of Chief Operating Officer of SGS North America. Previously, he worked for SGS Canada as Managing Director and Nafta Business Development Manager. In 1999, he went to Georgia where he took on the role of General Manager for the Georgian SGS office, before which he was Division Manager for Redwood Azerbaijan from 1995. He joined the Company, in 1993, as Senior Inspector for Redwood, Azerbaijan. In 1987, he received a degree in Engineering from Lomonosov Moscow State University, with a focus on Electro-Physics and, in March 1993, he received his Doctorate in Philosophy degree in Chemistry from Russian Academy of Sciences.

Dominique Ben Dhaou

Ms. Dominique Ben Dhaou has been Senior Vice President of Human Resources at SGS SA since January 2011. Previously, she held the positions of Vice President of Human Resources and Assistant Vice President, Human Resources Manager. She joined SGS in 2001 as International Compensation & Benefits Manager, and in addition assumed the role of Africa Regional Human Resources Manager from 2003 to 2005. Prior to joining the company, she worked in Human Resources at Firmenich S.A, Novartis Consumer Health and Levi Strauss & Co. Ms. Ben Dhaou received a Bachelor’s Degree in Hotel Industry Management in 1987.

Jean-Luc de Buman

Mr. Jean-Luc de Buman is Senior Vice President, Corporate Development, Corporate Communications & Investor Relations of SGS SA. He has also been Member of the Board of CCIG Chambre de Commerce et de l’Industrie de Geneve in Geneva, Switzerland, since 1999. He has been Member of the Board of Association pur le Developpement des Competences Bancaires in Geneva, Switzerland, since 1999. He has been Member of the Board of Hyposwiss Private Bank Geneve SA in Geneva, Switzerland, since 2006. From 1978 till 1998, he served as Country Head Switzerland, Sales Fixed Income at UBS. He joined the Company in 1998. He is responsible for all aspects of internal and external communication, as well as for the relationship between the Company and the investor community. He studied Law at the Universite de Fribourg until 1978 and various programs at INSEAD (Institut Europeen d'Administration des Affaires, European Institute for Business Administration), IMD (Swiss Institute for Management Development) and Industrial Bank of Japan, Tokyo.

Olivier Merkt

Mr. Olivier Merkt has been Chief Compliance Officer, General Counsel and Company Secretary of SGS SA since August 2008. He served as Vice President, Corporate Development at the Company from 2006 till 2008. He joined the Company as in-house Senior Counsel in 2001. Prior to joining the Company, he was active in private practices, ultimately with Ernst & Young Legal in Geneva, Switzerland, where he served from 1993 till 2001. He holds a Doctorate degree in Law from Universite of Neuchatel Switzerland and a Master of Legal Letters degree from Cambridge University.

Paul Desmarais

Mr. Paul Desmarais, Jr. is Member of the Board of Directors at SGS SA. He is Chairman and Co-Chief Executive Officer of Power Corporation of Canada. He began his career in England with S.G. Warburg & Co, moving on to Standard Brands Incorporated in New York. In 1981, he joined Power Corporation of Canada, where he is now Chairman of the Board and Co-Chief Executive Officer. He is a Director of many Power group companies in North America. He serves also at Group Bruxelles Lambert, GDF SUEZ, Great-West Lifeco Inc., IGM Financial Inc., Lafarge SA, Pargesa Holding SA, and Power Financial Corporation. Mr. Paul Desmarais, Jr. has a degree in Business Studies from McGill University, Montreal and an MBA from the Institut Europeen d'Administration des Affaires (INSEAD) in Fontainebleau.

Shelby du Pasquier

Mr. Shelby R. du Pasquier has been Member of the Board of Directors at SGS SA since March 2006. He became Partner of Lenz & Staehelin in 1994. He is Member of the Professional Conduct Committee at the Company. He has also acted as Member of the Board at Stonehage Trust Holdings (Jersey) Limited since 2012. He holds degrees in Law from Universite de Geneve (Geneva University) as well as from Columbia University School of Law, where he obtained a Master of Legal Letters degree. He was admitted to the Geneva Bar in 1984 and to the New York Bar in 1989.

Ian Gallienne

Mr. Ian Gallienne is Member of the Board of Directors at SGS SA. He is Member of the Nomination and Remuneration Committee at the Company. In 1992 he began his career in Spain as Co-Founder of a sales company. From 1995 to 1997, he was a member of management for a consulting firm, specializing in turning around struggling businesses in France. From 1998 to 2005, he was Manager of the private equity funds Rhone Capital LLC in New York and London. From 2005 to 2012, he has been Founder and Managing Director of the private equity funds Ergon Capital Partners in Brussels. He is a Director of Groupe Bruxelles Lambert since 2009 and Managing Director since 2012. He serves also at Imerys, Lafarge, Pernod Ricard SA, among others. Mr. Gallienne has a degree in Management and Administration, with a specialization in Finance, from Ecole Superieure des Dirigeants d'Entreprises (ESDE) in Paris and an MBA from Institut Europeen d'Administration des Affaires (INSEAD) in Fontainebleau.

Cornelius Grupp

Dr. Cornelius Grupp has been Member of the Board of Directors of SGS SA since March 2011. Dr. Cornelius Grupp is owner and General Manager of Tubex Holding GmbH in Stuttgart, Germany, and of CAG Holding GmbH in Lilienfeld, Austria. Currently, Dr. Grupp serves on the Board of Schoellerbank AG since 1999, as well as Stoelzle Oberglas since 1989. He is Honorary Consul of Austria to the Land of Baden-Wuerttemberg. He holds a Doctorate degree in Law and a Master degree in Business Administration.

Prior to 2000, he was responsible for Alusuisse-Lonza Group's corporate development and was involved in the de-merger and stock market launch of Lonza Group AG, as well as the merger process of Alusuisse and Alcan. He has served as Head of Chemicals Division of Alusuisse-Lonza Group from 1991 till 1996. In 1991, he was appointed as Executive Vice-President and Member of the Executive Committee of the Allusuisse-Lonza Group. He has been working as Independent Consultant since 2000. Since 2001, he has been Chairman of the Board of Moevenpick Holding AG. Since 2004, he has been Chairman of the Board of Clair AG. Since 2006, he has been Member of the Board of CNH Global NV. Since 2010, he has been Chairman of the Board of Lamda Development Ltd. Since 2002, he has been Member of the Board of Paneuropean Oil and Industrial Holdings SA. Since 2010, he has been Chairman of the Board of Von Roll Holding AG. Since 2008, he has been Member of the Supervisory Board of Transbalkan Pipeline BV. Since 2009, he has been Member of the Board of Hardstone Services SA. He holds a Doctorate in Philosophy in Economics and Political Sciences from Universitaet Basel and was engaged in research as Member of the Institute for Applied Economics Research at the University of Basel from 1969 till 1971.

Gerard Lamarche

Mr. Gerard Lamarche is Member of the Board of Directors at SGS SA. He is Member of the Audit Committee at the Company. He began his professional career in 1983 with Deloitte Haskins & Sells in Belgium, and became M&A Consultant in the Netherlands in 1987. In 1988, he joined the Venture Capital Department of Societe Generale de Belgique as Investment Manager. He was promoted to Controller in 1989, and in 1992 was appointed Advisor to the Director of Strategic Planning. He became Secretary of the Suez Executive Committee (1995-1997); he was later appointed Senior Vice President in charge of Planning, Control and Accounting. In July 2000, Mr. Lamarche joined NALCO (US subsidiary of the Suez Group) as Director, Senior Executive Vice President and CFO. He was appointed CFO of the Suez Group in March 2004. He is a Director of Group Bruxelles Lambert since 2011 and Managing Director since 2012. He also serves at Lafarge, Legrand, and Total SA. Mr. Lamarche graduated from the University of Louvain-la-Neuve with a Bachelor’s degree in Economic Science and a specialization in Business Administration and Management. He also completed the Advanced Management Program for Suez Group Executives at the INSEAD Business School and took part in the 1998-99 Wharton International Forum, Global Leadership Series.

August von Finck

Mr. August von Finck has been Member of the Board of Directors at SGS SA since October 1998. He is Member of the Nomination and Remuneration Committee at the Company. He belongs to several Boards of Directors and holds interests in a number of German, Swiss and Austrian companies as well as in groups from other countries. Since 1974, he has been Member of the Board of Generali Holding Vienna AG.

Since 1999, he has been Member of the Board of Custodia Holding. Since 2001, he has been Member of the Board of Carlton Holding. Since May 2001, he has been Member of the Board of Staatl. Mineralbrunnen AG. Since 2010, he has been Vice-President of the Board of Bank von Roll. He holds a Masters of Business Administration degree from Georgetown University.
