Name Description

James Sutcliffe

 Mr. James Harry Sutcliffe FIA, is Independent Chairman of the Board of Sun Life Financial Inc. He was Group Chief Executive Officer of Old Mutual plc, an international savings and management company, until he retired in September 2008. Prior to joining Old Mutual plc in January 2000, Mr. Sutcliffe spent most of his career with Prudential plc, an international retail financial services group. He is a Fellow of the U.K. Institute and Faculty of Actuaries and a director of the U.K. Financial Reporting Council. Mr. Sutcliffe was Chairman of the U.K. Board for Actuarial Standards from 2009 until July 2012 when he was appointed Chairman of the Codes and Standards Committee for that organization. In addition to the public company boards listed here, Mr. Sutcliffe is the non-executive Chairman of BaxterBruce and a director of STANLIB Limited. Mr. Sutcliffe is involved with CVC Capital Partners and Friends of Michael Sobell House in the United Kingdom, and Buffelshoek Trust in South Africa.

Dean Connor

 Mr. Dean Arthur Connor is President, Chief Executive Officer, Director of Sun Life Financial Inc. Prior to his appointment in December 2011 he held progressively senior positions with those companies, including President, Chief Operating Officer, President of SLF Canada, and Executive Vice-President. Prior to joining the company in September 2006, Mr. Connor spent 28 years with Mercer Human Resource Consulting where he held numerous senior positions, most recently President for the Americas which encompassed Mercer’s operations in Canada, the U.S. and Latin America. Mr. Connor is a Fellow of the Canadian Institute of Actuaries and the Society of Actuaries. He is a director of the University Health Network and the Canadian Life and Health Insurance Association and a member of the Ivey Advisory Board, Richard Ivey School of Business, University of Western Ontario. He holds an Honours Business Administration degree.

Colm Freyne

 Mr. Colm Joseph Freyne is Chief Financial Officer, Executive Vice President of Sun Life Financial Inc. Mr. Freyne is responsible for the Company's finance, planning, taxation and investor relations activities and is a member of the Sun Life executive team. He had been Sun Life's Acting Chief Financial Officer since July 1, 2009. Mr. Freyne started his career with Coopers & Lybrand (now PricewaterhouseCoopers) in Ireland. He moved to TD Bank Financial Group where he became Chief Accountant in 1998. Mr. Freyne joined Sun Life in 2003 and has managed enterprise functions as Chief Auditor and then Senior Vice-President and Controller.

Larry Madge

 Mr. Larry Madge is the Senior Vice President, Chief Actuary of Sun Life Financial Inc. As Sun Life Financial's chief actuary, Madge has responsibility for the corporate oversight of actuarial practices enterprise-wide and provides leadership, direction and vision for the insurer's actuarial community globally. He has Sun Life leadership experience in Canada and the US spanning actuarial, finance and product lines. He joined Clarica in 1986, which became part of Sun Life in 2002, and he held actuarial as well as product development and business line roles in Sun Life's Canadian business prior to his appointment as chief actuary for Sun Life Financial Canada in 2005. In 2010, he became svp and chief actuary for Sun Life Financial US. Larry was then appointed svp and cfo for Sun Life Financial US in 2011. He is a Fellow of the Canadian Institute of Actuaries and the Society of Actuaries.

Terry Mullen

 Mr. Terry Mullen has been appointed as Senior Vice President, U.S. Distribution of Sun Life Financial Inc., with effect from 6 May 2013. Prior to this appointment, Terry was Senior Vice President, Sun Life Financial International, overseeing Sun Life Financial's Bermuda international high net worth insurance and investment business, as well as the leadership of relationship management for global distributors. He joined Sun Life in 2008 as President, Sun Life Financial Distributors, and was responsible for all aspects of distribution for U.S. annuities and individual life insurance products and services. Prior to joining Sun Life, he served as President and Chief Executive Officer of Lincoln Financial Distributors, Inc., the wholesaling distribution organization for Lincoln Financial Group, which offers a broad range of products.

Real Raymond

 Mr. Real Raymond has been appointed as Director of Sun Life Financial Inc., with effect from 8 May 2013. Mr. Raymond spent his 37-year career with National Bank of Canada where he was President and Chief Executive Officer from 2002 until he retired in May 2007. He is a director of Heroux-Devtek Inc. and Metro Inc., both public companies. Mr. Raymond is also Chairman of the Board of Directors of Aéroports de Montréal and a director of the Institute for Research in Immunology and Cancer of the Université de Montréal. Mr. Raymond is a Fellow of the Institute of Canadian Bankers. He holds a Master of Business Administration degree from Université du Québec à Montréal. Mr. Raymond received an honorary doctorate from Université du Québec à Montréal School of Management in May 2007, and in October 2008 he became Chancellor of Université du Québec à Montréal.

William Anderson

 Mr. William D. Anderson, FCA is Independent Director of Sun Life Financial Inc. Mr. Anderson was President of BCE Ventures, the strategic investment unit of the global telecommunications company BCE Inc., until he retired in December 2005. He held senior positions including Chief Financial Officer of BCE Inc. and Bell Canada during his 14 years with that company. Mr. Anderson spent 17 years with the public accounting firm KPMG, where he was a partner for nine years. He was appointed a Fellow of the Institute of Chartered Accountants in October 2011 and is also a Fellow of the Institute of Corporate Directors.

Richard Booth

 Mr. Richard H. Booth, CPA, is Independent Director of Sun Life Financial Inc. Mr. Booth is Vice Chairman of Guy Carpenter & Company, LLC, a global risk management and reinsurance specialist and a wholly owned subsidiary of Marsh & McLennan Companies, Inc. Mr. Booth was Chairman of HSB Group, Inc., a specialty insurer and reinsurer, from 2000 to 2009 and President and Chief Executive Officer of HSB Group from 2000 to 2007. In 2008 and 2009 he was also Vice Chairman, Transition Planning and Chief Administrative Officer of HSB’s parent company, American International Group, an insurance and financial services company. Mr. Booth has held progressively senior positions in the insurance industry throughout his career. David Ganong

 Mr. David A. Ganong, CM, is Independent Director of Sun Life Financial Inc. Mr. Ganong is President and Chief Executive Officer of Ganong Bros. Limited, a private confectionery manufacturer. He served as Chairman of Ganong Bros. Limited from July 2008 until July 2012. Mr. Ganong was previously President and Chief Executive Officer of Ganong Bros. Limited from March 1977 until he was appointed Chairman. He is a member of the Order of Canada. Mr. Ganong has been Chairman of a number of organizations including Clarica Life Insurance Company, the University of New Brunswick and the New Brunswick Energy Commission. Martin Glynn

 Mr. Martin John Gardner Glynn is Independent Director of Sun Life Financial Inc. Mr. Glynn was President and Chief Executive Officer of HSBC Bank USA until his retirement in 2006. During his 24 years with HSBC, an international banking and financial services organization, Mr. Glynn held senior positions including President and Chief Executive Officer of HSBC Bank Canada.  Ms. Krystyna T. Hoeg CA, is Independent Director of Sun Life Financial Inc. Ms. Hoeg was President and Chief Executive Officer of Corby Distilleries Limited, a marketer and seller of spirits and wine, until she retired in February 2007. She held senior positions with related companies for most of her career. She is a chartered accountant. In addition to the public company boards listed here, Ms. Hoeg is a director of Ganong Bros. Limited and Samuel, Son & Co., Limited. She is involved with Toronto East General Hospital.

Idalene Kesner

 Professor Idalene F. Kesner is Independent Director of Sun Life Financial Inc. Professor Kesner is Interim Dean and Associate Dean of Faculty and Research and Frank P. Popoff Chair of Strategic Management at Kelley School of Business, Indiana University, a post-secondary educational institution. She is also the Chairperson of Kelley Executive Education Foundation Inc. Professor Kesner is a director of The Main Street America Group and a member of the board of advisors of Lincoln Industries, both private companies. Prior to July 2009, Professor Kesner was Chairperson, Department of Management and Entrepreneurship. She has a Doctorate in Business Administration. Hugh Segal

 The Honourable Senator Hugh D. Segal, CM, is Independent Director of Sun Life Financial Inc. Mr. Segal is a Canadian senator. He was appointed to the Senate in 2005. Mr. Segal is a member of the Order of Canada and is Canada’s Special Envoy for Commonwealth Renewal. He is a Senior Fellow at the School of Policy Studies, Queen’s University and an adjunct professor of public policy at Queen’s School of Business. He previously served as a member of the Eminent Persons Group of the Commonwealth Secretariat.  Ms. Barbara G. Stymiest is Independent Director of Sun Life Financial Inc. Ms. Stymiest is Chair of Research In Motion Limited (BlackBerry), in wireless innovation. She was a member of the Group Executive at Royal Bank of Canada, an international banking and financial services organization, from 2004 until June 2011. From 2009 she was Royal Bank’s Group Head, Strategy, Treasury and Corporate Services and prior to that served as its Chief Operating Officer. Prior to 2004 she held senior positions in the financial services sector including Chief Executive Officer, TSX Group Inc., Executive Vice- President and Chief Financial Officer, BMO Nesbitt Burns, and Partner, Financial Services Group, Ernst & Young LLP. Ms. Stymiest is a Fellow of the Institute of Chartered Accountants of Ontario and received an Award of Merit from that organization in 2011. In addition to the public company boards listed here, she is a director of University Health Network and the Canadian Institute for Advanced Research. Ms. Stymiest has been involved with the Accounting Oversight Committee of the Canadian Institute of Chartered Accountants, the United Way Campaign Cabinet, the Royal Ontario Museum and Hincks-Dellcrest Children’s Centre. She holds an Honours Business Administration degree.
