Name Description

James Sutcliffe

Mr. James Harry Sutcliffe is Independent Chairman of the Board of Sun Life Financial Inc. Mr. Sutcliffe is the Chairman of the Boards of Sun Life Financial and Sun Life Assurance and the Strategy Director of Quindell plc, a business process and technology outsource provider. He was Group Chief Executive Officer of Old Mutual plc, an international savings and wealth management company, until he retired in September 2008. Prior to joining Old Mutual plc in January 2000, Mr. Sutcliffe spent most of his career with Prudential plc, an international retail financial services group. He is a Fellow of the U.K. Institute and Faculty of Actuaries. Mr. Sutcliffe was formerly a director of the U.K. Financial Reporting Council, Chairman of its Codes and Standards Committee, and Chairman of its Board for Actuarial Standards. In addition to the public company boards listed here, he is the non-executive Chairman of BaxterBruce and Instratus and a director of STANLIB Limited and Gunn Agri Partners Pty Ltd. Mr. Sutcliffe is involved with CVC Capital Partners and Friends of Michael Sobell House in the United Kingdom, and Buffelshoek Trust in South Africa.

Dean Connor

Mr. Dean Arthur Connor is President, Chief Executive Officer, Director of Sun Life Financial Inc. Prior to his appointment in December 2011 he held progressively senior positions with those companies, including President, Chief Operating Officer, President of SLF Canada, and Executive Vice-President. Prior to joining the company in September 2006, Mr. Connor spent 28 years with Mercer Human Resource Consulting where he held numerous senior positions, most recently President for the Americas which encompassed Mercer’s operations in Canada, the U.S. and Latin America. Mr. Connor is a Fellow of the Canadian Institute of Actuaries and the Society of Actuaries. He is a trustee of the University Health Network, a director of the Canadian Life and Health Insurance Association and a member of the Ivey Advisory Board, Richard Ivey School of Business, University of Western Ontario. Mr. Connor holds an Honours Business Administration degree.

Colm Freyne

Mr. Colm Joseph Freyne is Chief Financial Officer, Executive Vice President of Sun Life Financial Inc. He is responsible for the Company's finance, planning, taxation and investor relations activities and is a member of the Sun Life executive team. He had been Sun Life's Acting Chief Financial Officer since July 1, 2009. Mr. Freyne started his career with Coopers & Lybrand (now PricewaterhouseCoopers) in Ireland. He moved to TD Bank Financial Group where he became Chief Accountant in 1998. Mr. Freyne joined Sun Life in 2003 and has managed enterprise functions as Chief Auditor and then Senior Vice-President and Controller.

Mr. Dougherty has experience across protection and businesses and has held a number of leadership roles since joining Sun Life in 1994. Mr. Dougherty leads largest business group providing insurance, wealth management including mutual funds, group retirement services and group benefits in Canada.

Daniel Fishbein

Dr. Daniel R. Fishbein is President - SLF U.S. of Sun Life Financial Inc. Dr. Fishbein, a 25-year veteran in the employee benefits and group life insurance industries. Dr. Fishbein joins Sun Life Financial from Aetna, where he most recently served as president, specialty businesses, with United States-wide responsibility for several industry-leading group benefits and voluntary businesses, including the company's group life insurance business. He is a graduate of the School of Medicine at Boston University. Prior to March 2014, Mr. Fishbein was President, Specialty Businesses, Aetna Inc.

Kevin Strain

Mr. Kevin David Strain is President - Sun Life Financial Asia of Sun Life Financial Inc. Mr. Kevin, holds a Master’s degree in Accounting. He held senior finance positions in Sun Life’s Canadian operations and corporate office after joining Sun Life as part of the Clarica Life Insurance Company acquisition in 2002.

Ms. Melissa J. Kennedy is Executive Vice President, General Counsel of Sun Life Financial Inc. She began her career in private practice and has also worked in the enforcement branch at the Ontario Securities Commission and as Vice-President, Associate General Counsel for a Canadian bank. Kennedy was named Canada's General Counsel of the Year in 2012.

Kevin Krzeminski

Mr. Kevin Krzeminski is Senior Vice President - U.S. Distribution of Sun Life Financial Inc. Previously, Kevin was Senior Vice President and General Sales Manager for Liberty Mutual Group Benefits. He developed and executed new broker penetration strategies, which resulted in the company's all-time highest level of business production. Kevin has extensive experience and expertise in employee benefits and service delivery. He developed and executed innovative go-to-market strategies and negotiated product placement into target private exchanges. Prior to his role at Liberty Mutual, Kevin was National Sales Vice President for CNA Insurance Group Benefits. Kevin holds a bachelor's degree in business management from The Indiana University of Pennsylvania.

Stephen Peacher

Mr. Stephen (Steve) Clarkson Peacher is President, Sun Life Investment Management and Chief Investment Officer of Sun Life Financial Inc., effective March 13, 2014. He served as Executive Vice President from October 13, 2009 to March 13, 2014, and was appointed as Chief Investment Officer on October 13, 2009. Mr. Peacher was Managing Director, Head of Fixed Income and Liquidity Strategies at Columbia Management Group. Mr. Peacher joins Sun Life Financial with over twenty years of credit and investment management experience in North American and international markets. Prior to October 2009, Mr. Peacher was Managing Director, Head of Fixed Income and Liquidity Strategies at Columbia Management Group. He has experience managing investment teams, portfolios and research across a range of assets, including public and structured bonds, investment-grade and high-yield corporates, emerging markets, and short-term instruments.

William Anderson

Mr. William D. Anderson, FCPA, FCA, is Independent Director of Sun Life Financial Inc. He is chairman of Gildan Activewear Inc. He is a chartered public accountant who joined BCE Inc., a global telecommunications company, in 1991. Mr. Anderson held progressively senior positions including Chief Financial Officer of BCE Inc. from 1998 to 2001, President of BCE Ventures, the strategic investment unit of BCE Inc. from 2001 to 2005, and Chairman and Chief Executive Officer of Bell Canada International Inc. from 2000 to 2007. Prior to joining BCE, Mr. Anderson spent 17 years with the public accounting firm KPMG, where he was a partner for nine years. He was appointed a Fellow of the Chartered Professional Accountants of Ontario in October 2011. Mr. Anderson joined the Board of Directors, the Audit Committee and the Risk Review Committee of SLF Inc. and Sun Life Assurance in May 2010. In May 2012 he was appointed Chairman of the Audit & Conduct Review Committee. Mr. Anderson is director and member of the audit and risk committee of TransAlta Corporation. He served as chairman of Nordion Inc. (formerly MDS Inc.) until August 2014. Mr. Anderson became a Fellow of the Institute of Corporate Directors in June 2010.

Richard Booth

Mr. Richard H. Booth, CPA, is no longer Independent Director of Sun Life Financial Inc., effective May 6, 2015. Mr. Booth is a certified public accountant. He has been a Senior Advisor to Century Capital Management, LLC, an investment management services company since 2007. Prior to March 2014, Mr. Booth was also Vice Chairman of Guy Carpenter & Company, LLC, a global risk management and reinsurance specialist and a wholly-owned subsidiary of Marsh & McLennan Companies, Inc. He held progressively senior positions in the insurance industry throughout his career. From 2000 to 2009 Mr. Booth was Chairman of HSB Group, Inc., a specialty insurer and reinsurer, and from 2000 to 2007 was President and Chief Executive Officer of HSB Group. In 2008 and 2009 he was also Vice Chairman, Transition Planning and Chief Administrative Officer of HSB's parent company, American International Group, an insurance and financial services company. Mr. Booth joined the Board of Directors, the Audit Committee and the Governance & Conduct Review Committee of SLF Inc. and Sun Life Assurance in May 2011. In May 2013 he became the Chairman of the Governance, Nomination & Investment Committee. He serves as a trustee and chairman of the audit committee of Northeast Utilities. In October 2013 Mr. Booth was appointed as a director of The Hanover Insurance Group, Inc., and in January 2014 he became a director of Adamas Pharmaceuticals, Inc. He is also a director of Patient Matters, LLC, a private company. John Clappison

Mr. John Henry Clappison FCPA, FCA, is Independent Director of Sun Life Financial Inc. is a chartered public accountant who joined the firm of Price Waterhouse in 1968. He became a Partner of the firm in 1980 and in 1990 became Managing Partner of the Greater Toronto Area office, a position he continued to hold after the merger of Price Waterhouse with Coopers & Lybrand to form PricewaterhouseCoopers in 1998, until he retired in December 2005. He was appointed a Fellow of the Chartered Professional Accountants of Ontario in 1988. He has lectured on accounting practices at Ryerson University, the University of Toronto and the Chartered Professional Accountants of Ontario School of Accountancy. Mr. Clappison joined the Board of Directors, the Audit Committee and the Risk Review Committee of SLF Inc. and Sun Life Assurance in 2006. He was the Chairman of the Audit Committee from May 2010 until May 2012 when he was appointed Chairman of the Risk Review Committee. Mr. Clappison is a director and chairman of the audit committee of Cameco Corporation and Rogers Communications Inc. Until March 2013 Mr. Clappison was a director and chairman of the audit committee of Inmet Mining and until February 2011 he was a trustee and chairman of the audit committee of Canadian Real Estate Investment Trust. Mr. Clappison is director of Summit Energy Holdings LLP, a private company, a board member of the Face the Future Foundation and a trustee of the Shaw Festival Theatre Endowment Foundation and Roy Thomson Hall and Massey Hall Endowment Foundation. Mr. Clappison is a member of the Canadian Audit Committee Network.

Martin Glynn

Mr. Martin John Gardner Glynn is Independent Director of Sun Life Financial Inc. Mr. Glynn was President and Chief Executive Officer of HSBC Bank USA until his retirement in 2006. During his 24 years with HSBC, an international banking and financial services organization, Mr. Glynn held senior positions including President and Chief Executive Officer of HSBC Bank Canada. He is a director of the Public Sector Pension Investment Board and is involved with the UBC Investment Management Trust Inc., VGH and UBC Hospital Foundation, The American Patrons of the National Library and Galleries of Scotland and the SOI Group, University of St. Andrews, Scotland. M. Marianne Harris

Ms. M. Marianne Harris is Independent Director of Sun Life Financial Inc. She was Managing Director and President, Corporate and Investment Banking, Merrill Lynch Canada, Inc., an international banking and financial services organization, until October 2013. She held progressively senior positions during her thirteen-year career with Merrill Lynch and affiliated companies in Canada and the U.S., including President, Global Markets and Investment Banking, Canada, Head of Financial Institutions Group, Americas and Head of Financial Institutions, Canada. Before joining Merrill Lynch, Ms. Harris held various investment banking positions with RBC Capital Markets from 1984 to 2000, including Head of the Financial Institutions Group. Ms. Harris is Chair of the Board and a member of the Finance and Audit Committee of the Investment Industry Regulatory Organization of Canada. She joined the Board of Directors, the Audit & Conduct Review Committee and the Governance, Nomination & Investment Committee of SLF Inc. and Sun Life Assurance effective December 1, 2013. Ms. Harris was appointed as a director of Agrium Inc. in September 2014. She is a member of the Dean’s Advisory Council for the Schulich School of Business and the Advisory Council for The Hennick Centre for Business and Law and a director and Chair of the Investment Committee of the Princess Margaret Cancer Foundation. Ms. Harris has a Master of Business Administration degree and a Juris Doctorate.

Krystyna Hoeg

Ms. Krystyna T. Hoeg is Independent Director of Sun Life Financial Inc. Ms. Hoeg was President and Chief Executive Officer of Corby Distilleries Limited, a marketer and seller of spirits and wine, until she retired in February 2007. She held senior positions with related companies for most of her career. She is a Chartered Professional Accountant. In addition to the public company boards listed here, Ms. Hoeg is a director of Samuel, Son & Co., Limited and Revera Inc. and she is involved with Toronto East General Hospital.

Sara Lewis

Ms. Sara Grootwassink Lewis, CPA is Independent Director of Sun Life Financial Inc. Ms. Lewis is Chief Executive Officer of Lewis Corporate Advisors, LLC, a capital markets advisory firm. Prior to 2009, she held progressively senior positions during her seven year career with Washington Real Estate Investment Trust Company, an equity real estate investment trust, including Executive Vice-President and Chief Financial Officer. Ms. Lewis is a Certified Public Accountant and a Chartered Financial Analyst. In addition to the public companies listed below, she serves on the Governance Working Group for the U.S. Chamber of Commerce – Center for Capital Markets Competitiveness, and is a member of the Economic Club of Washington, DC. Ms. Lewis is a National Association of Corporate Directors Board Leadership Fellow, a member of the Tapestry West Audit Committee Network and a member of the Audit Committee Roundtable of Orange County. In January 2015, she was appointed as a member of the Standing Advisory Group of the Public Company Accounting Oversight Board.

Real Raymond

Mr. Real Raymond is Independent Director of Sun Life Financial Inc. Réal Raymond was appointed chairman of Metro Inc., a food and pharmaceutical distributor, in January 2015. Mr. Raymond is also chairman of Héroux-Devtek Inc., a global supplier of aircraft landing gear. He was President and Chief Executive Officer of National Bank of Canada, a financing corporation and bank, until he retired in May 2007. Mr. Raymond held senior positions with National Bank of Canada during his 37 year career including President, Personal and Commercial Banking and President and Chief Operating Officer. He joined the Board of Directors, the Management Resources Committee and the Risk Review Committee of SLF Inc. and Sun Life Assurance in May 2013. He became a member of the Audit & Conduct Review Committee in May 2014. Mr. Raymond is also Chairman of the board of directors of Aéroports de Montréal. He received an honorary doctorate from Université du Québec à Montréal School of Management in May 2007 and in October 2008 Mr. Raymond became Chancellor of Université du Québec à Montréal. Mr. Raymond is a Fellow of the Institute of Canadian Bankers and holds a Master of Business Administration degree.

Hugh Segal

The Honourable Senator Hugh D. Segal, CM, is Independent Director of Sun Life Financial Inc. Mr. Segal is Master of Massey College, University of Toronto. He was a Canadian senator from 2005 until July 2014. Before that Mr. Segal was President & Chief Executive Officer of the Institute for Research on Public Policy. He was formerly Vice-Chair of the Institute of Canadian Advertising. Mr. Segal is Chair of the Atlantic Council of Canada, a Senior Fellow at the Munk School of Global Affairs, University of Toronto and a Senior Fellow at the Canadian Defence & Foreign Affairs Institute. He is an Honourary Captain of the Royal Canadian Navy. Mr. Segal received the Order of Canada in 2003.

Barbara Stymiest

Ms. Barbara G. Stymiest is Independent Director of Sun Life Financial Inc. Ms. Stymiest was Chair of BlackBerry Limited, a global leader in wireless innovation from January 2012 until November 2013. She was a member of the Group Executive at Royal Bank of Canada, an international banking and financial services organization, from 2004 until June 2011. From 2009 Ms. Stymiest was Royal Bank’s Group Head, Strategy, Treasury and Corporate Services and prior to that served as its Chief Operating Officer. Prior to 2004 she held senior positions in the financial services sector including Chief Executive Officer, TSX Group Inc., Executive Vice-President and Chief Financial Officer, BMO Nesbitt Burns, and Partner, Financial Services Group, Ernst & Young LLP.
