Name Description

David Martin

Mr. David A. Martin serves as Chairman of the Board of SMART Technologies Inc., since April 30, 2012. Since inception in 1987 until 2002, he served the company in other capacities including CEO, President and Chairman of the board. Mr. Martin is the creator of the SMART Board interactive whiteboard and the named inventor with respect to numerous patents. He has received many awards for his contributions to the industry, including the Alberta Centennial Medal for High-Tech Innovation and the Canadian Advanced Technology Alliance Award for Private Sector and Leadership in Advanced Technology.

Neil Gaydon

Mr. Neil Gaydon is President, Chief Executive Officer, Director of SMART Technologies Inc. He has been appointed as Director of the Company effective February 6, 2013. Mr. Gaydon brings over 28 years of technology experience and leadership, most recently serving as chief executive officer of Pace PLC, the world's set-top box producer, headquartered and publicly listed in the United Kingdom. Mr. Gaydon has experience in and growing companies in competitive global markets. Through a clear strategy and focus on execution, he turned Pace around in less than five years and delivered a tenfold increase in revenues to $2,300-million for the year ended December, 2011. Prior to becoming the chief executive officer of Pace, Mr. Gaydon served in numerous executive and senior positions there, including president of Pace Americas, which he established and led for five years. Before joining Pace, Mr. Gaydon worked with a number of companies in a variety of key roles.

Nancy Knowlton

Ms. Nancy L. Knowlton serves as Vice Chairman of the Board of SMART Technologies Inc. She resigned from the position of President, Chief Executive Officer of the Company with effective April 30, 2012. She has been a director of the company or its predecessors since 1987. From 2002 until her appointment as CEO, Ms. Knowlton was President and Co-CEO. Since inception in 1987 until 2002, she served the company in other capacities including President, COO and Executive Vice President. She has received awards, including Canadian Woman Entrepreneur of the Year, as well as honorary doctorate degrees from Bishop’s University and Saint Mary’s University.

Kelly Schmitt

Ms. Kelly Schmitt has been appointed as the Chief Financial Officer, Vice President - Finance of SMART Technologies Inc., effective November 30, 2012. Ms. Schmitt has been with SMART for five years and has served in various senior roles within the finance organization, including corporate controller, treasurer and director, investor relations. She also played an instrumental role in the company's initial public offering in July, 2010. Prior to SMART, she served in various treasury and corporate finance roles for both small- and large-cap energy companies. Ms. Schmitt is a chartered accountant, a chartered financial analyst and holds a bachelor of commerce degree.

Thomas Hodson

Mr. Thomas F. Hodson has been appointed as Chief Operating Officer of SMART Technologies Inc with effect from October 9, 2012. He was appointed Vice President of the Company in May 2010 and President and Chief Operating Officer of main operating subsidiary in January 2007. Mr. Hodson joined in October 2006 as Vice President, Marketing. Prior to joining , from 2000 to 2006, he was Executive Vice President and Managing Partner for Optimé International, a global consulting firm specializing in enterprise sales and customer marketing effectiveness. From 1984 to 2000, Mr. Hodson served in regional and national senior sales and marketing management roles in Canada for Procter & Gamble Inc., a global consumer products company.

Warren Barkley

Mr. Warren Barkley has been appointed as Chief Technology Officer of SMART Technologies Inc., effective November 13,2012. Mr. Barkley brings over 17 years of technology experience and leadership, most recently serving as general manager in the Microsoft Lync/Skype division. Mr. Barkley held several key positions in Microsoft over his tenure and was instrumental in the development of Microsoft Lync as the communication and collaboration software of choice for Fortune 500 companies. At Microsoft he played a central role in establishing Wi-Fi as a worldwide standard, and building world-class real-time communications technologies used by hundreds of millions of users every day. Mr. Barkley holds over 35 worldwide patents in networking, wireless and communications.

Jeffrey Losch

Mr. Jeffrey A. Losch serves as Vice President - Legal and General Counsel of SMART Technologies Inc., since September 2008. Prior to joining , Mr. Losch provided consulting services to businesses and individuals from September 2005 to August 2008. Mr. Losch was Senior Vice President, Secretary and General Counsel of InterTAN, Inc., a consumer electronics specialty retailer, from September 2001 to May 2005 and was its Vice President, Secretary and General Counsel from March 1999 to September 2001. From December 1993 to March 1999, Mr. Losch was Corporate Counsel of Whirlpool Canada Ltd., the Canadian subsidiary of Whirlpool Corporation, a manufacturer and marketer of home appliances.

Robert Hagerty

Mr. Robert C. Hagerty serves as Lead Independent Director of SMART Technologies Inc., since May 18, 2011. Mr. Hagerty has been a director of the Company since July 2010. He is currently the CEO and a Director of iControl, Inc. and serves on the Board of Directors of Plantronics, Inc. and Eye IO, LLC. He had been Advisor to Polycom, Inc. from May 2010 to May 2011. Mr. Hagerty served Polycom in various executive capacities from 1997 through 2010, including as Director and President from January 1997; Director, CEO and President from July 1998; and Chairman, Director, CEO and President from March 2000 to May 2010. Prior to joining Polycom, Mr. Hagerty served as President of Stylus Assets, Ltd. He has also held several key executive management positions with Logitech, Inc., Conner Peripherals Inc., Signal Corporation and Digital Equipment Corporation. Mr. Hagerty holds a BS in operations research and industrial engineering from the University of Massachusetts and an MA in management from St. Mary's College of California.

Salim Nathoo

Mr. Salim Nathoo serves as Director of SMART Technologies Inc. He has been Director of the company since August 2007, following Apax Partners investment in the company. Mr. Nathoo is a Partner and global co-head of Apax Partners’ technology and telecom team. He joined Apax Partners in 1999. From 1995 to 1999, Mr. Nathoo was with McKinsey & Company, an international management consulting firm, in capacities. He currently also serves on the board of directors of Weather Investments S.p.A., a multinational telecom group. Apax Partners is a shareholder of the company.

Michael Mueller

Mr. Michael J. Mueller serves as an Independent Director of SMART Technologies Inc. Mr. Mueller retired from the audit firm PricewaterhouseCoopers (PwC) in 2007. From his appointment as partner in 1979, until 2007, Mr. Mueller served PwC in various capacities, including managing partner, national managing partner, and as a member of PwC's global markets council, global advisory leadership team and global audit leadership team. He currently serves on the board of directors of Hydro One Inc., an electricity transmission and distribution company in Ontario, Canada. Mr. Mueller is a chartered accountant and a chartered business valuator.

David Sutcliffe

Mr. David B. Sutcliffe serves as an Independent Director of SMART Technologies Inc., since June 22, 2011. Mr. Sutcliffe is a technology industry executive, whose career spans three decades across various executive functions. As chief executive officer of a public company for six years and now a corporate director, Mr. Sutcliffe currently holds board positions with Sierra Wireless Inc., a provider of mobile broadband modems, and Ballard Power Systems Inc. Mr. Sutcliffe will chair the corporate governance and nominating committee and sit on the audit and compensation committees. Along with his work on corporate boards, Mr. Sutcliffe is active with B.C. Social Venture Partners and has worked with several associations and industry organizations. Mr. Sutcliffe holds the ICDD certification from the Institute of Corporate Directors.
