Name Description

Ian Watson

 Mr. Ian Watson is Independent Chairman of the Board of Spanish Mountain Gold Ltd. He is a board member since September 28, 2009. Mr. Watson began his career in stock broking and investment banking in Canada where he became one of the five Executive Committee members of Burns Fry (now BMO Nesbitt Burns), one of Canada's investment banking firms. When he resigned, he was in charge of the firm's European business. From 1982 until 1985 Mr. Watson was Chairman and founder of Centennial Minerals Ltd, a public gold mining company listed on the Toronto Stock Exchange. Mr. Watson was Chairman & Managing Director of Galahad Gold PLC from 2003 to 2008. Galahad made strategic investments in Northern Dynasty Minerals Ltd., Uramin Inc. and International Molybdenum PLC. Mr. Watson is currently Chairman & Managing Director of Agrifirma Services Ltd., and Chairman of Agrifirma Brazil Ltd., a company recently created to invest in agriculture in Brazil. He is Chairman of Genagro Services Ltd.; Director of Western Copper and Gold Corporation.

Brian Groves

 Mr. Brian J. Groves is President, Chief Executive Officer, Director of Spanish Mountain Gold Ltd., since January 7, 2008. He has more than 30 years of experience in the mining and exploration industries in Canada and Australia. He has worked with junior exploration, junior producing and senior mining companies including AMAX, Noranda and Placer Dome. During his tenure with Placer Dome, Mr. Groves held the position of head of Corporate Development with Placer Dome Canada. In this capacity, he was responsible for the economic evaluation and assessment of acquisition opportunities including the analysis of financial statements of target companies. He is Director of Riverside Resources Inc., Kootenay Gold Inc.

Larry Yau

 Mr. Larry Yau is Chief Financial Officer, Corporate Secretary of Spanish Mountain Gold Ltd., since January 26, 2010. Mr. Yau has 20 years of financial and business experience, gained primarily in the mining and resources sectors. Most recently, Mr. Yau was chief financial officer for two junior mining companies where he was heavily involved in raising capital and construction of mines in North America. Previously, Mr. Yau was manager, corporate development, at Placer Dome Inc. until its acquisition by Barrick Gold Corp. and had participated in several high-profile, international acquisitions. He is a Canadian chartered accountant.

Morris Beattie

 Dr. Morris Beattie is Chief Operating Officer, Director of Spanish Mountain Gold Ltd. He was appointed as Chief Operating Officer on September 5, 2011 and he has been a board member since March 27, 2011. He has 40 years experience in both technical and corporate aspects of the mining industry. He has a PhD in Mining and Mineral Process Engineering from the University of British Columbia. He has gained experience in all aspects of extractive metallurgy and project development. Dr. Beattie's experience also includes due diligence studies, audits, preliminary economic evaluation of projects as well as directing and contributing to project feasibility studies. He has served as a Director of Galahad Gold Plc, directing the development of Galahad's projects, including preliminary economic evaluations, drill programs and feasibility studies. He was also a Director of Northern Dynasty Minerals, contributing to the development of the Pebble copper-gold Project in Alaska. More recently, until 2008, he served as Vice President - Project Evaluations with Quadra Mining Ltd. He is a Businessman; Provides advisory services to the UK based Junior Gold Fund as well as to Spanish Mountain Gold.

Judy Stoeterau

James Clare

 Mr. James Clare is Independent Director of Spanish Mountain Gold Ltd. He is Lawyer at Fraser Milner Casgrain (September 2002 to present), Riverside Resources, Director. He is a member of the Securities Law Group of Fraser Milner Casgrain and practices in the areas of corporate and securities law with an emphasis on corporate finance and mergers and acquisitions. Mr. Clare’s practice is focused on the mining and oil and gas sectors. His transactional experience includes domestic and crossborder public and private corporate finance transactions representing issuers and underwriters as well as merger and acquisition transactions. He also advises public issuers on general corporate and securities law matters including stock exchange listings, continuous disclosure obligations and other regulatory compliance issues. In 2002 James was seconded to the Corporate Finance Branch of the Ontario Securities Commission.

Dale Corman

 Mr. Dale Corman is Independent Director of Spanish Mountain Gold Ltd., since February 10, 2010. Mr. Corman graduated with a Bachelor of Science degree in geology from Rensselaer Polytechnic Institute in Troy, New York, in 1961 and obtained Professional Engineer status in Ontario in 1972. He has 30 years experience as a senior corporate officer of publicly listed companies in Canada and the United States. He has experience in mineral and geothermal exploration and development, property evaluation and acquisition, project financing, and corporate management. From 1995 to 2006, Dale was Chairman of the Board of Directors and Chief Executive Officer of Western Silver Corporation. He is currently Chief Executive Officer, Chairman and Director of Western Copper Corporation.

Donald Coxe

 Mr. Donald Coxe is Independent Director of Spanish Mountain Gold Ltd., since September 20, 2011. He is Strategy Advisor to BMO Financial Group and Chairman of Coxe Advisors LLP. also heads up the Global Commodity Strategy investment management team—a collaboration of Coxe Advisors and Harris Investments. Advisor to the Coxe Commodity Strategy Fund and Coxe Global Agribusiness Income Fund in Canada, and the Virtus Global Commodity Stock fund in the US.

Christopher Lattanzi

 Mr. Christopher R. Lattanzi, P.ENG., is Independent Director of Spanish Mountain Gold Ltd. He is is a mining engineer and is the former President of Micon International Limited, mineral industry consultants from its founding in 1988 to mid-2005. Mr. Lattanzi has been active in the consulting area since 1967 when he joined David S. Robertson & Associates, Micon’s predecessor firm. Prior to joining Robertson & Associates, he was in charge of mine design and operation of Canada’s first oil sands operation. He has directed or participated in the preparation of feasibility studies for mineral deposits in Canada, the United States, Africa, Europe and Asia. Mr. Lattanzi recently served as Chairman and lead director of Meridian Gold Corp. prior to that company’s merger with Yamana Resources Inc.

James Rogers

 Mr. James Rogers is Independent Director of Spanish Mountain Gold Ltd., since April 11, 2012. He is Author, and financial commentator. Cofounder of the Quantum Fund, a global investment partnership. Mr. Rogers served as a professor of finance at Columbia University's school of business and has written four books on investment, including Hot Commodities, Adventure Capitalist and Investment Biker. Mr. Rogers also designed the widely followed Rogers Commodity Indices and travels the world highlighting the case for investment in commodities as an asset class.
