Name Description

Debra Reed

Ms. Debra L. Reed is Chairman of the Board, Chief Executive Officer of Sempra Energy. she served as an Executive Vice President of the company. From 2006 to 2010, she was President and Chief Executive Officer of San Diego Gas & Electric Company (“SDG&E”) and Southern California Gas Company (“SoCalGas”), Sempra Energy’s regulated California utilities. From 2004 to 2006, Ms. Reed was President and Chief Operating Officer of SDG&E and SoCalGas and, before that, she was President of SDG&E and Chief Financial Officer of both companies. Ms. Reed serves on the Board of Directors of Halliburton Company. She is a member of The Business Council and serves on the energy and environment and tax and fiscal policy committees of the Business Roundtable. Both associations are composed of chief executive officers of leading U.S. corporations. Ms. Reed also is a member of The Trusteeship, an affiliate of the International Women’s Forum, and the Chairman’s Competitiveness Council of the San Diego Regional Economic Development Corporation. She serves on the University of Southern California Viterbi Engineering School Board of Councilors and on the National Petroleum Council. She has formerly served as Chair of the San Diego Regional Economic Development Corporation and is a former director of Genentech, Inc. and Avery Dennison Corporation.

Mark Snell

Mr. Mark A. Snell is President of Sempra Energy. He served as Chief Financial Officer and Executive Vice President of Sempra Energy. He has served as executive vice president and chief financial officer of Sempra Energy since 2006. Previously, he was group president of Sempra Global, the former umbrella for Sempra Energy's businesses outside its two California utilities. Snell first joined Sempra Energy in 2001 as vice president of corporate planning and development and, since, has served in a series of increasingly responsible management roles. Previously, he held chief financial officer positions with Earth Tech, Inc., Dames & Moore, Inc., and Latham & Watkins LLP. Snell holds a bachelor's degree in accounting from San Diego State University.

Joseph Householder

Mr. Joseph A. Householder is Chief Financial Officer, Executive Vice President of Sempra Energy. He has been senior vice president and controller of Sempra Energy since 2006. He joined Sempra Energy in 2001 as vice president of corporate tax. Previously, he was a partner in the national tax office of Price Waterhouse Coopers LLP and also held several key management positions at Unocal Corp. Householder holds a law degree from Loyola Law School and a bachelor's degree in business administration from University of Southern California.

G. Joyce Rowland

Ms. G. Joyce Rowland is Chief Human Resource Officer, Senior Vice President and Chief Administrative Officer of Sempra Energy. From 1990 to 1995, Rowland served as manager of Labor Relations at SoCalGas where negotiated a number of changes in long-standing agreements. Prior to that, she was manager of Personnel Relations and Planning. In 1987, she served as Community Involvement manager and, later, was promoted to manager of Consumer Affairs. Rowland has a master’s degree in business administration with a concentration in industrial relations and a bachelor’s degree in psychology (graduating summa cum laude and Phi Beta Kappa) from the University of California at Los Angeles. She also completed the Executive Education Program at the University of Michigan and has a number of certifications including, CEBS (Certified Employee Benefits Specialist), CCP (Certified Compensation Professional) and SPHR (Senior Professional in Human Resources). Rowland is an alumna of the “2001 American Issues Forum of LEADERSHIP AMERICA.” She is also a member of a number of professional groups, including the Society for Human Resource Management, World at Work and Blue Cross of California's consumer relations committee.

Martha Wyrsch

Ms. Martha B. Wyrsch is Executive Vice President, General Counsel of Sempra Energy. Most recently, from 2009 to 2012, Ms. Wyrsch served as President of Vestas American Wind Systems, the Portland, Oregon-based affiliate of Danish-owned Vestas Wind Systems A/S. As President, she had direct responsibility for all North American sales, construction, service, and maintenance. As Chair of the Vestas North American Regional Council, she also had coordinating oversight of North American-based manufacturing, supply chain and other support functions. Previously, Ms. Wyrsch spent nearly ten years at Duke Energy and its spinoff, Spectra Energy Corporation. She joined Duke Energy in 1999 as Senior Vice President of Legal Affairs and Deputy Counsel and, later, was promoted to Group Vice President and General Counsel. In 2005, she moved to Duke Energy Gas Transmission as its President and Chief Executive Officer. Subsequently, she became the President and Chief Executive Officer of Spectra Energy Transmission overseeing its natural gas transmission and storage business in the United States and Canada, as well as its gathering, processing and distribution businesses in Canada. Ms. Wyrsch currently serves on the Boards of Directors of SPX Corporation and of Spectris plc. Her past board memberships include American Wind Energy Association, National Infrastructure Advisory Council Board, National Petroleum Council, Spectra Energy Corporation and Interstate Natural Gas Association. Wyrsch holds a law degree from George Washington University and a bachelor's degree in English from the University of Wyoming. She also completed Harvard Business School's Advanced Management Program.

Trevor Mihalik

Mr. Trevor I. Mihalik is Senior Vice President, Controller and Chief Accounting Officer of Sempra Energy. Prior to this appointment, Mr. Mihalik, served as Senior Vice President of Finance for the past two years and as Vice President – Controller for the prior four years, in each case at Iberdrola Renewables Holdings, Inc.

William Rusnack

Mr. William C. Rusnack is Lead Independent Director of Sempra Energy. He was the President and Chief Executive Officer and a director of Premcor Inc., an independent oil refiner, from 1998 to 2002. Prior to 1998, Mr. Rusnack was an executive of Atlantic Richfield Company, an integrated petroleum company. He is also a director of Flowserve Corporation and Peabody Energy Corporation, and a former director of Solutia Inc. Mr. Rusnack is a member of the Dean’s Advisory Council of the Graduate School of Business at the University of Chicago, the Energy Policy Institute at Chicago at the University of Chicago and the National Council of the Olin School of Business at the Washington University in St. Louis.

Kathleen Brown

Ms. Kathleen L. Brown is Director of Sempra Energy effective June 13, 2013. She is a partner of the law firm Manatt, Phelps & Phillips, LLP. Prior to joining Manatt in September 2013, she worked at Goldman Sachs Group, Inc., a global investment banking and securities firm, in various leadership positions over the last 12 years. From 2011 to 2013, Ms. Brown served as the chairman of investment banking for Goldman’s Midwest division in Chicago and was managing director and head of the firm’s Los Angeles-based western region public sector and infrastructure group from 2003 to 2011. From 1995 to 2000, Ms. Brown was a senior executive at Bank of America where she served in various positions, including President of the Private Bank. She served as California state treasurer from 1991 to 1995. Ms. Brown currently serves on the boards of directors of Forestar Group Inc., a real estate, oil and gas and natural resources company, and the National Park Foundation. She is a member of the Stanford Center on Longevity Advisory Board and the Council on Foreign Relations.

Pablo Ferrero

Mr. Pablo A. Ferrero is a Director of Sempra Energy. Ferrero's experience includes 22 years in the energy industry, including director and senior management positions with major South American energy companies. He currently holds director positions and serves in an advisory capacity for several companies, including: Pampa Energia; Servicios Petroleros Argentina; EDESA Holding and Methanex. In the past, he has served as director and chairman of the board of several other energy companies and industry-related boards. From 2006 to 2011, Ferrero was executive vice president for the Southern Cone region of South America for Ashmore Energy International (AEI Energy), where he was charged with asset development and management for several company subsidiaries and projects, including major natural gas pipelines, power plants and utilities in Argentina, Chile, Brazil and Bolivia. From 2004 to 2006, Ferrero served as CEO for Transportadora de Gas del Sur S.A., where he oversaw debt restructuring, pipeline expansions and the development of the company's non-regulated businesses. Ferrero also held several positions with Petrobras Energia S.A., including executive vice president of planning and business development, from 2001 to 2004. He was responsible for the development of all the company's businesses, including oil and gas, petrochemicals, refining, power, mining, agribusiness, and mergers and acquisitions. A resident of Buenos Aires, Argentina, Ferrero holds a bachelor's degree in industrial engineering from Universidad Catolica Argentina and a master's degree in business administration from the University of Washington.

James Yardley

Mr. James C. Yardley is Director of Sempra Energy. Yardley retired in 2012 after a 34-year career with El Paso Corp., then the nation's natural gas pipeline company and oil and gas producer. From 2006 to 2012, He was Executive Vice President of El Paso Corporation and President of its Pipeline Group from 2006 through 2012. Mr. Yardley was also the President and Chief Executive Officer of El Paso Pipeline GP Company LLC, the general partner of El Paso Pipeline Partners, L.P., a master limited partnership that owned and operated interstate natural gas transportation pipelines, storage and other midstream assets, from 2007 through 2012. From 1998 through 2006, he was the President of Southern Natural Gas Company, previously a unit of El Paso Corporation and now a unit of Kinder Morgan Inc. Mr. Yardley was formerly a director of El Paso Pipeline GP Company LLC, and of Scorpion Offshore Ltd.

Alan Boeckmann

Mr. Alan Lee Boeckmann is Independent Director of Sempra Energy. In February 2012, he retired as the Non-Executive Chairman of Fluor Corporation, a leading engineering, procurement, construction and maintenance services company. From 2002 to early 2011, Mr. Boeckmann was the Chairman and Chief Executive Officer of Fluor. Prior to that, he held a number of senior management and operating positions at Fluor. Mr. Boeckmann currently is a director of Archer-Daniels-Midland Company and BP p.l.c. He is also a former director of Fluor Corporation, BHP Billiton, Burlington Northern Santa Fe Corporation and the National Petroleum Council.

James Brocksmith

Mr. James G. Brocksmith, Jr., is Independent Director of Sempra Energy. He is an independent financial consultant and the former Deputy Chairman and Chief Operating Officer for the U.S. operations of KPMG Peat Marwick LLP. Mr. Brocksmith is a former director of AAR Corp., Alberto-Culver Company and Nationwide Financial Services, Inc.

William Jones

Mr. William D. Jones is Independent Director of Sempra Energy. He is the President and Chief Executive Officer and a director of CityLink Investment Corporation, a real estate investment, development and management firm, and City Scene Management Company. From 1989 to 1993, Mr. Jones served as General Manager/ Senior Asset Manager and Investment Manager with certain real estate subsidiaries of The Prudential. Prior to joining The Prudential, he served as a San Diego City Council member from 1982 to 1987. Mr. Jones is a director of certain funds under management by Capital Research and Management Company. He is the immediate past Chairman of the Board of Trustees of the Francis Parker School and a member of the Corporate Directors Forum. Mr. Jones is a former director of The Price Real Estate Investment Trust, Southwest Water Company, the Federal Reserve Bank of San Francisco, and the San Diego Padres baseball club and former Chairman of the Board of the Los Angeles Branch of the Federal Reserve Bank of San Francisco. Mr. Jones has extensive experience as a real estate developer in San Diego, where he built the City Heights Urban Village, an award-winning redevelopment project.

William Ouchi

Dr. Professor William G. Ouchi, Ph.D., is Independent Director of Sempra Energy. He is the Sanford and Betty Sigoloff Distinguished Professor in Corporate Renewal in the Anderson Graduate School of Management at UCLA. Professor Ouchi is the lead director of AECOM Technology Corporation and a former director of FirstFed Financial Corp. He is a director of the Alliance for College Ready Public Schools, the California Heart Center Foundation, the Conrad N. Hilton Foundation, the Riordan Foundation and RX for Learning.

William Rutledge

Mr. William P. Rutledge is Independent Director of Sempra Energy. He is the Chief Executive Officer of AquaNano, LLC, a water treatment company. Mr. Rutledge was Chairman of CPI International, Inc. (formerly Communications and Power Industries), a communications company, from 1999 to 2004. Prior to 1998, he was President and Chief Executive Officer of Allegheny Teledyne, a diversified manufacturing company. Prior to 1997, he was Chairman and Chief Executive Officer of Teledyne, Inc., an industrial conglomerate. Mr. Rutledge is a director of AECOM Technology Corporation. He is a trustee emeritus of Lafayette College, a trustee of St. John’s Health Center Foundation and a trustee of The National World War II Museum. Mr. Rutledge is a former director of FirstFed Financial Corp., CPI International, Inc. and Computer Sciences Corporation.

Lynn Schenk

Ms. Lynn Schenk, J.D., is Independent Director of Sempra Energy. She is an attorney in private practice. Ms. Schenk served as Chief of Staff to the Governor of California from 1999 to 2003 and was elected to the U.S. House of Representatives representing San Diego, California, from 1993 to 1995, serving on the House Energy and Commerce Committee. From 1978 to 1983, she served as the Deputy and then Secretary of California’s Business, Transportation and Housing Agency; prior to that she was on the in-house counsel staff of SDG&E and a California Deputy Attorney General. Ms. Schenk is a director of Biogen Idec Inc., where she chairs the Risk Committee and serves on the Corporate Governance and Nominating Committee and the Compensation Committee. She is a trustee of The Scripps Research Institute serving on the Governance Committee, a member of the California High Speed Rail Authority, a trustee of the University of California San Diego Foundation and a member of the University of San Diego School of Law, Board of Visitors.

Jack Taylor

Mr. Jack T. Taylor is Independent Director of Sempra Energy. He was the Chief Operating Officer-Americas and Executive Vice Chair of U.S. Operations for KPMG LLP from 2005 to 2010. From 2001 to 2005 he served as the Vice Chairman of U.S. Audit and Risk Advisory Services for KPMG. Mr. Taylor is a National Association of Corporate Directors Board Leadership Fellow. He is a director of Genesis Energy LP and Murphy USA Inc.

Luis Manuel Enrique Tellez Kuenzler

Dr. Luis Manuel Enrique Tellez Kuenzler, Ph.D., is no longer Independent Director of Sempra Energy, effective May 31, 2015. From 2009 until 2014, he was the Chairman of the Board of Directors and Chief Executive Officer of the Mexican Stock Exchange (Bolsa Mexicana de Valores). Dr. Téllez served as Mexico’s Secretary of Communications and Transportation from 2006 to 2009. He is also a director of Grupo GEPP, S.A.P.I. de C.V., a holding company principally engaged in the beverage industry, and Fondo Mexicano del Petróleo. Dr. Téllez is a member of the Board of Counselors of McLarty Associates, the Trilateral Commission and the Mexican Council on Foreign Affairs. He is a former director of Organización Cultiba S.A.B. de C.V.; Grupo México S.A. de C.V.; Global Industries Ltd.; FEMSA (Fomento Economico Mexicano S.A.B. de C.V.); DESC, S.A. de C.V.; Mexico’s Federal Electricity Commission (La Comisión Federal de Electricidad); and Grupo Azucarero México, S.A.B. de C.V. Dr. Téllez also has served as Mexico’s Secretary of Energy, Chief of Staff to the President of Mexico, and Deputy Secretary of Agriculture. He was a managing director of the investment firm, The Carlyle Group, and Chief Executive Officer of DESC, S.A. de C.V., one of Mexico’s largest industrial companies. Dr. Téllez also served as a director of Sempra Energy from June 2006 until November 2006.
