Name Description

Graham Bradley

Mr. Graham John Bradley is Non-Executive Independent Chairman of the Board of Stockland Corp Ltd. He was appointed to the Board on February 9, 2004 and was appointed as Chairman on October 25, 2005. He is President of the Business Council of Australia, Chairman of HSBC Bank Australia Limited, Anglo American Australia Limited and Po Valley Energy Limited (appointed as Director in September 2004). He is Director of GI Dynamics Inc. (appointed June 2011). He was Director of Singapore Telecommunications Limited from March 2004 to July 2011, MBF Australia Limited from November 2003 to November 2007. He was also a Director and Chairman of Film Finance Australia Limited from January 2004 to June 2008. Mr. Bradley was Managing Director of Perpetual Limited for eight years until September 2003 and was the National Managing Partner of Blake Dawson and a Principal of McKinsey & Company prior to that. Mr. Bradley was Director and Chairman of Boart Longyear Limited from February 2007 to August 2010 and a Director of Singapore Telecommunications Limited from March 2004 to July 2011. Mr. Bradley is Member of the Human Resources Committee. He was also Member of the Corporate Responsibility and Sustainability Committee until October 2010. He holds a Bachelor of Arts from The University of Sydney and a Bachelor of Laws from the same university. He also holds a Master of Laws from Harvard University in 1973. Mark Steinert

Mr. Mark Steinert is Chief Executive Officer and Managing Director of Stockland Corp Ltd effective January 29, 2013. He has 25 years of experience in property and financial services including almost a decade of experience running operating businesses, teams of professionals to drive profitability and employee engagement. He commenced his career in real estate with eight years in direct property primarily with Jones Lang LaSalle, and 10 years in listed real estate with UBS. At UBS, he was Managing Director, Global Head of Real Estate Research and Co-Head of ANZ Real Estate. He transitioned into running operating businesses in 2004 when he was appointed Head of Australasian Equities with responsibility for research, trading, derivatives, prime broking, capital commitment, operational control, risk control, recruiting, staff development and cost management. In late 2005, he relocated to New York to take up his appointment as Global Head of Research for UBS. In 2012, he was made Global Head of Product Development and Management for Global Asset Management at UBS, a Global Fund Manager. He was a member of the Global Asset Management Executive Committee and Chairman of the Global Product Management Committee.

Tim Foster

Mr. Tim H. Foster is Chief Financial Officer of Stockland Corp Ltd. Mr. Foster joins Stockland with 25 years of financial experience, including 15 years in the financial services industry. For the past 10 years, he has held CFO roles in three organizations including Colonial First State Investments, Challenger Financial Services and HBOS Australia. In his role at HBOS Australia, Mr. Foster led the Corporate Services Division, managing 400 people across five divisions including Finance, Legal, Program Management Office, Shared Services and Strategy. He was also Chairman of the HBOSA Assets & Liabilities Committee and the HBOSA Learning Council. With exposure to the property sector throughout his career, he was a Director of Colonial First State's property trust and managed the property accounting team for the trust. Mr. Foster commenced his career with a global accounting firm in the UK. He has a Dual Honors degree in Economics, Accounting and Financial Management from Sheffield University and is a Fellow of the Institute of Chartered Accountants in England and Wales.

David Pitman

Mr. David Pitman is Chief Executive Officer - Retirement Living of Stockland Corp Ltd. He joined Stockland in 2007. He has experience in strategy development across a wide range of industries, having spent 12 years with The Boston Consulting Group, where he was a Vice President and Director. Prior to his time in consulting, he held line management positions in the General Aviation industry for nine years. He holds a Bachelor of Engineering from The University of Sydney and a Master of Business Administration from The University of New South Wales.

John Schroder

Mr. John Schroder is Chief Executive Officer - Commercial Property of Stockland Corp Ltd. He joined Stockland in 2006. Prior to joining Stockland, he was Chief Operating Officer of Westfield in the United States. He has 20 years experience in the shopping centre industry, in senior executive positions both in Australia and internationally.

Phillip Hepburn

Mr. Phillip Hepburn has been General Counsel and Company Secretary of Stockland Corp Ltd since he joined the Company in 2001. He has over 16 years of experience as a Company Secretary and General Counsel. Prior to joining Stockland, he was General Counsel and Company Secretary of IAMA Limited, an Australian Securities Exchange (ASX) listed company. He has also held a number of senior management and legal positions in the finance sector. Mr. Hepburn is an Executive Member of the Stockland and the Stockland Capital Partners Financial Services Compliance Committees. He holds a Bachelor of Economics, a Master of Laws and a Graduate Diploma CSP. He is Fellow of the Institute of Chartered Secretaries and Member of the Australian Institute of Company Directors.

Derwyn Williams

Mr. Derwyn Williams is Company Secretary of Stockland Corp Ltd. He has 20 years of experience as a Company Secretary, joining Stockland in December 2004 and appointed as Deputy Secretary in May 2005. Prior to joining Stockland, he was General Manager Corporate Governance & Company Secretary at Credit Union Services Corporation (Australia) Limited and Deputy Group Secretary at St. George Bank Limited. He has held a number of senior management, accountancy, risk management and internal audit positions across the property, finance, heavy industry and public sectors. He holds a Bachelor of Commerce degree and is a Certified Practising Accountant. He is Fellow of the Institute of Chartered Secretaries and Member of the Australian Institute of Company Directors.

Duncan Boyle

Mr. Duncan M. Boyle is Non-Executive Independent Director of Stockland Corp Ltd. He was appointed to the Board on August 7, 2007. He has over 36 years of experience as a Senior Executive and Director within the insurance industry in Australia, New Zealand and the United Kingdom. He is a Director of QBE Insurance Group Limited (appointed September 2006), Clayton Utz (appointed November 2008) and O'Connell Street Associates Pty Limited. Ms. Carolyn Judith Hewson is Non-Executive Independent Director of Stockland Corp Ltd. She was appointed to the Board on March 1, 2009. She has over 30 years of experience in the financial sector, with financial markets, risk management and investment management experience. She is a Non-Executive Director of Westpac Banking Corporation (appointed February 2003), BT Investment Management (appointed December 2007) and BHP Billiton (appointed March 2010), and previously served as a Director on the Boards of the Australian Gas Light Company, AGL Energy Limited, AMP, CSR Limited, South Australia Water and the Economic Development Board of South Australia. Barry Neil

Mr. Barry Neil is Non-Executive Independent Director of Stockland Corp Ltd. He was appointed to the Board on October 23, 2007. He has over 38 years’ experience in property, both in Australia and overseas. He is a Director of Dymocks Holdings Pty Limited and Terrace Tower Group Pty Ltd and was previously Director of Property for Woolworths Limited. He also served as Chief Executive Officer, Investment Division (1999 to 2004), and Executive Director (1987 to 2004) of Mirvac Limited. He is Chairman of Stockland Capital Partners Limited, the Responsibility Entity for Stockland’s unlisted funds and a member of the Stockland Audit Committee. He was a member of the Corporate Responsibility and Sustainability Committee until June 30, 2012 (renamed the Sustainability Committee from July 1, 2012).

Carol Schwartz

Ms. Carol Schwartz is Non-Executive Independent Director of Stockland Corp Ltd. She was appointed to the Board on July 1, 2010. She has experience in business, property and community organizations and is Executive Chairman of Qualitas Property Partners and on the Board of a number of organizations including Yarra Capital Partners, The Sydney Institute and the City of Melbourne's Enterprise Melbourne Advisory Board. She is also a contractor for the Bank of Melbourne Advisory Board. Her other appointments include Executive in Residence at Melbourne Business School. Ms. Schwartz is former National President of the Property Council of Australia. Peter Scott

Mr. Peter B. Scott is Non-Executive Independent Director of Stockland Corp Ltd. He was appointed to the Board on August 9, 2005. He is Chairman of Sinclair Knight Merz Holdings Limited and Perpetual Limited, where he was appointed a Director on July 31, 2005. Mr. Scott is Director of Pilotlight Australia, a not-for-profit making organization and O'Connell Street Associates Pty Limited. He was appointed to the Advisory Board of Laing O'Rourke Australia from August 2008 to August 2011. He is Director of Avant Insurance Limited, OnePath Life Limited, OnePath General Insurance Pty Limited, Member of the Audit Committee of the Reserve Bank of Australia, and a Member of the University of Sydney School of Business Advisory Board.
