Name Description

Louis Cappelli

Mr. Louis J. Cappelli is no longer Chairman of the Board of the Company, effective from May 23, 2017. He serves as the Chairman of the Board of the Company. He joined Legacy Sterling in 1949 and was elected Chairman of the Board of Directors and Chief Executive Officer of Legacy Sterling in 1992. He was elected Chairman of the Board of Directors of Legacy Sterling National Bank in 1992. Mr. Cappelli, has been a director of Legacy Sterling since 1971. He is also a director of a number of local and national charitable organizations. He holds B.A., Business Administration, Baruch College of City University of New York, Doctor of Humane Letters.

Jack Kopnisky

Mr. Jack L. Kopnisky is President, Chief Executive Officer, Director of the Company. He was named Chief Executive Officer and President of Provident Bank and Provident New York Bancorp in 2011. Prior to joining the Company, Mr. Kopnisky served as Chief Executive Officer of SJB Escrow Corporation since 2009, and as a partner in Mercatus LLC since 2008. From 2005 until 2008, he was President and Chief Executive Officer of First Marblehead Corporation. Mr. Kopnisky served in a variety of leadership positions with KeyCorp and predecessor banks from 1998 to 2005. During those years, he served as President, Consumer Banking Group where he was responsible for Retail Banking, Business Banking, Consumer Banking and Community Development, President, Key Bank USA, President, Retail Banking and President & Chief Executive Officer, Key Investment. Mr. Kopnisky, has been a member of the board since 2011.

Luis Massiani

Mr. Luis Massiani is Chief Financial Officer, Senior Executive Vice President of the Company. He was appointed as Executive Vice President and Chief Financial Officer at Legacy Provident NY Bancorp and Legacy Provident Bank effective December 2012. Mr. Massiani was most recently Director of the Investment Banking Department of Credit Suisse Securities (USA) LLC. Prior to joining Credit Suisse in May 2011, Mr. Massiani served first as Vice President, then later as a Director, of the investment banking department of Citadel Securities LLC, from September 2009.

Rodney Whitwell

Mr. Rodney C. Whitwell serves as Chief Operating Officer, Senior Executive Vice President of the Company. He also served as Chief Risk Officer of the Bank effective November 2013 through June 2015. Mr. Whitwell was appointed as Executive Vice President and named Chief Operating Officer of Legacy Provident Bank and Legacy Provident in November of 2011. Mr. Whitwell has over thirty (30) years of leadership experience in financial services. Mr. Whitwell was Principal at Mercatus LLC, a national financial services consulting and investing firm, from 2010 to 2011.

Michael Finn

Mr. Michael E. Finn serves as Executive Vice President, Chief Risk Officer of the Company. He was appointed Executive Vice President, Chief Risk Officer of HV Bank in January 2014. From August 2011 to December 2013, Mr. Finn served as Senior Advisor to the Deputy Comptroller of the Office of the Comptroller of the Currency. From September 2004 to August 2011, Mr. Finn served as a Regional Director for the Office of Thrift Supervision.

James Blose

Mr. James P. Blose serves as Executive Vice President, General Counsel, Chief Legal Officer of the Company. He was appointed Executive Vice President, General Counsel & Secretary of HV Bank in October 2013. Prior to joining HV Bank, Mr. Blose served as a partner with the law firm of Griffin, Coogan, Blose, Sulzer & Horgan, P.C., located in Bronxville, New York, since December 2003.

James Peoples

Mr. James R. Peoples is Senior Executive Vice President, Chief Banking Officer of the Bank of the Company. He currently serves as Senior Executive Vice President of the Company and Bank (since October 23, 2014) and Chief Banking Officer of the Bank (since September 2014). Mr. Peoples was appointed as Executive Vice President and Market President of Regional Banking of Legacy Provident Bank and Executive Vice President of Legacy Provident in November 2011. Mr. Peoples has over 37 years of experience in financial services and credit management. He served as President for KeyBank in the Seattle Cascades District from 1999 through 2008, and Chairman, President and Chief Executive Officer of United Western Bank in Denver, Colorado from 2010 to 2011.

James Landy

Mr. James J. Landy is Director of the Company. He was Chairman of the Board of Directors of Legacy HVB and Hudson Valley Bank N.A. (“HV Bank”) (January 2015 through June 2015) and Executive Chairman (2012 to 2014). Served in a variety of other senior positions of HV Bank from 1977 to 2012. He Serves on the Boards of several civic, charitable and ecumenical organizations throughout Westchester County. He holds BA from Manhattan College, Graduate, Stonier School of Banking and M.B.M, Banking, Louisiana State University.

John Millman

Mr. John C. Millman is no longer Director of the Company, effective from May 23, 2017. He served as President and Chief Executive Officer of Legacy Sterling Bank from 1987 to 2013 and as President of Legacy Sterling from 1993 to 2013. Mr. Millman joined Legacy Sterling in 1976 as Senior Vice President and Commercial Loan Officer and was named Executive Vice President in 1981. Mr. Millman has held leadership positions since joining Legacy Sterling more than 35 years ago. He was responsible for supervising all functions of the bank including operations, lending and credit administration and has knowledge and understanding of all aspects of Sterling’s business. Mr. Millman’s qualifications as a member of the Board are primarily attributed to his background in banking, leadership skills and knowledge of the Company and the communities the Bank serves. He earned B.A. from Tulane University.

Robert Abrams

Mr. Robert Abrams is no longer Independent Director of the Company, effective from May 23, 2017. Robert Abrams has been a Member of the law firm of Stroock & Stroock & Lavan LLP since 1994. Stroock & Stroock & Lavan LLP represents multinational corporations, private companies, individuals and emerging business enterprises. Mr. Abrams served as Attorney General of the State of New York (1979-1993) and also as Bronx Borough President (1970-1978). Mr. Abrams, has been a director of Legacy Sterling since 1999.

John Cahill

Mr. John P. Cahill is Independent Director of the Company. He was Counsel at Chadbourne & Parke LLP (March 2007 to present). He is Co-Founder and Principal of the Pataki-Cahill Group LLC, a strategic consulting firm focusing on the economic and policy implications of domestic energy needs (March 2007 to present). He has Served in various capacities in the administration of the Governor of New York George E. Pataki (from 1997 to 2006), including Secretary and Chief of Staff to the Governor (2002 to 2006). He holds B.A., Fordham University, J.D., Pace University School of Law , LL.M., Pace University School of Law.

James Deutsch

Mr. James F. Deutsch is Independent Director of the Company. He has been serving as a Managing Director of Patriot Financial Partners, L.P. ("Patriot") since April of 2011. From November of 2004 until April 2011, Mr. Deutsch served as President, CEO and Director of Team Capital Bank, a community bank. Mr. Deutsch was designated as a director by Patriot pursuant to the terms of a Corporate Governance Agreement, dated August 7, 2012. Mr. Deutsch holds a Bachelor of Science in Finance and a Masters of Business Administration. He spent six years as Director (including two years as Vice Chairman) of Atlantic Community Bankers Bank. Mr. Deutsch has also served as the Chairman and Director of many non-profit agencies. Mr. Deutsch’s qualifications as a member of the Board are primarily attributed to his experience in financial services and his perspective as both an investor in and operator of banks.

Navy Djonovic

Ms. Navy E. Djonovic is Independent Director of the Company. She is a Partner at Maier Markey & Justic LLP, a certified public accounting firm, providing accounting, auditing and consulting services (January 2010 to present). Ms. Djonovic has been the Controller since January 2001. She is Director of Operations at Mikimoto (America) (1998-1999), Senior Accountant at Arthur Anderson (1996 to 1998), Staff Accountant at Deloitte & Touche LLP (1994 to 1996), Member, New York State Society of Certified Public Accountants. She Serves on the Boards of a number of non-profit and civic organizations in Westchester County including the Westchester County Association. She holds B.A., Accounting, Fordham University.

Fernando Ferrer

Mr. Fernando Ferrer is Independent Director of the Company. He has been Co-Chairman of Mercury Public Affairs, LLC, a part of Omnicom Group Inc., which specializes in high-value public affairs related to business, government, politics and media since 2006. He was appointed to the Board of the Metropolitan Transit Authority (MTA) by Governor Andrew Cuomo on June 26, 2011 and served as Acting Chairman from January 1, 2013 to June 20, 2013. He is the former President of the Drum Major Institute for Public Policy, a non-partisan, non-profit think tank (2002-2004). He served as Bronx Borough President (1987-2001). Mr. Ferrer, has been a director of Legacy Sterling since 2002. He holds B.A., University Heights College of Arts and Sciences, New York University and M.P.A., Baruch College of the City University of New York.

William Helmer

Mr. William F. Helmer is no longer Independent Director of the Company, effective from may 23, 2017. He has been the President of Helmer-Cronin Construction, Inc. since 1961. He also serves as a Trustee of Clarkson University, where he obtained a degree in engineering. Mr. Helmer, has served as a member of the Board of Directors of Provident Bank since 1974 and the Chairman of the Board from 1994 to 2013. He has served as a Director and the Chairman of the Board of Directors of Provident New York Bancorp since its formation in 1999 through October of 2013. He holds B.S., from Civil Engineering, Clarkson University.

Thomas Kahn

Mr. Thomas Graham Kahn is Independent Director of the Company. He is President of Kahn Brothers Group, Inc., Kahn Brothers LLC, a member of the New York Stock Exchange, and Kahn Brothers Advisors LLC, a registered investment advisor located in New York City. He has served in these capacities, at these companies or their predecessors, since 1978. He holds an MBA Diploma and CFA Certificate. He also serves on a number of local and national charitable organizations. Mr. Kahn, has served as a member on the Board of Directors of Provident Bank and Provident New York Bancorp since 2004. He holds B.A from Cornell University and MBA from New York University.

Robert Lazar

Mr. Robert W. Lazar is Independent Director of the Company. He is Senior Advisor to TBC Accounting Firm and formerly was President and CEO of the New York Business Development Corporation. Mr. Lazar, has been a director of Legacy Sterling since 2005. He is a Certified Public Accountant and is Chairman of the University of Albany School of Business Advisory Board. He also serves as Board member on several charitable organizations, and formerly was an accounting lecturer at University of Albany, St. Rose and Sage Colleges and Treasurer and Board member at Mt. St. Mary's College, Newburgh, NY. He has over 40 years of auditing, business development, small and middle market lending and banking experience. He holds MS in Accounting, University at Albany and B.S in Economics from The Sage Colleges.

Richard O'Toole

Mr. Richard L. O'Toole is Independent Director of the Company. He has served as Executive Vice President (real estate) of The Related Companies, a real estate development and management company since 2008. From 2005 until 2008, Mr. O'Toole served as a consultant for The Related companies. Mr. O'Toole was a practicing lawyer with both a JD and LLM degree and served as a partner at Paul Hastings Janofsky & Walker prior to his work at The Related Companies. Mr. O'Toole, joined Sterling National Bank and Sterling Bancorp as a member of the Board of Directors in October of 2012. Mr. O'Toole has over 31 years of legal, merger and acquisition, real estate and tax experience.

Burt Steinberg

Mr. Burt B. Steinberg is Independent Director of the Company. He served as the Executive Director of Dress Barn, Inc., a women's specialty store retailer and a NASDAQ listed company from 2001 to 2009. Prior to that time he held the office of COO & President. Mr. Steinberg has served as President of BSRC Consulting since 2001. Mr. Steinberg serves as a director of REDC (a local economic development corporation, which promotes business activity in Rockland County). Mr. Steinberg, has served as a member of the Board of Directors of Provident Bank and Provident New York Bancorp since 2000. As a member of a number of businesses, educational and charitable organizations throughout the region, he provides insight on local businesses and the economy where Sterling National Bank does business. He earned B.A. from City University of New York and M.B.A. from Columbia University.

Craig Thompson

Mr. Craig S. Thompson is no longer Independent Director of the Company, effective from May 23, 2017. He was President and principal shareholder of Thompson Pension Employee Plans, Inc., a company located in New York City and specializing in pension administration and investment and insurance sales (1983 to present). He holds B.A. from Political Science and Government, University of Denver and J.D. from Boston University School of Law.

William Whiston

Mr. William E. Whiston is Independent Director of the Company. He was Chief Financial Officer of the Archdiocese of New York, a religious not-for-profit organization, based in New York City (January 2002 to present). He Served in a number of executive positions at Allied Irish Bank, including lending, product development and operations/compliance (1972-2001). He is Trustee, St. Patrick’s Cathedral, St. Patrick’s Landmark Foundation and St. Joseph’s Seminary. He is Member, Provident Healthcare, which is a member of Archcare. He earned B.A. from Pace University and M.B.A. from Stern School of Business, New York University.
