Name Description

Brian Levitt

Mr. Brian Michael Levitt is Non-Executive Independent Chairman of the Board of Toronto Dominion Bank., since January 1, 2011. Mr. Levitt is non-executive chairman of the board of directors of the bank and is also non-executive Vice-Chair of the law firm Osler, Hoskin & Harcourt LLP. Mr. Levitt is the former President and Chief Executive Officer of Imasco Limited, a Canadian consumer goods and services company. He previously served as non-executive Co-Chair, Osler, Hoskin & Harcourt LLP from September 2012 to July 2014. Between January 2011 and September 2012, Mr. Levitt was Counsel at Osler, Hoskin & Harcourt LLP, and prior to January 2011, he was Co-Chair at Osler, Hoskin & Harcourt LLP. Mr. Levitt holds a law degree from the University of Toronto, where he also completed his Bachelor of Applied Science degree in Civil Engineering.

Bharat Masrani

Mr. Bharat B. Masrani has been appointed as Group President, Chief Executive Officer, Non-Independent Director of The Toronto-Dominion Bank effective November 1, 2014. Mr. Masrani is the Group President and Chief Executive Officer of the bank. From July 2013 to October 2014, Mr. Masrani was the Chief Operating Officer of the bank. Robert Dorrance

Mr. Robert. E. Dorrance is Group Head - Wholesale Banking of TD Bank Group and Chairman, CEO & President, TD Securities. As Group Head Wholesale Banking, TD Bank Financial Group and Chairman, CEO & President, TD Securities, Mr. Dorrance leads the integrated investment dealer business of TD Bank Financial Group. He is responsible for determining the strategic direction of the firm as well as the day-to-day management of the global wholesale investment dealer operations. Previously, Mr. Dorrance managed TD Securities' Institutional Equities' Sales, Trading and Research groups, as well as Equity Capital Markets and Proprietary Equity Trading, and was head of Investment Banking. Mr. Dorrance joined TD Securities in November 2000 when TDBFG purchased Newcrest Capital, where he had been President and Chief Executive Officer since 1995. Prior to helping found Newcrest, he worked at Nesbitt Burns for 18 years. Mr. Dorrance holds a Master of Business Administration from McGill University, an Honours Bachelor of Science from Queen's University, and has his Chartered Financial Analyst designation.

Timothy Hockey

Mr. Timothy D. Hockey is President of TD Ameritrade Holding Corporation of the Company. He was Group Head - Canadian Banking, Auto Finance, and Wealth Management, TD Bank Group and President and Chief Executive Officer, TD Canada Trust. Prior to commencing his current Group Head role on July 1, 2013, Mr. Hockey was Group Head, Canadian Banking, Auto Finance and Credit Cards, TD Bank Group and President and Chief Executive Officer, TD Canada Trust from October 3, 2011 to July 1, 2013, and Group Head, Canadian Banking and TD Auto Finance, TD Bank Group and President and Chief Executive Officer, TD Canada Trust prior to October 3, 2011. Mr. Hockey hails from the Ottawa area, where he attended Carleton University. He then went on to obtain his Master of Business Administration from the University of Western Ontario in 1997, and he now sits on the Advisory Board of the Richard Ivey School of Business.

Colleen Johnston

Ms. Colleen M. Johnston is Group Head - Direct Channels, Technology, Marketing, and Real Estate of the Company. She was Group Head - Finance, Sourcing and Corporate Communications, and Chief Financial Officer of Toronto-Dominion Bank. Prior to commencing her current Group Head role on April 15, 2013, Ms. Johnston was Group Head, Finance and Chief Financial Officer, Corporate Office, TD Bank Group. She has primary responsibility for all aspects of external and regulatory financial reporting, performance measurement and optimization including capital allocation, investor and rating agency relations, interest and liquidity risk management, and tax management. The Audit function also reports to her on an administrative basis. Colleen joined TD in March 2004 as Executive Vice President, Finance Operations, and in November 2005 she became Executive Vice President and Chief Financial Officer, TD Bank Financial Group. Prior to joining TD Colleen spent 15 years with Scotiabank, where she served as Managing Director and Chief Financial Officer for Scotia Capital; Vice President, Domestic Comptroller for Scotiabank; and Chief Financial Officer and Treasurer for Scotiatrust. She began her career in 1982 with Price Waterhouse. She graduated from York University in 1982 with a bachelor of business administration degree and received her chartered accountant designation in 1984. Her community volunteer and leadership activities include her role as chair of the ShareLife Corporate Campaign and a member of the Mission Committee for the Heart and Stroke Foundation. Colleen remains on the board of Bridgepoint Health, where she was previously chair for three years. She is actively involved in promoting diversity in the workplace as chair of TD’s Women in Leadership Committee. Colleen was recently elected as a Fellow Chartered Accountant (FCA), the highest designation conferred by the Institute of Chartered Accountants of Ontario.

William Bennett
