Name Description

Stephen Lang

Mr. Stephen A. Lang has been appointed as Chairman of the Board of International Tower Hill Mines Ltd., with effect from February 1, 2014. He is a Mining Engineer with over 30 years of experience in the mining industry. He currently serves as Chairman of Centerra Gold Inc. and as a Director of Allied Nevada Gold Corp. Previously, Mr. Lang was President and CEO and a member of the board of directors of Centerra Gold Inc. Prior to that, he held senior positions at Stillwater Mining Company, Barrick Gold Corporation, Rio Algom and Kinross Gold/Amax, where he worked with Tom Irwin. Mr. Lang earned a Bachelor and Masters of Science in Mining Engineering from the University of Missouri-Rolla.

Thomas Irwin

Mr. Thomas E. Irwin has been appointed as President, Chief Executive Officer of International Tower Hill Mines ltd., with effective January 1, 2014. Mr. Irwin has been serving as Vice President, Alaska, since August 2012, supporting corporate strategic initiatives as well as being responsible for technical matters for the Company’s Livengood Gold Project. Mr. Irwin previously served as Alaska General Manager for the Livengood Gold Project from January 2012 to August 2012. Prior to joining the Company, Mr. Irwin served as the Commissioner of the Alaska Department of Natural Resources from 2004 to January 2012. As of the date of this filing, the Company has not made any determination with regard to any compensatory plan, contract, arrangement or award for Mr. Irwin in connection with his appointment as President and Chief Executive Officer of the Company.

David Cross

Mr. David A. Cross , CPA, CGA, has been appointed as Chief Financial Officer (CFO) of the Company, effective May 11 , 2015. Mr. Cross will remain a partner in the firm of Cross Davis & Company LLP, Certified General Accountants, which has also been retained to provide corporate accounting support to the Company. Mr. Cross' past experience consists of officer, director and senior management positions, including five years at Davidson & Company LLP Chartered Accountants where he spent time as a Manager, a member of their Technical Accounting Committee and a member of their IFRS Committee. He is also the CFO of several other junior mineral exploration companies. Mr. Cross holds a BCIT diploma in Financial Management and is a Chartered Professional Accountant and Certified General Accountant.

Karl Hanneman

Mr. Karl L. Hanneman has been appointed as Chief Operating Officer of International Tower Hill Mines Ltd., with effect from March 2015. Prior to which he was the General Manager of the company. Mr. Hanneman has more than 30 years of Alaska-based mining industry experience, including a key role on the team that worked to successfully resolve the permitting issues at the Red Dog Mine in 2008-2010. Prior to that, Mr. Hanneman was the Alaska Regional Manager during the initial development and permitting by Teck/Sumitomo of the Pogo Gold Mine. Mr. Hanneman has led or participated in a number of industry and State of Alaska sponsored organizations, including: Alaska Minerals Commission, Council of Alaska Producers, Resource Development Council and the Alaska Miners Association. Mr. Hanneman serves as a director of Usibelli Coal Mine, Inc., a private company with an operating coal mine in Alaska, and Northrim BanCorp, Inc., a public bank holding company engaged in commercial banking in Alaska. Mr. Hanneman holds a BSc. (Honors) degree in Mining Engineering from the University of Alaska.

Debbie Evans

Ms, Debbie L. Evans is Corporate Controller of the Company. Ms. Evans has 20 years of experience in the mine controller and mine accounting positions. Prior to joining the Company in January, 2011, Ms. Evans was the Controller for the Kensington Mine operated by Coeur Alaska Inc., and prior to that, Ms. Evans was the Controller at the Fort Knox Mine and Chief Accountant for the East Boulder Mine in Big Timber, Montana. Prior to that, she held senior accounting positions at the Stillwater, Round Mountain and ASARCO Mines. Ms. Evans has a B.Sc. Business Management Degree from Lewis Clark State College, Lewiston, Idaho.

Marla Ritchie

Ms. Marla K. Ritchie serves as Corporate Secretary of International Tower Hill Mines Ltd. Since 2001, she has been the Company’s Corporate Secretary and in October 2003 she became employed by the Company as its Corporate Administrator. Between 1992 and 2003, she worked for Ascot Resources Ltd., Brett Resources Inc., Golden Band Resources Inc., Hyder Gold Inc., Leicester Diamond Mines Ltd., Loki Gold Corporation, Oliver Gold Corporation and Solomon Resources Limited, all public junior natural resource exploration companies.

Thomas Weng

Mr. Thomas Weng has been appointed as Lead Independent Director of International Tower Hill Mines ltd., with effective January 1, 2014. Mr. Weng has over 22 years of experience in the financial services sector. He is currently the co-founding partner of Alta Capital Partners, a provider of investment banking services, globally. Previously, Mr. Weng was a managing director at Deutsche Bank, and head of equity capital markets for Metals and Mining throughout the Americas and Latin America, across all industry segments. Mr. Weng has also held various senior positions at Pacific Partners, an alternative investment firm, and Morgan Stanley. Mr. Weng holds a bachelor of arts degree in economics from Boston University.

John Ellis

Mr. John J. Ellis has been appointed as Director of International Tower Hill Mines Ltd., with efefct from February 1, 2014. He is a Professional Engineer with over 50 years of experience in the mining industry. He currently serves as a Director of Mexivada Mining Corp. and Sunshine Silver Mines Corporation and is involved in consulting for a number of international mining companies. Mr. Ellis previously served as Chairman and CEO of AngloGold North America and Hudson Bay Mining and Smelting Company. Prior to that, he held senior positions at Inspiration Resources Corp., and CVRD-Inco. His career has included service as a Director on the Mining Association of Canada and the National Mining Association. Mr. Ellis graduated from the Haileybury School of Mines and the Montana College of Science and Technology.

Anton Drescher

Mr. Anton J. Drescher is Independent Director of International Tower Hill Mines Ltd. Mr. Drescher has been a Certified Management Accountant since 1981. He is currently (since 2007) a director of Trevali Mining Corporation, a public mining company listed on the TSX, a director (since 2010) of Corvus Gold Inc., a public mineral exploration company listed on the TSX, a director (since 1996) and Chief Financial Officer (since 2012) of Xiana Mining Inc. (formerly Dorato Resources Inc.), a public mineral exploration company listed on the TSXV, President (since 2010) and director of Ravencrest Resources Inc., a public mineral exploration company listed on the CNSX, and the Chief Financial Officer and a director (since 1994) of Oculus VisionTech Inc., a public company involved in watermarking of film and data and listed on the TSXV and the OTC Bulletin Board, and a former director (2012 – 2013) of KazaX Minerals Inc., a public mineral exploration company listed on the TSXV. Mr. Drescher is also the President (since 1979) of Westpoint Management Consultants Limited, a private company engaged in tax and accounting consulting for business reorganizations and the President (since 1998) of Harbour Pacific Capital Corp. a private company involved in regulatory filings for businesses in Canada. Mr. Drescher has served on the Board since 1991, and the CGNC determined to nominate Mr. Drescher for re-election to the Board due to his significant financial and accounting experience together with his director experience with other mining and mineral exploration companies.

Mark Hamilton

Mr. Mark R. Hamilton is Independent Director of International Tower Hill Mines Ltd. Mr. Hamilton retired as a U.S. Army general following 31 years of active military duty, primarily in the fields of teaching, management and administration. Most recently, he was the past president of the University of Alaska system from 1998 to 2011. Prior to 1998, Mr. Hamilton served as chief of staff of the Alaskan command at Elmendorf Air Force Base and commander of division artillery at Fort Richardson. He is a graduate of the U.S. Military Academy at West Point and is the recipient of the army's peacetime award, the service medal. He received his master's degree in English literature from Florida State University. In addition, he graduated from the Armed Forces Staff College in Virginia, and the U.S. Army War College in Pennsylvania. Mr. Hamilton currently serves as a director of Aerospace Corp.'s board, the BP advisory board and Alaska Sealife Center board. He previously served as a director of Alaska Air Group Inc. from 2001 to Feb. 9, 2011.
