Biographies

Name Description

H. Massingale

Dr. H. Lynn Massingale, M.D., is an Executive Chairman of the Board and Director of the Company. Dr. Massingale had been the Chief Executive Officer and director of the Company since 1994 and also held the title of President until October 2004. Dr. Massingale previously served as President and Chief Executive Officer of Southeastern Emergency Physicians, a provider of emergency physician services to hospitals in the Southeast and the predecessor of TeamHealth, Inc., which Dr. Massingale co-founded in 1979. Dr. Massingale served as the director of Emergency Services for the state of Tennessee from 1989 to 1993. Dr. Massingale is a graduate of the University of Tennessee Medical Center for Health Services.

Michael Snow

Mr. Michael D. Snow is President, Chief Executive Officer and Director of the Company. Mr. Snow joined the Company as President in April 2013. Throughout his career, Mr. Snow has held numerous executive-level positions in the healthcare arena. Mr. Snow served as President of HCA’s Gulf Coast Division from 1996 to 2004. From 2004 to 2007, Mr. Snow served as Executive Vice President and Chief Operating Officer of HealthSouth Corporation. From 2007 to 2008, Mr. Snow served as President and Chief Executive Officer of Surgical Care Affiliates. Mr. Snow served as President and Chief Executive Officer of Wellmont Health System from 2008 to 2009. From 2010 to 2011, Mr. Snow served as Chief Operating Officer of Amedisys, Inc. Mr. Snow earned his Bachelor of Science degree from the University of Alabama and a Master's Degree in Business Administration from Troy State University.

David Jones

Mr. David P. Jones is the Chief Financial Officer and Executive Vice President of the Company. Mr. Jones assumed the title of Executive Vice President and Chief Financial Officer. From 1994 to 1996, Mr. Jones was our Controller. Prior to that, Mr. Jones worked at Pershing, Yoakley and Associates, a regional healthcare audit and consulting firm, as a Supervisor. Before joining Pershing, Yoakley and Associates, Mr. Jones worked at KPMG Peat Marwick as an Audit Senior. Mr. Jones received a B.S. in Business Administration from the University of Tennessee.

Oliver Rogers

Mr. Oliver Rogers is Chief Operating Officer, Executive Vice President of the Company. Mr. Rogers was previously President of the Company’s hospital based services. Mr. Rogers has more than 40 years of management experience in a variety of healthcare organizations, including hospitals and large physician practice groups. He joined TeamHealth Southeast in 2003 as Executive Vice President and was promoted to Chief Executive Officer of that division in 2006. Rogers was promoted to President of TeamHealth Hospital Based Services in 2010 and was responsible for national contract management of TeamHealth’s emergency medicine, anesthesia, hospital medicine, urgent care and specialty hospitalist service lines. Prior to joining TeamHealth, Rogers was responsible for a $1.5 billion revenue division of a publicly traded healthcare company. He earned his Bachelor’s Degree from the University of North Carolina and a Master’s Degree in Health Administration from Duke University.

Steven Clifton

Mr. Steven E. Clifton is Executive Vice President, General Counsel of the Company. Mr. Clifton served as Senior Vice President and General Counsel at Health Management Associates (HMA) and the Vice President of Legal Operations at Hospital Corporation of America (HCA). Mr. Clifton received his Bachelor of Art’s degree from Western Kentucky University and his Juris Doctorate degree from the University of Kentucky.

Miles Snowden

Dr. Miles S. Snowden, M.D. is Chief Medical Officer of the Company. Dr. Snowden has more than 30 years of clinical leadership experience in a variety of healthcare organizations. Dr. Snowden's professional background includes serving as the chief medical officer for Optum, UnitedHealth Group’s services division, and Delta Air Lines. Prior to these positions, Dr. Snowden held a private practice in Louisville, Kentucky, and founded an occupational health consulting business. Dr. Snowden received his medical degree from the University of Louisville School of Medicine. Dr. Snowden completed an internal medicine residency at the University of Alabama - Birmingham and is board certified in internal medicine and preventive medicine. Dr. Snowden also holds a master’s of public health degree.

Edwin Crawford

Mr. Edwin M. Crawford is Director of the company. He served as Chief Executive Officer, Director and Chairman of Caremark Rx, Inc. from 1998 to 2007 when it generated annual revenues of approximately$37 billion. Following the merger of CVS Corporation with Caremark inMarch 2007, Mr. Crawford served as Chairman of CVS Caremark Corporation, a Fortune 20 company and leading provider of pharmacy benefits management services, untilNovember 2007. Mr. Crawford received a B.S. in Business Administration from Auburn University.

Patrick Fry

Mr. Patrick E. Fry is an Director of the Company. As president and CEO of Sutter Health since 2005, Fry leads a not-for-profit network of nearly 5,000 physicians under the Sutter Medical Network, which includes 24 acute care hospitals and one of the nation’s largest home health and hospice programs. As former president and CEO of Allina Health from 2009-2014, Paulus led one of the nation’s largest not-for-profit integrated delivery systems consisting of nearly 1,500 employed physicians, 13 acute care hospitals, a freestanding emergency department and more than 100 ambulatory care clinics. Fry brings more than 35 years of healthcare experience to his new role on the TeamHealth Board of Directors. Prior to assuming the chief executive officer role at Sutter Health, Fry served in numerous roles throughout the organization including: chief operating officer and executive vice president of Sutter Health, executive vice president of Sutter Health Western Division, president of Sutter Health East Division and regional president of Sutter Health Central in addition to several other roles. Currently, Fry serves on the board of the California Hospital Association, VHA Inc., and the American Hospital Association Governing Council and offers more than 30 years of board experience with government, non-profit and public enterprises. He received his Masters of Health Sciences Administration from George Washington University and his Bachelor of Arts in Administration in Public Health from the University of California.

Joseph Herring

Mr. Joseph (Joe) L. Herring is Director of the company. Mr. Herring is CEO of the Covance division of Laboratory Corporation of America, Inc. (LabCorp). Mr. Herring previously served as Chief Executive Officer of Covance Inc., a drug development services company, since 2005 and as Chairman of the Board of Covance since 2006 until its acquisition by LabCorp in February 2015. Mr. Herring previously served in several executive roles with Covance, including president and chief operating officer, president of early development services and corporate vice president and general manager for the company’s North American preclinical operations. Prior to joining Covance, Mr. Herring held a variety of senior leadership positions with Caremark International and American Hospital Supply Corporation. Mr. Herring currently serves on the nonprofit boards for University Medical Center of Princeton and the Association of Clinical Research Organizations, of which he formerly served as chairman. Mr. Herring previously served on the board of First Circle Medical, Inc. Mr. Herring earned his Bachelor of Science degree in marketing from Louisiana State University.

Neil Kurtz

Dr. Neil M. Kurtz, MD is an Director of Team Health Holdings Inc., since November 2013. Dr. Kurtz is President and Chief Executive Officer of Golden Living, LLC, a privately-held skilled nursing, hospice, home healthcare and institutional pharmacy company. Prior to joining Golden Living in 2008, Dr. Kurtz served as president and Chief Executive Officer of TorreyPines Therapeutics, Inc., and as president of Ingenix Pharmaceutical Services, Inc., a division of United Health Group (UHG). Dr. Kurtz co-founded Worldwide Clinical Trials, a contract research organization, where he held the positions of president and Chief Executive Officer until its acquisition by UHG in 1999. His career also includes leadership positions with Boots Pharmaceuticals, Inc., Bayer Corporation, Bristol-Myers Company and Merck, Sharp and Dohme. Dr. Kurtz currently serves on the corporate boards of Golden Gate National Senior Care Holdings and Medidata Solutions, Inc. Dr. Kurtz previously served on the corporate boards for Ingenix, Inc.; NeurogesX, Inc.; Stemedica Cell Technologies and TorreyPines Therapeutics, Inc. Dr. Kurtz earned his Bachelor of Arts degree in psychology from New York University and his medical degree from the Medical College of Wisconsin. Dr. Kurtz is board certified in psychiatry and neurology in New York, California and Georgia.

Scott Ostfeld

Mr. Scott Ostfeld is Director of the company. He is a Partner of JANA Partners LLC, an investment manager located inNew York, and Co-Portfolio Manager of JANA Partners LLC's active equity ownership strategy. Prior to joining JANA in 2006, Mr. Ostfeld was with GSC Partners in their distressed debt private equity group focused on acquiring companies through the bankruptcy restructuring process and enhancing value as an active equity owner. Mr. Ostfeld received a J.D. from Columbia Law School and an M.B.A. from Columbia Business School, and a B.A. from Columbia University. Mr. Ostfeld serves as a member of the Advisory Board of Columbia University's Richman Center for Business, Law, and Public Policy and as a member of the Board of Directors of The Opportunity Network.

Kenneth Paulus

Mr. Kenneth H. Paulus is an Director of the Company. Paulus offers strong credentials within the healthcare community, bringing more than three decades years of executive healthcare leadership experience to the TeamHealth Board. Prior to Paulus’s appointment as CEO at Allina Health, he served as president and chief operating officer. Before joining Allina, Paulus was the president and CEO of Atrius Health System, one of the largest integrated physician organizations in New England and a teaching and research affiliate of Harvard Medical School. Additionally, he served as the chief operating officer of Boston-based Partners Community HealthCare, a teaching affiliate of Harvard Medical School that includes Massachusetts General Hospital and Brigham and Women’s Hospital. Currently, Paulus serves on the board of Healthgrades and Cogentix Medical. He received his Masters of Healthcare Administration and Management from the University of Minnesota and a Bachelor of Arts in Biology from Augustana College.

Nancy Schlichting

Ms. Nancy M. Schlichting is Director of the company. She is the Chief Executive Officer of Henry Ford Health System, where she is responsible for leading a nationally recognized health care organization with annual revenue of over$4 billionand 24,000 employees through a dramatic financial turnaround. Ms. Schlichting joined Henry Ford Health System in 1998 as Senior Vice President and Chief Administrative Officer and in 2001, she assumed an additional role as President and Chief Executive Officer of Henry Ford Hospital. Ms. Schlichting has vast experience serving as a director for various boards for both non-profit and for-profit corporations, including serving as a member of the board of directors of Walgreens Boots Alliance, Inc., one of the largest global pharmaceutical wholesale and distribution networks, since 2006. James Bierman

Mr. James L. Bierman is an Independent Director of Team Health Holdings, Inc., since August 2010. Mr. Bierman has been President and Chief Executive Officer of Owens & Minor, Inc., a FORTUNE 500 company and a leading distributor of medical and surgical supplies, since September 2014. Previously, Mr. Bierman served in various other roles at Owens & Minor, Inc. including President and Chief Operating Officer from August 2013 to September 2014, Executive Vice President and Chief Operating Officer from March 2012 to August 2013, Executive Vice President and Chief Financial Officer from April 2011 to March 2012, and as Senior Vice President and Chief Financial Officer from June 2007 to April 2011. From 2001 to 2004, Mr. Bierman served as Executive Vice President and Chief Financial Officer at Quintiles Transnational Corp. Mr. Bierman is a former director of Quintiles Transnational Corp. and of Pharma Services Holding, Inc., (the parent company of Quintiles Transnational Corp.). Prior to joining Quintiles Transnational Corp., Mr. Bierman was a partner at Arthur Andersen LLP from 1988 to 1998. Mr. Bierman earned his MBA at Cornell University’s Johnson Graduate School of Management and his undergraduate degree at Dickinson College.

Glenn Davenport

Mr. Glenn A. Davenport is an Independent Director of Team Health Holdings Inc., since November 2005. Since May 2013, Mr. Davenport has served as President of GA Foods, which provides nourishing meals to senior and child nutrition programs in over 40 states. From March 2007 to February 2009, Mr. Davenport was President of Horizon Software International, LLC, a company specializing in food service technology. Mr. Davenport served as Chairman and Chief Executive Officer of Morrison Management Specialists, a food and nutrition services provider to the healthcare industry, until August 2006. Prior thereto, he served in various management capacities with Morrison Restaurants, Inc. since 1973. Mr. Davenport serves as a director of Cracker Barrel Old Country Stores.

Mary Grealy

Ms. Mary R. Grealy is an Independent Director of Team Health Holdings, Inc., since October 2012. Ms. Grealy has served as President of the Healthcare Leadership Council, a coalition of chief executives of the nation’s leading healthcare companies and organizations, since 1999. As a widely recognized expert in the field of health legislation and a member and Vice-Chair of the not-for-profit board of Duquesne University and a member of the American Health Lawyers Association, Ms. Grealy frequently serves as a public speaker around the country. Ms. Grealy has strong credentials within the hospital community, bringing 33 years of consulting and advising experience to the board as part of leading trade associations, testifying before Congress, and lobbying at various levels of government. Ms. Grealy formerly served as the Chief Washington Counsel for the American Hospital Association and as Chief Operating Officer and Executive Counsel for the Federation of American Hospitals. Ms. Grealy began her career in the healthcare industry as a Legislative Assistant to U.S. House of Representatives’ Ways and Means Subcommittee on Health, during the Carter Administration. Ms. Grealy is a graduate of Duquesne University School of Law and earned her undergraduate degree at Michigan State University.

Vicky Gregg

Ms. Vicky B. Gregg is an Independent Director of Team Health Holdings, Inc., since January 2013. Ms. Gregg served as the Chief Executive Officer and as a Director of BlueCross BlueShield of Tennessee (BCBST), a not-for-profit organization that, together with its subsidiaries, provides a comprehensive range of group and individual health insurance plans, products and services, from February 2003 until December 2012. Before becoming Chief Executive Officer of BCBST, Ms. Gregg served as BCBST’s President and Chief Operating Officer, overseeing all aspects of the company’s day-to-day operations, and prior to that occupied several senior leadership positions at BCBST. Prior to joining BCBST, Ms. Gregg served as a Market Vice President of Humana in Kentucky and Ohio. Ms. Gregg has served as a Director of First Horizon National Corporation since January 2011 and as a Director of Quest Diagnostics since July 2014. Ms. Gregg serves on the boards of a number of other non-profit and trade organizations, and in the past has also served on several appointed commissions, including the Tennessee Governor’s Roundtable.
