Name Description

A. Terrance MacGibbon

 Mr. A. Terrance MacGibbon is Chairman of the Board of Torex Gold Resources Inc. He is a registered professional geologist with over 35 years of international experience in the mining business. Mr. MacGibbon is the founder, Chairman and the CEO of FNX Mining Company Inc., a TSX-listed Canadian mining company that has emerged over the past five years from a junior exploration company into a mid-tier diversified Canadian mining company that produces nickel, copper, cobalt, platinum, palladium and gold from its mineral properties located in the Sudbury, ON, Canada mining camp. Mr. MacGibbon is a certified director, Institute of Corporate Directors, and has held directorships and senior executive positions in several TSX and TSX Venture public mining companies. He holds Bachelor of Science in Geology (B.Sc. Geology) from St. Francis Xavier University in Nova Scotia.

Fred Stanford

 Mr. Fred Stanford is President, Chief Executive Officer, Director of Torex Gold Resources Inc. He held senior management and executive positions with Vale Inco (formerly Inco Limited) from 1981 to June 2009, including vice president of Business Services, Milling, Smelting and Refining and culminating as President of Vale Inco's Ontario operations.

Andrew Gottwald

 Mr. Andrew Gottwald is Chief Financial Officer Torex Gold Resources Inc. He who was with Tahera Diamond Corporation from 2000 to June 2009 holding senior management and executive positions, including Controller, Chief Financial Officer, Executive Vice President Finance and Chief Restructuring Officer, and with Homeland Energy Group Ltd. from April 2009 to September 2009 as the Chief Financial Officer.

Jason Simpson

 Mr. Jason Simpson, PEng, is Chief Operating Officer of Torex Gold Resources Inc. He holds dual degrees in mining engineering from the Technical University of Nova Scotia and in physics from Dalhousie University. Starting with Inco Ltd. in 1995 he held roles in ventilation, ground control, geology, and surveying. To gain a global multicommodity perspective he spent four years working for McIntosh Redpath Engineering on mining studies for companies including CVRD, Rio Tinto, Barrick, Freeport McMoran and Falconbridge, among others. After rejoining Vale, Mr. Simpson has spent 10 years gaining operational and engineering experience. He has held positions of increasing responsibility up to his most recent role as the general manager, Labrador operations, for Vale.

 Ms. Gabriela Sanchez is Vice President - Investor Relations ofTorex Gold Resources Inc. She who was with Dundee Precious Metals Inc. from September 2004 to December 2008 as Vice President Investor Relations.

Alejandro Kakarieka

 Mr. Alejandro Kakarieka is Vice President - Exploration and Corporate Development of Torex Gold Resources Inc. He was with IAMGOLD from September 2008 to June 2011, holding senior management positions, including Exploration Manager and Country Manager for Colombia and Exploration Manager – New Business Opportunities Latin America, and was with Breakwater Resources Ltd. from July 1997 to August 2008, holding positions including Regional Manager Exploration – Latin America and Exploration Manager Chili – Project Generation.

Franklin Davis

 Mr. Franklin Lorie Davis is Lead Independent Director of Torex Gold Resources Inc. He holds Bachelor of Commerce, Doctor Juris (JD) and Master of Business Administration, all from the University of Toronto. He currently counsel, and previously a partner, of the law firm Fraser Milner Casgrain LLP, practicing principally in the areas of securities and capital markets, corporate finance, mergers and acquisitions and mining. Currently a director of Sereno Capital Corporation, of which he is a member of the audit committee, and Primary Corp., of which he is Chairman as well as Chairman of the Governance Committee.

Michael Murphy

 Mr. Michael D. Murphy is Director of Torex Gold Resources Inc. Mr. Murphy has been President of Woodman Capital Ltd., a private consulting company. He joined Woodman Capital Ltd. in 2007. He served as President and Chief Executive Officer of the Company.

Andrew Adams

 Mr. Andrew Adams is Independent Director of Torex Gold Resources Inc. He holds Bachelor of Science (B.Sc.) from Southampton University and a qualified chartered accountant in the United Kingdom. He currently serves as an independent non-executive director of Uranium One Inc., and First Quantum Minerals Ltd., and acts as the audit committee chairman and is a member of the compensation committee for both companies. Previously he held the position of vice president and chief financial officer in each of AngloGold North America and Aber Diamond Corporation.

James Crombie

 Mr. James Arnott Crombie is Independent Director of Torex Gold Resources Inc. Mr. Crombie is President and Chief Executive Officer of Reunion Gold Corporation, Odyssey Resources Limited and Avala Resources Ltd.; Chief Executive Officer of Queensland Minerals Ltd.

David Fennell

 Mr. David A. Fennell is Independent Director of Torex Gold Resources Inc. He holds Bachelor of Arts from the University of North Dakota and Bachelor of Law (LL.B.) from the University of Alberta. He Currently serves as Chairman of Bear Lake Gold Ltd., of which he is a member of the compensation and corporate governance committee, Chairman of Reunion Gold Corporation, of which he is a member of the audit committee, Chairman of Queensland Minerals Ltd.,of which he is a member of the audit committee, and Executive Chairman of Odyssey Resources Limited.
