Name Description

Lawrence Kramer

Mr. Lawrence S. Kramer is re-designated as Non-Executive Chairman of the Board of the Company. Effective July 2016. He has served as the Company’s Non-Executive Chairman of the Board since December 2015 and will continue as Chairman of the Board. He first joined the Company’s Board in October 2015 and has over 40 years of experience in media and publishing. Mr. Kramer currently serves on the board of directors of MDC Partners Inc., a marketing and communications network, and Gannett Co., Inc., a media company, and previously served Gannett Co., Inc. as President and Publisher of USA TODAY from May 2012 to June 2015. Prior to joining Gannett, he was a media consultant and adjunct professor of Media Management at the Newhouse School of Communications at Syracuse University. From January 2008 to January 2010, Mr. Kramer was a Senior Advisor of Polaris Venture Partners. From March 2005 until March 2008, he served in a number of positions at CBS, including President of CBS Digital Media. Prior to joining CBS, he was Chairman, CEO and Founder of MarketWatch, Inc. until its sale to Dow Jones in January 2005. He was Founder, Executive Editor, and President of Data Sport Inc. from 1991-1994 and joined Data Broadcasting Corp. as Vice President in 1994 following its acquisition of Data Sport. Prior to founding Data Sport, he spent more than 20 years in journalism as a reporter and editor, including as Assistant Managing Editor and Metro Editor of the Washington Post and Editor of the San Francisco Examiner. While a journalist, he won several awards for reporting, including the National Press Club Award, and while an editor, his staffs won two Pulitzer Prizes. Mr. Kramer serves on the board of directors of Harvard Business Publishing and the board of trustees of Syracuse University. He was a founding board member and former Chairman of The Online Publishers Association and previously served on the public company boards of Discovery Communications, Inc. (2008-2012) and Answers Corp. (2005-2011).

David Callaway

Mr. David Callaway has been appointed as President, Chief Executive Officer, Director of the Company, effective early July 2016. He has close to three decades of experience in the media industry building traditional and digital media companies with both business and consumer-facing facets and developing successful monetization strategies. Most recently, Mr. Callaway served as Editor-in-Chief ofUSAToday, where he is credited with growing the digital news group to the fifth-largest in the U.S. by expanding video, audio, social and mobile workflow to the entire newsroom. Prior, Mr. Callaway served as editor-in-chief of MarketWatch, where he grew the newsroom from 20 journalists to 120 across bureaus in U.S.,Europe,Asiaand theMiddle East. He also served as a securities industry reporter at Bloomberg, leading a team of financial reporters throughoutEuropecovering banking, investment banking and asset management, and spent time as a reporter with the Boston Herald. Mr. Callaway has a master's degree from Northwestern University's Medill School of Journalism.

Eric Lundberg

Mr. Eric F. Lundberg is Chief Financial Officer, Principal Accounting Officer of the Company. Mr. Lundberg previously served as Senior Vice President and Chief Financial Officer of ALM Media, LLC, an integrated media company focused on the legal and commercial real estate sectors, from January 2008 to January 2015. He was also a member of ALM Media’s board of directors. Mr. Lundberg joined ALM Media from Penton Media, Inc., where he served as Chief Financial Officer from November 2006 to January 2008. Prior to joining Penton Media, Mr. Lundberg held various financial positions within American Lawyer Media (predecessor to ALM Media, LLC), including Vice President of Finance and Chief Financial Officer, from 1995-2006. Mr. Lundberg holds a B.S. in accounting from Lehigh University.

Cameron Ireland

Mr. Cameron Ireland serves as Chief Technology Officer of the Company. Ireland has served as Chief Technology Officer for TheStreet's institutional platforms since 2014, when the company purchased BoardEx, aLondon-based relationship management company, where he was a founder and senior executive. During the past several years, Ireland oversaw the growth and development of both BoardEx and The Deal (TheStreet's M&A and corporate control changes news service) which together serve hundreds of thousands of active users. Prior to BoardEx, Ireland was a management consultant specializing in e-commerce and technology; head of product development and information technology at E-Vote, a business unit of Thomson Financial; and senior project manager in European financial services for Reuters. Ireland also spent more than 11 years in the private banking sector, working as both a credit analyst and account executive.

Terri Smith

Ms. Terri Smith is Chief Marketing Officer of the Company. She is an accomplished marketing leader, brings to the position more than 20 years of experience and a track record of driving visibility and revenue in competitive markets. Prior to joining TheStreet, Ms. Smith was Group Associate Publisher of Marketing at Meredith Corporation, a multi-platform media company, where she was responsible for marketing efforts across four lifestyle brands. She has also held senior marketing positions at Condé Nast and TheNew York Times.

James Cramer

Mr. James J. Cramer is the Director of THESTREET, INC. Mr. Cramer is the founder of the Company and has served as a director since May 1998. Mr. Cramer currently hosts the “Mad Money” program and appears frequently on CNBC business news programs. Mr. Cramer served as co-host of the “Kudlow & Cramer” program on the CNBC television network from 2003 through December 2004. From June 1996 to December 1998, he served as co-Chairman of the Board and from October 2008 to January 2011, served as Chairman. He has been a columnist and contributor to the Company’s publications since its formation in 1996 and has been an employee of the Company since 2001, after retiring from Cramer, Berkowitz & Co., a hedge fund, at the end of 2000.

Bowers Espy

Mr. Bowers W. Espy is Director of the Company. Mr. Espy has over 25 years of experience in finance. After joining Merrill Lynch in 1983 as a vice president, mortgage finance officer and mortgage securities trader, he served in various roles until being named a Managing Director of Investment Banking and Head of the Financial Institutions Restructuring Group in 1989 and then Co-Head of the Depository Institutions Mergers and Acquisitions Department in 1993. After departing Merrill Lynch in 1995, among other ventures, Mr. Espy served as Senior Vice President and Chief Financial Officer of LinkShare Corporation, a pioneering online affiliate marketing company, from 2000 to 2001, and later served on the Board of Directors of Accredited Home Lenders Holding Co., a mortgage company, from 2004 to 2007. Mr. Espy currently serves on the National Advisory Council of the Johns Hopkins University School of Nursing, a role he has enjoyed for over 13 years. Mr. Espy is also the sole trustee of the charitable grantor trust organized and funded by TheStreet’s founder, James J. Cramer, in connection with TheStreet’s Action Alerts PLUS product as a vehicle for subscribers to track the performance of Mr. Cramer’s Action Alerts PLUS stock recommendations. Mr. Espy is not involved in any investment decisions undertaken by the trust and receives no compensation for serving as trustee. Mr. Espy holds M.A. and B.S. degrees in Economics from the University of Florida.

Stephen Zacharias

Mr. Stephen R. Zacharias is Director of the Company. Mr. Zacharias has over 40 years of financial related experience in leadership positions among corporate public and private business. He is currently founder and managing partner of Transact Capital Partners, LLC, a financial advisory firm. Since 2006 Mr. Zacharias has served on the board of directors and audit committee chair of Invictus Financial Inc. formerly Stockgroup Media, Inc. From 1997 to 2003 Mr. Zacharias served as board director for Hoovers, Inc. During the 1990's he served as corporate treasurer of Media General, Inc. and as audit director of a Fortune 1000 company throughout the 1980's. Mr. Zacharias has also served on various private boards.

Sarah Fay

Ms. Sarah Ann Fay is Independent Director of the Company. Ms. Fay has served as a director of the Company since May 2012 and has over 20 years of experience in the media services industry, with a track record of developing and implementing groundbreaking new models for advertising and media. Since May 2009, Ms. Fay has been an independent consultant providing executive advice to businesses in advertising and technology. From April 2008 to May 2009, Ms. Fay served as Chief Executive Officer of Aegis Media North America, a media and digital marketing communications company, where she was also responsible for launching and growing a significant part of that business during her eleven year tenure. Prior to this position, Ms. Fay served as President of Carat Fusion, Inc., where she managed the growth and integration strategy for the digital and one-to-one agency services that fall within Isobar U.S., Aegis’ global network of digital marketing services which Fay helped to launch and grow. During her tenure at Aegis, she converted what began as an interactive media shop to a full service digital marketing agency and led the charge to acquire and integrate five specialist digital marketing firms: Vizium, Lot 21, Freestyle Interactive, iProspect, and Molecular. Ms. Fay serves on the board of directors of several prominent independent digital marketing and advertising companies, such as [x+1], NeoMedia Technologies, Inc., inPowered, Inc., Celtra, Inc., Women’s Marketing, Inc. and SocialFlow.

Betsy Morgan

Ms. Betsy L. Morgan serves as Independent Director of the Company. Ms. Morgan is currently an Executive in Residence at Liontree Advisors, LLC, an advisory firm focused on technology, media and telecommunications. Prior to joining LionTree, Ms. Morgan served as CEO of TheBlaze Inc., a multi-platform network delivering news, information and entertainment. She joined TheBlaze in 2011 as President and Chief Strategy Officer. Ms. Morgan also served as the first CEO of The Huffington Post, where she led the award winning site to rapid audience and revenue growth. Prior to The Huffington Post, she spent ten years at CBS as Senior Vice President for CBS Interactive and the General Manager of CBSNews.com. Under Ms. Morgan’s leadership, CBSNews.com’s excellence was recognized with several industry awards. She is currently on the Board of Directors of Chartbeat, a web analytics company and CommerceHub, a provider of hosted integration, drop ship fulfillment, and product content management for multi-channel e-commerce merchants. Ms. Morgan holds a BA in Political Science and Economics from Colby College, where she currently serves on the Board of Trustees, and an MBA from Harvard Business School
