Proglio, Henri Mr. Henri Proglio has been Chairman of the Board, Managing Director (CEO) and Member of the Executive Committee of Veolia Environnement since April 30, 2003. He had previously served as Chairman of the Management Board of the Company from 2000 until April 2003. He joined Compagnie Generale des Eaux in 1972 and was appointed Chairman and Managing Director (CEO) of CGEA in 1990. He was appointed Executive Vice President of Vivendi Universal and Chairman and Managing Director (CEO) of Vivendi Water in 1999. Mr. Proglio holds several other mandates, including Director of EDF, SARP Industries, CNP Assurances, Dalkia International and Societe des Eaux de Marseille, Member of the Supervisory Board of Natixis, Lagardere and Dalkia, Manager of Veolia Eau - Compagnie Generale des Eaux, Deputy (Censeur) on the Supervisory Board of the Caisse Nationale des Caisses d’Epargne, Chairman of the Supervisory Board of Dalkia France, and Chairman of the Board of Directors of Veolia Proprete, Veolia Transport and Veolia Water. Gasquet, Denis Mr. Denis Gasquet serves as Executive Vice President, Chief Executive Officer of Veolia Environmental Services and Veolia Proprete, as well as Member of the Executive Committee of Veolia Environnement. Barbaroux, Olivier Mr. Olivier Barbaroux is Executive Vice President, Chairman of Dalkia and Member of the Executive Committee of Veolia Environnement. He began his career in 1979 as Head of the International Investments Bureau at the French Ministry of Industry. He was appointed to the Port Authority of Marseilles-Fos in 1981, first as Director of New Construction and Ship Repair and then as Director of Marseilles Terminals and Facilities in 1983. He joined the Paribas Group in 1987 as Deputy Director of Industrial Affairs, and in 1993 was appointed as Member of the Executive Committee of Paribas Affaires Industrielles, in charge of Energy, Natural Resources and Transportation, and as Chairman and Managing Director (CEO) of Coparex International. In 1996, he was appointed Chairman and managing Director (CEO) of VIA GTI. He became Global Head of the Energy Division at Paribas in 1998. He joined Veolia in 1999 as Director of Operations of Vivendi Water. He was appointed Chairman and Managing Director of Dalkia in February 2003. Mr. Barbaroux is also Chairman of Dalkia. He graduated from Ecole Polytechnique de Paris, Ecole Nationale des Ponts et Chaussees and Massachussets Institute of Technology.
Frerot, Antoine Dr. Antoine Frerot is Executive Vice President, Managing Director of Veolia Water and Member of the Executive Committee of Veolia Environnement. He began his career as an engineer and joined Cergrene, a research center, in 1983, becoming Director in 1984. He joined Compagnie Generale des Eaux in 1990, and was appointed Managing Director (CEO) of Connex in 1995. Dr. Frerot is also Managing Director of Compagnie Generale des Eaux. He graduated from Ecole Polytechnique and holds a Doctorate from Ecole Nationale des Ponts et Chaussees.

Michel, Serge Mr. Serge Michel is Member of the Board of Directors of Veolia Environnement. He has spent his entire career in the construction and public works business, having served within Compagnie de Saint-Gobain as Deputy Managing Director and Chairman of SOCEA. He was subsequently Chairman of S.G.E. until 1991, Chairman of CISE until 1997 and Deputy Managing Director of Compagnie Generale des Eaux (which became Vivendi Universal) until 1992. Kourilsky, Philippe Prof. Philippe Kourilsky is Member of the Board of Directors of Veolia Environnement and is also Chairman of the Company’s Strategy, Research, Innovation and Sustainable Development Committee. He also works as professor at College de France and is a member of Academie des Sciences. He joined the Institut Pasteur in 1972, which he presided over as Chief Executive Officer until 2005. Mr. Kourilsky is also Member of the Board of Directors of the College International de Philosophie. He graduated from Ecole Polytechnique de Paris and holds doctorate degree of Universite de Paris. Prot, Baudouin Mr. Baudouin Prot is an Independent Member of the Board of Directors of Veolia Environnement. He is a graduate of Hautes Etudes Commerciales (HEC) in Paris and of Ecole Nationale d’Administration. From 1974 to 1983, Mr. Prot was successively Deputy Director to the Prefect of the Franche-Comte region of France, French General Inspector of Finance, and Deputy Director of Energy and Raw Materials of the Ministry of Industry. He joined Banque Nationale de Paris (BNP) in 1983, where he served in various positions before becoming Deputy managing Director in 1992 and Managing Director in 1996. After having been Director and Appointed Managing Director of BNP Paribas since March 2000, he was named Director and Managing Director (CEO) of BNP Paribas in June 2003. Mr. Prot is also Director of Pinault-Printemps-Redoute, Pargesa Holding SA and ERBE.
Bouton, Daniel Mr. Daniel Bouton is an Independent Member of the Board of Directors of Veolia Environnement and Member of the Company’s Nominating and Remuneration Committee. He is also Chairman of the Company's Accounts and Audit Committee. He is a graduate of Institut d’Etudes Politiques and the Ecole Nationale d’Administration (ENA). As part of the French Financial Controllers’ civil service corps, he occupied a number of different positions in the French Ministry of Economy, Finance and Industry, including that of Budget Director, between 1988 and 1991. Ralli, Georges Mr. Georges Ralli is an Independent Member of the Board of Directors of Veolia Environnement. He holds a Postgraduate degree in Banking and Finance from Universite Paris V and is also a graduate of Institut d’Etudes Politiques in Paris and Institut Commercial de Nancy. He began his banking career at Credit Lyonnais (1970-1981). Azema, Jean Mr. Jean Azema is an Independent Member of the Board of Directors of Veolia Environnement and was also Member of the Company's Audit Committee until 2007. He holds an Engineering degree from the Ecole Superieure d’Agriculture de Purpan (ESAP) as well as a degree from the Centre National d’Etudes Superieures de Securite Sociale (CNESS). He began his career at Union Departementale de la Mutualite Agricole des Pyrenees Orientales from 1975 to 1978, then worked at the CNESS until 1979 and later worked at Mutualite Agricole de l’Allier from 1979 to 1987. From 1987 to 1995, Mr. Azema served as Director of Finance of Groupama Vie, Director of Investments of Groupama, Director of Accounts and Consolidation at Caisse Centrale des Assurances Mutuelles Agricoles (CCAMA) and Director of Insurance at CCAMA. In 1996, he was appointed Managing Director (CEO) of Groupama Southwest and of Groupama South in 1998. He has been President of the French Federation of Mutual Insurance Companies (Federation Francaise des Societes d’Assurance Mutuelles) since December 2001. He has been Managing Director (CEO) of Groupama SA and of Federation Nationale Groupama since June 2000. Mr. Azema also holds several other positions, including Chairman of Groupama International, Managing Director of Groupama SA, Groupama Holding and Groupama Holding 2, Director of Societe Generale and represents Groupama SA on the Board of Directors of Bollore.
Schweitzer, Louis Mr. Louis Schweitzer is an Independent Member of the Board of Directors of Veolia Environnement and is also Member of the Company’s Nominating and Remuneration Committee. He is a graduate of Institut d’Etudes Politiques and Ecole Nationale d’Administartion and he served as Inspector of Finances. From 1981 to 1986, he was Chief of Staff of Mr. Laurent Fabius, who over the same period was Deputy Minister of Budget, Minister of Industry and Research and Prime Minister of France. In 1986, Mr. Schweitzer joined Renault’s senior management as Director, and later served as Director of Planning and Management Control, Director of Finance and Planning (in 1989) and Deputy Managing Director. He became Managing Director (CEO) of Renault in December 1990 and Chairman and Managing Director (CEO) in May 1992, a position he held until April 29, 2005. He is now Chairman of the Board of Directors of Renault. Mr. Schweitzer also holds other mandates, including Director of Electricite de France, BNP Paribas, L’Oreal and AB Volvo and Chairman of the Board of Directors of Astra Zeneca.
Dehecq, Jean-Francois Mr. Jean-Francois Dehecq is an Independent Member of the Board of Directors of Veolia Environnement. A graduate of Ecole Nationale des Arts et Metiers, he taught Maths at the Lycee Catholique Saint-Vincent de Senlis from 1964 to 1965 and then was an intern within the scientific research unit of the Nuclear Power department of the French army. In 1965, he joined Societe nationale des petroles d’Aquitaine working within the economic affairs division until 1969. He then worked as a Management Representative until 1970 and then as Operations Engineer at the Lacq plant until 1971. In 1973, he became Managing Director of Sanofi, a branch of Elf Aquitaine. From 1982 to 1988, he was Vice Chairman and Managing Director of Sanofi before becoming its Chairman in February 1988. In 1999, Mr. Dehecq was appointed Chairman of the Board and Managing Director (CEO) of Sanofi-Synthelabo. In 2004, he organized the Sanofi-Aventis merger and he now serves as Chairman of the Board of Sanofi-Aventis. He holds several other mandates, including Director of Air France and of Agence National de la Recherche.
Scaroni, Paolo Mr. Paolo Scaroni is an Independent Member of the Board of Directors of Veolia Environnement. A graduate in Economics of Bocconi University in Milan, he also holds an MBA of Columbia Business School. He worked for one year at Mckinsey & Company and then held various roles within Saint Gobain from 1973 to 1985, including President of the flat glass division. In 1985, Mr. Scaroni was appointed Chief Executive Officer of Techint and was also at the same time Vice President of Falck and Executive Vice Persident of SIV, a joint venture between Techint and Pilkington plc. He joined Pilkington plc in 1996 and served as Chief Executive Officer until May 2002. After having been Managing Director (CEO) of Enel from 2002 to 2005, he was appointed Managing Director of Eni in June 2005. Mr. Scaroni also serves as Member of the Board of Directors of Assicurazioni Generali, London Stock Exchange Plc, Fondazione Teatro alla Scala and Columbia Business School.
De Romanet De Beaune, Augustin Mr. Augustin De Romanet De Beaune is an Independent Member of the Board of Directors of Veolia Environnement. He serves as Managing Director (CEO) of Caisse des Depots et Consignations and is a graduate of Institut d’Etudes Politiques in Paris and Ecole Nationale d’Administration. He started his career working for the Budget department within the French Ministry of Economy and Finance. In 1990, he was a Financial Representative to the European Community in Brussels before moving back to the Budget department as Head of Budgetary Policy. In 1995, he served as Technical Advisor to the Minister of Economy and Finance and then to the Secretary of State for the Budget. Mr. De Romanet de Beaune subsequently held various roles within the Budget department of the Ministry of Economy and Finance until 1999. He was then appointed Director of Oddo et Compagnie and then Associate manager of Oddo Pinatton Corporate. In 2002, he became Director of the Cabinet of the Minister for the Budget and Budgetary Reform and Deputy Director of the Cabinet of the Minister of Economy, Finance and Industry. From 2004 to 2005, he served as Director of the Cabinet of the Minister for Employment and Social Cohesion, Deputy Director of the Cabinet of the Prime Minister and Deputy Secretary General for the President of the Republic. Mr. De Romanet de Beaune was then appointed Deputy Director of Finance and Strategy and Member of the Executive Committee of Credit Agricole in October 2006. He was appointed Managing Director (CEO) of Caisse des Depots et Consignations in March 2007. He also serves as Chairman of the Supervisory Board of SNI, Member of the Supervisory Board of CNP and Director of Dexia, CNP Assurances and Icade.
