Name Description

Antoine Frerot

Mr. Antoine Frerot is Chairman of the Board of Veolia Environnement SA as of December 12, 2010 and was appointed as Chief Executive Officer of the Company on November 27, 2009. He is also Member of the Executive Committee of the Company and joined its Board of Directors on May 7, 2010. He is graduate of Ecole Polytechnique (class of 1977) and Engineer of Ecole Nationale des Ponts et Chaussees with a Doctorate. Mr. Frerot started his career in 1981 as a research engineer at the Bureau Central d'Etudes pour l'Outre Mer, which specializes in development projects. In 1983 he joined the research center of the Ecole Nationale des Ponts et Chaussees as project manager, and served as deputy director of the center from 1984 to 1988. From 1988 to 1990, he was head of financial transactions at the Credit National bank. In 1990, Mr. Frerot joined Compagnie Generale des Eaux as special adviser and in 1995 was appointed Chief Executive Officer of CGEA Transport. In 2000, he was named Chief Executive Officer of Connex, the transportation division of Vivendi Environnement, and member of the Vivendi Environnement Management Board. In January 2003, he was appointed Chief Executive Officer of Veolia Water, the Veolia Environnement water division, and Executive Vice President and Member of the Executive Committee of Veolia Environnement SA.

Mr. Francois Bertreau is the Chief Operating Officer and a Member of the Executive Committee of Veolia Environnement SA as of December 1, 2012. He holds an MBA from INSEAD. He began his career as an account manager with Credit National in 1981 and then joined the Boston Consulting Group in 1985. He moved to Technal, a subsidiary of the Alcan group, in 1988, and became Managing Director in 1991. In 1996, he was appointed Director of Business Development and Marketing Strategy for Aster, the special steels branch of Usinor. In 1998, Mr. Bertreau joined the Norbert Dentressangle group as Managing Director of the Logistics Division and in 2008 was appointed Chairman of the company’s Management Board and Chief Executive Officer.

Mr. Louis Schweitzer has served as Lead Independent Director of Veolia Environnement SA since May 16, 2012. He previously served as Vice Chairman of the Board of Veolia Environnement Ve SA from November 27, 2009 and was appointed as an Independent Director of the Company on April 30, 2003. He is also Member of the Company's Nominating and Remuneration Committee. He is a graduate of Institut d'Etudes Politiques and Ecole Nationale d'Administration and he served as Inspector of Finances. From 1981 to 1986, he was Chief of Staff of Mr. Laurent Fabius, who over the same period was Deputy Minister of Budget, Minister of Industry and Research and Prime Minister of France. In 1986, Mr. Schweitzer joined Renault’s senior management as Director, and later served as Director of Planning and Management Control, Director of Finance and Planning (in 1989) and Deputy Chief Executive Officer. He became Chief Executive Officer (CEO) of Renault in December 1990 and Chairman and CEO in May 1992, a position he held until April 29, 2005 when he became Chairman of the Board of Directors. He left Renault's Board of Directors on May 6, 2009.

Olivier Mareuse

Mr. Olivier Mareuse has served as a Representative of Caisse des depots et consignations on the Board of Directors of Veolia Environnement SA since March 15, 2012. Having graduated from the Institut d'Etudes Politiques de Paris in 1984 and from the Ecole Nationale d'Administration in 1988, Mr. Mareuse joined CNP Assurances in 1988 as an assistant director in the financial institutions department. In 1989 he was named technical and financial director in the collective insurance department. Mr. Mareuse then worked as special assistant to the CEO of CNP Assurances between 1991 and 1993. From 1993 to 1998 he worked as director of strategy, management control and relations with shareholders, and he was responsible for the introduction to the stock market of CNP Assurances. He was then appointed director of investments, a post he occupied until 2010. Finally, in October 2010, Mr. Mareuse joined the Caisse des Depots et Consignations first as deputy CFO and then, as from December 2010, as CFO and a member of the management committees.

Serge Michel

Mr. Serge Michel has been a Director of Veolia Environnement SA since April 30, 2003 and is also the Chairman of the Company's Nominating and Remuneration Committee. He has spent his entire career in the construction and public works business, having served within Compagnie de Saint-Gobain as Deputy Managing Director and Chairman of SOCEA. He was subsequently Chairman of S.G.E. until 1991, Chairman of CISE until 1997 and Deputy Managing Director of Compagnie Generale des Eaux (which became Vivendi Universal) until 1992. He is currently Chairman of Soficot SAS, a business management and investment consulting company he founded in 1997. Mr. Michel also holds other mandates, including Director of Orsay Finance 1, LCC SA and Infonet Services, and Chairman of SAS CIAM, SAS Carre des Champs Elysees, SAS Societe Gastronomique de l'Etoile and SAS Groupe Epicure, as well as Member of the Supervisory Board of Compagnie des Eaux de Paris and Societe des Eaux de Trouville Deauville et Normandie, among others.

Mohd Alhamadi

Dr. Mohd Alhamadi has been a Representative of Qatari Diar Real Estate Investment Company as an Independent Member of the Supervisory Board of Veolia Environnement SA as of May 7, 2010. He holds a Doctorate of Science from Clarkson University and a Master of Science from North Carolina Agricultural and Technical State University. He started his career in research and teaching at the Qatar Faculty of Technology, of which he was the Vice Dean from 1995 to 1997, Acting Dean from 1997 to 2000 and Director from 2001 to 2005. He then moved to the University of Qatar and served as Director of the institutional research and planning office from 2004 to 2007. As of 2007, he is the Vice President for institutional planning and development. He joined Qatari Diar Real Estate Investment Company as Deputy Chief Executive Officer in charge of strategic planning in November 2008 and became the Chief corporate improvement officer in March 2010, in charge strategic development and planning. During the last five years, he held various board memberships, including Qatar Fuel Company until 2008, and Qatar Projects Company, United Libyan Qatari Company and Al Libya Al Qataria Company since 2009. He is also a Member of the Electrical and Electronic Engineering Institute as of 1987 and Member of the Institutional Research Association as of 2006.

Jacques Aschenbroich

Mr. Jacques Aschenbroich has been an Independent Director of Veolia Environnement SA since May 16, 2012. He is also the Chairman of the Company’s Research, Innovation and Sustainable Development Committee and Member of the Accounts and Audit Committee. Mr. Aschenbroich, an engineer qualified with the Corps des Mines, has held several posts in the French administration and served on the Prime Minister's staff in 1987 and 1988. He then pursued an industrial career with the Saint-Gobain Group, from 1988 to 2008. After having managed subsidiaries in Brazil and Germany, he took over the management of the Flat Glass Division of Compagnie de Saint-Gobain and became President of Saint-Gobain Vitrage in 1996. From October 2001 until December 2008, Mr. Aschenbroich was Senior Executive Vice President of Compagnie de Saint-Gobain, where, in particular, he managed the Flat Glass and High-Performance Materials Divisions from January 2007, and directed the group's operations in the United States as Director of Saint-Gobain Corporation and Chief Representative for the United States and Canada from September 2007. Mr. Aschenbroich has been Chief Executive Officer of Valeo since March 2009.

Maryse Aulagnon

Ms. Maryse Aulagnon has been an Independent Director of Veolia Environnement SA since May 16, 2012. Ms. Aulagnon is the Founding Chairwoman of the Affine Group, which is composed of three real estate companies listed in Paris and Brussels and specializing in commercial real estate. Mrs. Aulagnon holds a master's degree in economics and is a graduate of Institut d'Etudes Politiques (IEP) and of the Ecole Nationale d'Administration (ENA). She is an honorary Maitre des Requetes of the Conseil d'Etat (1975-1979). After having occupied various positions at the French Embassy in the United States (1979-1981) and on the staff of several French ministers (Budget and Industry), she joined Compagnie Generale d'Electricite in 1984 (now Alcatel) as Director of International Affairs. She then joined Euris as Deputy CEO when it was created in 1987. In 1990, Ms. Aulagnon founded Affine, which she has managed ever since. She has been a member of the Supervisory Board of the BPCE banking group (Banques Populaires Caisses d'Epargne) since December 2010 and a Director of Air France-KLM (Chairperson of the Audit Committee) since July 2010. She is a board member of several professional organizations (President of the Club de l'Immobilier, Director of IEIF, founding member of Cercle 30, etc.). She also serves on the boards of a number of cultural and university organizations (the French American Foundation, German Marshall Fund, Femmes Forum, etc.).

Daniel Bouton

Mr. Daniel Bouton has been an Independent Member of the Board of Directors of Veolia Environnement SA since April 30, 2003 and is also the Chairman of the Company's Audit and Accounts Committee and a Member of the Company's Nominating and Remuneration Committee. He is a graduate of Institut d’Etudes Politiques and the Ecole Nationale d’Administration (ENA). As part of the French Financial Controllers’ civil service corps, he occupied a number of different positions in the French Ministry of Economy, Finance and Industry, including that of Budget Director, between 1988 and 1991. In 1991, he joined Societe Generale, serving as Managing Director (CEO) from 1993 to 1997, and Chairman of the Board and Managing Director (CEO) from 1997. From May 2008 until May 2009, he served as Chairman of the Board of Directors of Societe Generale. Mr. Bouton created a consultancy business, DMJB, and has served as its President since November 2009.

Olivier Costa de Beauregard

Mr. Olivier Costa de Beauregard has served as a Representative of Groupe Industriel Marcel Dassault as an Independent Member of the Supervisory Board of Veolia Environnement SA since May 7, 2010. He is also a Member of the Company's Audit and Accounts Committee and Nominating and Remuneration Committee. Mr. Costa de Beauregard passed the agregation examination of History and is a graduate of the Institut d'Etudes Politiques (IEP) in Paris and of the Ecole Nationale d'Administration (ENA) (1984-1986). He was Financial Controller in the Treasury department from 1986 to 1990 and became a project leader with the Chief Investment Officer of the Union des Assurances de Paris (UAP) in 1991. Mr. Costa de Beauregard was on the Prime-Minister's staff from 1993 to 1995 as the Chief Technical Counsel of the Public Facilities, Accomodation and Transportation sectors and was appointed Chief Strategy Officer of AXA-UAP France in 1996. In 1998 he was appointed Executive Officer of Credit Commercial de France. Finally, Mr. Costa de Beauregard joined in 2005 the Groupe Industriel Marcel Dassault of which he is the Chief Executive Officer.

Pierre-Andre de Chalendar

Mr. Pierre-Andre de Chalendar has served as an Independent Member of the Board of Directors of Veolia Environnement SA since May 7, 2009. He is also a Member of the Company's Research, Innovation and Sustainable Development Committee. Mr. de Chalendar graduated from ESSEC and Ecole nationale d'administration and he is an Financial Inspector. He started his career in 1989 with Compagnie de Saint-Gobain when he held various positions until he was appointed as Deputy Chief Executive Officer in May 2005, Director in June 2006 and finally Chief Executive Officer in June 2007. As of June 2010, he was the Chairman of the Board and Chief Executive Officer of Compagnie de Saint-Gobain.

Paul-Louis Girardot

Mr. Paul-Louis Girardot has been an Independent Member of the Board of Directors of Veolia Environnement SA since April 30, 2003. He is also a Member of the Company's Audit and Accounts Committee and Research, Innovation and Sustainable Development Committee. He was Director and Managing Director of Vivendi Universal until 1998. He has been serving as Chairman of the Supervisory Board of Veolia Eau - Compagnie Generale des Eaux since 2001. Mr. Girardot holds other mandates, including Member of the Supervisory Board of Dalkia France, Chairman of the Supervisory Board of Compagnie des Eaux et de l'Ozone, and Director of Veolia Water, Veolia Proprete and Societe des Eaux de Marseille.

Marion Guillou

Ms. Marion Guillou has been appointed Independent Director of Veolia Environnement SA on December 12, 2012 and is also a Member of the Company's Research, Innovation and Sustainable Development Committee. She is a graduate of Ecole Polytechnique (1973) and holds a Doctorate in Food Science, as well as a General Engineering degree from Ecole Nationale du Genie Rural, des Eaux et Forets. She is also a Member of the Academy of Technologies and Academy of Agriculture. Ms. Marion Guillou, the Chairwoman of the Board of Directors of Agreenium since 2010, is involved in the fields of innovation and sustainable growth. She was the President of the French National Institute for Agricultural Research (INRA) from 2004 to 2012 after being its Director-General for four years between 2000 and 2004. She was also the Managing Director of Food Supply within the Ministry for the Agriculture from 1996 until 2000. She is currently the Chairwoman of the Board of Directors of France’s Ecole Polytechnique, and a Director of Imerys and Apave, amongst other positions.

Baudouin Prot

Mr. Baudouin Prot has been an Independent Member of the Board of Directors of Veolia Environnement SA since April 30, 2003. He is a graduate of Hautes Etudes Commerciales (HEC) in Paris and of Ecole Nationale d’Administration. From 1974 to 1983, Mr. Prot was successively Deputy Director to the Prefect of the Franche-Comte region of France, French General Inspector of Finance, and Deputy Director of Energy and Raw Materials of the Ministry of Industry. He joined Banque Nationale de Paris (BNP) in 1983, where he served in various positions before becoming Deputy Chief Executive Officer in 1992 and Chief Executive Officer in 1996. After having been Director and Deputy Chief Executive Officer of BNP Paribas from March 2000, and then Director and Chief Executive Officer from June 2003, he was appointed as Chairman of the Board of BNP Paribas on December 1, 2011. Mr. Prot is also Director of Pinault-Printemps-Redoute, Lafarge, Pargesa Holding SA and ERBE, amongst other positions.

Nathalie Rachou

Ms. Nathalie Rachou has been an Independent Director of Veolia Environnement SA since May 16, 2012. She is also a Member of the Company’s Member of the Accounts and Audit Committee. Ms. Rachou is a Founding Partner of Topiary Finance Ltd., a UK-based portfolio management company that she created in November 1999. Ms. Rachou graduated from the HEC business school in 1978. She started her career at Banque Indosuez (now Credit Agricole). After having been a foreign exchange broker in London and Paris from 1978 to 1982, she was in charge of assets and liabilities management and market risks until 1986, and then created the Matif business and the bank's brokerage subsidiary. From 1991 to 1996, she was Company Secretary for Banque Indosuez, then from 1996 to 1999 she was head of Global Foreign Exchange and Currency Options worldwide. In November 1999, Ms. Rachou created a portfolio management company in the United Kingdom, and has managed it ever since. She has been a non-executive Director of Societe Generale since 2008 (member of the Audit, Internal Control and Risk Committee) and of the Liautaud & Company investment bank since 2000 (member of the Strategic Committee). She has also been a French foreign trade advisor since 2001, and is on the board of ARIS (the Indosuez retiree and former employees' association) and a member of the Cercle d'Outre-Manche, as well as participating in associations at HEC.

Georges Ralli

Mr. Georges Ralli has served as an Independent Member of the Board of Directors and Representative of Groupama SA at Veolia Environement SA since May 16, 2012. Prior to that, he was an Independent Director of the Company from April 30, 2003. He holds a Postgraduate degree in Banking and Finance from Universite Paris V and is also a graduate of Institut l'Etudes Politiques in Paris and Institut Commercial de Nancy. He began his banking career at Credit Lyonnais (1970-1981). In 1982, he served as Secretary of the Commission for the Development and Protection of Savings and then from 1982 to 1985, he headed the department of financial negotiations at Credit du Nord. In 1986, Mr. Ralli joined Lazard, becoming Managing Partner in 1993 and then Co-Head of Mergers and Acquisitions at Lazard LLC in 1999. In 2000, Mr. Ralli was appointed Deputy Chairman, Managing Director and Member of the Executive Committee of Lazard LLC. In 2005, he became the Co-Chairman of the European Investment Banking Committee of the Lazard Group LLC (United States) and a member of the European Advisory Board. He was head of the Maison francaise from 2006 to 2009. From 2010 to 2012, he managed the European M&A activities (Chairman of Maison Lazard) and Asset Management activities (President of Lazard Freres Gestion).

Paolo Scaroni

Mr. Paolo Scaroni has been an Independent Member of the Board of Directors of Veolia Environnement SA since December 12, 2006. A graduate in Business Economics of Bocconi University in Milan, he also holds an MBA of Columbia Business School. He worked for one year at Mckinsey & Company and then held various roles within Saint Gobain from 1973 to 1985, including President of the flat glass division. In 1985, Mr. Scaroni was appointed Chief Executive Officer of Techint and was also at the same time Vice President of Falck and Executive Vice Persident of SIV, a joint venture between Techint and Pilkington plc. He joined Pilkington plc in 1996 and served as Chief Executive Officer until May 2002. After having been Managing Director (CEO) of Enel from 2002 to 2005, he was appointed Chief Executive Officer of Eni in June 2005.
