Name Description

Clifford Kendall

Mr. Clifford M. Kendall is Independent Chairman of the Board of the Board of VSE Corp. Mr. Kendall was Chairman of the Board of Regents of the University System of Maryland until June 30, 2011. Mr. Kendall was one of the founders of Computer Data Systems, Inc., in 1968, and he served as its Chairman and Chief Executive Officer from 1970 to 1991 and as Chairman until December 1997. Mr. Kendall has been a private investor (for more than the past five years.)

Maurice Gauthier

Mr. Maurice A. Gauthier is President, Chief Executive Officer, Chief Operating Officer, Director of VSE Corp. Mr. Gauthier completed a military career of over 28 years of service, retiring in 1997 as a Navy Captain and board certified Department of Defense Program Manager. Mr. Gauthier worked for VSE from October 1997 through February 1999 as Vice President and Chief Technology Officer, and as Director of Strategic Planning and Business Development, before joining the Nichols Research Corporation Navy Group as President of its Navy Group. With the acquisition of Nichols Research Corporation by Computer Sciences Corporation ("CSC") in 1999, Mr. Gauthier served as Vice President of CSC's Advanced Marine Center. His most recent assignment with CSC was as Vice President and General Manager of CSC's Navy and Marine Corps Business Unit where he was responsible for the overall leadership and financial performance of a 2,500-employee organization providing systems engineering, technical, information technology and telecommunications support to U.S. Navy and Marine Corps customers. Mr. Gauthier earned a Bachelor of Science degree from the U.S. Naval Academy. He received a Master of Science degree in Systems Engineering from the U.S. Naval Postgraduate School, Monterey, CA.

Randy Davies

Mr. Randy A. Davies is President and Chief Operating Officer of Wheeler Bros., Inc., a subsidiary Company of VSE Corp. He is involved in the management of WBI’s day-to-day operations, new business development, supply chain initiatives and facilities management. Mr. Davies, who has been with WBI since 1977, was a stockholder and a director of WBI. He was WBI’s Vice President of Operations from 1985, to June 2011, when VSE acquired WBI.

John Harris

Mr. John T. Harris is President and Chief Operating Officer of Akimeka, LLC., and G&B Solutions, Inc., a subsidiary of VSE Corp. Mr. Harris joined Akimeka LLC in 2001 as Chief Operating Officer. Prior to that, he was president of JJA Enterprises, an independent consulting firm specializing in acquisition, business and financial management, and business development services. Mr. Harris has a Bachelor of Science degree from Middle Tennessee State University and an Master of Science degree in Healthcare Administration from Southwest Texas State University. He also carries a Masters equivalent in International Affairs from the Armed Forces Staff College in Norfolk, Virginia.

Nancy Margolis

Ms. Nancy G. Margolis is President of Energetics Inc., a subsidiary of VSE Corp. She joined Energetics Incorporated in 1984 and served as Vice President of the Science and Technology Division. Prior to joining Energetics, Ms. Margolis worked at ARINC Corporation from 1981-1984, focusing on power plant reliability. She also worked as a chemist for Bethlehem Steel Corporation from 1977-1978. She holds a B.A. in Chemistry from Johns Hopkins University and an M.S. in Mechanical Engineering from the University of Maryland at College Park.

Donnelle Moten

Mr. Donnelle L. Moten is President - Federal Group of VSE Corp. Prior to his new appointment, Mr. Moten served as Federal Group's Senior Vice President of the Engineering and Logistics Directorate. The 23-year VSE veteran has served in various positions at VSE including Program Manager, Department Manager, and Division Manager prior to his former position he assumed in 2009. He also was instrumental in the development of VSE's internal Leader Development Program. During the past several years, Mr. Moten has supported the U.S. Army Reserve innovation and sustainment efforts. He also was responsible for directing all aspects of the engineering organizational activities, complex analysis for combat and combat service support system conversions, technical research, design and data development, system integration, and configuration management analysis. Mr. Moten attended the University of Maryland where he earned a Bachelor of Science in Business Administration, a Master of Science in Management Information Systems (2002), and a Master of Business Administration from the University of Maryland.

Harold Flammang

Mr. Harold J. Flammang, Jr., is Executive Vice President of VSE Corp., and President of International Group of VSE Corp. Mr. Flammang joined VSE in 2004 as a Program Manager for International Group from 2004 to 2008 and was promoted to President of the International Group in May of 2011. During his tenure as Program Manager, he oversaw the four ship transfer of the ex-USS Kidd Class guided missile destroyers to Taiwan. Mr. Flammang became the Division Manager in 2008 and Deputy Director of International Group in 2009. As President, he is responsible for the financial performance of two divisions, GLOBAL and Fleet Maintenance. He also has overall responsibility for business development and capture efforts within the International Group. Mr. Flammang has a Bachelor of Arts in Social Sciences from Ohio State University (1974); Masters of Business Administration from the Florida Institute of Technology (1981); and holds a Master of Science in Industrial Administration from the National Defense University (2000) in Washington, DC.

James Lexo

Mr. James W. Lexo, Jr., is Executive Vice President - Strategic Planning and Business Initiatives of VSE Corp., and Vice Chairman of the Board of Directors of ICRC, a subsidiary of VSE Corp. Mr. Lexo was the founder of ICRC and served as chief executive officer until its acquisition by VSE. Before his career in business, he served on Capitol Hill as the Administrative Aide to Congressman Don Young of Alaska for 12 years. Mr. Lexo received a Bachelor of Arts Degree in Political Science from Westminster College in Pennsylvania, and participated in graduate studies in government contracting at the University of Virginia.

Thomas Kiernan

Mr. Thomas M. Kiernan is Vice President, General Counsel and Secretary of VSE Corp. Mr. Kiernan joined VSE in November 2008. From 2003 to 2008, Mr. Kiernan served as Vice President, General Counsel and Secretary for Intelsat General Corporation, a subsidiary of Intelsat, Ltd. serving government and commercial customers. From 2000 to 2003, Mr. Kiernan served as a member of the Intelsat, Ltd., Office of General Counsel. From 1994 to 2000, Mr. Kiernan served as corporate counsel for SRA Life Sciences. Mr. Kiernan is a graduate of Virginia Tech University (B.A., Political Science) and George Mason University School of Law. He is a member of the Virginia State Bar.

Ralph Eberhart

General Ralph E. Eberhart is Independent Director of VSE Corp. He was General, U.S. Air Force (Ret.), formerly Commander-in-Chief, North American Aerospace Defense Command (NORAD) and U.S. Northern Command. General Eberhart retired from the Air Force in 2005 after 36 years of service. He was then appointed and continues to serve as President of the Armed Forces Benefit Association (AFBA) and as Chairman of its related enterprises. He is also a director of Rockwell Collins, Inc., and serves on the Audit Committee of The Triumph Group.

Mr. Calvin S. Koonce is Independent Director of VSE Corp. Mr. Koonce is President and director of Montgomery Investment Management (a securities investment firm), and is Chairman and a director of Koonce Securities, Inc., a securities broker/dealer firm (for more than the past five years).

James Lafond

Mr. James F. Lafond is Independent Director of VSE Corp. Mr. Lafond is retired executive and certified public accountant. From 1998 to 2002, Mr. Lafond was Washington Area Managing Partner, Pricewaterhouse-Coopers LLP. He previously served in various leadership positions at Coopers & Lybrand (1964 to 1998). He is also a director of WGL Holdings, Inc., Washington Gas Light Co., and various nonprofit and private entities.

Jack Stultz

Lieutenant General Jack C. Stultz, Jr., USAR, has been appointed as Independent Director of VSE Corp. effective January 1, 2013. LTG Stultz became Chief, Army Reserve and Commanding General, United States Army Reserve Command in May 2006, after serving as the Command's Deputy Commanding General since October 2005. Prior to his assignment to the Army Reserve Command, LTG Stultz served as the Commanding General of the 143(rd) Transportation Command, which provides command and control to twelve (12) units in the southeast United States. LTG Stultz entered active duty in 1974, after receiving his commission from the Reserve Officer Training Corps at Davidson College, Davidson, North Carolina. After leaving active duty in 1979, LTG Stultz worked at Proctor and Gamble for 28 years as operations manager, continuing his service to the United States Army Reserve as a Citizen-Soldier.

Bonnie Wachtel

Ms. Bonnie K. Wachtel is Independent Director of VSE Corp. She is Principal and Director, Wachtel & Co., Inc., brokers and underwriters (for more than the past five years). She is also a director of Information Analysis, Inc. and was a director of Integral Systems, Inc. until the company was acquired in August 2011. She served as director of Acies Corporation from June 2006 to July 2008.
