Terry McCallister	Mr. Terry D. McCallister is Chairman of the Board, Chief Executive Officer of WGL Holdings, Inc. He is Chairman and Chief Executive Officer of WGL Holdings and of Washington Gas Light Company, positions he has held since October 1, 2009. Mr. McCallister previously served as President and Chief Operating Officer of WGL Holdings and Washington Gas Light Company (2001-2009); Mr. McCallister joined Washington Gas Light Company in April 2000 as Vice President of Operations. He was previously with Southern Natural Gas, where he served as Vice President and Director of Operations and with Atlantic Richfield Company, where he held various leadership positions. Mr. McCallister serves on the Board of Directors of the American Gas Association. He is a past Chairman of the Board of Directors of the Southern Gas Association and is currently Chairman of the Board of Directors of the Gas Technology Institute. He serves on the boards of several business and community organizations, including, among others, the Greater Washington Board of Trade, the Federal City Council, the Alliance to Save Energy, the Boys and Girls Clubs of Greater Washington, the National Symphony Orchestra and the INOVA Health System Foundation. Mr. McCallister has a B.S. degree in Engineering Management from the University of Missouri-Rolla and is a graduate of the University of Virginia’s Darden School of Business Executive Program.

Linda Gooden	Ms. Linda R. Gooden has been appointed as the Director of WGL Holdings, Inc., effective April 1, 2013. Following a distinguished 32-year career at Lockheed Martin where she held numerous leadership roles, Ms. Gooden recently announced she would retire from this role on April 1st and from the company on May 1st. Under her leadership, Lockheed Martin has remained the top provider of IT services to the U.S. Government for the last 18 years and expanded its government IT business into international markets. She also played a role in launching Lockheed Martin’s new commercial cyber security business. Ms. Gooden has been honored with numerous awards, including being inducted into the prestigious Career Communications Hall of Fame, named one of Fortune’s 50 Most Powerful Women in Business for three consecutive years, and Black Enterprise magazine’s 2009 100 Most Powerful Executives in Corporate America. Ms. Gooden actively supports professional, academic and civic organizations, serving on numerous executive boards, including: Eisenhower Fellowships Board of Trustees; Armed Forces Communications and Electronics Association (AFCEA) International; TechAmerica; University Systems of Maryland Board of Regents; and Automatic Data Processing (ADP), Inc. Ms. Gooden received her degree in Computer Technology from Youngstown State University. She also holds a Bachelor of Science degree in Business Administration and Masters of Business Administration from the University of Maryland, University College. In 2005, she was awarded an honorary Doctor of Public Service degree from the University of Maryland, University College, in recognition of her service to the community and to higher education. He is a retired Executive Vice President and Mid-Atlantic Region Market President of Chevy Chase Bank, a division of Capital One, N.A. (1995-2010). James Dyke	Mr. James W. Dyke is an Independent Director of WGL Holdings, Inc. He is a partner in the Virginia law firm of McGuire Woods LLP, where he specializes in corporate, education, voting rights, government relations and municipal law. She is Chairman and Chief Executive Officer of BET Networks, a global multi-media company which owns and operates Black Entertainment Television and several other ventures. BET Networks is a division of Viacom, Inc. Ms. Lee previously was Executive Vice President and General Counsel of BET Holdings (1992-1995), President and Chief Operating Officer (1995-May 2005), President and Chief Executive Officer (June 2005-January 2006), and was elected to her present position in January 2006.
