Name Description

W. Paul McCarten

Mr. W. Paul McCarten is Independent Chairman of the Board of WiLan Inc. Mr. McCarten is the Chairman of the Board and was a partner with the law firm of Borden Ladner Gervais LLP from 1981 to his retirement from that firm on December 31, 2011. Mr. McCarten holds an LL.B. degree from Queens University in Kingston, Ontario and a Bachelor of Arts degree from Carleton University in Ottawa, Ontario. Mr. McCarten is a member of the National Board of Directors of Start 2 Finish and was recently the National Secretary of the Crohn’s and Colitis Foundation of Canada, is a former Chair of the Board of Directors of the Canadian Diabetes Association and is a member of the Institute of Corporate Directors.

James Skippen

Mr. James Douglas Skippen is President, Chief Executive Officer, Chief Legal Officer, Director of WiLan Inc. Mr. Skippen has been President, Chief Executive Officer and Chief Legal Officer of WiLAN since June 2006. Prior to joining WiLAN, Mr. Skippen had more than 18 years’ legal experience in patent licensing and technology transfer including more than 9 years as General Counsel with MOSAID Technologies Incorporated, experience as counsel to and leader of the Ottawa Technology Practice of the law firm McCarthy Tétrault LLP and more than 8 years as a partner of and lawyer with the law firm Borden & Elliot (now, Borden Ladner Gervais LLP). Mr. Skippen is a frequent speaker on patent monetization matters. Mr. Skippen holds an LL.B. degree from the University of Ottawa in Ottawa, Ontario, sits on the Board of Governors of Elmwood School, Ottawa and is a former member of the Board of the Canadian Diabetes Association.

Michael McEwan

Mr. Michael Shaun McEwan is Chief Financial Officer of WiLan Inc. He has more than 20 years of experience in finance and executive leadership positions in public and private high-technology companies. Before joining WiLAN, he held the position of Chief Financial Officer at BreconRidge Manufacturing Solutions (where he was responsible for overall financial management). Prior to BreconRidge, Shaun served in increasingly senior positions at Calian Technologies Ltd., first as Chief Financial Officer and then President and Chief Executive Officer. During his tenure at the publicly traded company, Shaun was responsible for all its financial affairs, completed several corporate acquisitions and divestitures and served as corporate secretary and as a Director. He also held senior executive positions at Microstar Software Ltd. and led the company’s initial public offering on the Toronto Stock Exchange in 1993.

Mr. Kenneth Stanwood is President of Cygnus Broadband, Inc., a subsidiary of Wi-LAN Inc. He served from December 2008 to October 2010 - independent consultant; early 2006 to November 2008 - Executive Vice-President, Technology of NextWave Broadband, Inc.

Michael Vladescu

Mr. Michael B. Vladescu is Chief Operating Officer of WiLan Inc. Mr. Vladescu comes to WiLAN from MOSAID Technologies Incorporated ("MOSAID") where he worked for more than fifteen years in positions related to patent licensing, portfolio development and patent prosecution. In his most recent position as Vice President, Licensing and Intellectual Property, Mr. Vladescu led the effort to license MOSAID's patent portfolio to many of the known electronics companies and was responsible for driving success in the firm's patent licensing programs.

Andrew Parolin

Mr. Andrew Parolin is Senior Vice President - Licensing of Wi-LAN Inc. His previous role with WiLAN was Vice President, Wireless Technologies, which he assumed in November 2007. During his tenure, the business unit negotiated license agreements with over 95 companies including global technology leaders ASUSTek, RIM, Sharp and Samsung. Before joining WiLAN, Andrew worked at SiGe Semiconductor, a fabless semiconductor company specializing in next-generation integrated circuit designs, where he served as Director of Wireless Data Products. Andrew has an MBA from the University of Ottawa, a Master of Applied Science from Queen’s University, and a Bachelor of Engineering from the Technical University of Nova Scotia.

Mark Schneider

Mr. Mark Schneider has been appointed as Senior Vice President, Business Unit Leader and Senior Patent Counsel of WiLAN Inc., with effect from August 12, 2013. Mr. Schneider brings over 30 years of experience in IP licensing and business development. Before joining WiLAN, Mark held the position of Senior Director, IP Business Unit & Legal Counsel at Skyworks Solutions. Prior to Skyworks, Mark held increasingly senior IP related roles at Hewlett Packard with his last role being Managing Director, IP Licensing, Hewlett Packard Legal. Mr. Schneider is a member of the Licensing Executive Society, the Association of Corporate Counsel and is an active member of the California State Bar.

Mr. Doug MacCrae is Vice President - Finance of Wi-LAN Inc. From September 2001 to February 2009 – a series of executive positions with BreconRidge Corporation, with the final position being Chief Financial Officer.

Prashant Watchmaker

Mr. Prashant Watchmaker is Vice President - Corporate Legal & Corporate Secretary of WiLan Inc. From October 2007 to present – Vice-President - Corporate Legal & Corporate Secretary of WiLAN; January 2007 to October 2007, Legal Counsel to the Canadian Payments Association; June 1997 to January 2007, Associate Lawyer with LaBarge Weinstein Professional Corporation.

Marc Frechette

Mr. Marc Frechette has been appointed as Vice President, Business Unit Leader and Senior Patent Counsel of Wi-LAN Inc., with effect from August 01, 2013. He is responsible for licensing, technologies and business development for various programs, including semiconductor technologies. Before joining Wi-LAN, Mr. Frechette served as senior vice-president at Acacia Research Corp., where he led semiconductor licensing activities and managed patent portfolio assets. Prior to working with Acacia, Mr. Frechette worked in various roles and organizations as an engineer and patent attorney.

Paul Lerner

Mr. Paul J. Lerner is General Manager - Gladios IP, Inc., a subsidiary of Wi-LAN Inc., with effect from September 12, 2011. Prior to joining WiLAN, Mr. Lerner was Senior Vice President and General Counsel of General Patent Corporation ("GPC"), patent licensing and enforcement firm, founded in 1987. During his 11 years with GPC, Mr. Lerner licensing activities for hundreds of inventor-owned patents. He is also co-author of two books, Essentials of Licensing Intellectual Property (John Wiley & Sons, 2004) and Essentials of Intellectual Property (John Wiley & Sons, 2002). Before joining GPC, Mr. Lerner was a partner in the Hartford, CT business law firm of Pepe & Hazard LLP. He has IP law departments at Olin Corp., Black & Decker Corp., and multi-national electrical construction giant Asea Brown Boveri, Inc. Mr. Lerner's education includes a B.S. in Aeronautical Engineering from Purdue University, an M.B.A. from Loyola University, a J.D. from DePaul University, and post-graduate legal studies at John Marshall College of Law.

Michel Fattouche

Dr. Michel Tewfik Fattouche is Director of WiLan Inc. Dr. Fattouche was one of the founders of WiLAN in 1992 and is an inventor of some of WiLAN’s key patents. Since July 1986, Dr. Fattouche has been a Professor of Electrical and Computer Engineering at the University of Calgary. From May 1995 to October 2008, Dr. Fattouche held various other senior officer positions with Times Three Wireless Inc. (formerly “Cell-Loc Location Technologies Inc.”) and its predecessor, Cell-Loc Inc. Dr. Fattouche holds Ph.D. and Master of Applied Science degrees from the University of Toronto in Toronto, Ontario and a Bachelor of Science in Applied Mathematics degree from the University of Cairo in Cairo, Egypt and is a licensed Professional Engineer.

Robert Bramson

Mr. Robert S. Bramson is Independent Director of WiLan Inc. Mr. Bramson is a U.S. patent attorney having more than 50 years’ experience in patent prosecution, licensing and enforcement and has been a partner at Bramson & Pressman, a technology licensing law firm since 1996. Previously, among other positions, Mr. Bramson was employed at InterDigital Patents Corporation, the patent enforcement majority-owned subsidiary of InterDigital, Inc., as President and Chief Executive Officer for 3 years, at Unisys Corporation as Vice- President and General Patent and Technology Counsel for 2 years and at the law firm of Schnader, Harrison, Segal & Lewis LLP as Partner and Head of its Computer and Technology Law Group for 21 years. Mr. Bramson is member of the Board of The Eugene Garfield Foundation, a philanthropic foundation. Mr. Bramson holds a J.D. degree from Georgetown University, Washington D.C., USA, a Bachelor of Mechanical Engineering degree from Rensselaer Polytechnic in Troy, New York, USA and is a licensed United States Patent Attorney.

John Gillberry

Mr. John Kendall Gillberry is Independent Director of WiLan Inc. Mr. Gillberry has been a member of audit committees for a number of private and public companies and brings that experience to WiLAN as a member of the Board’s Audit Committee. Mr. Gillberry is the Founder and President of Bayfield Capital Group, a corporate finance advisory firm. From May 2011, Mr. Gillberry has been the Executive Vice-President & Chief Financial Officer of QHR Technologies Inc., from December 2009 to June 2012, he was the Chief Executive Officer of Utilitran Corporation and from July 2005 to July 2009, he was the Executive Vice President and Chief Financial Officer of Coreworx Inc. (formerly, Software Innovation Inc.). Mr. Gillberry holds a Master of Business Administration degree from the University of Western Ontario in London, Ontario.

Mr. William Keith Jenkins is Independent Director of WiLan Inc. Mr. Jenkins is a Partner with the law firm of Fraser Milner Casgrain LLP. In that role, Mr. Jenkins has advised corporations, investment dealers and banks on public securities offerings, equity and debt financings, mergers and acquisitions as well as other corporate finance transactions which have provided him the opportunity to review, analyze and evaluate financial reporting, all of which experience makes Mr. Jenkins invaluable as a member of the Board’s Audit Committee. Mr. Jenkins holds LL.B. and Bachelor of Arts (Economics) degrees from the University of Western Ontario in London, Ontario.

James Roche

Mr. James N. Roche is Independent Director of WiLan Inc. Mr. Roche has executive experience in high technology companies and is currently the President & Chief Executive Officer of Stratford Managers, a company he founded in 2006. Prior to starting Stratford, Mr. Roche was President & Chief Executive Officer of Tundra Semiconductor Corporation, a company he co-founded in 1995. Mr. Roche holds a Bachelor of Science (Engineering) degree from Queens University in Kingston, Ontario.

Richard Shorkey

Mr. Richard J. Shorkey is Independent Director of WiLan Inc. Mr. Shorkey is a Chartered Accountant with more than 35 years of industry experience holding senior financial and general management roles in a number of public and private companies, all of which experience he brings to WiLAN as Chair of the Board’s Audit Committee. Mr. Shorkey is a Chartered Professional Accountant and a member of the Chartered Professional Accountants of Ontario and of CPA Canada.
