Name Description

Robert Glauber

Mr. Robert R. Glauber is Non-Executive Independent Chairman of the Board of XL Group PLC., since April 2009. He has been a Director of the Company since September 2006, having originally served on the Company’s Board from 1998 to May 2005. Mr. Glauber served as lead director of the Board from February 2008 to April 2009. Mr. Glauber is presently a Lecturer at the Harvard Kennedy School of Government. Most recently, Mr. Glauber served as CEO of the National Association of Securities Dealers, Inc. from November 2000 to August 2006 and, in addition, as Chairman from September 2001 to August 2006. Mr. Glauber is currently the Chairman of the board of directors of Northeast Bancorp, a director of Moody’s Corporation and a trustee and Vice Chairman of the International Financial Reporting Standards Foundation. He previously served on the boards of Freddie Mac, Quadra Realty Trust, the Federal Reserve Bank of Boston, a number of Dreyfus mutual funds and the Investment Company Institute. From 1989 to 1992, he served as Under Secretary of the Treasury for Finance and, prior to that, was a Professor of Finance at the Harvard Business School. He is a Senior Advisor to Peter J. Solomon Company.

Michael McGavick

Mr. Michael S. McGavick is Chief Executive Officer, Director of XL Group PLC. He was appointed as a Director in April 25, 2008, shortly prior to his commencement as the CEO on May 1, 2008. Previously, Mr. McGavick was President and CEO of Seattle-based insurer Safeco Corporation from January 2001 to December 2005, and was Chairman of Safeco’s board of directors from January 2002 to December 2005. Prior to joining Safeco, Mr. McGavick spent six years with Chicago-based CNA Financial Corporation, where he held various senior executive positions before becoming President and Chief Operating Officer of the company’s commercial insurance operating unit. Mr. McGavick’s insurance industry experience also includes two years as Director of the American Insurance Association’s Superfund Improvement Project in Washington, D.C. where he became the Association’s lead strategist in working to transform U.S. Superfund environmental laws. Mr. McGavick is a member of the boards of The Geneva Association, the American Insurance Association and the Insurance Information Institute, and the Chairman of the board of the Association of Bermuda Insurers and Reinsurers. He also currently chairs the board of Landesa, a nonprofit organization that helps the rural poor around the globe obtain land rights.

Peter Porrino

Mr. Peter R. Porrino, CPA, is Executive Vice President and Chief Financial Officer of Xl Group PLC. Previously, Mr. Porrino served as Ernst & Young’s Global Director of Insurance Industry Services from 1999 to August 2011. Mr. Porrino first joined Ernst & Young in 1978 and served in the firm’s New York and National insurance practices for 15 years before leaving to serve in senior management positions with several insurance companies. This experience includes Zurich Financial Services, where Mr. Porrino served as CFO of Zurich’s NYSE listed subsidiary, Zurich Reinsurance Centre, Inc. He rejoined Ernst & Young in 1999. Mr. Porrino holds an MBA from New York University and BBA in accounting from Pace University.

Eileen Whelley

Ms. Eileen Goss Whelley is Chief Human Resources Officer, Executive Vice President of XL Group PLC. Since 2006, Ms. Whelley has been Executive Vice President, Human Resources for The Hartford Financial Services Group, a diversified financial services company with approximately 24,000 employees. Prior to her time at The Hartford, Ms. Whelley spent 17 years at General Electric where she held a number of human resources leadership roles, including serving as Executive Vice President of Human Resources at GE's NBC Universal subsidiary from 2002 to 2006. In this position, she oversaw HR through acquisitions of Telemundo and cable channel Bravo and led the HR integration of NBC's merger with Universal. Before joining NBCU, Ms. Whelley was the Vice President of Human Resources Excellence for GE Capital. Before that she served in a variety of HR roles at Employer's Reinsurance and at GE's corporate headquarters. Prior to GE, Ms. Whelley worked for Citicorp and Standard Oil of Ohio in a number of HR roles. She is a graduate of Potsdam College and has a master's degree from Bowling Green State University.

Sarah Street

Ms. Sarah E. Street is Executive Vice President, Chief Investment Officer of XL Group PLC., since October 2006. Ms. Street has also served as the Chief Executive Officer of XL Capital Investment Partners Inc., since April 2001. Prior to joining XL in 2001, Ms. Street held numerous leadership positions at JPMorganChase and its predecessor organizations, working in a number of corporate finance units as well as in the capital markets business of the bank.

Kirstin Gould

Ms. Kirstin Romann Gould is Executive Vice President, General Counsel, Secretary of XL Group PLC. She was appointed to the position of Executive Vice President, General Counsel in September 2007, which position includes her prior responsibilities as General Counsel, Corporate Affairs and Corporate Secretary. Ms. Gould was previously Executive Vice President, General Counsel, Corporate Affairs from July 2006 to September 2007 and has also served as Chief Corporate Legal Officer from November 2004 to July 2006, and Associate General Counsel from July 2001 to November 2004. Prior to joining the Company in 2000, Ms. Gould was associated with the law firms of Clifford Chance and Dewey Ballantine in New York and London.

Susan Cross

Ms. Susan Lee Cross is Executive Vice President, Global Chief Actuary of XL Group PLC. Ms. Cross has served as Global Chief Actuary since 2006 and previously was Chief Actuary of the Company’s reinsurance operations from 2004 to 2006 and Chief Actuary of XL Re Bermuda from 2002 to 2004. She also held various actuarial positions in the insurance and reinsurance operations of the Company from 1999 to 2002. Prior to joining the Company, Ms. Cross was Principal and Consulting Actuary at Tillinghast Towers Perrin.

Gregory Hendrick

Mr. Gregory S. Hendrick is Executive Vice President, Chief Executive - Insurance Operations of XL Group Plc. From October 2010 to January 2012 Mr. Hendrick served as Executive Vice President, Strategic Growth. From 2004 to October 2010, Mr. Hendrick served as President and Chief Underwriting Officer of XL Re Ltd. Previously, he served as Lead for U.S. Property Treaty underwriting at XL Re Ltd and Vice President responsible for U.S. Property Underwriting for XL Mid Ocean Reinsurance Ltd. Prior to joining XL, Mr. Hendrick was Assistant Vice President of Treaty Underwriting for the Winterthur Reinsurance Corporation of America.

W. Myron Hendry

Mr. W. Myron Hendry is Executive Vice President, Chief Platform Officer of XL Group PLC. Prior to joining the Company, from 2006 to December 2009 Mr. Hendry served as Business Operations Executive of Bank of America’s Insurance Group, joining there from a merger with Countrywide Insurance Services Group. Prior to the merger, Mr. Hendry served as Managing Director and Chief Operating Officer for Countrywide and prior to this, from 2004 to 2006, Mr. Hendry served as Senior Vice President, Property and Casualty Services at Safeco. From 1971 to 2004, Mr. Hendry held various leadership roles with CNA Insurance, with his last assignment being the Senior Vice President of Worldwide Operations.

Andrew Pinkes

Mr. Andrew J. Pinkes has been appointed as the Executive Vice President, Global Head - Claims of XL Group Plc., with effect from April 17, 2013. Andy joins XL Group from The Hartford, where he most recently served as Executive Vice President of Claims, and President of its Heritage Holdings, Inc., a company that manages The Hartford's domestic and international property and casualty run-off operations. He joined The Hartford in 2003 as Senior Vice President of its Complex Claims Group. His 20-year insurance industry career also includes positions with The Travelers which included the position of Senior Vice President and General Counsel of Traveler's Special Liability Group where he managed coverage and liability issues related to asbestos, environmental and other complex tort claims. Andy is currently a member of the Board of Overseers for the RAND Institute for Civil Justice and the Board of Directors for St. Francis Hospital and Medical Center in Hartford, Connecticut.

Jacob Rosengarten

Mr. Jacob D. Rosengarten is Executive Vice President, Chief Enterprise Risk Officer of XL Group PLC. Prior to joining the Company, Mr. Rosengarten served as Managing Director of Risk Management and Analytics for Goldman Sachs Asset Management from 1998 to 2008. From 1993 to 1997, Mr. Rosengarten served as Director of Risk and Quantitative Analysis at Commodities Corporation and prior to this, from 1983 to 1992 held progressively senior finance positions at Commodities Corporation.

James Veghte

Mr. James H. Veghte is Executive Vice President, Chief Executive - Reinsurance Operations of XL Group PLC. Mr. Veghte had served as the Chief Executive Officer of XL Reinsurance America Inc. (XLRA) since 2004, having previously served as Chief Operating Officer of the Company’s reinsurance operations and President, Chief Operating Officer & Chief Underwriting Officer of XL Re Ltd. Additional previously held roles with the Company include President of XL Re Latin America Ltd., Chief Operating Officer of Le Mans Re (now the French branch of XL Re Europe Ltd.), General Manager of XL Re Ltd’s London branch and Executive Vice President and Underwriter of XL Mid Ocean Reinsurance Ltd in Bermuda. Prior to joining XL, Mr. Veghte was Senior Vice President and Chief Underwriting Officer of Winterthur Reinsurance Corporation of America.

Philip Jacobs

Mr. Philip M. Jacobs has been appointed as Global Head - Capital Management, Corporate Development and Tax of XL Group plc., with effect from June 24, 2013. Mr. Jacobs joins XL Group from Barclays Bank where he served as Global Head of Tax, leading all aspects of Barclays' tax operations worldwide and managing a global team. Prior to joining Barclays in 2009, Mr. Jacobs served at AIG as Global Tax Director and then as a Senior Vice President reporting to the Vice Chair-Chief Restructuring Officer immediately following the Federal Reserve Bank of New York's bailout of AIG. Prior to AIG, Mr. Jacobs was a senior tax leader at GE Capital.

Paul Tuhy

Mr. Paul I. Tuhy has been appointed as the Head - Global Aerospace Business of XL Group Plc., with effect from April 17, 2013. Prior to assuming the Global Head of Claims in 2006, he previously managed XL Group's claims operations in Continental Europe and Asia, and served as head of claims for North America when he joined XL in 2003. His 30-year insurance career also included positions with Kemper Insurance Company, Reliance National Insurance, Blackmoor Group, Cigna Property and Casualty, Consolidated Adjusters, and Cincinnati Insurance Company.

Edward Kelly

Mr. Edward J. “Ned” Kelly, III is appointed as Director of XL Group Public Limited Company effective August 1, 2014. He served as Chairman of Citigroup Inc.’s Institutional Clients Group, as Citi’s Chief Financial Officer, as General Counsel and Secretary of JP Morgan & Co. Incorporated and as Managing Director of the Carlyle Group. Other past posts Mr. Kelly held at Citi include head of Global Banking and before that President and Chief Executive officer of Citi Alternative Investments. Prior to joining the Carlyle Group, he was Chairman, Chief Executive and President of Mercantile Bankshares and, subsequent to PNC Financial Services Group’s acquisition of Mercantile in 2007, was a vice chairman at PNC. Prior to joining J.P. Morgan, Mr. Kelly was a partner at the law firm of Davis Polk & Wardwell, where he specialized in matters related to financial institutions. Mr. Kelly currently serves as the lead director of the board of CSX Corp. Previously he served on the board of several public companies, including The Hartford Financial Services Group, Inc. and Axis Capital Holdings Limited. He has a Bachelor of Arts degree from Princeton University and a Juris Doctorate from the University of Virginia.

Ramani Ayer

Mr. Ramani Ayer is an Independent Director of XL Group PLC. Previously, Mr. Ayer served as the Chairman of the board of directors and CEO of The Hartford Financial Services Group Inc. (“The Hartford”) from February 1997 to October 2009. In addition, Mr. Ayer is the former Chairman of the American Insurance Association, the Property & Casualty CEO Roundtable and the Insurance Services Office. He is currently Chairman of the Hartford Healthcare Corporation, the Vice Chairman of the Connecticut Council for Education Reform and a member of the board of the David Lynch Foundation. Previously, he also served as a member of the board and Chairman of the Hartford Hospital and as a member of the board of Maharishi University of Management.

Dale Comey

Mr. Dale R. Comey is an Independent Director of XL Group PLC. He has been a Director since November 27, 2001. Mr. Comey served as alternate lead director of the Board from February 2008 to April 2009. Mr. Comey was a director of St. Francis Hospital and Medical Center, Hartford, Connecticut from 1988 to 2006. Prior to his retirement, Mr. Comey was Executive Vice President at the corporate headquarters of the ITT Corporation from 1990 to 1996, where he was responsible for directing the operations of several ITT business units, including ITT Hartford and ITT Financial Corporation. From 1988 to 1990, Mr. Comey was President of ITT Hartford’s Property & Casualty Insurance Business.

Suzanne Labarge

Ms. Suzanne B. Labarge has been appointed as an Independent Director of XL Group plc., with effect from October 27, 2011. From February 1999 until her retirement in December 2004, Ms. Labarge served as the Vice Chairman and Chief Risk Officer of Royal Bank of Canada (RBC Financial Group), where she was responsible for the management of enterprise-wide risk and served on the executive management committee, providing leadership for the overall strategic direction of RBC Financial Group. During her 25 years with Royal Bank of Canada, Ms. Labarge held a variety of roles within commercial and corporate lending, internal audit, and corporate treasury before assuming responsibility for risk management. During her career, Ms. Labarge also served the Canadian government as an assistant auditor-general and as deputy superintendent of the Office of the Superintendent of Financial Institutions Canada. Ms. Labarge currently serves as a member of the Supervisory Board of Deutsche Bank AG, a global investment bank, and as a member of the board and chair of the audit committee of Coca-Cola Enterprises, Inc., a cold beverage bottler and distributor. In addition, from January 2005 to May 2007, Ms. Labarge served as a director and chair of the audit committee of Novelis, Inc., a Canadian producer of aluminum products that is no longer a public company. Ms. Labarge also serves as a director of private corporations that each act as a trustee of a trust for the benefit of the Late John E. Irving. The principal corporations referred to above include: JEI PTC A Limited, JEI PTC B Limited, Ocean Capital Holdings Limited and Ocean Capital B Holdings Limited.

Joseph Mauriello

Mr. Joseph Mauriello is an Independent Director of XL Group PLC., since January 27, 2006. Mr. Mauriello was formerly Deputy Chairman and Chief Operating Officer of and a director of KPMG LLP (United States) and KPMG Americas Region from 2004 to 2005. During his 40 years at KPMG, Mr. Mauriello held numerous leadership positions, including Vice Chairman of Financial Services from 2002 to 2004. He is a Certified Public Accountant (Retired) in New York and is a member of the American Institute of Certified Public Accountants. He has also been a member of the board of overseers of the School of Risk Management, Insurance and Actuarial Science of the Peter J. Tobin College of Business at St. John’s University since 2002, a trustee of the St. Barnabas Medical Center in New Jersey since 2003 and the St. Barnabas Health Care System since 2008, a member of the board of directors of the Alliance for Lupus Research since 2006 and a member of the board of trustees of Fidelity Funds since July 2007. From March 2007 to June 2012, Mr. Mauriello served as a member of the board of directors of Arcadia Resources, Inc., and from July 2006 to July 2007, he served as a member of the board of directors of the Hamilton Funds of the Bank of New York.

Eugene McQuade

Mr. Eugene M. McQuade is an Independent Director of XL Group PLC., since July 27, 2004. Mr. McQuade is the Chief Executive Officer (“CEO”) of Citibank, N.A., a role he assumed in August 2009. He is also a member of Citigroup’s Operating Committee and serves on the board of directors of Citibank, N.A. From February 2008 to February 2009, Mr. McQuade was Vice Chairman and President of Merrill Lynch Banks (U.S.). Mr. McQuade was President and Chief Operating Officer of the Federal Home Loan Mortgage Corp. (“Freddie Mac”) from September 2004 to September 2007 and a director of Freddie Mac from November 2004 to August 2007. Mr. McQuade was President and a director of Bank of America Corporation from April 2004 to June 2004. He previously had been President and Chief Operating Officer at FleetBoston Financial Corporation from 2002 to March 2004. Mr. McQuade served as Vice Chairman and Chief Financial Officer of FleetBoston Financial Corporation from 1997 to 2002. He also served as a director of FleetBoston Financial Corporation from 2003 until April 2004 (when FleetBoston Financial Corporation merged into Bank of America Corporation). Mr. McQuade is a Certified Public Accountant.

Clayton Rose

Dr. Clayton S. Rose is an Independent Director of XL Group PLC., since December 17, 2009. Dr. Rose is a Professor of Management Practice at the Harvard Business School, and has been a member of its faculty since July 2007. Previously, he was an adjunct professor at the Stern School of Business at New York University (2002-2004) and at the Graduate School of Business at Columbia University (2002-2006). He is a trustee of the Howard Hughes Medical Institute and a director of Public/Private Ventures. From October 2010 to March 2012, Dr. Rose was a director of Freddie Mac, which included serving as chairman of its Audit Committee and as a member of its Compensation and Business and Risk Committees. In addition, Dr. Rose previously chaired the Board of Managers of Highbridge Capital Management, a hedge fund owned by JP Morgan Chase (2007-2010), and served as a director of Mercantile Bancshares (2001-2007) and Lexicon Pharmaceuticals (2003-2007). Dr. Rose is a former executive of J.P. Morgan & Co., where he headed each of the Global Investment Banking and the Global Equities Divisions, and served as a member of the firm’s executive committee. During his career at J.P. Morgan, he held management roles in various securities, derivatives and corporate finance businesses.

John Vereker

Sir John M. Vereker is an Independent Director of XL Group PLC., since November 1, 2007. Sir John Vereker was the Governor and Commander-in-Chief of Bermuda from April 2002 to October 2007. Prior to that, he was the U.K.’s Permanent Secretary of the Department for International Development and of its predecessor, the Overseas Development Administration, from 1994 to 2002. Over the years, Sir John Vereker’s career has included working at the World Bank, serving as Private Secretary to three U.K. Ministers of Overseas Development, working on public sector issues in the Policy Unit of the British Prime Minister’s Office and serving as Deputy Secretary for the Department of Education and Science. He has been a Board Member of the British Council, the Institute of Development Studies and the Institute of Manpower Studies and Voluntary Service Overseas. He has served on the Advisory Councils for the Centre for Global Ethics and for the British Consultancy and Construction Bureau. He has also been an adviser to the U.N. Secretary-General’s Millennium Development Project and a member of the Volcker panel, which investigated the World Bank’s institutional integrity. Sir John Vereker is an independent director of MWH Global, whose principal business is wet infrastructure engineering, and a Trustee of the Ditchley Foundation.
