Name Description

T. Gregory Hawkins

Mr. T. Gregory Hawkins is Chairman of the Board, Interim Chief Executive Officer of Yellowhead Mining Inc. He has been appointed as Interim Chief Executive Officer of the company effective October 18, 2012. Mr. Hawkins has been active in the mining exploration and investment industry since 1969. He has been variously responsible for the identification and/or delineation of 10 mineral deposits in Canada, USA, Chile, Ghana, Mali and Zaire (DRC). In acting as Founding Project Consultant and/or Founding Director of seven public and private exploration/development ventures he has participated in or been responsible for the definition of at least one resource/reserve in every case with four cases resulting in production in the USA, Chile, Ghana and Mali. In 1990, he started CME, an international full service consultancy and contracting firm, which grew to include Spectral International Geophysics, Eagle Drilling and ATS Inc. He holds a B.Sc. (Geology) from the University of Alberta and a M.Sc. (Mineral Economics) from McGill University.

Saurabh Handa

Mr. Saurabh Handa has been appointed as Chief Financial Officer of Yellowhead Mining Inc., with effect from January 4, 2012. He is a Chartered Accountant certified by the Institute of Chartered Accountants of British Columbia. Prior to joining Yellowhead, Mr. Handa was the Corporate Controller for SouthGobi Resources Ltd., a public mining company listed on both the TSX and Hong Kong Stock Exchange. While at SouthGobi, Mr. Handa was involved in the company's transition from the exploration to development to the production stage; convertible debt financing; secondary listing on the Hong Kong Stock Exchange; transition from the TSX-V to TSX; early adoption of the IFRS accounting standards; and implementation of a company-wide financial reporting system. Previous to that, Mr. Handa worked at Deloitte and Touche LLP as a Senior Staff Accountant working in its audit and valuation practices primarily on international mining companies. Mr. Handa holds a Diploma in Accounting from the University of British Columbia, a Bachelor of Science from the University of British Columbia and a Diploma in Computer Systems and Technology form the British Columbia Institute of Technology.

Ronald Handford

Mr. Ronald L. Handford serves as Executive Vice President - Corporate Development of Yellowhead Mining Inc. He is a Professional Engineer with a BASc from the University of British Columbia and an MBA from the University of Western Ontario. He has over 35 years of international experience in development, finance and engineering relating to resource and technology sectors. He has been a founder, officer and director of several private and public exploration and technology companies since 1996. From 1981 through 1996, Mr. Handford was a resource industry banker, investment officer and structured finance specialist, including six years with Barclays Bank and three years with the International Finance Corporation. Since 2005, Mr. Handford has been with the Company in the positions of Chief Executive Officer and now as Executive Vice President, Corporate Development.

Alastair Tiver

Mr. Alastair Tiver serves as Vice President - Operations of Yellowhead Mining Inc. He holds a Bachelor of Engineering in Mining, from South Australian University along with an MBA from Curtin University in Western Australia. He has 24 years of broad international experience in operating and consulting roles ranging from exploration stage to operating mines in a variety of commodities. Most recently as the Chief Engineer of Copper Mountain Mining Corporation (May 2007 to May 2011), he was a key member of the management team responsible for bringing the Copper Mountain Project, located near Princeton, BC, back into production. Prior to Copper Mountain, he was with bcMetals Corp. as its Chief Mining Engineer (November 2005 to May 2007), which advanced the Red Chris copper/gold porphyry project to a predevelopment/ financing stage at which time that company was taken over by Imperial Metals Corp.

Charlene Higgins

Dr. Charlene Higgins serves as Vice President - Environment, First Nations and Community Relations of Yellowhead Mining Inc. Dr. Higgins has a Master of Science and a Doctorate Degree in Ecology from the University of British Columbia. She has over 14 years’ experience working with aboriginal communities and organizations in her positions as President of There’s More to Forests Inc. (2000 to 2011) and Senior Policy Advisor for the BC First Nations Forestry Council (2009 to 2010). She has participated as an advisor in international (United Nations), national and provincial arenas on issues pertaining to the sustainable use and management of natural resources. Dr. Higgins is a member of the Canadian Standards Association (CSA) Technical Committee on Sustainable Forest Management, the Programme for the Endorsement of Forest Certification schemes (PEFC) National Governing Body, and the BC First Nations Environmental Assessment Technical Working Group.

Darlene Lynch

Ms. Darlene Lynch serves as Corporate Secretary and Manager - Corporate Administration of Yellowhead Mining Inc. She joined Yellowhead in June 2011 as Manager, Corporate Administration and was appointed Corporate Secretary in August 2011. From June 2004 to April 2011, Ms. Lynch was Corporate Secretary and Executive Administrator at Polaris Minerals Corporation, a TSX listed company. Ms. Lynch holds an Honours Bachelor of Business Administration degree from Wilfrid Laurier University and is a member of the Canadian Society of Corporate Secretaries. Prior to 2004, Ms. Lynch was employed in the property management and banking industries.

Beverly Bartlett

Ms. Beverly A. Bartlett has been appointed as Director of Yellowhead Mining Inc., with effect from May 1, 2012. Ms. Bartlett has over 35 years of administrative and supervisory experience, and has over 15 years of corporate secretarial experience. Since 1997, she has worked with Global Mining Management, and in this capacity has been responsible for overseeing corporate administration and maintaining regulatory compliance of both public and private companies in the resources and energy fields. In addition to being the Vice President and Corporate Secretary of Ivanhoe Energy Inc. (NASDAQ, TSX), Ivanhoe Mines Ltd. (NYSE, TSX, NASDAQ), and SouthGobi Resources Ltd. (TSX), she is the director of numerous subsidiary companies of the aforementioned public companies. She is also the companies' Compliance and Ethics Officer, ensuring ethical conduct in corporate governance throughout the organizations.

Ming An Fu

Mr. Ming An Fu has been appointed as Director of Yellowhead Mining Inc., effective July 3, 2012. Mr. Fu is the President of Anthill Resources Ltd., a mining investment group which he founded in 2009 and a shareholder of Yellowhead. Prior to 2009, Mr. Fu was Chairman and founder of Jiangyuan Mining Investment Corp. in Beijing. In 2004, he identified and acquired three iron ore and gold properties in Inner Mongolia and established Meng Yuan Ore Processing Company which performed mineral exploration, mine development/construction, mining and processing activities.

R. Stuart Angus

Mr. R. Stuart Angus serves as Independent Director of Yellowhead Mining Inc., since November 9, 2010. Mr. Angus is an independent senior business advisor to the mining industry, with over 30 years’ experience in international exploration, development and mining ventures, and all aspects of their structuring and finance. He headed the Global Mining Practice for Fasken Martineau DuMoulin LLP and was more recently Managing Director for Endeavour Financial.

David Dickens

Mr. David Dickens serves as Independent Director of Yellowhead Mining Inc., since November 9, 2010. Mr. Dickens is a financial professional with over 40 years of experience as a chartered accountant. For over 40 years he has worked in London (UK), the Channel Islands and Dubai as a trust company officer and director. From April 2003 until he retired on December 31, 2010, he was a Director and Chairman of the Gardino Holdings Limited group of companies based in Dubai. From January 2011, he is an independent business consultant to international groups of companies.

Andy Graetz

Mr. Andy Graetz serves as Independent Director of Yellowhead Mining Inc., since November 9, 2010. Mr. Graetz is a certified mining engineer with over 30 years international mining experience having worked in the USA, Canada, the Philippines, Kazakhstan and South Africa in senior mine operational, corporate development, feasibility study and CFO/finance/administration roles. He has held senior management positions with Thistle Mining Inc., the Placer Dome Inc Group, Lonrho Plc and Gencor Ltd in South Africa. Mr. Graetz is currently CFO of Altynalmas Gold Ltd a Canadian private company in which Ivanhoe Mines Ltd has a 50% interest that is developing a gold asset in Kazakhstan.
